1、機(jī)器設(shè)備米購(gòu)一般條款GeneralTermsandConditionsforMachineryandEquipmentPurchase(LS103Version3.0)接受Acceptance賣(mài)方已審閱了本條款，且同意賣(mài)方對(duì)本合同下的任何工作或服務(wù)的書(shū)面接受或開(kāi)始進(jìn)行這些工作或服務(wù)均僅構(gòu)成賣(mài)方對(duì)本條款的接受。賣(mài)方提出的有異于或附加于本條款的任何修改應(yīng)根據(jù)本條款第31條作出。Sellerhasreadandunderstandsthesetermsandconditions,andagreesthatSeller'vsrittenacceptanceorcommencementofany

2、workorserviceunderthiscontractshallconstituteSeller'acceptanceofthesetermsandconditionsonly.AnychangesproposedbySellerwhicharedifferentfromorinadditiontothesetermsandconditionsshallbemadeinaccordancewithParagraph31.除買(mǎi)賣(mài)雙方另有書(shū)面約定外，雙方同意本條款適用于雙方所簽訂的在合同附件中列明本條款的所有合同。Unlessotherwiseagreedinwritingbythe

3、parties,thepartiesagreetoapplythesetermsandconditionstoallothercontractsaslongasthesetermsandconditionsarereferredtointheattachmentbytheparties.裝運(yùn)和交付ShippingandDelivery賣(mài)方同意：(a)將按照買(mǎi)方和相關(guān)承運(yùn)人的要求對(duì)貨物適當(dāng)?shù)匕b、標(biāo)注及運(yùn)輸以確保運(yùn)輸費(fèi)用為最低；對(duì)貨物的包裝應(yīng)當(dāng)適于長(zhǎng)途運(yùn)輸、防潮、防濕、防震、防銹、耐裝卸，以確保貨物免于受損，使之完好安全地交付給買(mǎi)方；(b)按照買(mǎi)方的指示安排貨運(yùn)路線；(c)除非本合同中另行說(shuō)明，

4、將不收取貨物的裝卸費(fèi)、包裝費(fèi)、倉(cāng)儲(chǔ)費(fèi)、運(yùn)輸費(fèi)或拖運(yùn)費(fèi)；(d)在每批裝運(yùn)貨物的包裝標(biāo)簽上標(biāo)明買(mǎi)方的合同號(hào)及其啟運(yùn)日期；(e)為每箱貨物上適當(dāng)標(biāo)明合同號(hào)、廠家號(hào)、車(chē)間號(hào)及裝卸碼頭號(hào)，當(dāng)一次發(fā)運(yùn)包含多箱貨物時(shí)，在每箱貨物上標(biāo)明系列號(hào)；(f)按照買(mǎi)方指示和承運(yùn)人的要求，迅速提交每批貨物的正本提單或其他裝運(yùn)收據(jù)，以及所運(yùn)輸貨物的正確分類(lèi)識(shí)別號(hào)。每一貨包上的標(biāo)記和裝箱單、提單和發(fā)票上的貨物標(biāo)注應(yīng)能使買(mǎi)方很容易地辯認(rèn)出所購(gòu)貨物；(g)當(dāng)指定的設(shè)備已完成及組裝，但發(fā)現(xiàn)為裝運(yùn)和/或安裝確有必要拆卸時(shí)，各部件應(yīng)標(biāo)上嵌合符號(hào)以便于在工作場(chǎng)地的裝配。裝運(yùn)時(shí)為防止在運(yùn)輸過(guò)程中的破損與扭曲，各部件都應(yīng)相應(yīng)地系緊、捆好，裝

5、運(yùn)發(fā)票上應(yīng)顯示箱號(hào)、盒號(hào)；且(h)若設(shè)備的裝卸需特別指導(dǎo)的，賣(mài)方應(yīng)在裝運(yùn)之前通知買(mǎi)方，并且賣(mài)方代表應(yīng)參與整個(gè)裝卸過(guò)程并提供特別指導(dǎo)。Selleragrees:(a)toproperlypack,markandshipgoodsinaccordancewiththerequirementsofBuyerandinvolvedcarriersinamannertosecurethelowesttransportationcost;packagingshallbesuitableforlong-distancetransport,moistureproof,waterproof,shockproof

6、,rustproof,resistanttoroughloadingandunloading,soastopreventthegoodsfrombeingdamagedandcausethegoodstobedeliveredproperlytoBuyer;(b)torouteshipmentsinaccordancewithinstructionsofBuyer;(c)tomakenochargeforhandling,packaging,storage,transportationordrayageofgoodsunlessotherwisestatedinthiscontract;(d)

7、toprovidewitheachshipmentpackingslipswithBuyer'scontractnumberandShipmentDatemarkedthereon;(e)toproperlymarkeachpackagewiththecontractnumber,thefactory,plantanddocknumber,and,wheremultiplepackagescompriseasingleshipment,toconsecutivelynumbereachpackage;(f)topromptlyforwardtheoriginalbilloflading

8、orothershippingreceipts,correctclassificationidentificationofthegoodsshippedinaccordancewithBuyer'sinstructionsandcarrier'srequirements.Themarkspackangteandidentificationofthegoodsonpackingslips,billsofladingandinvoicesshallbesufficienttoenableBuyertoeasilyidentifythegoodspurchased;(g)uponco

9、mpletionandassemblyoftheequipmentspecifiedifitisfoundnecessaryforshippingand/orinstallationpurposestodisassemblethesaidequipment,thepartsshallbematch-markedtofacilitateinstallationonsite.Unitsshallbesuitablybracedandpackedforshippingtopreventbreakageanddistortionwhileintransit.Shippinginvoicesshalls

10、howthecrate,boxorcartonidentificationnumber;and(h)SellershallnotifytheBuyerofanyspecialinstructionsforunloadingtheequipmentpriortoitsshipmentandwhenspecialinstructionsareprovided,theSellersrepresentativeshallbepresentduringtheunloadingactivities.交付應(yīng)按照買(mǎi)方交付要求中所規(guī)定的數(shù)量和時(shí)間進(jìn)行。對(duì)于發(fā)運(yùn)給買(mǎi)方的超過(guò)買(mǎi)方交付要求中指定數(shù)量的貨物，賣(mài)方不得要

11、求買(mǎi)方付款。買(mǎi)方可改變預(yù)定的發(fā)運(yùn)頻率或臨時(shí)指示暫停預(yù)定的發(fā)運(yùn)，在此兩種情況下，賣(mài)方承諾不改變本合同項(xiàng)下貨物或服務(wù)價(jià)格和數(shù)量。對(duì)于數(shù)量和/或交付日期未確定的合同，賣(mài)方應(yīng)按照買(mǎi)方在此后發(fā)出的有關(guān)數(shù)量和時(shí)間的指示交付。DeliveriesshallbemadebothinquantitiesandattimesspecifiedinBuyer'sdeliveryrequirements.BuyershallnotberequiredtomakepaymentforgoodsdeliveredtoBuyerwhichareinexcessofquantitiesspecifiedinBuyer

12、'sdeliveryrequirements.Buyermaychangetherateofscheduledshipmentsordirecttemporarysuspensionofscheduledshipments,neitherofwhichshallentitleSellertoamodificationofthepriceforgoodsorservicesanditsquantitiescoveredbythiscontract.Forcontractsofgoodsorserviceswherequantitiesand/ordeliveryschedulesaren

13、otspecified,SellershalldelivergoodsinsuchquantitiesandtimesasBuyermaydirectinsubsequentreleases.若因賣(mài)方原因而無(wú)法實(shí)現(xiàn)買(mǎi)方的交付要求，買(mǎi)方有權(quán)：（a）自行選擇運(yùn)輸服務(wù)提供商并采取比原定方式更加快捷方式進(jìn)行運(yùn)輸，上述運(yùn)輸費(fèi)用由賣(mài)方承擔(dān)，買(mǎi)方有權(quán)從支付賣(mài)方發(fā)票金額中扣除此金額；或要求賣(mài)方以可能達(dá)到的最快速度發(fā)運(yùn)貨物，并由賣(mài)方承擔(dān)費(fèi)用。在上述情況下，買(mǎi)方有權(quán)向賣(mài)方按貨物或服務(wù)延誤交付數(shù)量的總值每天收取相等于千分之三（3%）的違約金，最高為合同總值的百分之五（5%）;（b）解除合同并通過(guò)其他渠道購(gòu)買(mǎi)貨物或服

14、務(wù)，并向賣(mài)方收取該替代產(chǎn)品或服務(wù)與合同貨物或服務(wù)價(jià)格的差額和額外費(fèi)用，并有權(quán)向賣(mài)方按貨物或服務(wù)延誤交付的總值每日收取相等于千分之三（3%。）的違約金，最高為合同總值的百分之五（5%）。IfSeller'sactsand/oromissionsresultinSeller'sfailuretomeetliEiyerequirenierstReBuyershallhavetherightto:（a）choosethetransportationserviceproviderandrequireamoreexpeditiousmethodoftransportationforgood

16、hargingSelleradailypenaltyequaltothree-tenthpercent（3%0）ofthetotalamountofthegoodsorservicesdelayed,uptothelimitoffivepercent（5%）ofthetotalamountofthecontract;（b）terminatethecontractandorderthegoodsorservicesfromanalternativesource,andtochargethedifferenceoradditionalcostbetweenthealternativegoodsor

17、servicesandthecontractgoodsorservices;andBuyerisentitledtochargingtheSelleradailypenaltyequaltothree-tenthpercent（3%）ofthetalamountofthegoodsorservicesdelayed,uptothelimitoffivepercent（5%）ofthetotalamountofthecontract.單據(jù)和付款BillingandPayment賣(mài)方同意：（a）向買(mǎi)方出具符合買(mǎi)方要求的發(fā)票作為要求買(mǎi)方付款的憑證；（b）接受以支票或由買(mǎi)方?jīng)Q定的其他付款方式（包括電匯

18、）付款。除非本合同正面有特別注明的付款日期，付款日期根據(jù)賣(mài)方是否是中國(guó)商業(yè)實(shí)體而有所不同。對(duì)中國(guó)商業(yè)實(shí)體的賣(mài)方而言，付款日應(yīng)為買(mǎi)方收到符合買(mǎi)方要求格式的發(fā)票后的下一個(gè)月的第二十五日（ZNA1”，）賣(mài)方應(yīng)在交付貨物或完成服務(wù)后（如合同規(guī)定賣(mài)方有義務(wù)提供貨物安裝時(shí)，則在貨物安裝完成且買(mǎi)方最終驗(yàn)收合格后），立即向買(mǎi)方提交發(fā)票。對(duì)國(guó)外商業(yè)實(shí)體的賣(mài)方而言，合同總金額90%的款項(xiàng)以信用證形式支付且付款日應(yīng)為發(fā)運(yùn)日后的第二個(gè)日歷月的MNS結(jié)算日（“MNS2”），剩余10%的款項(xiàng)以電匯MNS2支付；盡管存在上述規(guī)定，對(duì)電匯MNS2而言，買(mǎi)方在收到貨物或服務(wù)或賣(mài)方完成貨物安裝，且買(mǎi)方在最終驗(yàn)收合格之前有權(quán)不予付

19、款。賣(mài)方應(yīng)當(dāng)通過(guò)國(guó)際接受的快遞服務(wù)商向買(mǎi)方送達(dá)發(fā)票的原件，以確保買(mǎi)方在發(fā)運(yùn)日后第一個(gè)月的第七（7）個(gè)日歷日前收到上述發(fā)票，以便買(mǎi)方付款。若賣(mài)方未能在上述期限將符合買(mǎi)方要求的發(fā)票送達(dá)買(mǎi)方，則買(mǎi)方有權(quán)將付款時(shí)間予以順延。在本第3條中，發(fā)票日”指賣(mài)方開(kāi)具正確發(fā)票的日期；發(fā)運(yùn)日”指清潔提單或空運(yùn)單上定義的貨物在出口港或者出口機(jī)場(chǎng)的發(fā)運(yùn)日（發(fā)運(yùn)日與發(fā)票日應(yīng)當(dāng)相同或者兩者相差不超過(guò)三（3）個(gè)日歷日）；及“MNS結(jié)算日”指根據(jù)買(mǎi)方的多邊結(jié)算系統(tǒng)和中國(guó)的銀行工作日而預(yù)先決定的每月一天的結(jié)算日。MNS結(jié)算日將以附件的形式附于本合同之后或者由買(mǎi)方在每個(gè)日歷年之前決定并提供給賣(mài)方。Selleragreesto:(a

20、)issuetoBuyeraninvoicethatisincompliancewithBuyer'sagenuevictemeofbillingBuyertomakepayment;(b)acceptpaymentbycheckor,atBuyer'discretion,othercashequivalent(includingelectronictransferoffunds).Unlessotherwisesetforthonthefacesideofthiscontract,thepaymentdatesshallbedifferentdependingonwhethe

21、rSellerisaChinesebusinessentityornot.IfSellerisaChinesebusinessentity,paymenttoSellerwillbemadeonthe25dayofthemonthfollowingBuyer'sreceiptofaproperinvoiceZNA1”);“SellershallrenderinvoicesimmediatelytoBuyerinaccordancewiththerequirementafterdeliveryofgoodsorcompletionofservice(iftheContractrequir

22、esSellertoprovideinstallationservices,aftercompletionofinstallationbySellerandtheinspectionbyBuyer).IfSellerisnotaChinesebusinessentity,(90%byL/ConMNSSettlementDateinthesecondmonthfollowingthedateofshipment,10%byT/TMNS2)paymenttoSellerwillbemadeontheMNSSettlementDateinthesecondmonthafterShipmentDate

23、("MNS2");AstoMNS2,notwithstandingtheaforesaidstipulations,BuyerisentitledtowithholdingpaymentpriortoreceivinggoodsorserviceorbeforeSeller'scompletionofgoodsinstallationpassingbuyer'inspection.SellerwillsendacopyoftheoriginalinvoiceviainternationallyacceptedcourierservicestoBuyernol

24、aterthanthe7thdayofthefirstmonthfollowingShipmentDatetofacilitatepromptpaymentbyBuyer,andifSellerfailstodelivertheproperinvoicewithintheperiodaforesaid,Buyershallhavetherighttodelaythepaymentdateaccordingly.ForpurposesofthisParagraph3,“InvoiceIssuingDate"meansthedatethatSellerissuescorrectinvoi

25、ce;“ShipmentDate"meansthedatewhenthegoodsareshippedasdefinedinthecleanbillofladingorairwaybillattheportorairportofexport,asthecasemaybe(theShipmentDateandtheInvoiceIssuingDateshallbeidenticalorthegapbetweentheShipmentDateandtheInvoiceIssuingDateshallnotbemorethanthree(3)calendardays);and"M

26、NSSettlementDate"shallmeanpredetermineddateonceamonthbasedonBuyer'sMultilateralNettingSystemandworkingdaysofbanksinChina.AlistofdatesfortheMNSSettlementDateisattachedheretoasScheduleorwillbedeterminedandprovidedbyBuyerpriortothestartofeachcalendaryear.買(mǎi)方對(duì)貨物或服務(wù)的付款不構(gòu)成對(duì)該貨物或服務(wù)質(zhì)量的認(rèn)可。若第三方對(duì)本合同項(xiàng)下的貨

27、物或服務(wù)主張留置、負(fù)債或者其他權(quán)利的，買(mǎi)方有權(quán)拒絕付款并有權(quán)要求賣(mài)方出具符合買(mǎi)方要求的擔(dān)保或者保證。Buyer'spaymentforthegoodsorservicesshallnotbeconstruedasendorsementofthequalityofgoodsorservices.Ifanythirdpartydeclaresanyliens,encumbrancesandclaimsuponthegoodsorservicesofthecontract,Buyerisentitledtowithholdingpaymentandrequiringanywarranties

28、orrepresentationsprovidedbySellerinaccordancewithBuyer'srequirements.服務(wù)質(zhì)量和檢查QualityofWorkmanship/Inspection賣(mài)方同意為符合買(mǎi)方最大利益而采用有效的、經(jīng)濟(jì)的方法及時(shí)地、勤勉地工作，以期達(dá)到買(mǎi)方合理的滿意程度。賣(mài)方同意使用最優(yōu)秀的技能和建議、按最高的工程專(zhuān)業(yè)規(guī)格、標(biāo)準(zhǔn)和規(guī)則提供所有服務(wù)。賣(mài)方同意對(duì)于那些買(mǎi)方有正當(dāng)理由認(rèn)為不符合前述標(biāo)準(zhǔn)的工作免費(fèi)為買(mǎi)方重作。Selleragreestoperformworktimely,diligentlyandtothereasonablesatisf

29、actionofBuyerinanefficientandeconomicalmannerconsistentwiththebestinterestsofBuyer.Sellershalluseitsbestskillsandjudgmentandshallperformallservicesinaccordancewiththehighestengineeringprofessionalstandards,codesandregulations.Selleragreestore-do,atnochargetoBuyer,anyworkwhichinthereasonableopinionof

30、Buyerdoesnotmeettheforegoingstandard.賣(mài)方同意，買(mǎi)方有權(quán)在適當(dāng)?shù)臅r(shí)間進(jìn)入賣(mài)方場(chǎng)所，對(duì)本合同所涵蓋的設(shè)施、貨物、材料和任何買(mǎi)方的財(cái)產(chǎn)進(jìn)行檢查。買(mǎi)方對(duì)制造中、交付前或交付后的一段合理時(shí)間內(nèi)的貨物進(jìn)行檢查，不應(yīng)構(gòu)成買(mǎi)方對(duì)任何在制品或制成品的接受。SelleragreesthatBuyershallhavetherighttoenterSeller'sfacilityatreasonabletimetoinspectthefacility,goods,materialsandanypropertyofBuyercoveredbythiscontract.Bu

31、yer'sinspectionofthegoods,whetherduringmanufacture,priortodeliveryorwithinareasonabletimeafterdelivery,shallnotconstituteacceptanceofanywork-in-processorfinishedgoods.指導(dǎo)手冊(cè)、安裝調(diào)試和運(yùn)行測(cè)試、軟件系統(tǒng)InstructionManual,InstallationAdjustmentandPerformanceTest,SoftwareSystem賣(mài)方應(yīng)按要求提供給買(mǎi)方完整的書(shū)面指導(dǎo)操作手冊(cè)；內(nèi)容包括按規(guī)格說(shuō)明書(shū)對(duì)所提供

32、的全部設(shè)備進(jìn)行合理操作和維修的要求。指導(dǎo)手冊(cè)應(yīng)包括但不限于以下內(nèi)容：(a)系統(tǒng)描述；(b)安裝和運(yùn)行指導(dǎo)；(c)所有設(shè)備的維護(hù)、保養(yǎng)與修理要求；(d)監(jiān)控和調(diào)試；(e)部件清單；和(f)系統(tǒng)電路圖。整套指導(dǎo)手冊(cè)應(yīng)在最后付款前交送給買(mǎi)方。指導(dǎo)手冊(cè)中應(yīng)包括所購(gòu)設(shè)備的建議性備用零件單。SellershallberequiredtoprovidetoBuyercompletesetsofinstructionmanualscoveringtheproperoperationandmaintenancerequirementsofallequipmentfurnishedundertheSpecific

33、ation.Instructionmanualsshallessentiallyconsistofbutnotlimitedtothefollowingsections:(a)descriptionofsystem;(b)installationandoperatinginstruction;(c)maintenance,keepingandrepairrequirementsforallequipment;(d)controlsandadjustments;(e)partslists;and(f)systemelectricalwiringdiagrams.Instructionmanual

34、smustbesubmittedtoBuyerpriortofinalpayment.Arecommendedsparepartslistoftheorderedequipmentshallbeincludedintheinstructionmanuals.除本合同另有約定外，賣(mài)方應(yīng)提供合格且有經(jīng)驗(yàn)的專(zhuān)業(yè)工程師負(fù)責(zé)進(jìn)行本合同項(xiàng)下貨物的安裝和調(diào)試。如有必要，安裝和調(diào)試完畢后，買(mǎi)賣(mài)雙方應(yīng)當(dāng)共同對(duì)貨物進(jìn)行運(yùn)行測(cè)試，賣(mài)方應(yīng)當(dāng)根據(jù)實(shí)際運(yùn)行測(cè)試情況對(duì)貨物作出相應(yīng)調(diào)整，以使貨物在實(shí)際情況下能進(jìn)行最有效的運(yùn)行。在符合貨物所設(shè)計(jì)的工作環(huán)境和條件下，賣(mài)方應(yīng)保證貨物的正常運(yùn)行，使其達(dá)到合同中所明確的性能水平。除非本

35、合同另有約定，賣(mài)方不向買(mǎi)方另行收取貨物安裝、調(diào)試和運(yùn)行測(cè)試的任何費(fèi)用(包括但不限于人員服務(wù)費(fèi)用、差旅費(fèi)用等)。在貨物安裝、調(diào)試和運(yùn)行測(cè)試的過(guò)程中，賣(mài)方人員應(yīng)當(dāng)遵守有關(guān)操作規(guī)程和買(mǎi)方的安全管理要求，如果出現(xiàn)任何意外事件，應(yīng)當(dāng)按照本條款第22條的規(guī)定執(zhí)行。Unlessprovidedforinthecontract,thedeliveredequipmentunderthecontractwillbeinstalledandadjustedunderthedirectionoftheSellerqualifiedandexperiencedfieldstart-upengineer.Ifneces

36、sary,afterinstallationandadjustment,bothBuyerandSellershouldconductperformancetestsforthegoods.Sellershallmakeadjustmentstothegoodsaccordingtotheactualconditionofperformancetestssoastooptimizegoods'operationundertheactualcondition.Undertheworkingenvironmentandconditionsinconformitywithwhatgoodsa

37、redesignedfor,Sellershallensuregoodsnormalperformanceinordertomatchtheircapabilityleveldefinedinthecontract.Unlessprovidedforinthecontract,SellerwillnotseparatelychargeBuyeranyexpensesrelatedtogoodsinstallation,adjustmentandperformancetest(includingbutnotlimitedtopersonnelserviceexpenses,travelingex

38、penses,etc.)Intheprocessofgoodsinstallation,adjustmentandperformancetest,SellershouldcomplywithrelatedoperationalprocedureandBuyer'ssecuritymanagementrequirements.Ifthereisanyaccident,Paragraph22shouldbeapplied.如果賣(mài)方所提供的機(jī)器設(shè)備中帶有軟件系統(tǒng)的，該軟件系統(tǒng)應(yīng)視為本合同項(xiàng)下貨物的組成部分，并適用本合同項(xiàng)下所有條款。為了確保機(jī)器設(shè)備的正常運(yùn)行，賣(mài)方應(yīng)當(dāng)保證該軟件系統(tǒng)在機(jī)器設(shè)備

39、的整個(gè)壽命周期內(nèi)能夠正常使用。如果軟件系統(tǒng)并非由于買(mǎi)方的過(guò)錯(cuò)而出現(xiàn)任何故障的，無(wú)論是否在貨物的質(zhì)量保證期內(nèi)，賣(mài)方均有義務(wù)到機(jī)器設(shè)備所在地免費(fèi)為買(mǎi)方進(jìn)行軟件系統(tǒng)的修復(fù)或重裝。鑒于，軟件系統(tǒng)與機(jī)器設(shè)備的不可分割性，賣(mài)方許可買(mǎi)方在機(jī)器設(shè)備報(bào)廢之前對(duì)其中的軟件系統(tǒng)擁有全球的、免費(fèi)的、不可撤銷(xiāo)的非獨(dú)占使用權(quán)。如果賣(mài)方在向買(mǎi)方銷(xiāo)售機(jī)器設(shè)備后，自行對(duì)該類(lèi)機(jī)器設(shè)備的軟件系統(tǒng)進(jìn)行升級(jí)的，則應(yīng)當(dāng)及時(shí)通知買(mǎi)方。但無(wú)論賣(mài)方是否自行對(duì)機(jī)器設(shè)備的軟件系統(tǒng)進(jìn)行升級(jí)，應(yīng)買(mǎi)方的合理需求，賣(mài)方都應(yīng)當(dāng)為買(mǎi)方提供機(jī)器設(shè)備軟件系統(tǒng)的升級(jí)服務(wù)，有關(guān)機(jī)器設(shè)備軟件系統(tǒng)升級(jí)產(chǎn)生的費(fèi)用由雙方另行協(xié)商。Ifmachineryandequipmen

41、fecycleofthemachineryandequipment.IfthesoftwaresystemsuffersmalfunctionwithoutBuyer'sfault,whetherinthewarrantyperiodofgoodsornot,SellerhastheobligationtorepairorreinstallthesoftwaresysteminthemachineryandequipmentforBuyerfreeofcharge.Inconsiderationofnon-severabilitybetweenthesoftwaresystemandm
