15、smadeofthebestmaterialswithfirstclassworkmanship,brandnewandunused,andcompliesina11respectswiththequalityandspecificationstipulatedinthisContract.Theguaranteeperiodforthetotalsystemshallbel2monthscountingfromtheequipmentshippingtothesite.12 .遲交貨及罰金LateDeliveryandPenalty:除不可抗力的因素外由賣方造成的未按期交貨買方有權(quán)要求遲交貨

16、罰金.罰金按每七天%十算，最多不超過合同價(jià)的5%為限。ShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract,withexceptionofForceMajeure,theBuyershavetherighttochargelatedeliverypenaltyat%foreverysevendays,thetotalpenaltywillnotexceed5%ofthetotalcontractvalue.13 .檢驗(yàn)和索賠InspectionandClaim:(1)發(fā)貨前，制造廠應(yīng)對(duì)貨物的質(zhì)量，規(guī)格，性能和數(shù)量/重

17、量做精密全面的檢驗(yàn)，出具檢驗(yàn)證明書，并說明檢驗(yàn)的技術(shù)數(shù)據(jù)和結(jié)論。Themanufacturersshall,beforedelivery,makeapreciseandcomprehensiveinspectionofthegoodsinregardtothequalityspecification,performanceandquantity/weight,andissueinspectioncertificatescertifyingthetechnicaldataandconclusionoftheinspection.(2)貨到項(xiàng)目地后，買方將申請(qǐng)中國出入境檢驗(yàn)檢疫局(以下簡(jiǎn)稱商檢局)

18、對(duì)貨物的規(guī)格和數(shù)量/重量進(jìn)行復(fù)檢，如發(fā)現(xiàn)貨物殘損或規(guī)格，或/和數(shù)量與合同規(guī)定不符，除保險(xiǎn)公司或輪船公司的責(zé)任外，買方在貨物到達(dá)項(xiàng)目地后60日內(nèi)憑商檢局出具的檢驗(yàn)證明書向賣方索賠或拒收該貨物。AfterarrivalofthegoodsatthesitetheBuyersshallapplytotheChinaInspection&QuarantineBureau(hereinafterreferredtoasCIQ)forafurtherinspectioninrespectofthespecificationsandquantity/weightofthegoods.Ifdamage

20、icatesissuedbyCIQ.(3)在保證期限內(nèi)，如貨物由于設(shè)計(jì)或制造上的缺陷而發(fā)生損壞或/和品質(zhì)，性能與合同規(guī)定不符時(shí)，買方將委托中國出入境檢驗(yàn)檢疫局進(jìn)行檢驗(yàn)，并憑其檢驗(yàn)證明書向賣方提出索賠(包括換貨)，由此產(chǎn)生的全部費(fèi)用應(yīng)由賣方承擔(dān)。Incaseofdamagesofthegoodsincurredduetothedesignormanufacturedefectsand/orthequalityandperformancearenotinconformitywiththeContract,theBuyersshall,duringtheguaranteeperiod,request

21、CIQtomakeasurveyandshallmakeaclaimagainsttheSellers(includingreplacementofthegoods)andalltheexpensesincurred,therefromshallbebornebytheSellers.(4)若賣方收到上述索賠后三十天內(nèi)未予答復(fù)，則認(rèn)為賣方已接受上述索賠。TheclaimsmentionedaboveshallberegardedasbeingacceptediftheSellersfailtoreplywithin30daysaftertheSellersreceivetheBuyers

22、9;claim.14 .不可抗力ForceMajeure:由于人力不可抗拒事故，賣方交貨推遲或不能交貨時(shí)責(zé)任不在賣方。但賣方應(yīng)將事故立即通知買方，并于事故發(fā)生后十四天內(nèi)將事故發(fā)生地政府主管機(jī)關(guān)出具的證明書航空郵寄交給買方為憑，并取得買方認(rèn)可。在上述情況下賣方仍有責(zé)任采取一切必要措施加快交貨。TheSellerswillnotbeheldresponsibleforanydelayindeliveryofthegoodsduetoforcemajeure.However,theSellersshalladvisetheBuyersimmediatelyofsuchoccurrenceandwit

23、hinfourteendaysthereafter，shallsendbyairmailtotheBuyersfortheiracceptanceacertificateissuedbythecompetentgovernmentauthoritiesoftheplacewheretheaccidentoccursasevidencethereof.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryoftheequipment.15 .仲裁Arbitration:凡有關(guān)本合同或執(zhí)行合同所發(fā)生的一切爭(zhēng)執(zhí)，應(yīng)通過友好協(xié)商解決，不能解決則應(yīng)申請(qǐng)中國國際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)按照中國國際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)的仲裁程序進(jìn)行仲裁。該委員會(huì)作出的裁決是最終的，仲裁費(fèi)由敗訴方承擔(dān).A11disputesinc
