4、合同雙方。In accordance with the Labour Law and other relevant laws and regulations of the People's Republic of China, the PARTIES have concluded the following labour contract (hereinafter referred to as the "CONTRACT")合同雙方依照中華人民共和國(guó)勞動(dòng)法以及中華人民共和國(guó)其它相關(guān)法 律法規(guī),共同約定以下勞動(dòng)合同(以下簡(jiǎn)稱“本合同)。ARTICLE 1: POSIT
5、ION & TASKS OF WORK第一條:職務(wù)及工作職責(zé)1.1. The EMPLOYEE will have the following position:該員工將擔(dān)任以下職務(wù):1.2. If necessary due to the management organisation of the COMPANY and or the competence and abilities of the EMPLOYEE the COMPANY may adjust the position, duties and responsibilities of the EMPLOYEE.若由于
6、本公司管理編制的需要及/或由于該員工本人資格與能力的原 因,本公司可在必要的情況下對(duì)該員工的職務(wù)和工作職責(zé)進(jìn)行適當(dāng) 調(diào)整。ARTICLE 2: TRIAL PERIOD第二條:試用期2.1 The trial period will start on the date of signature of this CONTRACT. The duration of the trial period is three (3) months. During the trial period the EMPLOYEE will be bound by all articles of this contr
7、act.試用期自本合同簽署之日起開(kāi)始,時(shí)間為三個(gè)月。在試用期間,該 員工受本合同全部條款所約束。2.2 After the specified trial period and if no notice of termination is given the EMPLOYEE automatically becomes employed under the terms and conditions of this CONTRACT.在約定的試用期內(nèi),若該員工沒(méi)有收到關(guān)于解除勞動(dòng)關(guān)系的通知, 在試用期滿后,該員工自動(dòng)轉(zhuǎn)為本公司正式員工,執(zhí)行本合同規(guī)定 的條款。ARTICLE 3: DURATIO
8、N OF THE CONTRACT第三條:合同期限3.1 The duration of this CONTRACT is twenty-four (27) months. 本合同期限為27個(gè)月。3.2 This CONTRACT maybe extended upon agreement of both PARTIES. An extension to this CONTRACT shall come into force only after a written agreement has been signed by both PARTIES.本合同經(jīng)合同雙方同意后可以續(xù)簽。只有在合同雙
9、方簽署書(shū)面協(xié)議 后,續(xù)簽的合同方能生效。ARTICLE 4: SALARY第四條:工資4.1 The COMPANY shall define its own salary policy in accordance with regulations stipulated by the state and municipal government. The COMPANY shall ensure that the monthly salary of the EMPLOYEE is not less than the minimum pay standard set by the local g
10、overnment.本公司將依照中華人民共和國(guó)和北京市有關(guān)政策法規(guī)制定本公司的員 工工資標(biāo)準(zhǔn)。本公司保證該員工的月工資將不低于當(dāng)?shù)卣?guī)定的最 低工資。4.2 The EMPLOYEE will receive a gross Vmonthly or 口 annual salary of 3,000.00 renminbi (RMB3,000,00) uud increase thereafter the basis of the staff performance, the economic development of the COMPANY and according to the sa
11、lary policy of the COMPANY approved by the Board of Directors of the COMPANY, and etc.該員工稅前工資將為V每月或口每年叁仟元人民幣,今后將按照該員 工的工作表現(xiàn)、木公司的經(jīng)濟(jì)效益以及由本公司制定并經(jīng)董事會(huì)批準(zhǔn) 的工資標(biāo)準(zhǔn)每年遞增。4.3 Such salary shall be transferred to the bank account designated by the EMPLOYEE between the third and fifth day of each month.上述工資將于每月3號(hào)至5
12、號(hào)期間匯入該員工所指定的銀行賬戶。H N八C、八ARTICLE 5: PREMIUM & BONUS第五條:獎(jiǎng)金及分紅5.1 At the full discretion of the Chairman and based upon his/her general attitude and the result of his/her work and fulfilment of his/her objectives detailed with his/her manager and at the beginning of each calendar year the EMPLOYEE
13、will be entitled to an annual bonus not exceeding one (1) month of salary and shall be paid to the EMPLOYEE for each full calendar year which the EMPLOYEE works for the COMPANY in two (2) instalments the following year.經(jīng)本公司董事長(zhǎng)同意,并且根據(jù)該員工的工作態(tài)度、工作成果及其 上級(jí)主管規(guī)定之工作目標(biāo)的完成狀況,該員工將有權(quán)在每個(gè)公歷年 初享受年終獎(jiǎng)金(獎(jiǎng)金總額不超過(guò)該員工的月工
14、資)。員工為公司 工作滿一年時(shí),獎(jiǎng)金將于次年分兩次發(fā)放給個(gè)人。ARTICLE 6: PERSONAL INCOME TAX第六條:個(gè)人所得稅6.1 The EMPLOYEE shall pay individual income tax in accordance with the relevant laws and regulations of the People's Republic of China. The COMPANY shall withhold such amount and pay it to the competent tax bureau.該員工須按照中華人民共
15、和國(guó)相關(guān)法律法規(guī)繳納個(gè)人所得稅。本公 司將為該員工代扣代徼個(gè)人所得稅,并將應(yīng)納稅款上交相應(yīng)稅務(wù)機(jī) 關(guān)。ARTICLE 7: TRAINING第七條:培訓(xùn)1.1 The COMPANY w川 establish an EMPLOYEE training system and provide necessary training to the EMPLOYEE in accordance with the relevant laws and regulations of the People's Republic of China and as the COMPANY needs.本公司將
16、依照中華人民共和國(guó)有關(guān)法律法規(guī)及公司需求,為該員工 設(shè)計(jì)一套培訓(xùn)體系,向該員工提供必要的培訓(xùn)。ARTICLE 8: WORKING HOURS第八條:工作時(shí)間8.1 The COMPANY will implement working hour system of forty minimum(40) hours per week in accordance with the relevant laws and regulations exclusive of lunch time.本公司依照相關(guān)法律法規(guī)實(shí)行每周40小時(shí)工作制(每周工作時(shí)間不 得少于40小時(shí)),不包括午餐時(shí)間。The worki
17、ng hours are from Monday to Friday from 9:00AM to 6:00PM with a one (1) hour for lunch that may vary in time so as to have at least one staff member in the office during lunch time.工作時(shí)間從周一至周五,每天上午9點(diǎn)至下午6點(diǎn),午餐時(shí)間為一 個(gè)小時(shí)。午餐時(shí)間將根據(jù)具體情況進(jìn)行安排以確保屆時(shí)至少有一名 員工留守辦公室。8.2 Subject to the operation needs the COMPANY may
18、adopt irregular working hour system or calculate the working hours on synthetic basis. 根據(jù)實(shí)際工作需要,本公司可能采用不規(guī)則時(shí)間工作制或依照綜合 標(biāo)準(zhǔn)計(jì)算工作時(shí)間。8.3 The COMPANY may extend the working hours of the EMPLOYEE after consultation with the EMPLOYEE according to the relevant laws and regulations.依照有關(guān)法律法規(guī),與該員工進(jìn)行協(xié)商后,本公司可以延長(zhǎng)該員工
19、 的工作時(shí)間。The COMPANY pays the EMPLOYEE 300 percent of the salary, based on an hourly amount according to Article 4, hereto for working during official public holidays.若需要員工在法定節(jié)假日加班,公司將根據(jù)本合同第4條中所列工 資標(biāo)準(zhǔn)計(jì)算出該員工的每小時(shí)工資,并按照每小時(shí)工資標(biāo)準(zhǔn)的3倍 支付加班工資。8.4 Notwithstanding what provided hereof the COMPANY shall extend th
20、e working hours regardless of Article 8.1 and Article 8.3 in any of the following cases:若出現(xiàn)下列情況,無(wú)論是否符合本合同第8.1條和第8.3條中的規(guī) 定,本公司均可延長(zhǎng)工作時(shí)間:a. Immediate action which must be carried out in case of natural disasters, accidents or other events that will endanger the EMPLOYEE'S life, health, property, or
21、 safety;由于發(fā)生自然災(zāi)害、事故或其它危及該員工生命、健康、財(cái)產(chǎn)及 安全的事件,必須采取緊急措施;b. Urgent repair which must be carried out in case of breaking down of operation equipment, communication, transportation and other facilities which will endanger COMPANY business or public interest;由于運(yùn)營(yíng)設(shè)備、通訊設(shè)備、運(yùn)輸設(shè)備及其它設(shè)備發(fā)生故障,危害 到本公司的業(yè)務(wù)或公共利益,必須進(jìn)行緊急維
22、修;c. Continuous of the operation or business of the COMPANY which shall not be interrupted on stipulated holidays and rest days.由于無(wú)法因?yàn)榉ǘㄐ菁俸碗p休日而中斷本公司持續(xù)開(kāi)展的經(jīng)營(yíng)運(yùn) 作或業(yè)務(wù);d. Overhaul and maintenance of the equipment which shall only be made on stipulated holidays and rest days; and 只能在法定休假和雙休日進(jìn)行的設(shè)備檢修與維護(hù);e. E
23、mergency operation assignment concerning national defence. 由于國(guó)防原因需要采取緊急措施。ARTICLE 9: DISCIPLINE第九條:勞動(dòng)紀(jì)律9.1 Apart from the provisions of this CONTRACT the EMPLOYEE must respect all relevant laws and regulations of the People's Republic of China rules and regulations of the COMPANY and provisions
24、of any relevant collective labour contract.除本合同所規(guī)定之條款外,該員工還須遵守中華人民共和國(guó)相關(guān)法 律法規(guī)、本公司制定的規(guī)章制度,以及其它勞動(dòng)合同方面的相關(guān)規(guī) 定。9.2 The EMPLOYEE must respect and execute any and all formal instructions given to him/her regarding the duties and responsibilities of his/her tasks of work.該員工須遵守并執(zhí)行一切與其工作職責(zé)有關(guān)的正式指令。9.3 In cases
25、 of an offence, gross misconduct, and or any violation of labour discipline the COMPANY will normally carry out the following procedure: 若該員工出現(xiàn)過(guò)錯(cuò)、嚴(yán)重過(guò)失及/或其它違反勞動(dòng)紀(jì)律的行為,本公 司一般依照以下程序?qū)υ搯T工進(jìn)行處罰:1-Oral warning 口 頭警告2-First written warning 第一次書(shū)面警告3 - Final written warning 第二次書(shū)面警告4 - Dismissal 開(kāi)除1.4 However th
26、e COMPANY reserves the right to omit any of these stages as the case may be.然而,本公司有權(quán)根據(jù)實(shí)際情況對(duì)上述某些步驟進(jìn)行調(diào)整。1.5 The EMPLOYEE has the right to appeal against written warnings or dismissal to the Labour Dispute Committee if any.該員工有權(quán)針對(duì)其受到的書(shū)而警告或開(kāi)除決定向勞動(dòng)爭(zhēng)議委員會(huì)提 出申訴(如需)。ARTICLE 10: SICKNESS & INJURY LEAVE第十條
27、:病假及傷假10.1 The EMPLOYEE will be entitled to sickness and injury leaves in accordance with the relevant laws and regulations. 該員工有權(quán)根據(jù)相關(guān)法律法規(guī)享受病假及傷假。10.2 The EMPLOYEE applying for sickness or injury leave shall fill in a leave application form' and get approval from his/her manager. Leave for more
28、than two (2) days shall be approved by the Chief Executive Officer of the COMPANY and submitted to the Office Manager, Human Resources Manager or their Manager for verification and filing before going for leave.申請(qǐng)病假或傷假時(shí),該員工應(yīng)填寫(xiě)休假申請(qǐng)表,并必須得到其上 級(jí)主管的準(zhǔn)許。若該員工的休假超過(guò)兩(2)天,則需經(jīng)本公司首席執(zhí) 行官允許,且應(yīng)在休假前將休假申請(qǐng)表提交至行政經(jīng)理、人力資
29、 源部經(jīng)理或直屬上級(jí)經(jīng)理以供審核及存檔。In case of any sudden sickness or injury the EMPLOYEE shall inform his/her manager no later than the end of the first day. A written confirmation shall be submitted to the Office Manager and Human Resources Manager for verification and filing within two (2) days after heor she co
30、mes back to work.若該員工突發(fā)疾病或受傷,需在當(dāng)天結(jié)束前通知其上級(jí)經(jīng)理,并在 返回崗位后的兩(2)個(gè)工作日內(nèi)將書(shū)面說(shuō)明提交行政經(jīng)理及人力資源 部經(jīng)理以供審核及存檔。10.3 If the EMPLOYEE is absent for more than one (1) week he/she must ensure that the Chief Executive Officer are kept informed of the progress at weekly intervals.若該員工的病假超過(guò)一周,該員工必須每周向首席執(zhí)行官報(bào)告其病 情狀況。10.4 The EMP
31、LOYEE taking sickness or injury leaves for more than one (1) day must provide a medical certificate issued by a qualified doctor. Failure or refusal to provide the certificate or providing false or inaccurate information will be deemed as a gross misconduct.若該員工休病假或傷假超過(guò)一天,必須提供由專業(yè)醫(yī)師出具的病假 條。若該員工無(wú)法或拒絕提
32、供病假條或提供虛假信息,將被視為嚴(yán) 重過(guò)失。ARTICLE 11: LABOUR SAFETY & HYGIENE第十一條:勞動(dòng)安全及勞動(dòng)衛(wèi)生保障11.1 The COMPANY will establish a sound labour safety and hygiene facilities and shall strictly implement rules and standards of labour safety and hygiene of the People's Republic of China, conduct labour safety and hyg
33、iene education, prevent accidents and reduce occupational hazards.本公司將建立一套合理的勞動(dòng)安全衛(wèi)生保護(hù)措施,嚴(yán)格落實(shí)中華人 民共和國(guó)勞動(dòng)安全衛(wèi)生制度和標(biāo)準(zhǔn),開(kāi)展勞動(dòng)安全衛(wèi)生教育,防止 事故發(fā)生,減少職業(yè)病危害。11.2 The COMPANY shall provide the EMPLOYEE with labour safety and hygiene conditions and necessary articles in conformity with the relevant laws and regulations
34、.本公司將依照有關(guān)法律法規(guī)為該員工提供勞動(dòng)安全衛(wèi)生條件以及必 要的設(shè)備。11.3 The EMPLOYEE shall have the right to refuse to carry out any dangerous operation forced upon him/her by management personnel in violation of the relevant regulations.若該員工的上級(jí)主管違反相關(guān)法律法規(guī),要求其從事危險(xiǎn)性工作, 該員工有權(quán)拒絕。ARTICLE 12: SOCIAL INSURANCES第十二條:社會(huì)保險(xiǎn)12.1 The COMPANY
35、must join social insurance schemes for the EMPLOYEE in accordance with the relevant laws and regulations of the People's Republic of China and shall pay on time social insurance premiums to the social insurance institutions according to the standards set by the local authorities.本公司嚴(yán)格遵守中華人民共和國(guó)有關(guān)
36、法律法規(guī)為該員工繳納社會(huì)保 險(xiǎn),并且依照當(dāng)?shù)卣块T(mén)制定的標(biāo)準(zhǔn)將保險(xiǎn)費(fèi)按時(shí)、全額支付給 社會(huì)保險(xiǎn)機(jī)構(gòu)。ARTICLE 13: HOLIDAYS第十三條:休假13.1 The EMPLOYEE enjoys statutory holidays for official public holidays, wedding, and funerals in line with the relevant laws and regulations of the People's Republic of China.該員工依照中華人民共和國(guó)有關(guān)法律法規(guī)享受法定休假,包括法定 節(jié)假日、婚假、喪假、產(chǎn)
37、假。13.2 The EMPLOYEE is entitled yearly (for a full year worked) to a paid annual vacation of ten (10) working days exclusive of the statutory holidays. 該員工在本公司工作滿一年后有權(quán)享受每年十個(gè)工作日的帶薪年 假,不含法定節(jié)假日。The holiday's reference period is from the first day of January to the thirty first day of December. Holi
38、days accrued during one period have to be taken on the following holiday period. For the first year of employment, holidays will be accrued at pro rata temporis.每年1月1日至12月31日作為一個(gè)休假年度,當(dāng)年未休的假期只 可累積到次年使用。在本公司工作未滿一年的新員工可在次年享受 年假,具體的年假天數(shù)按照其實(shí)際工作時(shí)間計(jì)算。13.3 After the EMPLOYEE completes five (5) years of cont
39、inuous work for the COMPANY the EMPLOYEE is entitled yearly (for a full year worked) to one (1) further working day of paid annual vacation for each full year which the EMPLOYEE works for COMPANY, but the paid annual vacation shall not exceed twenty (20) working days in the aggregate.該員工在本公司任職滿五年后,在
40、本公司每工作滿一年,每年可以 增加一個(gè)工作日的帶薪年假,但每年帶薪年假累積最多不超過(guò)二十 個(gè)工作日。13.4 All leave must be taken at times agreed with the Chief Executive Officer of the COMPANY ten days in advance.所有休假必須提前10天向本公司申請(qǐng)并獲得首席執(zhí)行官的同意。ARTICLE 14: EXCLUSIVITY & NON-COMPETITION第十四條:唯一性及非競(jìng)爭(zhēng)協(xié)定14.1 The EMPLOYEE must devote in full all his/her
41、 working time to the COMPANY.該員工在本公司工作期間必須勤奮敬業(yè)。14.2 It is strictly forbidden for the EMPLOYEE to have any other professional activity for himself/herself or and relatives or and third parties even free of charge.嚴(yán)格禁止該員工在本公司任職期間為其自身及/或親屬及/或第三方提 供任何有償或無(wú)償專業(yè)勞動(dòng)。14.3 The EMPLOYEE undertakes not to exercis
42、e directly or indirectly on behalf of any competitor to the COMPANY even as free of charge or for himself/herself any activity which may compete with the business of the COMPANY for one (1) year after the termination of the present CONTRACT. This Article 14.3 is not applicable if termination of the
43、CONTRACT is due to COMPANY for other reasons than the ones covered by Article 14 and Article 15.該員工與本公司解除本合同后一年內(nèi)不得直接或間接地代表本公司 的任何競(jìng)爭(zhēng)對(duì)手從事任何可能傷及本公司利益的有償或無(wú)償活動(dòng)。 若由于其它原因而非本合同第14條和第15條解除本合同的,不適 用本合同第14.3條。14.4 The EMPLOYEE shall pay the COMPANY an amount of RMB10,000 to RMB100,000 as a penalty clause if he
44、/she does not comply with Article 14.1., Article 14.2., and Article 14.3. hereto. This amount does not include the possible actual damages which may be claimed by the COMPANY.若該員工違反本合同第14.1條、第14.2條及第14.3條的規(guī)定,其 必須向本公司支付1萬(wàn)-10萬(wàn)人民幣作為賠償。該筆賠償不包括本公 司對(duì)可能造成的實(shí)際損害進(jìn)行索賠的金額。ARTICLE 15: CONFIDENTIALITY第十五條:保密協(xié)定15.
45、1 The EMPLOYEE shall keep strictly secret and confidential and not to disclose to any third PARTY any and all technical, economic, financial, client or marketing information acquired from the COMPANY and or obtained because of his/her activities in the COMPANY.該員工須嚴(yán)守公司機(jī)密,不得向任何第三方透露自本公司處獲得的 及/或由于該員工在
46、本公司任職而獲得的任何技術(shù)、經(jīng)濟(jì)、財(cái)務(wù)、客 戶或市場(chǎng)信息。The EMPLOYEE shall not use any such information for any purpose whatsoever except within and for the tasks, duties, and responsibilities provided in this CONTRACT.該員工亦不得將上述信息用于本合同規(guī)定之工作職責(zé)以外的一切活 動(dòng)。15.2 The EMPLOYEE agrees that any disclosure or non authorised use of such i
47、nformation shall be considered as a serious misconduct except in the case whereby the EMPLOYEE has received a prior written permission from the COMPANY management.該員工認(rèn)同,除非該員工已事先收到本公司管理部門(mén)發(fā)出的書(shū)面許 可,否則,泄露上述信息或在未被授權(quán)的情況下使用上述信息將被 視為嚴(yán)重過(guò)失行為。15.3 The EMPLOYEE shall comply with his/her confidentiality obligati
48、ons pursuant to this Article 15 for the whole term of this CONTRACT and duration of five (5) years after the termination of the CONTRACT. 該員工在本公司任職期間以及在本合同解除后五年內(nèi)應(yīng)當(dāng)按照本 合同第15條的規(guī)定遵守保密協(xié)議。15.4 The EMPLOYEE shall pay the COMPANY an amount of RMB10,000 to RMB100,000 as a penalty if he/she does not comply w
49、ith his/her confidentiality obligations pursuant to this Article 15. This amount does not include the possible actual damages which may be claimed by the COMPANY.若該員工違反本合同第15條的規(guī)定,沒(méi)有盡到其應(yīng)盡的保密義務(wù), 則該員工必須向本公司支付1萬(wàn)-10萬(wàn)人民幣作為賠償。該筆賠償不 包括本公司對(duì)可能造成的實(shí)際損害進(jìn)行索賠的金額。ARTICLE 16: RESPONSIBILITIES OF THE PARTIES第十六條:雙方職責(zé)
50、16.1 Either of the PARTIES shall perform its responsibilities under this CONTRACT strictly in accordance with the provision hereof.合同任何一方都應(yīng)按照本合同所規(guī)定的條款嚴(yán)格履行各自職責(zé)。16.2 Either of the PARTIES should bear responsibilities for compensation if it violates this CONTRACT, infringes upon the interests of the ot
51、her PARTY and causes damages to the other PARTY.若合同任何一方違反本合同以及損害本合同另一方的利益并給本合 同另一方造成損害,該方承擔(dān)違約責(zé)任。ARTICLE 17: TERMINATION OF THE CONTRACT第十七條:合同終止17.1 Either of the PARTIES shall be entitled to terminate this CONTRACT for reasons expressly provided by the relevant laws and regulations of the People
52、9;s Republic of China. Such termination of this CONTRACT shall comply with the proceedings provided by the relevant laws and regulations.合同任何一方均有權(quán)依照中華人民共和國(guó)相關(guān)法律法規(guī)終止履行本 合同。本合同的終止須遵照有關(guān)法律法規(guī)操作進(jìn)行。17.2 Furthermore the COMPANY may terminate the CONTRACT for any one of the following reasons:此外,在下列情況下,本公司可隨時(shí)解

58、nation of this CONTRACT unless otherwise provided by the laws or resulting from the occurrence of the termination events agreed by PARTIES hereof or resignation of the EMPLOYEE for personal reasons.
