1、不可抗力條款ForceMajeureFORCEMAJEURE不可抗力例1買賣雙方除履行付款義務(wù)外,因以下事由造成買賣任一方無法履行合同規(guī)定的義務(wù)或履行延誤的,買賣任一方均不對此承擔任何責(zé)任,事由具體內(nèi)容如下:因不可抗力所致超出買賣任一方力合理控制范圍內(nèi)的不可抗力事件,不可抗力發(fā)生,及出現(xiàn)的不可抗力情況,包括不影響前述事由的一般情況;天災(zāi),罷工,火災(zāi),洪水,材料損毀;事故,惡劣天氣所致無法履行義務(wù)或造成義務(wù)履行延誤;海難,禁運,事故,政府當局公布的限制規(guī)定(包括配給,優(yōu)先事項,征用,報價和價格控制等等)造成義務(wù)無法履行或義務(wù)履行延誤.Neithersellernorbuyershallbelia

2、bleindamagesorotherwiseforanyfailureordelayinperformanceofanyobligationhereunderotherthanobligationtomakepayment,wheresuchfailureordelaysiscausedbyforcemajeure,beinganyevent,occurrenceofcircumstancereasonablybeyondthecontralofthatparty,includingwithoutprejudicetothegeneralityoftheforegoing,failureor

3、delaycausedbyorresultingfromactsofgod,strikes,fires,floodsdestructionofthematerial,delaysofcarriersduetobreakdownoradverseweather,perilsofthesea,embargoes,accidents,restrictionsimposedbyanygovernmentalauthority(includingallocations,priorities,requisitions,quotasandpricecontrols).例2因前述條款說明的事由所致,造成發(fā)貨期

4、貨物交貨延遲或無法交貨,合同規(guī)定的賣方發(fā)貨和買方接收貨物的時間在此交貨期則應(yīng)順延,順延期:30(叁拾)日.Thetimeofsellertomake,orbuyertoreceive,deliveryhereundershallbeextandedduringanyperiodinwhichdeliveryshallbedelayedorpreventedbyreasonofanyoftheforegoingclauses.Uptoatotalofthirty(30)days.例3合同規(guī)定的交貨若交貨延遲或無法交貨達30(叁拾)日以上,買賣任一方就此情況向合同另一方出具書面通知書之后,有權(quán)終止

5、本合同.Ifanydeliveryhereundershallbesodelayedorpreventedformorethanthirty(30)days,eithersellerorbuyermayterminatethiscontractwithrespecttosuchdeliveryuponwrittennoticetotheotherparty.例4如果遭遇無法控制的時間或情況應(yīng)視為不可抗力，但不限于火災(zāi)、風(fēng)災(zāi)、水災(zāi)、地震、爆炸、叛亂、傳染、檢疫、隔離。如要是不可抗力一方不能履行合同規(guī)定下義務(wù)，另一方應(yīng)將履行合同的時間延長，所延長的時間應(yīng)于不可抗力事件的時間相等。Anyevento

7、hetimethatForeMajeurewilllast.例5如果不可抗力持續(xù)6個月以上，合同雙方應(yīng)盡快通過友好協(xié)商的方式調(diào)整繼續(xù)履行合同事宜。如果雙方不能達成協(xié)議，則根據(jù)合同中第12條款通過仲裁決定。IftheForceMajeurelastover6months,thetwopartiesofthecontractshouldsettlethecaseofcontinuingthecontractbyfriendlynegotiationassoonaspossible.Shouldthetwopartiesfailtoreachanagreementwillbesettledbyarb

11、易促進委員會或有關(guān)機構(gòu)出具的證明，證明事故的存在。買方不能領(lǐng)到進口許可證，不能被認為系屬人力不可抗拒范圍。TheSellersshallnotbeheldresponsibleiftheyfail,owingtoForceMajeurecauseorcauses,tomakedeliverywithinthetimestipulatedinthisSalesContractorcannotdeliverthegoods.However,theSellersshallinformimmediatelytheBuyersbycable.TheSellersshalldelivertotheBuye

12、rsbyregisteredletter,ifitisrequestedbytheBuyers,acertificateissuedbytheChinaCouncilforthePromotionofInternationalTradeorbyanycompetentauthorities,attestingtheexistenceofthesaidcauseorcauses.TheBuyersfailuretoobtaintherelativeImportLicenceisnottobetreatedasForceMajeure.例9如果任何一方由于自然災(zāi)害、戰(zhàn)爭、類似于戰(zhàn)爭的情況、禁令、騷

13、亂、罷工、封鎖和其他不可預(yù)見和不受控制的、若沒有額外的成本和時間是不能得到解決的意外事故，而不能履行或遲延履行本合同的義務(wù)，則該方不應(yīng)對另一方承擔任何責(zé)任。如果發(fā)生了不可抗力，受影響方應(yīng)在不可抗力發(fā)生后的7天內(nèi)及時通知另一方，并在不可抗力發(fā)生后的15天內(nèi)提交由當?shù)叵嚓P(guān)部門印發(fā)的用于證明不可抗力發(fā)生的文件材料。雙方當事人應(yīng)當協(xié)商并形成最佳解決方案，用于解決因不可抗力而導(dǎo)致的對本合同的遲延和中斷履行。如果不可抗力持續(xù)嚴重影響本合同項下重要義務(wù)的履行達3個月之久，則任何一方均有權(quán)以書面形式提前30天通知終止本合同。7canyPartydoesnotordelaystofulfiltheobligat

15、jeure,theaffectedPartyshallinformtheotherPartywithinsevendaysafteroccurringofsuchcaseandsubmitdocumentsissuedbylocalrelevantdepartmentusedtoprovetheoccurrenceofforcemajeurewithin15daysafteroccurringofsuchcase.Bothpartiesshallnegotiateandreachanoptimalsolutionusedtosolvethedelayandinterruptionproblem

16、ofthisContractduetoforcemajeure.IftheforcemajeurecontinuestoseriouslyimpactimplementationofcrucialobligationunderthisContractforthreemonths,eitherofthePartyshallhavetherighttoterminatethisContractbywrittennotice30daysinadvance.$A6O+M3vU2j$M,C0p0如果合同一方由于不可抗力因素而不能履行合同，比如地震、臺風(fēng)、洪水、火災(zāi)、戰(zhàn)爭及其他無法預(yù)見的事件，其發(fā)生和后果

17、也無法阻止、無法避免的，該方應(yīng)立刻以電報通知對方，并在其后十五天內(nèi)提交公證機關(guān)出具的詳細的事件描述及有效文件，用以解釋其無法履行合同全部或部分條款的原因。雙方應(yīng)通過協(xié)商，根據(jù)事件對履行合同的影響程度，確定是終止合同或是免除履行合同的責(zé)任，或延長合同的履行。Shouldeitherofthepartiestothecontractbepreventedfromexecutingthecontractbyforcemajeure,suchasearthquake,typhoon,flood,fireandwarandotherunforeseeneventsandtheirhappeningand

18、consequencesareunpreventableandunavoidable,thepreventedpartyshall,bycable,notifytheotherpartywithoutanydelay,andshall,within15daysthereafter,providethedetailedinformationoftheeventsandavaliddocumentforevidenceissuedbytherelevantpublicnotaryorganizationforexplainingthereasonofitsinabilitytoexecuteordelaytheexec
