2、稱“甲方”）Manufacturer: Subsidiary of Hanover Enterprises Ltd.Yichang Union Inc. （hereinafter referred to as Party A）代理商： （如下簡稱“乙方”）Agent：（hereinafter referred to as PartyB）獨(dú)家代理權(quán)的授予 Appointment of Exclusive Agent甲方授權(quán)乙方為其單頭電磁爐產(chǎn)品在日區(qū)域特約總經(jīng)銷商，全權(quán)負(fù)責(zé)甲方生產(chǎn)的產(chǎn)品在日我市場的推廣，銷售和售后服務(wù)事宜。Party A hereby appoints Party B as i

4、甲乙雙 方另行簽定的銷售合同為準(zhǔn)。The quantities, prices and shipment of the commodities stated in this Agreement shall be confirmed for each transaction, the particulars of which are to be specified in the Sales Contracts signed by the two parties hereto.付款 Payment Terms訂單確認(rèn)后，乙方須通過T/T先向甲方支付30%定金，在出貨前須將余款通過 T/T的方式付清

5、，或者按照有關(guān)銷售合同所規(guī)定的時(shí)間開立以甲方為受益人的 保兌的、不可撤銷的即期信用證。乙方開出信用證后，應(yīng)立即告知甲方，以便 甲方準(zhǔn)備交貨。After confirmation of the order, Party B should pay 30% for deposit by T/T to Party A, the balance should be paid before shipping by T/T, or the Party B shall arrange to open a confirmed, irrevocable L/C available by draft at sigh

Detailed quotation is as additional attachment.注1,如甲方推出新款產(chǎn)品，甲方將通過電郵告知乙方；注2,甲方保證報(bào)給乙方的價(jià)格為在日本區(qū)域內(nèi)最低的價(jià)格。注3,乙方不得擅自將價(jià)格表內(nèi)容透漏給任何第

9、A.甲乙雙方責(zé)任 Liability of Two Parties6.1 產(chǎn)品質(zhì)量 Quality of Product:甲方保證向乙方提供優(yōu)質(zhì)產(chǎn)品（甲方生產(chǎn)的電磁爐等一系列產(chǎn)品），保證供 貨穩(wěn)定；當(dāng)產(chǎn)品浮現(xiàn)重大的質(zhì)量問題，引起有關(guān)的投訴和法律糾紛時(shí)，甲方 需要承當(dāng)相應(yīng)的責(zé)任。Party A guarantee all products （series of induction cookers） provided with high quality and stable supply. If there occurs big problems on quality and caused com

10、plaints or legal disputes, Party A should afford the related responsibility.6.2 產(chǎn)品配備 Product Configuration如乙方?jīng)]有特殊規(guī)定，則按照甲方公司提供的產(chǎn)品原則機(jī)型配備 （如有特 殊規(guī)定需要重新報(bào)價(jià)）。Without special request from Party B, all products are just as Party A offered, or will be needed to renew the quotation.6.3產(chǎn)品包裝及交貨時(shí)間Packaging and De

11、livery Time甲方發(fā)貨要保證貨品的安全及包裝適合長距離運(yùn)送。產(chǎn)品的顏色，商標(biāo)，包 裝由乙方指定或中性包裝。一般貨品的交貨期為30個(gè)工作日，特殊機(jī)種雙 方另行商定交貨時(shí)間。Party A shall guarantee the security and suitable package for long-distance of shipment. Party B could appoint the color, brand and package of products or neutral packing. Normally the delivery time is 30 workin

12、g days except some special products which need to be agreed separately.6.4 產(chǎn)品認(rèn)證 Certification of Products甲方既有產(chǎn)品及后來由甲方單獨(dú)開發(fā)或者委托第三方生產(chǎn)的產(chǎn)品，由甲方 提供出口日本所需的有關(guān)產(chǎn)品認(rèn)證證書。Party A should provide the necessary certification for all products(now available and developed lonely inthe future or produced by the appointed

13、 third party ) exporting to Japan.6.5乙方需嚴(yán)格保密甲方的產(chǎn)品報(bào)價(jià)，技術(shù)資料，合伙方式等商業(yè)機(jī)密。經(jīng)營 活動不得損壞甲方的名譽(yù)。Party B should keep the quotation, technical data, business information of Party A strictly confidential.Operating activities cannot damage the reputation of Party A.6.6乙方應(yīng)竭力在日本區(qū)域市場推廣銷售產(chǎn)品，未經(jīng)甲方許可，嚴(yán)禁跨區(qū)域銷 售甲方產(chǎn)品。Party B should do best promoting products in Japan, cannot sell products in other area without permission of Party A.6.7乙方無論任何狀況下，不得銷售假冒偽劣或者未經(jīng)授權(quán)許可產(chǎn)品，若因此 引起第三措施律責(zé)任，則由乙方負(fù)責(zé)，一概與甲方無關(guān)，甲方將保存后來 法律追究權(quán)利。In any case, Party B cannot sell counterfe
