8、檢驗標準。The outturn weights and quality at discharge port analyzed by CIQ shall be taken for final settlement.3. 數(shù)量 （ QUANTITY ）賣方愿意銷售買方愿意購買每月1000 干公噸允許誤差5%的銅,集礦裝柜裝運 , 允許分批裝運，合約期限一年，首批試單300 噸。The Seller will sell and the Buyer will buy 1000 DMT per month by one year contract Copper Ore in container, pl

The initial order is 300MT.4. 貨運交付（ DELIVERY AND SHIPMENT ）4.1 CIF SHANGHAI港，按照 2000 年國際貿(mào)易術(shù)語解釋通則解釋。CIF SHANGHAI port, as per INCO terms 20004.2 包裝：大約 50 公斤一袋，集裝箱運輸。Packing: in big bags for about

10、 50 kg, Shipment in 20 FCL.4.3 起運港：馬達加斯加塔馬塔夫 港口或者由賣方指定Loading port:TAMATAVE Port, Madagascaror by Seller appointed4.4 到貨港：中國上海港口或由買方指定Destination port：ShangHai port, China. Or by Buyer appointed4.5 在收到本合同跟單信用證（ L/C ）之后的 20 天內(nèi) ,銅礦將會在裝運港口安排起運。 Copper ore shall be effected shipment at loading port with

13、y CIQ atdestination port, then the actual weight of shipment shall be adjusted from B/L weight.total Moisture（ AR ）8% Max6. 檢驗（ INSPECTION ）6.1 裝運港由國際檢驗機構(gòu)商檢并監(jiān)裝，費用由賣方承擔，貨物到達目的港之后，做CIQ/CCIC商檢，費用由買方承擔，賣方有權(quán)派代表參加商檢。Inspected and supervised by Internationalorganizationat the loadingport, theircharges to b

15、 CIQ/CCIC以備用來可能出現(xiàn)的公斷鑒定。At the port of discharge CIQ shall sample from the shipment and divide into three parts,one for the Buyer, the second for possible need of the Seller and third for possible umpireanalysis which shall be sealed and kept with CIQ/CCIC.假如 CIQ/CCIC 和裝貨港 CCIC出具的證書對銅礦石銅的品位的測定結(jié)果或除銅的品

16、位外其它成分存在 2%以下的差異，以到貨港的CIQ/CCIC檢驗為準，如果差異在 2%以上，在卸貨港買方必須重新委托SGS 檢驗，此結(jié)果視為最終標準。If the difference in the contents of Cu and other components between CCIC and CIQ/CCIC China analyses is less than 2%, the amount should based on the CIQ/CCIC report at the unloading port. If the difference is more than 2%, t

26、e of CCIC at the unloading port in 15 days, thebank will pay the money according to the 10% balance according to the analysis report at the loading port.10 不可抗力（ FORCE MAJEURE ）由于人力不可抗拒原因，使賣方不能在合同規(guī)定期限內(nèi)交貨或者不能交貨，賣方不用負責任。但賣方在不可抗拒原因發(fā)生的 14 天內(nèi)應(yīng)以傳真通知買方，并以掛號函向買方提交有關(guān)政府機關(guān)或者商會所出具的不可抗拒原因證明。The Sellershall not b

28、 （14 ）days thereafter, The Seller shall send by Express mail to the Buyer a certificate of the accident issued by the competent government authorities or chamberof commerce where the accident occurs as evidence thereof. 29、he obligation to take all necessary measures to hasten the delivery of the goods, not withstanding under such circumstance.11.仲裁（ ARBITRATION ）凡因本合同引起的或與本合同有關(guān)的任何爭議應(yīng)協(xié)商解決。若協(xié)商不成， 應(yīng)提交中國國際經(jīng)濟貿(mào)易仲裁委員會華南分會，按照申請仲裁時該會現(xiàn)行有效的仲裁規(guī)則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。Any dispute arising from or in connection with the Contract sh

30、all be settled through friendly negotiation. In case no settlement is reached, the dispute shall be submitted toChina International Economic and Trade Arbitration Commission (CIETAC), South ChinaSub-Commissionforarbitrationin accordancewithits rulesin effectatthetimeofapplying for arbitration. 31、rbitral award is final and binding upon both parties.12.裝船通知（ SHIPPING ADVISE ）一經(jīng)裝載完畢，賣方應(yīng)在 72 小時內(nèi)以郵件或傳真方式通知買方合同編號、品名、已發(fā)運數(shù)量、發(fā)票金額、毛重、船名及啟程日期等。The Seller shall, immediately upon the completion of the loading of the goods, advise the Buyer of the Contract No., names of commodity, loading quantity, invoi

32、ce values, gross weight, name of vessel and shipment date by Email or Fax within 72 hours.保密（ CONFIDENTIAL ）所有本合約的內(nèi)容應(yīng)由雙方保密地保存，任一方在未獲得另一方書面同意的情況下，不得揭露本合約的任何內(nèi)容。All contents of this contract shall be kept confidential by both parties; any party should not reveal any terms and conditions of this contrac
