4、iic iinteeressts of soccietty.第二條條 從事事期貨交交易及其其相關活活動的，必必須遵守守本條例例。Artticlle 22 Thhe ccondductt off anny ttraddingg inn fuuturres andd itts rrelaatedd acctivvitiies shaall commplyy wiith theese Reggulaatioons.第三條條 從事期期貨交易易活動，應應當遵循循公開、公公平、公公正和誠誠實信用用的原則則。禁止止欺詐、內(nèi)內(nèi)幕交易易和操縱縱期貨交交易價格格等違法法行為。Artticlle 33 Inn co

6、are proohibbiteed.第四條條 期貨貨交易必必須在期期貨交易易所內(nèi)進進行。禁禁止不通通過期貨貨交易所所的場外外期貨交交易。Artticlle 44 Trradiing in fixxturres musst bbe ccondductted on a ffutuuress exxchaangee. AAny deaalinng iin ffutuuress ouutsiide of a ffixtturees eexchhangge iis pprohhibiitedd.第五條條 中國國證券監(jiān)監(jiān)督管理理委員會會（以下下簡稱中中國證監(jiān)監(jiān)會）對對期貨市市場實行行集中統(tǒng)統(tǒng)一的監(jiān)監(jiān)督管理

8、期貨交交易所，由由中國證證監(jiān)會審審批。Artticlle 66 Thhe eestaabliishmmentt off a futturees eexchhangge sshalll bbe ssubjjectt too exxamiinattionn annd aapprrovaal bby tthe CSRRC.未經(jīng)中中國證監(jiān)監(jiān)會批準準，任何何單位或或者個人人不得設設立或者者變相設設立期貨貨交易所所。No uniit oor iindiividduall maay eestaabliish or esttabllishh inn a dissguiisedd foorm a ffutuur

20、tturees eexchhangge.第十四四條 期貨貨交易所所履行下下列職能能：Artticlle 114 AA fiixtuuress exxchaangee shhalll caarryy ouut tthe folllowwingg fuuncttionns:（一）提提供期貨貨交易的的場所、設設施和服服務；(1) prroviide preemisses, faacillitiies andd seerviicess neeedeed ffor traadinng iin ffutuuress;（二）設設計期貨貨合約、安安排期貨貨合約上上市；(2) woork outt thhe f

21、formm off fuuturres conntraactss annd iintrroduuce futturees cconttraccts to thee maarkeet;（三）組組織、監(jiān)監(jiān)督期貨貨交易、結結算和交交割；(3) orrgannizee annd ssupeerviise futturees ttraddingg, ssetttlemmentt off acccouuntss annd ccleaarinng;（四）保保證期貨貨合約的的履行；(4) ennsurre tthe perrforrmannce of futturees cconttraccts;（五）制制定

22、和執(zhí)執(zhí)行本條條例第三三十五條條規(guī)定的的風險管管理制度度；(5) esstabblissh aand impplemmentt thhe rriskk maanaggemeent sysstemms rrequuireed uundeer AArtiiclee 355 off thhesee Reegullatiionss; aand（六）中中國證監(jiān)監(jiān)會規(guī)定定的其他他職能。(6) caarryy ouut ssuchh ottherr fuuncttionns aas mmay be preescrribeed bby tthe CSRRC.第十五五條 期貨貨交易所所不得從從事信托托投資、股股票

23、交易易、非自自用不動動產(chǎn)投資資等與其其職能無無關的業(yè)業(yè)務。Artticlle 115 AA fuuturres excchannge shaall nott enngagge iin ttrusst iinveestmmentt, ssecuurittiess trradiing, innvesstmeent in reaal pproppertty nnot forr itts oown usee orr ottherr buusinnesss unnrellateed tto iits fimmctiionss.禁止期期貨交易易所直接接或者間間接參與與期貨交交易。A ffutuuress

24、exxchaangee iss prrohiibitted froom ddireectlly oor iindiirecctlyy paartiicippatiing in futturees ttraddingg.第十六六條 當期貨貨市場出出現(xiàn)異常常情況時時，期貨貨交易所所可以按按照其章章程規(guī)定定的權限限和程序序，決定定采取下下列緊急急措施，并并應當立立即報告告中國證證監(jiān)會：Arllidee 166 Inn thhe eevennt oof aan aabnoormaalitty aarissingg inn thhe ffutuuress maarkeet, a ffutuuress e

26、asee maargiin aaccoountts;（二）調(diào)調(diào)整漲跌跌停板幅幅度；(2) addjusst tthe rannge bettweeen ddie priice parrameeterrs ffor susspenndinng ttraddes of futturees;（三）限限制會員員或者客客戶的最最大持倉倉量；(3) reestrrictt thhe mmaxiimumm hoold possitiion vollumee off meembeers or cliientts;（四）暫暫時停止止交易；(4) suuspeend traadinng; andd（五）采采取其他

27、他緊急措措施。(5) taake othher emeergeencyy meeasuuress.前款所所稱異常常情況，是是指在交交易中發(fā)發(fā)生操縱縱市場并并嚴重扭扭曲價格格形成的的行為或或者不可可抗力的的突發(fā)事事件以及及中國證證監(jiān)會規(guī)規(guī)定的其其他情形形。Thee abbnorrmallityy ass reeferrredd too inn thhe ppreccediing parragrraphh meeanss anny bbehaavioor wwhicch iis ffounnd iin tthe traadinng tto mmaniipullatee thhe mmarkket

29、y terrminnatee thhe eemerrgenncy meaasurres takken.第十七七條 期貨貨交易所所有下列列情形之之一的，應應當經(jīng)中中國證監(jiān)監(jiān)會批準準：Artticlle 117 IIn aany of thee foolloowinng ccirccumsstanncess, aa fuuturres excchannge shaall reqquirre tthe appprovval of thee CSSRC:（一）制制定或者者修改章章程、業(yè)業(yè)務規(guī)則則；(1) whheree itt addoptts oor aamennds itss arrticcles

30、s off asssocciattionn orr itts bbusiinesss rrulees;（二）上上市、中中止、取取消或者者恢復期期貨交易易品種；(2) whheree itt coommeencees, susspennds, diiscoontiinuees oor rresuumess a varrietty oof ffutuuress trradiing;（三）上上市、修修改或者者終止期期貨合約約；(3) whheree itt inntrooducces, ammendds oor ttermminaatess a fixxturres conntraact; orr（

31、四）中中國證監(jiān)監(jiān)會規(guī)定定的其他他情形。(4) anny ootheer ccirccumsstanncess prresccribbed by thee CSSRC.第十八八條 期貨貨交易所所的所得得收益應應當按照照國家有有關規(guī)定定管理和和使用，不不得分配配給會員員，不得得挪作他他用。Artticlle 118 IIncoome gaiinedd byy a futturees eexchhangge sshalll bbe mmanaagedd annd uusedd inn acccorrdannce witth rreleevannt pprovvisiionss off thhe SS

34、 off a futturees eexchhangge sshalll bbe ssubjjectt too exxamiinattionn annd aapprrovaal bby tthe CSRRC.第二十十條 期貨貨交易所所因下列列情形之之一解散散：Artticlle 220 IIn aany of thee foolloowinng ccirccumsstanncess, aa fiixtuuress exxchaangee shhalll bee diissoolveed:（一）章章程規(guī)定定的營業(yè)業(yè)期限屆屆滿，會會員大會會決定不不再延續(xù)續(xù)；(1) whheree thhe oop

38、ssatiisfyy thhe ffolllowiing reqquirremeentss:（一）注注冊資本本最低限限額為人人民幣330000萬元；(1) itts mminiimumm reegissterred cappitaal sshalll bbe 330 mmilllionn yuuan;（二）主主要管理理人員和和業(yè)務人人員必須須具有期期貨從業(yè)業(yè)資格；(2) itts pprinncippal mannageeriaal aand proofesssioonall sttafff muust holld tthe quaalifficaatioons reqquirred to c

39、onnducct ffutuuress trradiing;（三）有有固定的的經(jīng)營場場所和合合格的交交易設施施；(3) itt shhalll poosseess fixxed bussineess preemisses andd quualiifieed ttraddingg faacillitiies;（四）有有健全的的管理制制度；(4) itt shhalll haave a ssounnd mmanaagemmentt syysteem; andd（五）中中國證監(jiān)監(jiān)會規(guī)定定的其他他條件。(5) itt shhalll coomplly wwithh ottherr reequiirem

42、nngagge iin aa fuuturres brookerragee buusinnesss annd mmay nott usse futturees bbrokkeraage, futturees aagennt or anyy ottherr siimillar worrds in itss orr hiis nnamee.第二十十三條 期貨經(jīng)經(jīng)紀公司司根據(jù)業(yè)業(yè)務需要要可以設設立營業(yè)業(yè)部，作作為分支支機構。設設立營業(yè)業(yè)部應當當符合中中國證監(jiān)監(jiān)會規(guī)定定的條件件，經(jīng)中中國證監(jiān)監(jiān)會批準準，取得得中國證證監(jiān)會頒頒發(fā)的經(jīng)經(jīng)營許可可證，并并在國家家工商行行政管理理局登記記注冊。Artticll
