8、oduction is finished for all the equipment, the seller should make suitable package for certain equipment parts and label the parts. Besides, the equipment package shall be intact during the loading, unloading and transportation. 賣方應(yīng)對(duì)由于不正確和不符合要求的包裝所造成的貨物的損壞和丟失承擔(dān)責(zé)任。并應(yīng)在貨物到達(dá)客戶公司境內(nèi)之日起30日內(nèi)解決貨物的損壞和丟失問(wèn)題。Th

9、e loss and damage due to sellers incorrect and improper package shall be born by the seller. Also the seller shall solve all the damage and loss problems with in 30 days since the day the equipment reach the buyers site.6 . 生產(chǎn)運(yùn)輸和交貨 Production,transportation and delivery. 設(shè)備生產(chǎn)完畢后賣方應(yīng)邀請(qǐng)買方驗(yàn)貨。買方可以到上海XXXX

10、X設(shè)備有限公司工廠驗(yàn)貨或同賣方一起組織通過(guò)視頻驗(yàn)貨。在驗(yàn)完每一批次貨物后買方應(yīng)簽署“驗(yàn)收證書”。The seller shall invite buyer to check goods after all the products are finished. The buyer can come to Shanghai XXXXXX Equipment Co., Ltd to have a on-site check-up or carry out the check-up through video together with the seller. The buyer shall sign

14、并保證沒(méi)有被扣押、抵押或作任何擔(dān)保。The Seller enjoys the full ownership of the sold products and guarantees that there is not any equipment that is detained or bonded or given any means as security. 任何第三方不能對(duì)出售給買方的貨物提出任何權(quán)利。Any claim of any right from any third party upon any equipment sold to buyer is forbidden. 買方在設(shè)

15、備使用過(guò)程中應(yīng)嚴(yán)格執(zhí)行賣方所提供的使用說(shuō)明及操作規(guī)程，由于違規(guī)使用而造成設(shè) 備損壞所產(chǎn)生的經(jīng)濟(jì)損失由買方自行承擔(dān)。During the operation,Buyer shall strictly abide by the instructions and operation regulations offered by the Seller. Any damage & loss of the equipment caused by disobeying shall be born by Buyer. 賣方對(duì)設(shè)備正常使用的質(zhì)保期為一年，易損件除外。質(zhì)保期自簽署“安裝調(diào)試證書”之日起算起。如果由

16、于買方的原因致使設(shè)備不能正常驗(yàn)收，質(zhì)保期為合同簽訂之日起18個(gè)月內(nèi)。The equipment guarantee time is 1 year except wearing parts. Guarantee time starts from the day when the Installation and Trial Document is signed. In case of failure of normal acceptance caused by the buyer, the guarantee time shall be within 18months after the dat

17、e the contract is signed. 賣方應(yīng)在質(zhì)保期內(nèi)對(duì)正常操作的條件下出現(xiàn)的設(shè)備損壞給予無(wú)償修復(fù)或更換部件。As to the damage under the normal operation within the guarantee period,the seller shall repair or change the damaged for free. 如果根據(jù)賣方專家的鑒定，出現(xiàn)損壞的責(zé)任在買方，賣方應(yīng)將此通知買方，在此條件下買方應(yīng)承擔(dān)賣方專家的差旅費(fèi)。In case of damage caused by buyer authenticated by sellers

18、 experts,the seller shall notify the buyer and the costs for food, accommodation and flight fees will be born by buyer. 如果買方不同意賣方專家的鑒定意見(jiàn)，買方和賣方應(yīng)協(xié)商邀請(qǐng)獨(dú)立的專家進(jìn)行設(shè)備損壞原因的第二次鑒定。In case of disagreement upon the authentication from the sellers experts,the buyer and seller shall discuss and invite the independen

19、t expert to have a second authentication of the damaged equipment.不可抗力Force Majeure 任何一方如果遭受不可抗力的嚴(yán)重阻礙，在不可抗力及其影響持續(xù)的期限內(nèi)和受影響的程度內(nèi)雙方中止履行本合同。不可抗力是指本合同簽署時(shí)合同雙方不能預(yù)見(jiàn)，發(fā)生時(shí)不能避免且不能克服的事件，包括但不限于臺(tái)風(fēng)，暴風(fēng)雪，洪水，海嘯，地震，戰(zhàn)爭(zhēng)，內(nèi)亂，罷工和流行病。 If eight of the Contracting parties be seriously prevented from executing the contract by Fo

20、rce Majeure ,the two sides could stop performance of the contract within the effected degree and within the Force Majeure period or Force Majeure influence-lasting period. Force Majeure here means such events that can not be foreseen,can not be avoided and can not overcome the impact of the objectiv

21、e situation of the implementation of the contract, as war,serious flood ,snow-storm, typhoon, tunami and earthquake,civil disturbance strike, epidemic disease or other similar events. 遭受不可抗力的一方應(yīng)在不可抗力發(fā)生后的48小時(shí)之內(nèi)用電話或傳真將此通知給對(duì)方，并 在不可抗力發(fā)生后的7日內(nèi)通過(guò)郵政快遞將相應(yīng)文件郵寄給對(duì)方。The party influenced by the Force Majeure shal

22、l notify the other party within 48hours after the Force Majeure by telephone or fax and post all the relevant documents to the other party by postal express within 7 working days after the Force Majeure. 遭受不可抗力的一方應(yīng)該在最短的時(shí)間內(nèi)努力消除不可抗力對(duì)履行合同的影響并必須采取措施最大限度減少對(duì)另一方的損失。The party influenced by the Force Majeure

23、 shall try to terminate or reduce the Force Majeure influence within the shortest time and also take all necessary steps to reduce the other partys loss . 不可抗力的影響消除后雙方應(yīng)恢復(fù)履行本合同，如果不可抗力發(fā)生及其影響持續(xù)的時(shí)間超過(guò)90天，任何一方有權(quán)解除本合同而不承擔(dān)任何違約賠償責(zé)任。After termination of the Force Majeure influence within 90days,the two party

If the Force Majeure lasts or influence time of Force Majeure lasts over 90 days,either of the two parties is entitled to terminate the contract and be free of responsibility of breach of the contract.9. 責(zé)任與罰款 Responsibility and Forfeit.違約意味著不能履行合同或者不能完全履行合同，不

25、能履行合同的一方應(yīng)承擔(dān)以下責(zé)任：Breach of the contract means complete or partial failure of performing the contract,the party breaching the contract shall be responsible for the followings: 如果賣方未按本合同規(guī)定的日期生產(chǎn)或供貨，或者部分逾期，應(yīng)按照本合同每日向買方支付未發(fā)運(yùn)貨物價(jià)值的的罰款。In case of the sellers failure to manufacture or supply all the equipment

26、or exceed the time limit,the seller shall pay for of the undelivered equipment value per day.如果買方未在規(guī)定的期限內(nèi)支付貨款，買方應(yīng)每天向賣方支付未付款貨物價(jià)值的。I f the buyer fails to pay for the seller within the time limit,the buyer shall pay for the seller of the unpayed amount per day.支付罰金并不意味買方/賣方解脫履行本合同的義務(wù)。Payment of forfeit

27、 does not mean either of the two parties is free of performing the contract.10. 安裝和調(diào)試 Installation and Trial Operation. 安裝和正確試機(jī)的培訓(xùn)將由賣方的專家進(jìn)行。買方應(yīng)提供安裝調(diào)試所必需的機(jī)械和工具。賣方專家到達(dá)買方工廠的日期由雙方協(xié)商。 Installation and training on the correct operation shall be carried out by the experts from the sellers. The buyer shall

28、provide necessary machines and tools to be used for installation. The arrival date of the experts from the seller shall be discussed by the two parties. 安裝調(diào)試本設(shè)備技術(shù)服務(wù)的費(fèi)用：按照每人每天工作8小時(shí)，買方應(yīng)支付給賣方技術(shù)人員每人每天60美金，技術(shù)服務(wù)費(fèi)用應(yīng)在技術(shù)人員出發(fā)前匯款到賣方公司賬戶。Technical Service Fees on the Installation Trial Operation: The buyer shal

29、l pay for each technician USD $60 per day based on 8 working hours each day. The technical service fees shall be transferred to the Sellers account before the technicians leave the Sellers factory.買方必須支付并保障賣方人員的如下費(fèi)用：All the following fees shall be born by the buyer.簽證費(fèi)、往返機(jī)票、住宿、飲食、通訊（買方應(yīng)提供通訊器材并支付電話和互

30、聯(lián)網(wǎng)的費(fèi)用），交通、安裝費(fèi)、翻譯、意外保險(xiǎn)和安裝調(diào)試期間的醫(yī)藥費(fèi)。買方應(yīng)保證安裝調(diào)試期間的技術(shù)人員安全。Consulage, round trip air ticket, accommodation, food and beverage, communication ( the buyer shall provide the communication equipment and pay for the fees from the telephone and Internet), transport ,installation fee,translation fee, accident ins

31、urance as well as the possible medical cost. Besides, the buyer shall guarantee safety of the technicians during this period.買方須在技術(shù)人員出發(fā)7日內(nèi)根據(jù)賣方的要求準(zhǔn)備三相電源，供水，供氣，空壓機(jī)，電焊機(jī)，電焊條，吊車，手工工具，氣割工具，其它工具和耗材。Upon the sellers requirements,the buyer shall prepare water supply,three phrase power supply,air supply,air c

32、ompressor,welder,hoisting machine manual tools,cutting tools and other tools as well as consumptive materials within 7days before the technicians leave the Sellers factory. 買方應(yīng)為生產(chǎn)線提供足夠的空間。The buyer shall supply sufficient space for the ball mill and flotation machine. 完成安裝調(diào)試設(shè)備后買方應(yīng)在2日內(nèi)簽署安裝調(diào)試證書。After

33、installation and trial operation,the buyer shall sign the Installation and Trial Operation Document within two days.11. 仲裁和解決爭(zhēng)議Arbitration and Dispute Resolution.仲裁：因本合同引起的或與本合同有關(guān)的任何爭(zhēng)議，均應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)（上海分會(huì)），按照該會(huì)現(xiàn)行的仲裁規(guī)則在該會(huì)進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。Arbitration: Any dispute arising from or in connection
