ollowingways.同意買方退貨或退貨款給買方，并承擔(dān)買方直接損失和費(fèi)用，包括利息，銀行費(fèi)用，運(yùn)費(fèi)，保費(fèi)，商檢費(fèi)，倉租費(fèi)，裝卸費(fèi)和其他保管費(fèi)AgreetotherejectionofthegoodsandrefundtotheBuyersthevalueofthegoodssorejectedinthesamecurrencyascontractedherein,andtobearalldirectlossesandexpensesinconnectiontherewithincludinginterestaccrued,bankingcharges,freight,insurancepremium,inspectioncharges,storage,chargesandallothernecessaryexpensesrequiredforthecustodyandprotectionoftherejectedgoods根據(jù)貨物劣等程度，受損程度或損失總額，買方有權(quán)提出降價(jià)。間接損失除外。Devaluedthegoodsaccordingtothedegreeofinferiority?extentofdamageandamountoflossessufferedbyBuyers.Consequentialdamagesareexcluded.C.換符合合同規(guī)定的貨物，承擔(dān)買方發(fā)生的費(fèi)用和直接損失，賣方應(yīng)按規(guī)定在未來12月內(nèi)換相同質(zhì)量的保證的貨物。Replacethedefectivegoodswithnewones,whichconformtothespecifications,qualityandperformanceasstipulatedinthiscontract,andbearallexpensesincurredtoanddirectlossessustainedbythebuyers,Thesellershall,atthesametime,guaranteethequalityofthereplacementgoodsforafurther12monthsasspecifiedofthiscontract(4)賣方收到買方索賠通知后,如果在三十天內(nèi)不答復(fù),應(yīng)視為賣方同意買方提出的一切索賠.AnyandallclaimshallberegardedasacceptediftheSellersfailtoreplywithin30daysafterreceiptoftheBuyer'sclaim.4．遲交貨如果賣方未能按合同規(guī)定的時(shí)間按期交貨（本合同第5款規(guī)定的不可抗力除外），在賣方同意支付核定損失額的條件下，買方將同意延長交貨期。核定損失額的支付將由付款銀行從議付款或從履約保證金中扣除。核定損失額比率為每遲交7天，將罰貨物金額的0.5%,不滿7天的按7天計(jì)算，但是，核定損失額的支付不得超過合同金額的5%。如果賣方在推遲10周仍不能交貨，買方有權(quán)因賣方違約終止合同，而賣方仍有義務(wù)支付上述遲交貨罰金?；谘悠诮回浀娜魏芜M(jìn)一步的權(quán)利或索賠不包括在內(nèi)。LatedeliveryandpenaltyShouldthesellerfailtoeffectdeliverywithinthetimeofshipmentasstipulatedinthiscontract(withexceptionofforcemajeure),thesellershallpaypenaltyduetolatedelivery.TheBuyershallagreetopostponethedeliveryonconditionthattheselleragreetopaypenaltywhichwillbeductedbythepayingbankfromthepaymentundernegotiation.Thepenaltyshallbecalculatedatarateof0.5%forevery7days,lessthan7daysshallbecountedas7days.However,thetotalamountofpenaltyshallnotexceed5%ofthetotalvalueofthecommoditiesinvolvedinlatedelivery.Incasethesellersfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedinthiscontract,thebuyershallhavetherighttocancelthecontract,andthesellerstillpaythepenaltyasaforesaidtotheBuyerswithoutdelay.Anyfurtherrightsorclaimsbasedonadelayeddeliveryareexcluded.賣方按照規(guī)定時(shí)間發(fā)貨是有條件的，這是指：買方及時(shí)履行了其如下的義務(wù),包括交納可能有的預(yù)付款項(xiàng)、如約開設(shè)信用證、且及時(shí)提供所有可能需要的許可證及批文。如果上述條件未及時(shí)得到滿足，發(fā)貨期則應(yīng)相應(yīng)延長。IfdelayisattributabletoforcemajeureasstipulatedinClause8,ortoanyothercausebeyondthereasonablecontrolofSeller,thedelivery/performanceperiodsshallbeextendedcorrespondingly.如果延期歸咎于以下第5條規(guī)定的不可抗力，或其他賣方無法合理控制的原因，發(fā)貨期應(yīng)相應(yīng)延長。IfdelayisattributabletoforcemajeureasstipulatedinClause16,ortoanyothercausebeyondthereasonablecontrolofSeller,thedelivery/performanceperiodsshallbeextendedcorrespondingly.5.不可抗力:在履行合同的過程中,由于不可抗力如戰(zhàn)爭、火災(zāi)、洪水、臺(tái)風(fēng)及地震等因素或其它雙方認(rèn)可的因素造成賣方(或買方)不能履行合同,賣方(或買方)對(duì)此不負(fù)責(zé)任。賣方(或買方)應(yīng)在此后的14天之內(nèi)立即將上述情況通知對(duì)方,并將事故發(fā)生地政府主管機(jī)關(guān)出具的事故證明書用空郵寄交買方(或賣方)為證,并取得對(duì)方認(rèn)可。在上述情況下,賣方(或買方)仍有采取一切必要措施從速交貨的責(zé)任,如果事故持續(xù)10個(gè)星期以上,買方(或賣方)有權(quán)取消本合同。ForceMajeure:TheSeller/theBuyershallnotbeheldresponsibleforbeingunabletocarryoutthiscontractduetoForceMajeursuchaswar,seriousfire,flood.Typhoonandearthquakesorothereventsagreeduponbybothparties,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSeller/theBuyershalladvicetheBuyer/Sellerimmediatelyoftheoccurrencementionedabovewithinfourteendaysthereafter,theseller/theBuyershallsendbyairmailtotheBuyer/theSellerfortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.Undersuchcircumstances,theSeller/thebuyer,however,isstillunderobligationtotakeallnecessarymeasurestoexpedite/takethedeliveryofthegoodsincasetheaccidentlastsformorethan10weeks,theBuyerortheSellershallhavetherighttocancelthecontract.6、仲裁：一切因執(zhí)行本合同所發(fā)生或與本合同有關(guān)之爭執(zhí)，雙方應(yīng)友好協(xié)商解決。如雙方協(xié)商不能解決時(shí)，此爭執(zhí)應(yīng)提交中國國際貿(mào)易促進(jìn)委員會(huì)仲裁委員會(huì)，按照該仲裁委員會(huì)仲裁程序暫行規(guī)定進(jìn)行仲裁，仲裁地點(diǎn)在北京。仲裁委員會(huì)的裁決為終局裁決，對(duì)雙方均有約束力。仲裁費(fèi)用除非仲裁會(huì)另有決定外，均由敗訴一方負(fù)擔(dān)。Arbitration:AlldisputesinconnectionwiththisContractorexecutionthereofshallbeamicableset
