FOREWORDThetermsofFourthEditionoftheConditionsofContractforworksofCivilEengineeringconstructionhavebeenpreparedbytheFederationInternationaldesIngenieursConseils(FIDIC)andarerecommendedforgeneraluseforthepurposeofconstructionofsuchworkswheretendersareinvitedonaninternationalbasis.TheConditions,subjecttominormodifications,arealsosuitableforuseondomesticcontracts.TheversioninEnglishoftheConditionsisconsideredbyFIDICastheofficialandauthentictextforthepurposeoftranslation.InthepreparationoftheConditionsitwasrecognisedthatwhiletherearenumerousClauseswhichwillbegenerallyapplicabletherearesomeClauseswhichmustnecessarilyvarytotakeaccountofthecircumstancesandlocalityoftheworks.TheClausesofgeneralapplicationhavebeengroupedtogetherinthisdocumentandarereferredtoasPartI-GeneralConditions.Theyhavebeenprintedinaformwhichwillfacilitatetheirinclusionasprintedinthecontractdocumentsnormallyprepared.TheGeneralConditionsarelinkedwiththeConditionsofParticularApplication,referredtoasPartII,bythecorrespondingnumberingoftheClauses,sothatPartIandIItogethercomprisetheConditionsgoverningtherightsandobligationsoftheparties.PartIImustbespeciallydraftedtosuiteachindividualContract.WhendredgingandcertaintypesofreclamationworkareinvolvedspecialconsiderationmustbegiventoPartII.ToassistinthepreparationofPartIIexplanatorymaterialandexampleclausesarepublishedwiththeConditionsinaseparatelybounddocumententitled"ConditionsofContractforWorksofCivilEngineeringConstruction,PartII-ConditionsofParticularApplication,withGuidelinesforpreparationofPartII-Clauses,FourthEdition".FIDIChaspublisheda"GuidetotheUseofFIDICConditionsofContractforWorksofCivilEngineeringConstruction"whichincludescommentsontheprovisionsoftheFourthEditionoftheConditions.UsersoftheFourthEditionmayfindithelpfultorefertothisGuide.ItmayalsobehelpfulforuserstorefertootherFIDICpublications,suchas:TenderingProcedure(FirstEdition1982)Construction,InsuranceandLaw(1986)FIDICgratefullyacknowledgesthesuggestionsandcommentsithasreceivedduringthepreparationofthiseditionfromEuropeanInternationalContractors(EIC)asmandatoryofthisConfederationofInternationalContractorsAssociations(CICA)withparticipationofAssociatedGeneralConstructorsofAmerica(AGC).

sandthelikeintendedtoformorformingpartofthePermanentWorks.(v)"Contractor'sEquipment"mansallappliancesandthingsofWhatsoevernature(otherthanTemporaryWorks)requiredfortheexecutionandcompletionoftheWorksandremedyingofanydefectstherein,butdoesnotincludingplant,materialsandotherthingsintendedtoformorformingPartofthePermanentWorks.(vi)"Section"meansaPartoftheWorksspecificallyidentifiedintheContractasaSection.(vii)"Site"meanstheplaceprovidedbytheEmployerwheretheWorkstobeexecutedandanyotherplaceasmaybespecificallydesignatedintheContractasformingpartoftheSite.(g)(i)"Cost"meansallexpenditureproperlyincurred,whetheronoroffthesite,includingoverheadandotherchargesproperlyallocabletheretobutdoesnotallowanceforprofit.(ii)"Day"Meanscalendarday.(iii)"ForeignCurrency"meansacurrencyofacountryotherthanthatinwhichtheWorksaretobelocated.(iv)"Writing"meansanyhand-written,type-written,orprintedcommunicationincludingtelex,cableandfacsimiletransmission.HeadingandMarginalNotes1.2TheHeadingsandmarginalnotesintheseConditionsshallnotbedeemedthereoforbetakenintoconsiderationintheinterpretationorconstructionthereoforoftheContract.Interpretation1.3Wordsimportingpersonsorpartiesshallincludefirmsandcorporationsandorganisationshavinglegalcapacity.SingularandPlural1.4Wordsimportingthesingularonlyalsoincludethepluralandviceversawherecontextrequires.Notices,Consents,Approvals,CertificateandDetermination1.5WhereverintheContractprovisionismadeforthegivingorissueofanynotice,consents,approval,certificateordeterminationbyanyperson,unlessotherwisespecifiedsuchnotice,consent,approval,certificateordeterminationshallbeinwritingandthewords"notify","certify"or"determine"shallbeconstruedaccordingly.Anysuchconsent,approval,certificateordeterminationshallnotunreasonablybewithheldordelayed.EngineerandEngineer'sRepresentativeEngineer'sDutiesandAuthority2.1(a)TheEngineershallcarryoutthedutiesspecifiedintheContract.(b)TheEngineermayexercisetheauthorityspecifiedinornecessarilytobeimpliedfromtheContract,provided,however,thatiftheEngineerisrequired,underthetermsofhisappointmentbyemployer,toobtainthespecificapprovaloftheEmployerbeforeexercisinganysuchauthority,particularsofsuchrequirementsshallbesetoutinPartIIoftheseConditions.ProvidedfurtherthatanyrequisiteapprovalshallbedeemedtohavebeengivenbytheEmployerforanysuchauthorityexercisedbytheEngineer.(c)ExceptasexpresslystatedintheContract,theEngineershallhavenoauthoritytorelievetheContractorofanyofhisobligationsundertheContract.Engineer'sRepresentative2.2TheEngineer'sRepresentativeshallbeappointedbyandberesponsibletotheEngineerandshallcarryoutsuchdutiesandexercisesuchauthorityasmaybedelegatedtohimbytheEngineerunderSub-Clause2.3.Engineer'sAuthoritytodelegate2.3TheEngineermayfromtimetotimedelegatetotheEngineer'sRepresentativeanyofthedutiesandauthoritiesvestedintheEngineerandhemayatanytimerevokesuchdelegation.AnysuchdelegationorrevocationshallbeinwritingandshallnottakeeffectuntilthecopythereofhasbeendeliveredtotheEmployerandContractor.AnycommunicationgivenbytheEngineer'sRepresentativetotheContractorinaccordancewithsuchdelegationshallhavethesameeffectasthoughithadbeengivenbyEngineer.Providedthat:(a)anyfailureoftheEngineer'sRepresentativetodisapproveanywork.materialsorplantshallnotprejudicetheauthorityoftheEngineertodisapprovesuchwork,materialsorplantandtogiveinstructionsfortherectificationthereof;and(b)iftheContractorquestionsanycommunicationoftheEngineer'sRepresentativehemayreferthemattertotheEngineerwhoshallconfirm,reverseorvarythecontentsofsuchcommunication.AppointmentofAssistants2.4TheEngineerortheEngineer’sRepresentativemayappointanynumberofpersonstoassisttheEngineer'srepresentativeinthecarryingoutofhisdutiesunderSub-Clause2.2HeshallnotifytotheContractorthenames,dutiesandscopeofauthorityofsuchpersons.SuchassistantsshallhavenoauthoritytoissueanyinstructionstotheContractorsaveinsofarassuchinstructionsmaybenecessarytoenablethemtocarryouttheirdutiesandtosecuretheiracceptanceofmaterials,plantorworkmanshipasbeinginaccordancewiththeContract,andanyinstructionsgivenbyanyofthemforthosepurposeshallbedeemedtohavebeengivenbytheEngineer'sRepresentative.Instructionsinwriting2.5InstructionsgivenbytheEngineershallbeinwriting,providedthatifforanyreasontheEngineerconsidersitnecessarytogiveanysuchinstructionorally,theContractorshallcomplywithsuchinstruction.ConfirmationinwritingofsuchoralinstructiongivenbytheEngineer,whetherbeforeorafterthecarryoutoftheinstruction,shallbedeemedtobeaninstructionwithinthemeaningofthisSub-Clause.ProvidedfurtherthatiftheContractor,within7days,confirmsinwritingtotheEngineeranyoralinstructionoftheEngineerandsuchconfirmationisnotcontradictedinwritingwithin7daysbytheEngineer,itshallbedeemedtobeaninstructionoftheEngineer.TheprovisionsofthisSub-ClauseshallequallyapplytoinstructionsgivenbytheEngineer'sRepresentativeandanyassistantsoftheEngineerortheEngineer'sRepresentativeappointedpursuanttoSub-Clause2.4.EngineertoActImpartially2.6Wherever,undertheContract,theEngineerisrequiredtoexercisehisdiscretionby:(a)givinghisdecision,opinionorconsent,(b)expressinghissatisfactionorapproval,(c)determinevalue,or(d)otherwisetakingactionwhichmayaffecttherightsandobligationsoftheEmployerortheContractor.HeshallexercisesuchdiscretionimpartiallywithinthetermsoftheContractandhavingregardtoallthecircumstances.Anysuchdecision,opinion,consent,expressionofsatisfaction,orapproval,determinationofvalueoractionmaybeopenedup,reviewedorrevisedasprovidedinClause67.AssignmentandSubcontractingAssignmentofContract3.1TheContractorshallnot,withoutthepriorconsentoftheEmployer(whichconsent,notwithstandingtheprovisionsofSub-Clause1.5,shallbeatthesolediscretionoftheEmployer),assigntheContractoranypartthereof,oranybenefitorinterestthereinorthereunder,otherwisethanby:(a)achargeinfavouroftheContractor'sbankersofanymoniesdueortobecomedueundertheContract,or(b)assignmenttotheContractor'sinsurers(incaseswheretheinsurershavedischargedtheContractor'slossorliability)oftheContractor'srighttoobtainreliefagainstanyotherpartyliable.Subcontracting4.1TheContractorshallnotsubcontractthewholeoftheWorks.ExceptwhereotherwiseprovidedbytheContract,thecontractorshallnotsubcontractanypartoftheWorkswithoutthepriorconsentoftheEngineer.AnysuchconsentshallnotrelievetheContractorfromanyliabilityorobligationundertheContractandheshallberesponsiblefoetheacts,defaultsandneglectsofanySubcontractor,hisagents,servantsorworkmenasfullyiftheyweretheact,defaultsorneglectsoftheContractor,hisagents,servantsorworkmen.ProvidedthattheContractorshallnotberequiredtoobtainsuchconsentfor:(a)theprovisionoflabour,(b)thepurchaseofmaterialswhichareinaccordancewiththestandardsspecificationintheContract,or(c)thesubcontractingofanypartoftheWorksforwhichthesubcontractornamedintheContract.AssignmentofSubcontractors'Obligations4.2IntheeventofaSubcontractorhavingundertakentowardsthecontractorinrespectoftheworkexecuted,orthegoods,materials,PlantorservicessupplierbysuchSubcontractor,anycontinuingobligationextendingforaperiodexceedingthatoftheDefectsLiabilityPeriodundertheContract,theContractshallatanytime,aftertheexpirationofsuchPeriod,assigntotheEmployer,theEmployer'srequestandcost,thebenefitofsuchobligationfortheunexpirationdurationthereof.ContractDocumentsLanguage/sandLaw5.1ThereisstatedinPartIIoftheseConditions:(a)thelanguageorlanguagesinwhichthecontractdocumentsshallbedrawnup,and(b)thecountryorstatethelawofwhichshallapplytotheContractandaccordingtowhichtheContractshallbeconstrued.Ifthesaiddocumentsarewritteninmorethanonelanguage,thelanguageaccordingtowhichtheContractshallbeconstruedandinterpretedisalsostatedinPartIIoftheseConditions,beingthereindesignatedthe"RulingLanguage".PriorityofContractDocuments5.2TheseveraldocumentsformingtheContractaretobetakenasmutuallyexplanatoryofoneanother,butincaseofambiguitiesordiscrepanciesthesameshallbeexplainedandadjustedbytheEngineerwhoshallthereuponissuetotheContractorinstructionsthereonandinsuchevent,unlessotherwiseprovidedinthecontract,thepriorityofthedocumentsformingtheContractshallbeasfollows:(1)TheContractAgreement(ifcompleted);(2)TheLetterofAcceptance;(3)TheTender;(4)PartIIoftheseConditions;(5)PartIoftheseConditions;andAnyotherdocumentsformingpartoftheContract.CustodyandSupplyofDrawingsandDocuments6.1TheDrawingsshallretainedinsolecustodyoftheengineer,buttwocopiesthereofshallbeprovidedtotheContractorfreeofcharge.TheContractorshallmakeathisowncostanyfurthercopiesrequiredbyhim.UnlessitisstrictlynecessaryforthepurposesoftheContract,theDrawings,SpecificationandotherdocumentsprovidedbytheEmployerortheEngineershallnot,withoutconsentoftheEngineer,beusedorcommunicatedtoathirdpartybytheContractor.UponissueoftheDefectLiabilityCertificate,theContractorshallreturnedtotheengineerallDrawings,SpecificationandotherdocumentsprovidedundertheContract.TheContractorshallsupplytotheEngineerfourcopiesofallDrawings,SpecificationandotherdocumentssubmittedbytheContractorandapprovedbytheEngineerinaccordancewithClause7,togetherwithareproduciblecopyofanymaterialwhichconnotbereproducedtoanequalstandardbyphotocopying.InadditiontheContractorshallsupplysuchfurthercopiesofsuchDrawings,SpecificationandotherdocumentsastheEngineermayrequestinwritingfortheuseoftheEmployer,whoshallpaythecostthereof.OneCopyofDrawingstobeKeptonSite6.2OnecopyoftheDrawings,providedtoorsuppliedbytheContractorasaforesaid,shallbekeptbytheContractorontheSiteandthesameshallatallreasonabletimesbeavailableforinspectionandusebytheEngineerandbyanyotherpersonauthorisedbytheEngineerinwriting.DisruptionofProgress6.3TheContractorshallgivenoticetotheEngineer,withacopytotheEmployer,wheneverplanningorexecutionoftheWorksislikelytobedelayedordisruptedunlessanyfurtherdrawingorinstructionisissuedbytheEngineerwithinareasonabletime.Thenoticeshallincludedetailsofdrawingorinstructionrequiredandofwhyandbywhenitisrequiredandofanydelayordisruptionlikelytobesufferedifitislate.DelaysandCostofDelayofDrawings6.4If,byreasonofanyfailureorinabilityoftheEngineertoissue,withinatimereasonableinalltheCircumstances,anydrawingorinstructionforwhichnoticehasbeengivenbytheContractorinaccordancewithSub-Clause63,theContractorsuffersdelayand/orincurscoststhentheEngineershall,afterdueconsultationwith
