gpaymentviaaDocumentaryLetterofCreditandfinalpaymentbytelegraphictransferagainstB/L,CCIC/SGSandCIQInspectionReportandrelateddocumentsagreedinthiscontract.首批裝運(yùn)應(yīng)在信用證開出后30-45天內(nèi)進(jìn)行，最終付款依據(jù)提單、CCIC/SGS/CIQ檢驗(yàn)報(bào)告和相關(guān)單據(jù)以電匯方式付款。ThesellershallinformtheBuyerexacttimeofdepartureofvesselatloadingport.賣方應(yīng)通知買方船只從裝運(yùn)港出發(fā)的具體時(shí)間。Adviceofshipment:TheSellershalladvisethebuyerbyfaxmentioningthecontractNo.,nameofcommodity,weight,invoicevalue,invoicenumber,nameofvessel,B/LNo.,Itinerary/routingandestimatedtimeofarrivalatportofdischargeandloadingdate,within72(seventytwo)hourspriortodeparture.裝運(yùn)通知：賣方應(yīng)在船啟航前72小時(shí)內(nèi)以傳真的方式通知買方協(xié)議號(hào)、商品名、重量、發(fā)票號(hào)、船名、提單號(hào)、航線及預(yù)計(jì)到達(dá)卸貨港的時(shí)間。TheperformingvesselshouldbeacceptedbythebuyerbeforebeingcharteredbytheSeller.TheSellershallundertaketoshipthecontractedgoodsfromtheloadingporttothedestinationportonadirectsteamerwithnotransshipmentallowed.Thecontractedgoodsshallnotbecarriedbyavesselflyingtheflagofthecountries/regions,whichtheSellerdoesnotaccept.賣方所租用的裝運(yùn)船應(yīng)在租用前征得買方同意。賣方應(yīng)將貨物直接運(yùn)至目的港，不接受轉(zhuǎn)運(yùn)。裝運(yùn)船只不得選用賣方不認(rèn)可的國(guó)家或地區(qū)的船旗。Thevesselistobeasignaldeck/bulkcarrier,with3cabinsatleast,maximum20yearsofage,gearedandcranesofminimum20tons.TheSellershalladvisetheBuyerontheparticularsofthevessel,suchasvesselname,capacityofthecrane,numberofcabin,flag,andpositionetc.Vesselistobeacceptedbythebuyerwithinoneworkingdayofnomination.TheBuyerhastherighttoappointhisrepresentativetobestationedinthesiteand/orvisitingloadingport(s)toobservetheinspectionandloadingoperationofthecommodityduringthecontract.TheBuyerrepresentativeshallhavetheauthoritytotakeanydecisiononbehalfofthebuyer.Whenthevesselreachesanchorageofdischargeport,the"NoticeofReadiness"tobetendedinordinaryofficehourstotheBuyerbytheSeller.裝運(yùn)船只為散裝船，最少三個(gè)船艙，最大20年船齡，最小起重量為20噸。賣方應(yīng)告知買方船只的具體資料，如船名，起重臂的起重量，船艙數(shù)、船旗、位置等。在接到賣方租船通知后一個(gè)工作日內(nèi)買方應(yīng)給出回應(yīng)。買方有權(quán)指定代表監(jiān)督裝貨和貨物檢驗(yàn)。買方代表有權(quán)代表買方做出任何決定。當(dāng)船只到達(dá)卸貨港停錨地點(diǎn)時(shí)，賣方應(yīng)在正常工作時(shí)間內(nèi)向買方發(fā)出“準(zhǔn)備卸貨通知”。Ifthenoticeofdischargingofcargoisgivenbeforenoon,theberthingtimewillstartcountingfrom01.00pminthesameworkingday.However,ifthenoticeisgivenafternoon,thentheberthingtimewillstartfrom08.00amtothenextworkingday.TheBuyershallarrangeonsafeberthatportofdischarge,reachableonarrival,fordischargeofthecommoditiesprovidedalwaysthatifsuchdischargingplaceisnotimmediatelyavailable,demurrageinrespectofalltimewaitingthereaftershallbecountedaslaytime.如果此卸貨通知在中午前發(fā)出，?？繒r(shí)間從當(dāng)天下午一點(diǎn)開始計(jì)算。如果在午后發(fā)出，則?？繒r(shí)間從次日早八時(shí)開始計(jì)算。買方應(yīng)安排適當(dāng)?shù)耐？奎c(diǎn)進(jìn)行卸貨，如果因停靠點(diǎn)不合適而造成的等待時(shí)間，都將計(jì)入卸貨時(shí)間。IftheBuyerchoosestodischargeattwoberthsatportofdischarge(includinganchorage),theBuyershallbeartheexpense(s)forvesselactualshiftingbetweenberths.Timeusedinshiftingbetweenberthstocountaslaytime.IfberthshiftinghappensduetoreasonscausedfromtheSeller,shiftingexpenseswillbeattheSelleraccountandtimeusedforshiftingwillnotbecountedaslaytime.Dischargingratewillbeat24hoursonsunnyday1,200(onethousandtwohundred)metrictonsperweatherworkingday,Sundaysandholidaysexcludedevenifused.SundaysandholidaysshallnotbecountedasDemurrage.Timewillnotbecountedaslaytimeduetoheavyrain,snowandstorm.Demurrageis3,000.00(Threethousand)USDperdayanddispatchis3,000.00(ThreethousandUnitedStatesDollars)USDperday.Demurrage/dispatchtobesettledbytheSelleragainstNoticeofReadiness(NOR)andStatementofFacts(SOF)within05(five)workingdaysaftercompletingdischarge.如果買方選擇在卸貨港的兩個(gè)拋錨點(diǎn)卸貨，買方負(fù)責(zé)兩地間的費(fèi)用。兩地間的轉(zhuǎn)移時(shí)間計(jì)入卸貨時(shí)間。如果由于賣方原因造成的轉(zhuǎn)移費(fèi)用由賣方負(fù)擔(dān)，轉(zhuǎn)移時(shí)間不計(jì)入卸貨時(shí)間。卸載率為1200MT，每24小時(shí)晴朗、適合工作日。如果節(jié)假日即使進(jìn)行工作也計(jì)入卸貨時(shí)間和逾期費(fèi)。大雨、大雪及風(fēng)暴天氣不計(jì)入卸貨時(shí)間。逾期費(fèi)為USD3000/天，速遣費(fèi)為USD3000/天。逾期費(fèi)/速遣費(fèi)由賣方在完成卸貨后5個(gè)工作日內(nèi)根據(jù)“準(zhǔn)備卸貨通知”和“事實(shí)說明（裝卸事實(shí)記錄）”進(jìn)行計(jì)算。PartialShipment分批裝運(yùn): Allowed(Nolessthan=/-5%ofthecontractamountof30.000MT)允許分裝Transshipment轉(zhuǎn)運(yùn): mainport,China中國(guó)主要港口ARTICLE8.PAYMENTTERMS付款條款TheBuyershouldpayforeveryusedrailshipmentinthetotalamountoftheseller.BuyerandSellerafterthesigningofthecontract,theSeller’sbankwillissueAuthorizationtoexportbySAgovernment,AQSIQCertificateand2%non-activatedPerformanceBondtoBuyer’sbank,Buyer’sbankwillissueIRREVOCABLE,TRANSFERABLEDLC(aspertheattachment)validfor6monthsandrenewableupto13monthsequaltoonemonthsloadingamountof30.000MTtotheseller’sbankthroughswiftMT-700within7bankingdays.買方應(yīng)全額付清所裝運(yùn)的貨物金額。在協(xié)議簽定后，賣方銀行向買方銀行開出沙特政府出口許可、質(zhì)檢證書、2%的不生效的履約保函。買方銀行應(yīng)在7個(gè)銀行工作日內(nèi)以MT700方式開出不可撤銷的、可轉(zhuǎn)讓的信用證，有效期為6個(gè)月，可展期13個(gè)月，金額為一個(gè)月裝運(yùn)量30000MT的貨值。Sellerwillbestipulatedinthecontracttime(within45daysofreceiptoftheDocumentaryLetterofCredit)deliveredusedrailtotheBuyer'sdestinationport,thebuyerpayfortheportofdestinationCIQinspectioncosts,inspectioninlinewiththecontractsandBillofLadingweightmarkers,theBuyerbasedonCIQreportwithin7workingdaysbywiretransferT/Tpaid.賣方應(yīng)保證按合同時(shí)間（收到信用證后45天內(nèi)）運(yùn)輸貨物至目的港。目的港檢驗(yàn)檢疫費(fèi)由買方負(fù)責(zé)，檢驗(yàn)根據(jù)合同和提單重量進(jìn)行。買方根據(jù)檢驗(yàn)檢疫報(bào)告在7天內(nèi)電匯TT付款。PERFORMANCEBONDGUARANTEE履約保函Sellerwillissue2%PBGviaSwifttothebuyer’sbank.賣方以SWIFT方式開給買方銀行2%的保函。ARTICLE9.FULLSHIPPINGDOCUMENTSASSTATEDBELOW全套裝運(yùn)單據(jù)如下：1.CertificateofQuality&QuantityorPre-shipmentInspectionCertificate:01original,03copiessurveyreportonquantity,weightandquality,non-radioactivityandexclusionofarmsandammunitions,andtheSellerswillundertaketoconductCCICinspectionattheloadingportontheirownresponsibilityandissuingofSGS/CCIC.數(shù)量質(zhì)量證書或裝運(yùn)前檢驗(yàn)證書：一正三副，檢測(cè)質(zhì)量、重量、數(shù)量，無放射性物質(zhì)、無軍火。裝運(yùn)港CCIC檢測(cè)由賣方負(fù)責(zé)聯(lián)系，并出具SGS（譯注：指通用公證行）和CCIC（譯注：指中國(guó)檢驗(yàn)認(rèn)證（集團(tuán)）有限公司中國(guó)檢驗(yàn)認(rèn)證（集團(tuán)）有限公司）證書。2.CertificateofOrigin:oneoriginalandthreecopiesissuedbyacompetentauthorityinthecountry.TheSellershallaffecttheinsurancefornotlessthan110%ofthecontractvalueofeachordercoveringWPArisks.Insurancetobecoveredbysellerfromthetimethegoodsareloadedonvessel.原產(chǎn)地證明：一正三副，由原產(chǎn)地國(guó)家授權(quán)機(jī)構(gòu)出具。在貨物裝船后，由賣方投保110%水漬險(xiǎn)。3.CommercialInvoice,twooriginalsandthreecopies商業(yè)發(fā)票,兩正三副4.CCIC/CIQCertificateatdestinationport,twooriginalsandthreecopies目的港商檢證書,二正三副5.CertificateofOwnership,twooriginalsandthreecopies所有權(quán)證書,二正三副6.Certificateofweightandquality,twooriginalsandthreecopies重量質(zhì)量證書,二正三副7.CertificateofInsurance,oneoriginalandthreecopies保險(xiǎn)單,一正三副8.OriginalcopyofOceanBillofLading,marked“FREIGHTPREPAID”,threeoriginalsandthreecopies海運(yùn)提單,注明運(yùn)費(fèi)已付，三正三副9.CertificateofNonRadiation,oneoriginalandtwocopies無放射物證書,一正二副10.Exportlicenceissuedbyexportcountryoneoriginalandthreecopies,出口國(guó)出具的出口許可證，一正三副SELLERWILLALSOPROVIDETHEFOLLOWINGDOCUMENTS賣方還應(yīng)提供如下單據(jù)：LetterofReferencesfromtheInternationalChamberofCommercehereinSouthAfrica南非國(guó)際商會(huì)出具的介紹信Non-ResidentBusinessPermitCertificatefromtheDepartmentofTradeandIndustriesSouthAfrica南非工業(yè)貿(mào)易署出具的非本地注冊(cè)的商業(yè)許可證ContractTenderClearanceCertificatefromtheContractsCommitteeofSouthAfrica.南非協(xié)議委員會(huì)出具的協(xié)議投標(biāo)證書EnvironmentalSafetyMetroMonitoringClearanceCertificatesfromtheDepartmentofSafetySouthAfrica南非安全部出具的環(huán)境安全監(jiān)測(cè)證書BuyerandSelleragreethatSellermaynominateanInvestor/FinancierthatwillreceivethefinancialinstrumentonbehalfoftheSellerandfinancetheprojectthroughtheshipmentofthematerialstothementionedportandcountryinthiscontract,underthelistedaccountwheretheDLCwillbeissuedforandonthebehalfofthesellerinthiscontract.買賣雙方同意，賣方可以指定一名投資機(jī)構(gòu)/金融機(jī)構(gòu)來代理接收金融票據(jù)，并代表賣方進(jìn)行本合同項(xiàng)下所裝運(yùn)的貨物在信用證中列明的金額的金融操作。IneventofFinancier/Investor'sinabilitytofinancetheprojectduetolackofcreditlineattheperiodofbuyer'saffectingtheinstrument,anewfinancierofaccountcanbenominatedasanappendixoraddendum.如果此代理機(jī)構(gòu)因信用額度的缺失無力進(jìn)行操作，賣方可以另行指定新的代理機(jī)構(gòu)。Iffindanyfraud,allofthelegalcommitmentbythesellerandfivepercentofthecompensationvalueofthecontracttobuyer.如果有欺騙行為，由賣方承擔(dān)所有法律責(zé)任，并支付買方合同金額的5%作為賠償。ARTICLE10.PACKING包裝Packaging:Railsmustbeatorbelow3tonnesperneatlytiedtoabundle,andtheprotectionofironstriporinforcingsteelbarwithagood.Sufficientliftingfishing.包裝：鋼軌必須以每3公噸或以下整齊地捆為一捆,并用鐵繩或鋼筋保護(hù)好.留有足夠的起重吊鉤。SIZE尺寸Thecutisnotdemandedfromthebuyer,asthemeasureoftheusedrailswillbe6~12.5meters.切割尺寸不由買方指定，尺寸為6~12.5米。ARTICLE11.NON-DELIVERYANDPENALTY未能交貨及處罰ShouldtheBuyersfailtoeffectdeliveryontimeasstipulatedinthisContractowingtocausesotherthanForceMajeureasprovidedforinthisContract,theSellersshallhavetherighttocanceltherelativequantityofthecontract.如果因不可抗力因素外的原因，買方不能及時(shí)履約付款，賣方有權(quán)取消相關(guān)貨物的裝運(yùn)。IftheBuyerhasfulfilledthecontractedterms,buttheSellerhasnotfulfilledthecontractterms,thebuyershouldsubmitawrittennoticetotheSellerwithin15(fifteen)workingdays.IfSellerfailstorectifyin15(fifteen)workingdaysafterreceivingthenotice,theBuyerhastherighttoterminatethecontractandclaimcompensation.如果買方正常履約而賣方違約，買方應(yīng)在15天內(nèi)向賣方提交書面聲明。如果賣方在收到此聲明后15個(gè)工作日內(nèi)仍未能履約，買方有權(quán)中止合同并索賠。ARTICLE12.FORCEMAJEURE不可抗力NeitherpartyshallbeliableforanydefaultduetoanyActofGod,war,strike,lock-out,industrialaction,fireorothereventbeyondthereasonablecontrolofeitherparty.IncaseofForceMajeure,theSellershallnotbeheldresponsiblefordelayindeliveryofnon-delivery,butshouldinformtheBuyerimmediatelybyfaxandmailacertificateissuedbygovernmentauthoritiesorChamberofCommerceasevidencethereof.IftheshipmentisdelayedoveronemonthastheconsequenceofthesaidForceMajeure,thebuyersshallhavetherighttocancelthiscontract.在遭遇不可抗力的情況下免除雙方的責(zé)任。賣方遭遇不可抗力延期裝運(yùn)或無法裝運(yùn)時(shí)應(yīng)立即以傳真或電子郵件通知買方并附加當(dāng)時(shí)商會(huì)出具的證明。如果不可抗力下裝運(yùn)延期超過一個(gè)月，買方可以選擇取消此合同。ARTICLE13.VALIDITYANDDURATIONOFAGREEMENT協(xié)議生效日及有效期ThiscontractisconsideredvalidforoneyearfromtheDateofSigningbySellerandBuyerand/orrightuntiltheexecution,completionandachievementoftheprimarypurposes,forwhichthisdocumentwasmadeandenteredintobyboththepartieshereto.本合同有效期為一年，從雙方簽字起至雙方執(zhí)行完畢。Thebuyerherebyirrevocablyundertakestocompletetheexecutionoftheentirepurchaseorderfor360,000/MT(ThreeHundredandSixtyThousandMetricTonWeight)andbasedin360.000/MT(ThreeHundredandSixtyThousandMetricTonWeight)ofusedrailsperyeardelivery.買方不可撤銷的承諾，在一年內(nèi)購買360，000MT廢鋼軌。ARTICLE14.COMPENSATIONFORNON-COMPLIANCE違約賠償Thetermsofthiscontractagreementbothparties,theBuyerandtheSeller,explicitlyobligated,intheeventofitsbreachofcontractand/ornon-complianceofthecontract,thepartyatfault,topaytotheotherpartyacompensationof5%(fivepercent)oftotalpurchasepriceofonemonthpurchaseorder.AllremediesprovidedinthisAgreementarecumulativeandnotexclusive。本合同條款由雙方共同議定并共同遵守，如果一方違約，應(yīng)向?qū)Ψ街Ц逗贤痤~的5%作為賠償金。本協(xié)議項(xiàng)下的所有賠償是可以累計(jì)的。ARTICLE15.SIGNINGAGREEMENT協(xié)議簽定BothpartiesshallshortsignatthebottomofeachpageofthisAGREEMENT.AllAppendixesaretheintegralpartsofthepresentContractandshallhavetheequalforceastheContractitself,providedbothpartiessignatthebottomofeachpage.Allamendments,supplementsandalterationstothetermsandconditionsofthepresentContractshallbemadeinwrittenformandsignedbyauthorizedrepresentativesofbothpartiestobecometheintegralpartsofthepresentContractandshallhavetheequalforceasthecontractitself.Notice:Anynotice,request,demand,orothercommunicationthatisrequiredorpermittedunderthisAgreementshallbedeemedproperlygivenifitisdepositedinthemail,certified,returnreceiptrequested,andproperlyaddressedtothebuyerandseller.雙方共同在本協(xié)議每一頁的下方簽字。經(jīng)雙方簽字的所有附件為當(dāng)前合同的有效組成部分并具有相同法律效力。所有修改更正在雙方授權(quán)代表簽字后生效，和當(dāng)前合同具有相同效力。說明：任何和本協(xié)議相關(guān)的說明、請(qǐng)求、查詢或信息都應(yīng)以郵件、快遞、掛號(hào)信方式傳遞，地址要正確。ARTICLE16.DIVISIBILITY條款的可分割性IfanyprovisionofthisAgreementisfoundtobeprohibitedbylawandinvalid,orforanyotherreasonifanyprovisionisheldtobeunenforceable,inwholeorinpart,suchprovisionshallbeineffectivetotheextentoftheprohibitionorunenforceabilitywithoutinvalidatingorhavinganyotheradverseeffectuponanyotherprovisionofthisAgreement.如果本協(xié)議的任何條款違法或失效，或者因其他原因部分或全部無法執(zhí)行，則此條款視為無效。這并不影響其他條款。EntireAgreement:ThisAgreement,includingthedocumentsandtheinstrumentsreferredtohereinandattachedhereto,constitutestheentireagreementbetweenthepartiesrelatingtoitssubjectmatterandsupersedesallpriororcontemporaneousnegotiationsoragreements,whetheroralorwritten,relatingtothesubjectmatterhereof.完整協(xié)議：本協(xié)議包括所有已提到和附后的單據(jù)和文件，以及雙方就協(xié)議貨物隨后達(dá)成的口頭和書面協(xié)議或條款。Noextension,modificationoramendmentofthisAgreementshallbebindinguponapartyunlesssuchextension,modificationoramendmentissetforthinawritteninstrument.此協(xié)議的任何擴(kuò)展修改和更正都應(yīng)書面提出，否則對(duì)合同方無約束力。ARTICLE17.PREFERREDSELLERANDEXCLUSIVEBUYER首選賣方及獨(dú)家買方TheSellershallbethenon-exclusiveSellerbutPreferredSellertotheBuyerofusedrailintheTerritory.賣方雖非獨(dú)一賣家，但應(yīng)為買方在賣方國(guó)家內(nèi)首選的賣家。TheBuyershallbetheexclusiveBuyertotheSellerofusedrailworldwide.買方應(yīng)為賣方在全球的唯一廢鋼軌買家。TheSellerherebyirrevocablyundertakesnottosellthesaidcommoditiestoanyotherbuyerdirectlyorindirectly.賣方在此不可撤銷的承諾不將本協(xié)議貨物直接或間接的賣給別的買家。ARTICLE18.RELATIONSHIPOFPARTIES協(xié)議各方關(guān)系TherelationshipbetweentheBuyerandtheSelleristhatofindependentcontractors.Neitherparty,noritsagentsandemployees,shallunderanycircumstancesbedeemedanagentorrepresentativeoftheotherandneithershallhaveauthoritytoactforand/orbindtheotherinanyway,orrepresentthatitisinanywayresponsibleforactsoftheother.ThisAgreementdoesnotestablishajointventure,agencyorpartnershipbetweentheparties.買賣雙方為獨(dú)立的合同方。一方不會(huì)被視為另一方的代理或代表。本協(xié)議并不在雙方間建立聯(lián)合機(jī)構(gòu)或代理。ARTICLE19.GOVERNINGLAW&ARBITRATION適用法律和仲裁ThisAgreementshallbegovernedandinterpretedbythelawsoftheinternationalchamberscommerce.IncasethatanydisputeorcontroversyarisesoutoforinrelationtothisAgreementbetweenbothpartiesshallbesettledamicablybut,incaseoffailure,thesedisputesorcontroversiesshallbefinallysettledinSwitzerlandbyarbitrationinaccordancewithInternationalCommercialArbitrationAssociationwheretheawardshallbefinalbindinguponthepartieshereto.本協(xié)議采用國(guó)際商會(huì)相關(guān)規(guī)定。協(xié)議雙方友好協(xié)商解決爭(zhēng)議，如不能達(dá)成
