《外國投資者并購境內(nèi)企業(yè)規(guī)定》8August,2006promulgatedbysixministriesThenewM&ARules,whichtakeseffectonSeptember8,2006,replacetheoldM&ArulesinChinathatwerepromulgatedin12,2003(InterimProvisionsforForeignInvestorstoMergeandAcquireDomesticEnterprises)ProvisionsforForeignInvesto7Article12(IP)Whereaforeigninvestorintendstoobtaintheactualcontrollingpowerofadomesticenterpriseitplanstotakeover,andifanyimportantindustryisconcerned,orifithasanimpactonormayhaveanimpactonthenationaleconomicsecurity,oritwillleadtothetransferoftheactualcontrollingpowerofadomesticenterprisewhichholdswell-knowntrademarkorahistoricChinesebrandname,thepartiesconcernedshallfileanapplicationwiththeMinistryofCommerce.

(2007)《最高人民法院關(guān)于審理不正當(dāng)競爭民事案件應(yīng)用法律若干問題的解釋》TheinterpretationonSomeIssuesConcerningtheApplicationofLawintheTrialofCivilCasesInvolvingUnfairCompetitionhasbeenpromulgatedbytheSupremePeople’sCourtonJanuary12,2007andcomeintoforceasofFebruary1,2007.InterpretationonSomeIssues12“well-knowncommodities”Commoditiesshallnotbeaffirmedas“well-known”,providedthattheyareonlyfamousoutsidetheterritorybutnotwithintheterritoryofChina.“well-knowncommodities”Commod13enterprisenameorpersonalnameThenameofenterpriseorpersonalnamewhichshallbeprotectedaccordingtolawhasbeenextendedtothebusinessnameofanenterpriseorthepennameorstagenameofanynaturalperson.enterprisenameorpersonalna14TradesecretsInterpretationprovidesthatthenamelistofcustomersamongtradesecretsshallgenerallyrefertothename,address,contactinformation,tradinghabits,tradingintent,andtradingcontentsofcustomersthatconsistofthespecificclientinformationdifferentfromrelevantpublicinformation.TradesecretsInterpretationpr15TradeSecretUnavailabilitytothePublic--CommercialValueandPracticalApplicability--ConfidentialityMeasuresTradeSecretUnavailabilityto16ReverseengineeringInaccordancewithInterpretation,itislegitimateformanagerstoobtainbusinesssecretsbywayofreverseengineering.Nevertheless,itstressesthatreverseengineeringwillnotbeagooddefenseforatradesecretinfringementclaimwherethetradesecrethasbeenobtainedinanirregularwaybefore.ReverseengineeringInaccordan17CivilliabilitiesRemediesforInfringementofTradeSecretTheremediesforinfringementoftradesecretundertheInterpretationincludeinjunctivereliefanddamages.InjunctiveReliefCivilliabilitiesRemediesfor18Damages(i)lostprofitsincurredbythetradesecretownerduetosuchinfringement;or(ii)unjustbenefitobtainedbythedefendantduringsuchinfringement;or(iii)reasonableroyaltywhereneitherlostprofitsnorunjustbenefitorsomecombinationofthetworemediesareapplicable;or(iv)commercialvalueofsuchtradesecretwherethetradesecrethasbeenknowntothepublicduetosuchinfringement.Damages(i)lostprofitsincur19JurisdictionAccordingtotheInterpretation,ingeneraltheintermediatecourtshavejurisdictionoveranyunfaircompetitionclaims.JurisdictionAccordingtotheI20LaborContractLawof2007Thislawcontainsprovisionstoregulatebothemployersandemployeesontradesecretsandintellectualpropertyconfidentialityrelatedissues.

LaborContractLawof2007This21LaborContractLawArticle23Employersandemployeesmayincludetermsintheirlaborcontractrelatingtotheconfidentialityofbusinesssecretsandintellectualproperty.

Inlaborcontractswhichcontainconfidentialityobligations,employerandemployeemayagreeonthecompetitionrestriction.Aftercancellationorterminationofthelaborcontractandduringtheperiodofrestrictedcompetition,compensationshallbepaidonamonthlybasis.Employeeswhobreachtheclausesrestrictingcompetitionshallpayliquidateddamagestotheemployerinaccordancewiththeagreementthereof.

LaborContractLawArticle23E22Con’tArticle24Personnelsubjecttorestrictionsincompetitionshallbelimitedtoseniormanagement,seniortechniciansandotherindividualswithobligationsofconfidentiality.Thescope,areaandtermoftherestrictionshallbeagreeduponbetweentheemployerandtheemployeeandshallnotbeinviolationoflaws,rulesandregulations.

Theterm,inwhichtheemployeeswhoaresubjecttorestrictionsoncompetitioninworkingforacompetingbusinesswhichproducesthesameproductsorservices,orstartsabusinessforthesameproductsorservices,shallnotexceedtwoyears.Con’tArticle24Personnelsubj23Con’tArticle90Ifaworkerterminateshisemploymentcontractinviolationofthislaworbreachesobligationsofconfidentialityorrestrictionsoncompetitionstipulatedinhis/heremploymentcontract,andifsuchviolationorbreachcauseslossestohisemployer,hewillbeheldliablefordamages.Con’tArticle90Ifaworkerte24CHINTv.Schneider(2007)ThejudgmentoftheChineseIPinfringementcaseinthefirstinstancewithhighestdamageclaimwasrenderedinWenzhou,ZhejiangprovinceonSeptember,292007.SchneiderElectricS.A,theworldleaderinthelowervoltageelectricproductsbusiness,wasorderedbyWenzhouIntermediatePeople’sCourttoceasepatentinfringementandpay3.33billionRMBasdamagestoaChineseprivate-ownedenterpriseCHINTGroup.CHINTv.Schneider(2007)Thej25Con’tSchneiderinsistedthatthepatentclaimedbyCHINTshouldbeinvalidandalsofiledaninvalidationrequestagainstCHINT’spatentwiththePatentReexaminationBoardofSIPOduringthelitigationprocess,which,however,wasrefusedbytheBoard.Con’tSchneiderinsistedthatt26Con’tSchneiderwasnotsatisfiedwiththejudgment.SchneiderhasalreadyappealedagainsttherefusalofthePatentReexaminationBoardwithBeijingNo.1IntermediatePeople’sCourt.ButtheCourthasnotyetrenderedthefinaljudgment.Con’tSchneiderwasnotsatisfi27Pfizerv.HuiruiInOct.2007,aBeijingcourtorderedalocalbio-technologycompanytopay200,000yuanincompensationtoPfizerProducts,Inc.fortrademarkinfringement.TheBeijing-basedcompany,namingitselfasHuirui(sameasPfizer’sChinesetradename)biotechnologiesCo.Ltd.andprominentlyusedthenameonitswebsitetopromotesalesofitsproduct..

LaborContractLawof2007This49LaborContractLawArticle23Employersandemployeesmayincludetermsintheirlaborcontractrelatingtotheconfidentialityofbusinesssecretsandintellectualproperty.

Inlaborcontractswhichcontainconfidentialityobligations,employerandemployeemayagreeonthecompetitionrestriction.Aftercancellationorterminationofthelaborcontractandduringtheperiodofrestrictedcompetition,compensationshallbepaidonamonthlybasis.Employeeswhobreachtheclausesrestrictingcompetitionshallpayliquidateddamagestotheemployerinaccordancewiththeagreementthereof.
