-8-CostSharingandIRUAgreement成本分?jǐn)倕f(xié)議核心提示：betweenAAA,LLCandBBB,LLCDated_________(M,D,Y)COSTSHARINGANDIRUAGREEMENTTHISCOSTSHARINGANDIRUAGREEMENT(Agreement)ismadeandenteredintoasofthe_________dayof_________(M,D,Y),byandbetweenAAA,LLC,a_________(STATE)limibetweenAAA,LLCandBBB,LLCDated_________(M,D,Y)COSTSHARINGANDIRUAGREEMENTTHISCOSTSHARINGANDIRUAGREEMENT(Agreement)ismadeandenteredintoasofthe_________dayof_________(M,D,Y),byandbetweenAAA,LLC,a_________(STATE)limitedliabilitycompany(Grantor)andBBB,LLC,a_________(STATE)limitedliabilityacompany(Grantee).RECITALSA.Grantorintendstoconstructanationwidemulticonduit(currentlyestimatedateight11/4conduits,takingintoaccountthisAgreement)fiberopticcommunicationssystem,includingcertainOpampFacilitiesandRegenerationFacilities(assuchtermsaredefinedherein)asgenerallydepictedonExhibitA1attachedheretoandwhichwillconnectthecitiesdescribedonExhibitA2attachedhereto(theGrantorSystem).B.GrantorfurtherintendstoinstallwithinoneoftheconduitsoftheGrantorSystemahighfibercount(currentlyestimatedat96fibers,takingintoaccountthisAgreement)fiberopticcable(asmorefullydescribedinExhibitH,theCable).C.Granteedesirestoownortopossessanindefeasiblerighttouseandcontrolanetworkconsistingof24conduitprotectedfibersandonespareconduitconnectingthecitiesdescribedonExhibitA2attachedhereto.D.GrantorandGranteecancompletetheirdesirednetworkslessexpensivelyifsuchnetworksareconstructedaspartofasingleprojectthanifeachnetworkwereconstructedindependently.E.GrantorandGranteethereforedesiretosharethecostsofconstructingtheGrantorSystem,and,pursuanttosuchsharingofcosts,GrantordesirestogranttoGranteeownershipofand/oranindefeasiblerighttousecertainfacilitiesintheGrantorSystem,alluponandsubjecttothetermsandconditionssetforthbelow.ARTICLE1.DEFINITIONS1.01AcceptanceDateshallmeanthedatewhenGranteedelivers(orisdeemedtohavedelivered)noticeofacceptanceofaCompletionNoticewithrespecttoaSegmentinaccordancewithArticle9.1.02AcceptanceTestingshallhavethemeaningsetforthinSection9.01.1.03AccessPointsshallhavethemeaningsetforthinSection10.01.1.04ActualOperatingExpensesshallmean,withoutduplication,theactualoutofpocketcostsandexpensesreasonablyandnecessarilyincurredbyGrantorinconnectionwiththeoperationoftheGrantorSystem,asmorefullydescribedinExhibitLhereto.1.05AdditionalGranteeFibersshallhavethemeaningsetforthinSection3.01.1.06Affiliateshallmean,withrespecttoanyspecifiedPerson,anyotherPersonthatdirectly,orindirectlythroughoneormoreintermediaries,controls,iscontrolledby,orisundercommoncontrolwith,suchspecifiedPerson.Control(includingthetermscontrolledbyandundercommoncontrolwith)meansthepossession,directlyorindirectly,ofthepowertodirectorcausethedirectionofthemanagementorpoliciesofaPerson,whetherthroughtheownershipofvotingsecurities,bycontractorcreditarrangement,astrusteeorexecutor,orotherwise,providedthat,withrespecttoGrantorandforthepurposeofSections3.04(i),6.04and7.02only,thetermAffiliatesshallnotincludethefollowingPersonsiftheywouldotherwisebeAffiliates:(A)CableMichigan,Inc.,RCNCorporationandCommonwealthTelephoneEnterprises,Inc.(andanyintermediateholdingcompaniesorotherentitiesformedsolelyforthepurposeofowningstockinsuchPersons),unlessGrantororitsotherAffiliatesshallacquiremorethanfiftypercentofthevotingcontrolofsuchPersons,and(B)CaliforniaPrivateTransportationCompany,L.P.,totheextentCaliforniaPrivateTransportationCompany,L.P.hasbeenrequiredtoconstructorinstallfibersorconduitspursuanttotherequirementofanyGovernmentalAuthority.1.07AssociatedPropertyshallmeanthetangibleandintangiblepropertyneededfortheuseoftheGranteeFibersandGranteeConduitaspermittedbythisAgreement,includingtheRegenerationFacilitiesandOpampFacilities,butexcludinginanyandalleventsanyelectronicand/oroptronicequipment.1.08Authorizationshallmeananyconsent,registration,filing,agreement,notarization,certificate,license,approval,permit,authorityorexemptionfrom,byorwithanyGovernmentalAuthorityorotherPerson.1.09CanadianPersonshallmeananyPersonwhichispermittedunderapplicableCanadiantelecommunicationslawstoownoroperateatelecommunicationssystemlocatedinCanada.1.10CBDshallmeanthecommonlyreferredtocentralbusinessdistrictofacity.1.11CommencementDateshallmeanthedateonwhichGrantorcommencesconstructionoftheGrantorSystem,providedthatifGrantorhasnotcommencedsuchconstructiononorpriorto_________(M,D,Y),thentheCommencementDateshallmean_________(M,D,Y).1.12CommencementContributionshallhavethemeaningsetforthinSection4.01.1.13CompletionDateshallmean(i)inthecaseofallSegmentswithinPhaseOneandPhaseTwo,the(***)anniversaryoftheCommencementDateand(ii)inthecaseofallSegmentswithinPhaseThree,theearliertooccurof(a)(***)monthsfromthedatethatGrantorcommencesconstructionofPhaseThreeand(b)the(***)anniversaryoftheCommencementDate,subjectineachcasetoanyForceMajeureEventorGranteeDelayEvent.1.14CompletionContributionshallhavethemeaningsetforthinSection4.01.1.15CompletionNoticeshallhavethemeaningsetforthinSection9.02.1.16Costsshallmeanactual,directcostspaidorpayableinaccordancewiththeestablishedaccountingpro
