-12-SoftwareLicenseAgreement軟件許可協(xié)議核心提示：*CONFIDENTIALPORTIONHASBEENFILEDSEPARATELYWITHTHESECURITIESANDEXCHANGECOMMISSION.ThisAgreementismadeandenteredintobyandbetweenAAACorporation(AAA),acorporationorganizedunderthelawsoftheStateof_________,withitspr*CONFIDENTIALPORTIONHASBEENFILEDSEPARATELYWITHTHESECURITIESANDEXCHANGECOMMISSION.ThisAgreementismadeandenteredintobyandbetweenAAACorporation(AAA),acorporationorganizedunderthelawsoftheStateof_________,withitsprincipalplaceofbusinessat_________andBBBCompany(Licensee),acorporationorganizedunderthelawsoftheStateof_________withitsprincipalplaceofbusinessat_________andiseffectivethedateitisexecutedbyAAA(EffectiveDate).DEFINITIONSA.[]B.DerivativeWork(s)meansaworkwhichhasbeencreatedbaseduponLicensedSoftware,ordocumentationrelatedtotheLicensedSoftware,suchasaportation,localization,enhancement,improvement,revision,modification,translation,abridgment,condensation,expansion,oranyotherform,includinganewworkinwhichtheLicensedSoftwareorsuchdocumentationmayberecast,transformedoradapted,which,ifprepared,usedand/ordistributedintheabsenceofappropriateauthorization,wouldconstituteaninfringementoftheowner’sintellectualpropertyrights.C.DocumentationmeansthedocumentationdescribedinExhibitA.D.LicensedSoftwaremeansthesoftwareinbinarycodeformspecifiedinExhibitAandanyRevisionsoftheLicensedSoftware(ashereinafterdefined),receivedbyLicenseefromAAApursuanttothisAgreement.LicenseeunderstandsandacknowledgesthatportionsoftheLicensedSoftwaremaybelicensedbyAAAfromthirdparties(ThirdPartyPortions)andthatAAA’sperformancehereunderissubjectthereto.AAAagreestousereasonablebesteffortstoenterintoapplicablethirdpartylicensesconsistentwiththisAgreement,andtoobtainanindemnificationbytheapplicableThirdPartyofLicenseeandSublicenseesagainstinfringementbytheThirdPartyPortionssubstantiallyconsistentwiththeindemnificationprovisionprovidedbyAAAinSections7.1(otherthanthelastsentence)and7.2hereof.E.RevisionsoftheLicensedSoftwaremeansmodificationstoorrevisionsoftheLicensedSoftware,inbinarycodeform,thatincorporatechanges,enhancements,andupgradestothefunctionsandcapabilitiesoftheLicensedSoftwaremadebyAAA,ifany,asmaybeprovidedtoLicenseepursuanttothisAgreement.LicenseeshallhavetheoptiontolicensefromAAARevisionsoftheLicensedSoftware,subjecttothetermsspecifiedinExhibitB.AllRevisionsoftheLicensedSoftwareprovidedtoLicenseeshallbeconsideredtobeLicensedSoftwareandshallbesubjecttoalltermsandconditionsofthisAgreement.InconsiderationofthemutualcovenantscontainedinthisAgreement,AAAandLicenseeagreeasfollows:1.LICENSEGRANTTOLICENSEE1.1SubjecttotheprovisionsofthisAgreement,includingallExhibits,AAAgrantstoLicenseeapersonal,worldwide,non-exclusive,non-transferable(exceptasspecifiedinSection1.1cbelow),non-assignable(exceptasspecifiedinSection15below)rightto:a.useandreproducetheLicensedSoftwaresolelyforthepurposespecifiedinParagraph1.2below,inanymedium.ThelicensegrantedhereunderissolelyforLicensee’sinternaluse;andb.usetheDocumentationrelatedtotheLicensedSoftwaresolelyinconjunctionwiththepermitteduseoftheLicensedSoftware;andc.LicenseemaysublicensetheLicensedSoftware,toanyAffiliateasdefinedinSection15below(Sublicensee)providedthat(i)LicenseegivesAAAatleastthirty(30)dayspriorwrittennoticeofsuchsublicense,(ii)theSublicenseeagreestobeboundby,andLicenseeshallensurethatSublicenseeshallperform,alltheprovisionsofthisAgreementapplicabletoLicensee,provided,however,thatsuchSublicenseesshallhavenorighttofurthersublicensetheLicensedSoftware,andSublicenseeshallbesubjecttoallrestrictionsandlimitationsasapplytoLicensee;and(iii)theSublicenseeprominentlydisplaystheGuideIconasalinktotheServiceonasignificantpageof[]SuchlinkwillbenolessprominentthananyotherlinktoageneralInternetorIntranetsearchserviceoranyservicewhichisdirectlycompetitivetoathen-currentsignificantcomponentoftheService.1.2LicenseemayusetheLicensedSoftware[*]includinga[*]inconjunctionwithanInternet-based[*],includingBigYellow.BigYellowasusedhereinmeansthe[*]ownedandoperatedbyLicenseeoraSublicenseepursuanttoSection1.1c.above.NothinginthisAgreementshallbeconstruedasgrantinglicenserightstoLicenseetotheLicensedSoftwarefor[*],including,withoutlimitation,a[*]or[*],withoutthepriorwrittenpermissionofAAA.1.3LicenseeshallhavetherighttomakeasmanycopiesoftheLicensedSoftwareasarenecessaryorappropriateforpurposesofexercisingitslicenserightsunderthisAgreement,butagreesthatallsuchcopieswillcontainthecopyrightnoticesandanyotherreasonableandappropriateproprietymarkingsorconfidentiallegendsthatappearintheLicensedSoftware.1.4LicenseeagreespursuanttothisAgreementnottodecompile,reverseengineer,disassemble,orotherwisedetermineorattempttodeterminesourcecodefortheexecutablecodeoftheLicensedSoftwareortocreateanyDerivativeWorksbasedupontheLicensedSoftwareorDocumentation,excepttotheextentasmayoccuraspartofthejointdevelopmentdescribedinSection8.2below,andagreesnottoallowanyoneelsetodoso.1.5LicenseeacknowledgesthatAAAanditssuppliershaveaproprietaryinterestintheLicensedSoftware.Licenseeagreestousethesameeffortstopreventunauthorizedlicensing,copyingand/oruseoftheLicensedSoftwareasLicenseeusesforitsownmostrigorouslyprotectedsoftware.IfLicenseebecomesawareofanyunauthorizedlicensing,copying,oruseoftheLicensedSoftware,LicenseeshallpromptlynotifyAAAinwriting.2.TITLETitletoandownershipoftheLicensedSoftwareandtheDocumentation,allDerivativeWorksbasedupontheLicensedSoftwareorDocumentationandallworksjointlydevelopedbyAAAandLicensee(whetherinmachine-readableorprintedform,inwholeorinpart,andincludingwithoutlimitationallrelatedtechnicalknow-howandallrightstherein(includingpatents,copyrights,andtradesecretsapplicablethereto)areandshallremaintheexclusivepropertyofAAAanditssuppliers.Licenseeshallnotjeopardize,limitorinterferewiththesuchrightsintheLicensedSoftwareandrelatedDocumentation.3.DELIVERYOFLICENSEDSOFTWARE3.1AAAshalldelivertoLicenseethedeliverablesforLicensedSoftwareassetforthinExhibitA.3.2RevisionsoftheLicensedSoftwareareincludedduringtheInitialTermofthisAgreementandanyrenewaltermsunderSection9.1.a.below;provided,however,RevisionsoftheLicensedSoftwarearenotincluded,duringthefully-paiduplicenseperioddescribedinParagraph9.1.b.below.4.PAYMENTS,TAXES4.1PaymentsbyLicenseeunderthisAgreementshallbemadetoAAAinUnitedStatesdollarstoAAA’saddressfirstspecifiedaboveortosuchotheraddressasmaybeindicatedbyAAAinwritingfromtimetotime.FeesandpaymentschedulesarespecifiedinExhibitB.4.2AllfeesandchargespayablebyLicenseeunderthisAgreementareexclusiveofshipping,handling,andanyfederal,state,municipalorothergovernmentaltaxes,duties,licenses,fees,excisesortariffsnoworhereinafterImposedontheuseoftheLicensedSoftware.Licenseeshallpayalltaxes,whethercurrentlyorhereafterapplicable,assessedorarisingoutofthistransaction,including,withoutlimitation,excise,withholding,salesorusetaxesimposedupontheLicensee,orAAA,butnotincludinganytaxesbaseduponAAA’snetincome.5.CONFIDENTIALINFORMATION5.1EitherAAAorLicenseemaydisclosetotheothercertaininformationthatthedisclosingpartydeemstobeconfidentialandproprietary(ProprietaryInformation).SuchProprietaryInformationwillbeclearlyandconspicuouslymarkedatthetimeofitsfirstdisclosuretothereceivingparty.SuchProprietaryInformationincludes,butisnotlimitedto,thetermsofthisAgreement,andtechnicalandotherbusinessinformationofAAAandLicenseethatisnotgenerallyavailabletothepublic.5.2Exceptasprovidedtherein,thepartyreceivingProprietaryInformationshallusetheconfidentialinformationdisclosedpursuanttothisSection5onlytocarryoutthepurposesspecifiedinthisAgreement,allotherusesthereofbeingprohibited.Thereceivingparty,however,willnotberequiredtokeepconfidentialsuchProprietaryInformationthatbecomesgenerallyavailablewithoutfaultonitspart;isalreadyrightfullyinthereceivingparty’spossessionwithoutrestrictionpriortoitsreceiptfromthedisclosingparty;isindependentlydevelopedbythereceivingparty,isdisclosedbythirdpartieswithoutsimilarrestrictions;isrightfullyobtainedbythereceivingpartyfromthirdpartieswithoutrestriction;orisotherwiserequiredbylaworjudicialprocess.6.MUTUALREPRESENTATIONSANDWARRANTIES6.1Representations,Warranties,andLimitationofLiabilityLimitedWarranty:AAArepresentsandwarrantstoLicenseethat:(i)AAAisthesoleandexclusiveownerofallintellectualpropertyrightsinandtoAAA’sproprietaryportionofLicensedSoftware.(ii)AAAhasalllegalrightandauthoritytograntandconveytoLicenseetherightsandlicensescontainedinthisAgreementwithoutviolationorconflictwithanylaw.(iii)Thereisnoaction,suit,claim,arbitration,orotherproceedingpendingorthreatenedwhichquestionsthisAgreementorAAA’sownershipoftheLicensedSoftwareoranyintellectualpropertyrightstherein
