PurchaseandSaleContractforRealEstateinShanghaiMunicipalitySpecialAnnouncement1。ThisContractismadeasmodelcontractbyShanghaiHousingandLandAdministrationBureauandShanghaiAdministrationofIndustryandCommercepursuantto“ContractLawofPeople’sRepublicofChina”and“MeasuresonTransofRealEstateinShanghaiMunicipality,”whichmaybeadopteduponconsentofinterestedpartiesorusedasreferencecontext。ThisContractmaybeappliedtothepurchaseandsaleofrealestateexceptcommodityhousestobepre—soldorsoldbydevelopersorstate—ownedhousestobesold。TheinterestedpartiestothisContractmayfillintheblankshereinafternegotiationandagreement,andthecontentbracketedby[]couldbeselectedbycrossingthecontentwhichthepartiesdonotwishtoselect。ThepartiesshallmadeandenterintothisContractadheringtoprincipleofwillingnessandfairness,andshallnoticethefollowingissues:(1)RightofJoint-OwnersRegistrationofpropertyrightisdividedintotwokindsofsingleownershipandjointco—ownership,andco—ownershipmeansthattwoormoreownersenjoytherightsofownershiprespectingthesameproperty,inthisregard,theco—ownerorownersregisteredattheTitleCertificateshallalsoexecutethisContract。TheownerorownersregisteredattheTitleCertificateshallobtainhis/herspouseconsent,andalsoshallbeliableforanyobjectionaftersell.DepositDepositispaidtosecureperformanceofthisContract,andthepartiesmaymakeagreementonsuchasamountanddateofpaymentinAppendix3hereto.(3)HandoverofPropertyItreferstotheprocessoftheSeller’sdeliveringthePropertytotheBuyeratthedateandmannerasagreedandtheBuyerspectio’inandacceptance。Thepartiesshall1expresslystipulatethedateofhandover,inspectionandacceptanceanddeliverymanneraswell。(4)PropertyQualityClauseofPropertyismandatoryinthisContract,andthepropertyshallbekeptinnormalfunction.Ifthepropertyistobeusedafterreasonabletermofuse,theownershallentrustrelevantqualifiedreconnaissanceunitanddevisingunitforappraisal。(5)PriortoexecutionofthisContract,theBuyershallgototheLandandHousingExchangeCentertolookuprelevantrecordofregistration(file)andmakeconfirmationonpossibilityoftitledisputeandencumbrancessothattoprotectselfinterest。(6)IfthePropertyislet,theSellershallnotifyrelevanttenantthreemonthspriortosell,andsuchtenanthasapriorityrighttopurchasethePropertyunderequivalentcondition.Ifsuchtenantabandonsthepriorityright,theBuyershallcontinuetoperformleasecontractandexecuteacontractwithsuchtenantrespectingchangeininterestedparty。(7)IfthePropertyismortgaged,theSellershallgiveapriorwrittennoticetothemortgageewithconsensusonsuchissue,inmeantime,shallalsodisclosesuchissuetotheBuyer.(8)LandUseRightafterPropertyTransactionTheuserightofstate-ownedlandwherealivinghouseiscoveredtransferswithsellofthelivinghouse,andArticle3(1)shallbeappliedintheeventthatthetermoflanduserightisremarkedonthePropertyTitleCertificate.(9)TransferofHukouRelatedtothePropertyPerformanceofthisContractwouldalsobeaffectedontheconditionthattheoldHukourelatedtothePropertycouldbemovedoutinatimelymannerornot。ThepartiesmayinsertprovisionsassuchintoSupplementaryClauses。(10)MaintenanceandRepairFundPursuantto“RulesonLivingHouseManagementinShanghaiMunicipality”,thepartiesshallgiveawrittennoticerespectingthepropertytransfertothelandlordmanagementcommitteeandpropertymanagementunitwithintendaysupon2effectivenessofthisContract,andhandlechangethenameofaccountofmaintenanceandrepairfund。ThepartiesmaystipulateintheSupplementaryClauseswithrespecttobalanceinaccountofmaintenanceandrepairfund.5。Ifanyappointofqualifiedrealestatebrokertosupplyservicesasagentormediacyarises,suchbrokershallsignandsealinAppendix6,inwhichinformationofsuchbrokershallbeexpressivelyshowninArticle1forbasisofcomplaintwheneveranydisputearisesbetweenthepartiesandthebrokercompany/orbroker。6。“ArbitrationLawofPeople’sRepublicofChina”stipulateseitherarbitrationortrial,andthepartiesshallnotbringactionwithcourtoncechooseofarbitration。Ifthepartiesdonotwishtobringactionwithcourtinsteadofarbitration,Article13inthisContractcouldbecrossed.3PartyA(theSeller):PartyB(thePurchaser):PartyAandPartyBhavemadeandenteredintothisContractonthebasisofequality,voluntarywillandhavingreachedunanimitythroughmutualnegotiation.Article1PartyAandPartyB,[withoutthroughbrokercompany][through_______________companyasmidacy]agreetotransfertoPartyBthePropertyanduserightofthelandwheresuchPropertyiscovered(“Property”),andinformationofthePropertyisgivenasfollows:1)PartyAhasobtainedthePropertyTitleCertificate,thenumberofthePropertyTitleCertificateis;(2)thePropertyislocatedat,typeofthePropertyisnewlanehouse;(3)theconstructionareaofthePropertyissquaremeters,and[theusagearea]theproportionatearea]ofthelandlotis____squaremeters;thefloorplanandcoveringlimitsaretobedescribedinAppendix1;(5)thelanduserightoccupiedbythePropertycoversisfallenwithin[stateownedlanduseright][collectiveownedlanduseright];andthestateownedlanduserightisacquiredbymeansof[grant][allocation];furbishingandfacilities(excludingancillaryequipmentrelatedtheProperty)tobetransferredwiththePropertyissetforthinAppendix2;(7)therelevantaffairsofthesaidProperty(i。e.,mortgages,leases,neighborhood,etc。)aresetforthinAppendix5。PartyApromisestodiscloseconditionofthePropertytitle,furbishingandfacilitiesandotheraffairs,andPartyBfullyunderstandstheaforesaidmattersandiswillingtopurchasetheProperty。Article2PartyAandPartyBagreetosellandpurchasethesaidPropertyatthepriceof(_____currency)(inwords):.4PartyB’spaymentmethodandtermshallbesetforthinpaymentclauses(Appendix3),andPartyAshalldelivertaxinvoicetoPartyBafterreceivingPartyB’spayment.Article3ThelanduserightshallbehandledaccordingtoClause___upontransferofthesaidPropertybyPartyA。thelanduserightoccupiedbythesaidPropertyshallcommencefrom________andterminateon________。AfterPartyAtransfersthePropertytoPartyB,therightsandobligationsasstatedinLandGrantContractshallbetransferredtoParty。Bformalitiesofgrantoflanduserightaretobehandledunderlaw,regulationsandrulesofPeople’sRepublicofChina,andlandpremiumshallalsobepaid._____________________________________________________________________________________________________________________________Article4BothpartiesagreethatPartyAshallemptythePropertyandnotifyPartyBtohandleinspectionanddeliveryproceduresofthesaidPropertypriorto_________。Within_____daysafterreceiptofsuchnotification,PartyBshallcheckandinspecttheProperty,furbishingandfacilities.[Executionofdeliverysheet][PartyAdeliveryofkeystothesaidPropertytoPartyB][______________]isdeemedastotransferoccupancyofthesaidProperty.Article5PartyApromisestoassumecompensationforfurbishingandfacilitiesassetforthinAppendix2tothesaidPropertyincaseofanydamagesorbeingremovedbasedupon[____timesestimatedvalue][actualvalue________Renminbi].Article6Bothpartiesconfirmthat[bothpartiesjointlyentrust][entrustPartyA][entrustPartyB][entrust___________]toapplyandhandletransferprocedureswithHouseandLandExchangeCenterwithin_______daysuponexecutionofthisContract.ThedateoftransferofthesaidPropertytitleshallbesubjecttothereceiptdatewhenShanghaiLuwanHouseandLandExchangeCenteracceptsapplicationofsuchtransfer,unlessitrefusessuchapplicationpursuanttorelevantlaw.5PartyApromisestopositivelyassistPartyBorPartyA'sagentinhandlingtransferprocedures。IfPartyAintentionallydelaysorrefusestosupplynecessarydocumentsinatimelymanner,PartyBisentitledtoclaimagainstPartyA’sliabilitiesasstipulatedinArticle10herein。Article7AssumptionofriskrelatedtothesaidPropertyistransferredtoPartyBatthedateof[transferofthePropertyTitle][transferofoccupancyoftheProperty].Article8PartyAandPartyBshallrespectivelypayfeesandtaxespursuanttorelevantlawandregulationsuponeffectivenessofthisContract.Unpaidfeesandchargesofmanagement,water,electricity,naturalgasandtelecommunicationandassucharetobepaidaccordingtoAppendix4priortotransferof[thesaidPropertytitle][occupancyoftheProperty]。Feesandchargesincurredaftertransferof[thesaidPropertytitle][occupancyoftheProperty].Article9IfPartyBfailstopaythepurchasepricewithintheagreedtimelimit,PartyBshallpaytoPartyApenaltyinterestonarateof0.000___%foreachdaybasedondelayedamountfromthedatefollowingthedateonwhichthepaymentshallbemadeuntilthedateonwhichthepaymentisactuallymade.IfPartyBdelaystopaythepurchasepricefor____days,PartyAshallhavetherighttoclaimagainstPartyBbywayofstatedinClause___belowinadditiontopaymentofpenaltyinterestfor___daysbyPartyBtoParty:thisContractshallcontinuetobeperformed,andPartyBshallalsopaytoPartyAthepenaltyinterestonarateof0。000____%foreachdaybasedondelayedamountuntilthedateonwhichthepaymentisactuallymade。PartyAhasrighttounilaterallyterminatethisContractprovidedthatPartyBisliableforcompensationatrate__%ofthepurchasepriceuponreceiptofPartyA’ssuchwrittennotice,andPartyAmaydeductthesumequivalenttothepenaltyinterestandcompensationfromamountpaidbyPartyBandrefundtheremainingamounttoPartyB.IftheamountpaidbyPartyBisinsufficientforthepenaltyinterestandcompensation,PartyBshallpaytoPartyAwithin___daysupon6receiptofsuchwrittennotice._________________________________________________________________________________________________________________Article10IfPartyAfailstohandoverthesaidPropertyinaccordancewiththisContract(includinghandoverofthePropertyandtransferofthePropertytitle),PartyAshallpayPartyBthepenaltyinterestonthepurchasepricealreadyreceived。Thepenaltyinterestshallbecalculatedbasedontherateof0。000_%fromthedayfollowingthedateonwhichthesaidPropertyshouldbedeliveredpursuanttoArticle4andArticle6untilthedateofactualdelivery.Ifthehandoverisdelayedmorethan__days,PartyBshallhavetherighttomakeclaimsagainstPartyBbywaystatedinClauseCbelow:1)PartyAshallpaytoPartyB0。000__%ofallamountPartyBhaspaidaspenaltyinterestuntilthedateonwhichthehandoverisactuallycompletedandthisContractshallcontinuetobeperformed。2)PartyBshallhavetherighttounilaterallyterminatethisContractuponservingwrittennoticeonPartyA.PartyAshall,withindaysfromreceiptofthenotice,refundPartyBofallthepurchasepricepaidbyPartyB,aswellasapenaltywhichisofthetotalpurchaseprice。(3)___________________________________________________________________________________________________________________Article11Thepartiesmayexecutesupplementaryclausesuponmutualagreementpursuanttorelevantlawandregulations。TheSupplementalClausesexecutedbybothPartyAandPartyBshallformanintegralpartofthisContract.SupplementalClausesshallhavethesamelegaleffectasthecontextofthisContract.Article12ThisContractcomesintoeffectupon[executionbyPartyAandPartyB]not
