面積確認(rèn)及面積差異處理。Article5Areaconfirmationanddifferencetreatment根據(jù)當(dāng)事人選擇的計(jì)價(jià)方式,本條規(guī)定以【建筑面積】【套內(nèi)建筑面積】(本條款中均簡(jiǎn)稱面積)為依據(jù)進(jìn)行面積確認(rèn)及面積差異處理。Accordingtothevaluationmodewhichinterestedpartieschoosed,thisarticlestipulatestheareaconfirmationanddifferencetreatmentaccordingto[buildingarea][usablearea](hereinaftercalledareaforshort).當(dāng)事人選擇按套計(jì)價(jià)的,不適用本條約定。PartiesselectedpriceaccordingtoSet,thisclauseshallnotapply.合同約定面積與產(chǎn)權(quán)登記面積有差異的,以產(chǎn)權(quán)登記面積為準(zhǔn)。Foranydifferencesincontractedareaandregistrationarea,theregistrationareawillbetakenasthestandard.商品房交附后,產(chǎn)權(quán)登記面積與合同約定面積發(fā)生差異,雙方同意按第種方式進(jìn)行處理;Aftertheapartmentistransferredtothebuyer,foranydifferencesincontractedareaandregistrationarea,bothpartieswillagreetomanageaccordingtothefollowingterm:1.雙方自行約定:Specialagreementbybothparties2.雙方同意按以下原則處理:2.Bothpartieswillagreetomanageaccordingtothefollowingprinciple:(1)面積誤差比絕對(duì)值在3﹪以內(nèi)(含3﹪)的,據(jù)實(shí)結(jié)算房?jī)r(jià)款:Iftheabsolutevaluedifferenceiswithin3%(include3%),thechargewillbeaccordingtoactualamount.(2)面積誤差比絕對(duì)值超出3﹪時(shí),買受人有權(quán)退房。Iftheabsolutevaluedifferenceisexceeds3%(include3%),thebuyerhasrightstocanceltheorder.買受人退房的,出賣人在買受人提出退房之日起30天內(nèi)將買受人已付款退還給買受人,并按利率付給利息。Forthebuyerwhocancelstheorder,thesellermustreturnthemoneytobuyerwithin30daysafterbuyermaketheordercancelapplication,andpaytheinterestsratesaccordingto%.買受人不退房的,產(chǎn)權(quán)登記面積大于合同約定面積時(shí),面積誤差比在3﹪以內(nèi)(含3﹪)部分的房?jī)r(jià)款由買受人補(bǔ)足;超出3﹪部分的房?jī)r(jià)款由出賣人承擔(dān),產(chǎn)權(quán)歸買受人。產(chǎn)權(quán)登記面積小于合同約定面積時(shí),面積誤差比絕對(duì)值在3﹪以內(nèi)(含3﹪)部分的房?jī)r(jià)款由出賣人返還買受人;絕對(duì)值超出3﹪部分的房?jī)r(jià)款由出賣人雙倍返還買受人。Forthebuyerwhochoicenotcanceltheorder,iftheregistrationareasiswithin3%(including3%)biggerthancontractedarea,theexceededamountshouldbesupplementedbythebuyer;forthecasewhichismorethan3%,theexceededamountshouldbebornbytheseller,thepropertyrightsbelongstothebuyer.Iftheregistrationareasissmallerthancontractedarea,thearearatioiswithin3%(including3%),theexceededamountmustbereturnedtothebuyer;theamountwhicharemorethan3%mustbedoubledandreturntothebuyer.產(chǎn)權(quán)登記面積-合同約定面積Registrationareas-Contractedarea面積誤差比= contractedarea因設(shè)計(jì)變更造成面積差異,雙方不解除合同的,應(yīng)當(dāng)簽署補(bǔ)充協(xié)議。Thedifferencecausedbythedesignmodification,whichbothpartiesdoesnotterminatethecontract,buyerandsellershouldsigncomplementaryagreementofcontract.第六條 付款方式及期限。Article6PaymentandDeadline買受人按下列第種方式按期付款:Thebuyermustmakethepaymentaccordingtothemode1. 一次性付款FullPaymentinonce2. 分期付款I(lǐng)nstallmentPayment3. 其他方式Others第七條 買受人逾期付款的違約責(zé)任。Article7Breachofcontractresponsibilityforoverduepayment買受人如未按合同規(guī)定的時(shí)間付款,按下列第種方式處理:Ifthebuyercannoteffectthepaymentinthestipulatedtime,heorshewillbetreatedinthemode:1.按逾期時(shí)間,分別處理(不作累加)Accordingtothelatepaytime,processrespectively(notcumulative)(1)逾期在日之內(nèi),自本合同規(guī)定的應(yīng)付款期限之第二天起至實(shí)際全額支付應(yīng)付款之日止,買受人按日向出賣人支付逾期應(yīng)付款萬分之的違約金,合同繼續(xù)履行;Iftheoverduedateiswithin__days,fromthe2ndduepaymentdatetotheactualpaymentdate,thebuyershouldpaytotheseller%defaultfineaccordingtotheoverduedate,thecontractwillcontinuetobeperformed.(2)逾期超過日后,出賣人有權(quán)解除合同。出賣人解除合同的,買受人按累計(jì)應(yīng)付款﹪向出賣人支付違約金。買受人愿意繼續(xù)履行合同的,經(jīng)出賣人同意,合同繼續(xù)履行,自本合同規(guī)定的應(yīng)付款期限之第二天起至實(shí)際全額支付應(yīng)付款之日止,買受人按日向出賣人支付逾期應(yīng)付款萬分之(該比率應(yīng)不小于第(1)項(xiàng)中的比率)的違約金。Iftheoverduedateisexceeds__days,thebuyerhastherightstoterminatethecontract.thebuyershouldpaytotheseller%defaultfineaccordingtotheoverduedate,Ifbuyerstillwillingtocontinuethecontract,afterselleragrees,thecontractwillcontinuetobeperformed,fromthe2ndduepaymentdatetotheactualpaymentdate,thebuyershouldpaytotheseller%(thisratiocannotlessthantheratesin(1))defaultfineaccordingtotheoverduedate.本條中的逾期應(yīng)付款指依照本合同第六條規(guī)定的到期應(yīng)付款與該期實(shí)際已付款的差額;采取分期付款的,按相應(yīng)的分期應(yīng)付款與該期的實(shí)際已付款的差額確定。Theoverduepaymentinthisarticlereferstothebalancebetween6tharticleduepaymentandactualeffectedpayment;forinstallmentpayment,itshouldbedecidedbythebalancebetweendueinstallmentandactualpayment.第八條 交付期限Article8Deliverydeadline出買人應(yīng)當(dāng)在年月日前,依照國(guó)家和地方人民政府的有關(guān)規(guī)定,將具備下列第種條件,并符合本合同約定的商品房交付買受人使用:Accordingtothestate’sandlocalgovernmentregulations,thesellershouldhandoverthecommercialresidentialbuilding,whichpossessthebelowconditions,asstipulatedbythecontract,tothebuyerbefore1.該商品房經(jīng)驗(yàn)收合格。Thiscommodityresidentialbuildingisinspectedtobequalified.2.該商品房經(jīng)綜合驗(yàn)收合格。Thiscommodityresidentialbuildingiscomprehensivelyinspectedtobequalified.3.該商品房經(jīng)分期綜合驗(yàn)收合格。Thiscommodityresidentialbuildingisinstallmentinspectedtobequalified.4.該商品房取得商品住宅交付使用批準(zhǔn)文件。Thiscommodityresidentialbuildingobtainedtheapprovaldocumentsofcommercialresidentialhandoverforusage.5.但如遇下列特殊原因,除雙方協(xié)商同意解除合同或變更合同外,出賣人可據(jù)實(shí)予以延期:Butincaseofthefollowingexceptionalreasons,exceptforbothpartiesagreetheterminationoralternationofcontract,thesellercanprolongthedeadlineasperactualfact.遭遇不可抗力,且出賣人在發(fā)生之日起日內(nèi)告知買受人的;Encounteredwithmajeure,andsellerinformedthebuyerwithindaysafterthemajeureoccurs;第九條 出賣人逾期交房的違約責(zé)任。Article9Responsibilityofdelayinhandoverapartment除本合同第八條規(guī)定的特殊情況外,出賣人如未按本合同規(guī)定的期限將該商品房交付買受人使用,按下列第種方式處理:Exceptforthespecialcasesstipulatedinarticle8,ifthesellercannothandovertheapartmenttobuyerinthestipulatedscheduleinthiscontract,thebuyershouldbetreatedinthefollowingmode:1.按逾期時(shí)間,分別處理(不作累加)Accordingtotheoverduetime,thesellershouldbetreatedseparately(notbeaccumulated)(1)逾期不超過日,自本合同第八條規(guī)定的最后交付期限的第二天起至實(shí)際交付之日止,出賣人按日向買受人支付已交付房?jī)r(jià)款萬分之的違約金,合同繼續(xù)履行;Foroverduedatelessthandays,fromthe2nddayofdeadlinestipulatedinarticle8totheactualdeliverday,thesellershouldpay_____%defaultfineofthealreadyeffectedpayment,thiscontractwillbeperformedcontinuously.(2)逾期超過日后,買受人有權(quán)解除合同。買受人解除合同的,出賣人應(yīng)當(dāng)自買受人解除合同通知到達(dá)之日起天內(nèi)退還全部已付款,并按買受人累計(jì)已付款的﹪向買受人支付違約金。買受人要求繼續(xù)履行合同的,合同繼續(xù)履行,自本合同第八條規(guī)定的最后交付期限的第二天起至實(shí)際交付之日止,出賣人按日向買受人支付已交付房?jī)r(jià)款萬分之(該比率應(yīng)不小于第(1)項(xiàng)中的比率)的違約金。Foroverduedatemorethandays,thebuyercanterminatethecontract.Inthiscase,thesellershouldreturnallthepaymentwithindaysafterthedateoftermination,andpay__%defaultfineofthealreadyeffectedpayment.Ifthebuyerrequestscontinuouslyperformthecontract,thiscontractwillbeperformedcontinuously.Fromthe2nddayofdeadlinestipulatedinarticle8totheactualdeliverday,thesellershouldpaythebuyer%(thisratiocannotbelessthantheratesin1)ofthealreadyeffectedpayment第十條 規(guī)劃、設(shè)計(jì)變更的約定Article10Agreementontheplanninganddesigningvariation經(jīng)規(guī)劃部門批準(zhǔn)的規(guī)劃變更、設(shè)計(jì)單位同意的設(shè)計(jì)變更導(dǎo)致下列影響到買受人所購商品房質(zhì)量或使用功能的,出賣人應(yīng)當(dāng)在有關(guān)部門批準(zhǔn)同意之日起10日內(nèi),書面通知買受人:Theplanninganddesigningvariationagreedbygovernmentordesigningorganization,whichaffectsthecommodityresidentialqualityandusageofbuyer,thesellershouldsendwrittennotificationtothebuyerwithin10daysaftertheapprovalupontherelatedauthority:(1)該商品房結(jié)構(gòu)形式、戶型、空間尺寸、朝向;Theconsstructtion,layouut,sppaceddimenssion,orienntatioon;買受人有權(quán)在通知知到達(dá)之日起起15日內(nèi)做出是是否退房的書書面答復(fù)。買買受人在通知知到達(dá)之日起起15日內(nèi)未作書書面答復(fù)的,視視同接受變更更。出賣人未未在規(guī)定時(shí)限限內(nèi)通知買受受人的,買受受人有權(quán)退房房。Thebuyeerhasstherighttstoreplyyinwwritteenworrdsreegardiingwhhetherrtoccancelltheorderrwithhin155dayssafteerrecceivinngtheenotiice.IIftheebuyeerdiddn’tcanncelttheorrderwwithinn15ddaysaafterreceiivingthennoticee,itwillbereegardeedasaccepptanceetotthevaariatiion.IIftheeselllerhaasn’tnotticedthebbuyerwithiinstiipulattedtiime,tthebuuyerhhasriightstocaanceltheoorder..買受人退房的,出出賣人須在買買受人提出退退房要求之日日起天內(nèi)將買受受人已付款退退還給買還人人,并按利率付給利利息。買受人人不退房的,應(yīng)應(yīng)當(dāng)與出賣人人另行簽訂補(bǔ)補(bǔ)充協(xié)議。Ifthebbuyercanceeltheeordeer,thheselllermmustrreturnntheeffecctedppaymenntwitthin__daaysafftertthereequesttismmade,andaalsoppaythheintteresttsacccordinngto%.IIftheebuyeerdonn’tcanncelttheorrder,heorrsheshoulldsiggnsuppplemeentaryyagreeementtwithhtheselleer.第十一條交接接Articcle111Handdover商品房達(dá)到交付使使用條件后,出出賣人應(yīng)當(dāng)書書面通知買受受人辦理交付付手續(xù)。雙方方進(jìn)行驗(yàn)收交交接時(shí),出賣賣人應(yīng)當(dāng)出示示本合同第八八條規(guī)定的證證明文件,并并簽署房屋交交接單。所購購商品房為住住宅的,出賣賣人還需提供供《住宅質(zhì)量量保證書》和和《住宅使用用說明書》。出出賣人不出示示證明文件或或出示證明文文件不齊全,買買受人有權(quán)拒拒絕交接,由由此產(chǎn)生的延延期交房責(zé)任任由出賣人承承擔(dān)。Whentheecommmodityyresiidentiialmeeetthheusaagecoonditiion,ttheseellershoulldsenndwriittennotifficatiiontoothebuyerrtommakehhandovverprroceduure.DDuringgthehandoover,thessellerrmusttissuuetheeprooofdoccumenttsstiipulattedinnartiicle88,anddsignntheresiddentiaalhanndoverrsheeet.Foortheeresiidentiialwhhichbbelonggstohabittationn,theeselllerallsoneeedtooprovvidetthe[hhabitaationqualiityguuaranttee]aand[hhabitaationusageeinsttructiions]..Ifssellerrfaillstoissueetheaboveedocuumentssoriissueincommpleteedocuumentss,theebuyeerhassrighhtstoorefuuseaccceptiingthhehanndoverr;dellaycaausedbythhiscaasewiillshhallbbebeaarwitththeeselller.由于買受人原因,未未能按期交付付的,雙方同同意按以下方方式處理:Forthedelayyhanddovercauseedbythebbuyer,,bothhparttiesaagreeddtommanageeasbbelow::第十二條出賣賣人保證銷售售的商品房沒沒有產(chǎn)權(quán)糾紛紛和債權(quán)債務(wù)務(wù)糾紛。因出出賣人原因,造造成該商品房房不能辦理產(chǎn)產(chǎn)權(quán)登記或發(fā)發(fā)生債權(quán)債務(wù)務(wù)糾紛的,由由出賣人承擔(dān)擔(dān)全部責(zé)任。Article12seellermustensurretheeresiidentiialsooldwiithouttproppertyrighttsanddcredditor''srigghtdiisputees.Unnabletomaakeprroperttyrigghtsrregisttratioonoroccurrrenceeinddisputtes,tthereesponssibiliitymuustbeebornnbyttheseeller..第十三條出賣賣人關(guān)于裝飾飾、設(shè)備標(biāo)準(zhǔn)準(zhǔn)承諾的違約約責(zé)任。Article13SeellerbreacchofDecorrativeeequiipmenttstanndardssprommise出賣人交付使用的的商品房的裝裝飾、設(shè)備標(biāo)標(biāo)準(zhǔn)應(yīng)符合雙雙方約定(附附件三)的標(biāo)標(biāo)準(zhǔn)。達(dá)不到到約定標(biāo)準(zhǔn)的的,買受人有有權(quán)要求出賣賣人按照下述述第種方式處理理:Thedecoorativveequuipmenntstaandarddshanndoverrbyttheseellershoulldmeeettheestanndardagreeedbybothpartiies(AAppenddix3)).Ifnotaachievvetheestanndard,,thebuyerrhastherrightsstommanageeaccoordinggtotthefoollowiing____modee.1.出賣人賠償雙倍倍的裝飾、設(shè)設(shè)備差價(jià)。Theselllerccompennsatessthedecorrativeeequiipmenttinddoubleebalaanceooftheediffferentt.第十四條出賣賣人關(guān)于基礎(chǔ)礎(chǔ)設(shè)施、公共共配套建筑正正常運(yùn)行的承承諾。Article14Prromiseeofssellerrontthenoormalusageeofiinfrasstructture,publiicafffiliattedeqquipmeents出賣人承諾與該商商品房正常使使用直接關(guān)聯(lián)聯(lián)的下列基礎(chǔ)礎(chǔ)設(shè)施、公共共配套建筑按按以下日期達(dá)達(dá)到使用條件件:Theselllerprromiseethefolloowinginfraastruccture,,affiiliateedequuipmenntsdiirectllyrellateswiththennormallusaggeofthisresiddentiaalachhievetheuusagecondiitionaccorrdingtothhebellowdaate:如果在規(guī)定日期內(nèi)內(nèi)未達(dá)到使用用條件,雙方方同意按以下下方式處理::Ifonthhestiipulatteddaatedooesnootmeeettheecondditionnsofuse,theppartieesagrreeassfolllows:第十五條關(guān)于于產(chǎn)權(quán)登記的的約定。Article15Aggreemeentsoontheeproppertyrighttsreggistraation出賣人應(yīng)當(dāng)在商品品房交付使用用后日內(nèi),將辦辦理權(quán)屬登記記需由出賣人人提供的資料料報(bào)產(chǎn)權(quán)登記記機(jī)關(guān)備案。如如因出賣人的的責(zé)任。買受受人不能在規(guī)規(guī)定期限內(nèi)取取得房地產(chǎn)權(quán)權(quán)屬證書的,雙雙方同意按下下列第項(xiàng)處理:Theselllershhouldsubmiittheerelaatedddocumeentsrrequesstedfformaakingpropeertyrrightssregiistrattionttotheeresiidentiialaddminisstratiiondeeptanndmakketheeproccedureeinddaysaafterhandoover.Ifthhebuyyercaannotgettthereegistrrationnpropprietaaryceertifiicateintiimecaausedbythheselller,bothpartiiesaggreettotreeatinnthefolloowingmodee:1.買受人退房,出出賣人在買受受人提出退房房要求之日起起日內(nèi)將買受受人已付房?jī)r(jià)價(jià)款退還給買買受人,并按按已付房?jī)r(jià)款款的﹪賠償買受人人損失。Thebuyeercanncelstheoorder,,theselleermusstretturnttheefffecteedpayymentwithiinxxdaysafterrbuyeerraiisedtthereequireement,,andcompeensateethebuyerrwithh%oftheeeffecttedpaaymentt.2.買受人不退房,出出賣人按已付付房?jī)r(j
