23Theessentialqualitiesofanorderareaccuracyandclarity.Anorderoranorderlettershould:includefulldetailsofdescription,quantitiesandpricesandquotearticlenumbers,ifany;statemodeofpacking,portofdestinationandtimeofshipment;confirmthetermsofpaymentasagreeduponinpreliminarynegotiations.4Theyshould:expresspleasureatreceivingtheorder;addafavourablecommentonthegoodsordered;includeanassuranceofpromptandcarefulattention;drawattentiontootherproductslikelytobeofinterest;hopeforfurtherorders.5Thebuyer’sobligationsWhenabindingagreementcomesintoforce,thebuyerisrequiredbylaw:toacceptthegoodssupplied,providedtheycomplywiththetermsoftheorder;topayforthemaccordingtothetermsagreedupon;tocheckthegoodsassoonaspossible)failuretogivepromptnoticeoffaultstothesellerwillbetakenasacceptanceofthegoods)6Theseller’sobligationsThesellerisrequiredbylaw:todelvergoodsexactlyofthekindordered,andattheagreedtime;toguaranteethatthegoodstobesuppliedarefreefromfaults7UsefulExpressionsWeencloseatrialorder.Ifthequalityisuptoourexpectation,weshallsendfurtherordersinthenearfuture.Yourpromptattentiontothisorderwillbeappreciated.Ifthisfirstorderissatisfactorilyexecuted,weshallplacefurtherorderswithyou.Weencloseourorder,butmustpointoutthatthefallingmarketherewillleaveuslittleornomarginofprofit.Wemustaskyouforabetterpriceinrespectoffuturesupplies.8Thematerialsuppliedmustbeabsolutelywaterproof,andweplaceourordersubjecttothisguarantee.Whilethankingyouforyourorder,wehavetoexplainthatsuppliesofrawmaterialsarebecomingmoreandmoredifficulttoobtain,andwehavenoalternativebuttodeclineyourorder.Itisregrettabletoseeanorderdroppedowingtonoagreementonprice;however,wewishtorecommendyouanotherqualityatalowerpriceforyourconsideration.9Part1paymentLetterofcredit信用證:irrevocabledocumentarycredit不可撤銷跟單信用證，revolvingcredit循環(huán)信用證，standbycredit備用信用證，back-to-backcredit對背信用證跟單信用證各方：theapplicant(importer/buyer)開證申請人，theissuingbank開證行，theadvisingbank通知行，theconfirmingbank保兌行，thenominatedpaying/negotiating/acceptingbank指定的付款行、議付行、承兌行，thebeneficiary(seller/exporter)受益人Ourtermsofpaymentarebyconfirmed,irrevocableletterofcreditinourfavour,availablebydraftatsight,reachingusonemonthaheadofshipment,remainingvalidfornegotiationinChinaforanother21daysaftertheprescribedtimeofshipment,andallowingtranshipmentandpartialshipment.10UsefulexpressionsItwouldbeadvisableforyoutoestablishthecoveringletterofcreditasearlyaspossiblesoastoenableustoarrangeshipmentinduetime.WehavenotyetreceivedyourletterofcreditagainstourSalesConfirmationNo.3246althoughitshouldhavereachedusbytheendofMarch,asstipulated.11Weareunabletoeffectshipmentaccordingtothepriceandothertermsoriginallyagreeduponowingtothedelayofyourletterofcredit,andthereforetheresponsibilityforanylossarisingsubsequentlywillwhollyrestwithyou.12Wewishtodrawyourattentiontothefactthatthegoodshavebeenreadyforshipmentforalongtimeandthecoveringletterofcredit,duetoarriveherebeforeMarch15th,hasnotbeenreceiveduptonow.Pleaseletusknowthereasonforthedelay.
