PAGEPAGE1戰(zhàn)略合作框架協(xié)議書StrategicCo-operationFrameAgreement甲方：翎鎧威爾國際投資（北京）有限公司PartyA:翎鎧威爾國際投資（北京）有限公司乙方：英國帝皇顧問公司PartyB:MANDARINCONSULTANT鑒于Whereas,顧問等金融投資領域服務的專業(yè)公司。PartyAisafinancialinvestmentservicecompanyestablishedinMainlandChina,professionalinprovidinginvestmentadvisoryservicesformediumtosmallsizecorporationinvestors,actingasaninvestmentagent,assistingininvestmentmanagementandprovidingIPOconsultationservices.乙方在英國及香港、中國（大陸）主要經(jīng)營范圍為：PartysmajoroperationinGreatBritain,HongKongandChinaareasfollows;A、企業(yè)戰(zhàn)略咨詢資本市場與證券、財務和法律顧問、戰(zhàn)略發(fā)展顧問、招商引資。CorporationStrategyAdvisoryServices:corebaseareinUKandChinatoprovideadvisoryservicesforworldwidefinancialinvestment,businessmergerandacquisition,capitalmarketandstockmarket,financialandlegalmatters,strategicbusinessdevelopmentandinvestment.B、英國公司注冊及倫敦代表處注冊、年檢及會計服務、委托管理等.CompanyorRepresentationOfficeregistrationinUK.annualchecking&renewal,financeandaccountingserves,management,etc.C、英國公司配套服務資源：專業(yè)秘書、提供商務資源整合空間、專案指派服務、免費虛擬辦公室、商業(yè)配套升級服務（專線來電接聽、英國電話轉接、辦公室使用、公司行政管理）UKcompanyresources:professionalcompanysecretary,businessco-ordinationactivities,specificprojectmanagement,freevirtualoffice,businesssupportaccessoryservices(suchasspecificcallpick-upservices,UKCalltransfer,officespaces,companyadministrativemanagement),legaladvisoryservices.D、國際商務禮儀培訓（英國、中國）InternationalBusinessCourtesyTraining(UK,China)E、倫敦商務考察團LondonBusinessInvestigationProgram.F、英國及歐洲市場調(diào)查UKandEuropeMarketResearchG、巴哈馬項目包括移民、地產(chǎn)投資、旅游業(yè)投資和港口投資項目Bahamas Project including immigration, property investment,tourismrelatedinvestmentandportinvestment,etc.略合作聯(lián)盟一事達成如下協(xié)議：Throughmutualdiscussion,withconsiderationofintegrationofbothParties’competitiveadvantagesforinternationalbusinessdevelopment,PartyAandPartyBhasmutuallyagreedthefollowingitemsforstrategicco-operationalliance.一、合作領域Co-operationDomain甲乙雙方擬在下列方面進行合作（包括但不限于以下方面：PartyAandPartyBhaveagreedonthefollowingco-operation(includingbutnotlimitedtobelowstateditems)、 上市融資：甲方為乙方輸送中國企業(yè)在英國證券市場上市（包括主板和創(chuàng)業(yè)板市場；IPOEquityFinancing:PartyAwillintroducethepotentialChinaCorporationstoPartyBforIPOinUKStockMarket(includingBoardandGEMBoard).、 私募融資：乙方為甲方輸送的中國企業(yè)在英國境內(nèi)進行私募融資；PrivateEquityFundFinancing:PartyBwillintroducetheUKPrivateEquityFundtoPartyAforpotentialChinaCorporation.、 企業(yè)服務：乙方為甲方輸送的中國企業(yè)提供在英國的分支以及國的分支以及獨立機構注冊及管理服務；CorporationServices:PartyBwillprovidecompanyregistrationandmanagementservicesinUKtoPartyA’sintroducedChinaCorporationwhointendstosetupthesubsidiarycompany,branchofficeorindependentcorporationinUK.PartyAwillprovidesamesortofservicesinPRCtoPartyintroducedUKCorporationwhointendstosetupthebusinessentityorofficeinPRC.、 文化經(jīng)濟交流：甲乙雙方共同組織主辦在中國以及英國境內(nèi)各種金融投資、文化經(jīng)濟交流活動以及國際間招商引資活動。CulturalandEconomicalExchangeProgram:PartyAandPartyBwillco-operatetoorganizevariousactivitiesinUKandPRCforFinancialInvestment,CulturalandEconomicalExchangeProgramandInternational-wiseBusinessDevelopmentConference.二、合作方式MannerofCo-operation、 乙方授權甲方為其在中國境內(nèi)的代表機構，負責乙方在中國合作項目及相關事務。PartyBauthorizedPartyAtoactastheRepresentationAgentofBinMainlandChinatoperformtheco-operationbusiness.、 甲方授權乙方為其在英國境內(nèi)的代表機構，負責甲方在英國國際的合作項目及相關事務。PartyAauthorizedPartyBtoactastheRepresentationAgentofPartyBinUKtoperformtheco-operationbusiness.、 甲乙雙方為對方提供雙語翻譯1名，負責雙方日常事務的溝通交流；BothPartieswillprovideabilingualtranslatorforeachothertocarebothpartiedailyoperationandcommunicationmatters.、 甲乙雙方互設辦事處及電話轉、接聽服務。BothPartieswillestablishtheirownrepresentationofficeandprovidecalltransferandpick-upservices.、 甲乙雙方共同建立高層定期溝通制度，保證各項工作的順利開展.BothPartieswillmutuallydevelopperiodicalmanagementcommunicationsystemtoensuresmoothdevelopmentofco-operationbusiness.、 甲乙雙方各自認定對方為其在對方所在國的戰(zhàn)略合作伙伴；為共同項目合作成功而努力。BothPartieswillrecognizeanotherpartyasthestrategicpartnerinitsownterritoryandstriveforthesuccessfulonco-operationbusiness.7、甲乙雙方同意，在本協(xié)議有效期內(nèi)，一方可以使用另一方所有合作項目中擁有合法著作權或者合法授權的文字、音頻、圖像等資源，如果一方在其網(wǎng)站上使用另一方這些內(nèi)容時，該方須標明內(nèi)容來自另一方。BothPartiesagreed,inthisagreementvalidityperiod,onepartycanuseanotherpartslegallylicenseddocumentsandlegallyauthorizedwordings,soundtracksandpictures,etc,resources.Ifanotherpartythesekindofresourcesinherownwebsite,thesourceofinformationshouldbeclearlystated.、 涉及商務考察和項目運作費用，以及利潤分配等方面，甲乙雙方可通過簽定具體項目合同予以解決。RegardingtheexpensesandprofitsharingfortheBusinessInvestigationprogramandspecificco-operationproject,bothpartieswillresolveitinanotheragreement.三、合作承諾：Co-operationCommitment、 友好合作、緊密配合、互相尊重、互相學習為基礎；認可客中西文化差異性，吸收優(yōu)秀文化，謀求中西融合、和諧發(fā)展。BothPartiesagreedtheco-operationarebuiltuponfoundationoffriendlyco-operation,closelysupport,mutuallyrespectandco-learningbase.BothPartieswillobjectivelyrecognize
