3.Rent第三條
租金
3.1乙方須向甲方繳納租金,租金為人民幣

3.2甲方按合同租金金額開具稅務(wù)發(fā)票,相關(guān)稅費由

3.3付款方式:乙方應(yīng)按月

年預(yù)先以人民幣交付租金至甲方指定的人民幣帳戶。首期租金在雙方簽署本合同時交付,以后每期租金到期日按□月/□季/□半年/□年順延,但乙方應(yīng)在每期租金到期日前的_

4.PropertyManagementFee第四條
物業(yè)管理
4.1甲方須按時向物業(yè)管理公司繳納管理費。付款方式按管理公司有關(guān)規(guī)定辦理。物業(yè)管理公司保留對管理費調(diào)整的權(quán)利。該管理費不僅僅對此單元,而是對小區(qū)全部業(yè)主。
4.1PartyAshallpaythepropertymanagementfeetoBeijingSOHOResidencesPropertyManagementCompanyontime.Thepaymentshallbepaidpursuanttotherelevantregulationsofthepropertymanagementcompany.Thepropertymanagementcompanyhastherighttoadjustthepropertymanagementfee.ThepropertymanagementfeeisappliednotonlytothePremisesbutalsotoallownersofBeijingSOHOResidences.
4.2乙方在簽署本合同后,必需遵守《臨時管理規(guī)約》、物業(yè)管理公司對全部業(yè)主和租戶的有關(guān)管理規(guī)定。
4.2AftertheexecutionofthisContract,PartyBshallcomplywithTheProvisionalManagementRegulationsandotherregulationsappliedtoallownersandlesseesbythepropertymanagementcompany.
5.Deposit
第五條
租賃保證金
5.1雙方在簽署本合同時同意,乙方在

5.2如乙方違反本合同任何條款規(guī)定或條件(其中包括但不限于交付租金的規(guī)定)給甲方造成實際損失的(其中對裝修、家具、電器的自然磨損除外),由乙方負責賠償。在合同期內(nèi),乙方不得將保證金沖抵租金和本合同規(guī)定的各項費用,不得將保證金作為轉(zhuǎn)讓第三者和用于債務(wù)的擔保。5.2IfPartyBbreachesanytermsandconditionshereunder(includingbutnotlimitedtoprovisionsregardingrentalpayment)andconsequentlycausesactuallosstoPartyA(exceptfornormalwearandtearofdecoration,offurnitureandofelectronicapplicances),PartyBshallcompensateforsuchloss.DuringthetermofthisContract,PartyBhasnorighttodeductrentalandotherfeespayableunderthisContractfromtheDeposit,andhasnorighttotransfertheDeposittoathirdpartyortousetheDepositassecurityfordebts.
5.3在乙方全部履行本合同各項條款、規(guī)定和條件的狀況下,并交還該單元、交清所欠費用后,甲方在十五日內(nèi)退還保證金(不計利息)。5.3PartyAshallrefundtheDepositwithoutinterestswithinfifteendaysprovidedthatPartyBhasfullyperformedthetermsandconditionsofthisContractandhashandedoverthePremisesandpaidalloutstandingfees.
6.
LatePaymentInterests
第六條
延期利息
如乙方未能依據(jù)本合同規(guī)定支付應(yīng)付的保證金和其他款項給甲方,或甲方為乙方墊付應(yīng)由乙方支付的其他款項,乙方應(yīng)付拖延支付期間的拖延利息,該拖延利息應(yīng)按日息為所欠款項的0.5‰計算。
IfPartyBfailstopaytheDepositorotherfeespayableunderthisContract,orPartyAhaspaidforPartyBsuchotherfeespayablebyParty,PartyBshallpaylatepaymentinterestsfortheperiodoflatepaymentattherateof0.5‰oftheoutstandingamountperday.
7.
DamageandRepair
第七條
損壞和修理
7.1甲方應(yīng)保證房屋的建筑結(jié)構(gòu)和設(shè)備設(shè)施符合建筑、消防等方面的平安條件,不得危及人身平安;乙方應(yīng)保證在運用過程中遵守國家、北京市的相關(guān)法律法規(guī)規(guī)定。7.1PartyAshallensurethattheconstructionstructureandtheequipmentandfacilityofthePremisesconformtothesafetyconditionsconcerningconstruction,firepreventionandothers,andthePremiseshasnotanydangertothepersonalsafety.PartyBshallensurethattherelevantlawsandregulationsofnationalorBeijinggovernmentshallbeobservedduringuseofthePremises.
7.2租賃期內(nèi),甲乙雙方應(yīng)共同保障房屋及其附屬物品、設(shè)備設(shè)施處于適用和平安的狀態(tài):
7.2DuringtheTerm,bothpartiesshallensurethatthePremisesanditscontents,equipmentandfacilitiesareinusableandsafecondition:
7.2.1對于房屋及其附屬物品、設(shè)備設(shè)施因自然屬性或合理運用而導(dǎo)致的損耗,乙方應(yīng)剛好通知甲方修復(fù)。甲方應(yīng)在接到乙方通知后的7日內(nèi)進行修理。逾期不修理的,乙方可代為修理,費用由甲方在合理合法范圍內(nèi)擔當。
7.2.1RegardingnormalwearandtearofthePremisesanditscontents,equipmentandfacilities,PartyBshallpromptlynotifyPartyAforrepairandmaintenance.PartyAshallcommencerepairandmaintenancewithin7daysafterreceiptofPartyB’snotice.IfPartyAfailedtodoso,PartyBcanrepairandmaintainforPartyAand,totheextentlawfulandreasonable,theexpensesshallbebornebyPartyA.
7.2.2因乙方保管不當或不合理運用,致使房屋及其附屬物品、設(shè)備設(shè)施發(fā)生損壞或故障的,乙方應(yīng)負責修理或擔當賠償責任。
7.2.2IfthePremisesanditscontents,equipmentandfacilitiesaredamagedduetoPartyB’simproperkeepingorunreasonableusage,PartyBshallberesponsibleforrepairandmaintenanceandshallbeliableforcompensation.
8.
RightsandObligationsofPartyA
第八條
甲方權(quán)利及義務(wù)
8.1甲方保證是項目合法的開發(fā)主體,其有權(quán)合法出租該單元,否則產(chǎn)生的法律責任均由甲方擔當。8.1PartyAherebyguaranteesthatPartyAisthelegaldeveloperoftheprojectandhastherighttolawfullyleasethePremises.Otherwise,PartyAshallbearthelegalliabilityarisingtherefrominfull.
8.2甲方保證該單元是合法開發(fā)建設(shè)完成的房屋,本合同簽訂時該單元尚未對外銷售,也不存在影響本合同履行的其它法律障礙。8.2PartyAherebyguaranteesthatthePremisesishousingthathasbeendeveloped,constructedandcompletedlegally.ThePremiseshasnotbeensoldonthesignaturedateofthisContract,anditdoesnotexistotherlegalimpedimentswhichmayaffecttheperformanceofthisContract.
8.3甲方保證在租期內(nèi),乙方將有權(quán)寧靜地占有和享用該單元,不會受到甲方或甲方代理人的干擾,但前提是乙方支付了本合同規(guī)定的租金和其它費用,并遵守和履行了本合同規(guī)定的應(yīng)由乙方遵守和履行的條款。
8.3PartyAherebyguaranteesthatPartyBshallhavetherighttooccupyandenjoythePremisespeacefullythroughouttheTermwithoutanyinterruptionbyPartyAoritsagents,providedthatPartyBhaspaidtherentandotherfeeshereunderandcomplieswiththetermsandconditionstobeperformedbyPartyBunderthisContract.
8.4乙方出現(xiàn)下列任何狀況時,甲方有權(quán)單方解除本合同。
8.4PartyAhastherighttoterminatethisContractunilaterallyuponoccurrenceofanyofthefollowingtoPartyB:
8.4.1違反中華人民共和國的法律/法規(guī),利用該單元進行不法經(jīng)營活動;
8.4.1violatesthelawsortheregulationsofPRCorusesthePremisesforillegalbusinessoperations;
8.4.2未經(jīng)甲方同意擅自更改該單元的用途;8.4.2changestheusesofthePremiseswithoutconsentofPartyA;
8.4.3未按本合同的有關(guān)條款繳納租金;或8.4.3failstopaytherentpursuanttorelevantprovisionshereunder;or
8.4.4未征得甲方同意,擅自將該單元或該單元的部分轉(zhuǎn)租、轉(zhuǎn)讓給第三方或和第三方共同運用。8.4.4sub-letsthePremisesorpartsofthePremisestoothers,transfersthePremisestoothersorusesthePremisesjointlywithathirdpartywithouttheconsentofPartyA.
8.5在租期內(nèi),乙方自愿無條件放棄該單元的優(yōu)先購買權(quán)。在租期內(nèi),甲方有權(quán)自由轉(zhuǎn)讓該單元予任何第三方,但是該轉(zhuǎn)讓不得影響乙方依據(jù)本合同的條款和條件占有、限制和享用該單元的權(quán)利。若甲方將該單元出售予第三方,第三方將接著享有和擔當甲方在本合同項下的全部權(quán)利和義務(wù)。乙方承諾充分協(xié)作甲方辦理該單元的出售及交接手續(xù);乙方不協(xié)作交接的,不影響新業(yè)主起先繼受出租方在本合同項下的權(quán)利義務(wù),乙方須在接到甲方通知之日起按本合同向新業(yè)主支付租金,否則須擔當本合同項下的逾期付款違約責任。8.5PartyBagreestowaiveitsrightoffirstrefusalinrespectofthePremisesvoluntarilyandunconditionallyduringtheTerm.DuringtheTerm,PartyAshallbefreetotransferthePremisestoanythirdparty,providedthatsuchtransfershallnotprejudicePartyB’srightstooccupy,controlandusethePremisesinaccordancewiththetermsandconditionsofthisContract.
IfPartyAtransfersthePremisestoathirdparty,suchthirdpartyshallcontinuetoenjoyandbearallrightsandobligationsofPartyAunderthisContract.
PartyBundertakestocooperateinfullwithPartyAinhandlingtherelevantformalitiestosellandhand-overofthePremises.PartyB’sfailuretocooperateforthehand-overshallnotaffecttheassumptionoftherightsandobligationsofthisContractbythenewowner.PartyBshallpayrenttothenewownerinaccordancewiththisContractafterreceiptofPartyA’snotice,otherwisePartyBshallbeartheliabilityforbreachofcontractandlatepaymentunderthisContract.
9.
RightsandObligationsofPartyB
第九條
乙方權(quán)利及義務(wù)
9.1假如乙方嚴格遵守本合同的各項條款,則乙方有權(quán)在租賃期內(nèi)合理、合法占用和運用該單元。9.1
PartyBisentitledtooccupyandusethePremisesreasonablyandlegallyduringtheTermprovidedthatitstrictlycomplieswiththetermsandconditionsofthisContract.9.2
9.2乙方有權(quán)合理運用的公用設(shè)施,并擔當有關(guān)費用。9.2PartyBisentitledtoreasonablyusethepublicfacilitiesofBeijingSOHOResidencesandbeartherelevantexpenses.
9.3乙方須按時繳付租金以及該單元的電費、水費、煤氣費、電話費、IP主叫長話費、寬帶網(wǎng)絡(luò)運用費,以及供乙方運用的其他特地設(shè)施的服務(wù)費,(甲、乙雙方另有書面約定除外)。9.3PartyBshallpayrentandtheexpensesofelectricity,water,gas,telephone,IDlongdistancecallandADSLincurredatthePremisesandtheservicefeeofotherspecificfacilitiesprovidedforPartyBontime(otherthanthewrittenagreementbetweentheparties).
9.4乙方應(yīng)負責該單元內(nèi)部的整齊完好,防止破壞、污染、火災(zāi)等事故,并有責任監(jiān)督來訪的客人及摯友疼惜甲方的物品,以及小區(qū)的公共設(shè)施。如由于乙方的緣由,給甲方、其他業(yè)主和租戶或的公共設(shè)施造成損害時,乙方必需賠償損失。
9.4PartyBshallkeeptheinternalpartofthePremisesincleanandgoodconditionandshallpreventdamage,pollutionandfire,etc.
ItshallhavethedutytosupervisehisvisitorsandfriendstoprotectthepropertyofPartyAorthepublicfacilityofBeijingSOHOResidences.IfthereisanydamagecausedtoPartyA,otherownersorlesseesofBeijingSOHOResidencesorthepublicfacilityofBeijingSOHOResidencesduetoPartyB’sreason,PartyBshallcompensateforthelossesarisingtherefrom.
10.
TerminationofContract
第十條
合同的終止
10.1第8.4條所規(guī)定的任何情形發(fā)生時,甲方有權(quán)單方干脆終止本合同而無需發(fā)出訂正通知。10.1UponoccurrenceofanyoftheeventprescribedunderArticle8.4,PartyAisentitledtounilaterallyterminatethisContractwithouttheneedtoissueanynoticerequestingforrectificationofthebreach.
10.2甲、乙雙方經(jīng)協(xié)商,可達成書面協(xié)議提前終止本合同。
10.2ThepartiesmayterminatethisContractearlybyreachingawrittenagreementthroughconsultation.
10.3因發(fā)生地震、暴雨、冰雹、火災(zāi)等其他不能預(yù)見的,其發(fā)生和后果不能防止或避開的不行抗力致使任何一方不能履行本合同時,遭受不行抗力的一方可免除未能履行本合同項下相關(guān)義務(wù)的責任(付款義務(wù)除外)。10.3IfeitherpartycannotperformthisContractduetotheoccurrenceofanyforcemajeureevents(suchasearthquake,storm,hailandfire)whichcannotbepredictedortheoccurrenceandconsequenceofwhichcannotbeavoided,thepartywhoexperiencetheforcemajeureeventwillbeexemptedfromliabilityforfailuretoperformrelevantobligationsofthisContract(saveforpaymentobligations).
11.
PenaltyforBreach
第十一條
違約責任
11.1任何一方有違反本合同的行為,應(yīng)就違約行為給對方造成的經(jīng)濟損失進行賠償。假如屬于雙方的過失,應(yīng)依據(jù)狀況,由雙方分別擔當違約責任。11.1AnypartywhobreachesthisContractshallcompensateforanyeconomiclosscausedtotheotherpartyduetothebreach.Iftheeconomiclossisduetodefaultofbothparties,bothpartiesshallbearrespectiveliabilityforbreachinaccordancewiththecircumstance.
11.2如乙方違反本合同第10.1條約定;或乙方違反本合同其它條款并接到甲方書面訂正通知后十四天內(nèi)不予訂正時,甲方有權(quán)單方解除本合同,合同自解除通知送達之日起自動解除。合同解除時,保證金不予退還乙方;若有其它損失或未付費用,甲方仍有權(quán)追索。乙方應(yīng)在解除通知送達之日起三日內(nèi)遷出并交回該單元于甲方。11.2IfPartyBfailstoperformtheprovisionsofArticle10.1hereof,orPartyBfailstoperformotherprovisionsofthisContractandfailstorectifythebreachafter14daysofreceivingPartyA’swrittennoticerequestingforrectificationofthebreach,PartyAhastherighttoterminatethisContractunilaterally.ThisContractshallbeautomaticallyterminatedfromthedateonwhichtheterminationnoticeisdelivered.UponterminationofthisContract,theDepositshallnotberefundedtoPartyBandPartyAshallhavetherighttoclaimforfurtherlossesoroutstandingfees(ifany),andPartyBshallvacateandreturnthePremisestoPartyAwithinthreedaysfromthedateofdeliveryoftheterminationnotice.
12.
RenewalofLease
第十二條
續(xù)租
在本合同有效期內(nèi),乙方全部履行本合同各項條款、規(guī)定和條件的狀況下,乙方有優(yōu)先要求將本合同租期延長的權(quán)利,但乙方須于不遲于租期期滿前六十天提出書面續(xù)租要求,并由雙方在租期期滿前三十天前就續(xù)租的條件(包括租金和租賃期)達成條件,簽署續(xù)租合同,否則甲方可另行出租。甲方可在租期期滿前三十天內(nèi),在賜予乙方合理通知后將該單元向?qū)淼淖鈶粽故?,乙方?yīng)盡量協(xié)作甲方。
WherePartyBhasfullyperformedtheterms,provisionsandregulationsofthisContractduringthetermofthisContract,PartyBhasthepriorityrighttoextendtheTermunderthisContractprovidedthatithasgivenwrittenapplicationforextensionnolaterthan60daysbeforeexpiryoftheTermandthatthepartieshaveagreedontheconditionsoftheextension(includingrentandtermoflease)andexecutedthecontractfortheextensionoftheleasebynolaterthanthirtydayspriortotheexpirationoftheTerm,failingwhich,PartyAmayleasethePremisestoothers.
PartyAmayshowthePremisestopotentialtenantsbygivingreasonablenoticetoPartyBwithinthirtydayspriortotheexpirationoftheTermandPartyBshalluseitsbesteffortstocooperatewithPartyA.
13.
EarlyTermination
第十三條
提前解約
雙方除10.3款不行抗力等法定理由外,不得提前解約。本合同所定租期起先后,若甲方單方終止本合同,則甲方需向乙方雙倍返還其依據(jù)第5.1條的規(guī)定收取的保證金;如乙方要求提前解約,甲方扣留乙方已付保證金后,則本合同自動終止。ThepartiesshallnotterminatethisContractexceptforanylegalreasonsuchasforcemajeureunderArticle10.3.AfterthecommencingdateoftheTermunderthisContract,ifPartyAterminatesthisContractunilaterally,PartyAshallreturndoubleamountoftheDepositinaccordancewithArticle5.1.IfPartyBwishestoterminatethisContractearly,PartyAwillholdtheDepositandthisContractshallbeautomaticallyterminated.

Notice
第十四條
通知
任何一方依據(jù)本合同發(fā)出的通知或其他聯(lián)系應(yīng)以中文書寫并可通過人工送遞或航空掛號郵寄(預(yù)付郵資)、公認的快遞服務(wù)或以傳真發(fā)送至另一方的合同約定地址。通知視為有效送達的日期按以下方法予以確定:AnynoticessentbyonepartytotheotherpartyunderthisContractshallbemadeinChineseandshallbedeliveredbyhand,byregisteredair-mail(withpostagepre-paid),expressdeliveryservicecommonlyrecognizedorbyfaxtotheaddressstipulatedinthisContract.Anoticeshallbedeemedtohavebeendelivered:
