反商業(yè)賂協(xié)議AGREEMENTOFANTIBRIBERY為體現(xiàn)公平合理對等互利的合作宗旨確保甲乙雙方各級從業(yè)人員遵守職業(yè)道德，廉潔守法、秉公辦事，不利用職權(quán)之便謀取私,致使合作雙方蒙受損失特制定本協(xié)議。Toembodythecooperationtenetoffairness,justice,equityandmutualbenefit,andtoensurethatpersonnelatalllevelsofPartyAandPartyBhereofwillabidebyprofessionalethicsandlawsandregulations,keepwhitehandaffairsimpartially,andneverpowerforpersonalbenefitsandthuscausedlosstothetwoparties,PartyandPartyBhereofcometoagreement:1、甲方從業(yè)人員應(yīng)秉承如下原則：PersonnelPartyAshalladherethefollowingprinciples:1.1在供應(yīng)商考評時應(yīng)秉持誠信與公正的原則選擇其產(chǎn)品在品質(zhì)價格交期和服務(wù)等方面最具優(yōu)勢的廠家；Whenperformingassessmentonsupplier,theyarefollowaprincipleofcreditandfairness,andchoosefactorieswiththemostadvantagesinproductquality,price,delivery,service,etc.1.2、不得向乙方收取、索取回扣或其他不正當(dāng)利益；TheyshallnotacceptaskforbackhanderorotherillegalbenefitsPartyB;1.3不得接收乙方贈送的禮品金或現(xiàn)金等價物等財（人民幣壹佰圓以內(nèi)的價值微小的筆記本歷等除外乙方報銷任何應(yīng)由其個人承擔(dān)的費用；Theyshallneitheracceptgift,cashorcashequivalents(excludingmininotebook,deskcalendarorotherthingspricedlessthanRMB100),norhavePartyBtoreimburseanyexpensesthatshouldbornebythemselves.1.4不得要求或者接受乙方為其住房裝婚喪嫁娶家屬和子女的工作安排以

及出國、外出旅游等提供方便；TheyshallnotaskoracceptPartyB’shelpinhousedecoration,weddingorfuneral,jobarrangementforfamilymembers,goingortraveling.1.5得向乙方推薦家屬友等從事材料備供應(yīng)以及工程分包等經(jīng)濟活動；TheyshallnotrecommendfamilymembersrelativestoPartyBformaterialandequipmentsupply,projectsubcontractotherbusinessactivities.1.6得參加可能對公正開展業(yè)務(wù)有影響的宴請和娛樂活動甲方工作人員確因?qū)嶋H情況須參加宴請、進行娛樂活動的，須事先報上一級批準；Theyshallnotattendbanquetsentertainmentwillpossiblyaffectthefairnessofbusinessoperation.IfpersonnelofPartyAhavetoattendorentertainmentduetopracticalneeds,apriorreporttoseniorauthorityforapprovalisrequired.1.7、不得以任何形式持有乙方公司的股份（乙方為上市公司的除外TheyshallnotholdanyshareofPartyB(unlessPartyBisalistedcompany).1.8、在合作期間，不得向乙方借錢或其他財物；TheyshallnotborrowmoneyoranyotherpropertyfromPartyduringtheprocesscooperation.1.9、不得在合作過程中有意刁難乙方，利用職權(quán)謀取私利；TheyshallnotmakethingsdifficultforPartyBonpurposeforprivatebenefitsduringtheprocessofcooperation.1.10、不得泄露乙方的商業(yè)機密。shallnotdisclosebusinesssecretesofParty

B.2、乙方從業(yè)人員應(yīng)秉承如下原則：PersonnelPartyBshalladherethefollowingprinciples:2.1、不得給甲方人員回扣或其他不正當(dāng)利益；TheyshallnotprovidebackhanderotherillegalbenefitspersonnelParty2.2不得向甲方人員贈送禮品金或現(xiàn)金等價物等財（人民幣壹佰圓以內(nèi)的價值微小的筆記本臺歷等除外得為甲方人員報銷任何應(yīng)由其個人承擔(dān)的費用；Theyshallneitherprovidegift,cashorcashequivalents(excludingmininotebook,deskcalendarorotherthingspricedlessthanRMB100),norreimburseanyexpensespersonnelPartyAthatshallbeundertakenbythemselves.2.3不得為甲方人員的住房裝修婚喪娶家屬和子女的工作安排以及出國、外出旅游等提供方便；TheyshallnotprovidehelptopersonnelPartyinhousedecoration,weddingorfuneral,jobarrangementforfamilymembers,goingortraveling.2.4不得引薦甲方人員推薦的家屬友等從事材料設(shè)備供應(yīng)以及工程分包等經(jīng)濟活動；TheyshallnotrecommendfamilymembersrelativesofPartyformaterialandequipmentsupply,projectsubcontractotherbusinessactivities.2.5、不得邀請甲方人員參加可能對公正開展業(yè)務(wù)有影響的宴請和娛樂活動；

TheyshallnotinvitepersonnelofPartyAtobanquetorentertainmentthatwillpossiblyaffectthefairnessofbusinessoperation.2.6、不得允許甲方人員以任何形式持有乙方的股份（乙方為上市公司除外TheyshallnotallowpersonnelofPartytoholdshareofPartyB(unlessPartyBisalistedcompany).2.7、在合作期間，不得借錢或其他財物給甲方人員。TheyshallnotlendoranyotherpropertypersonnelPartyduringtheprocesscooperation.2.8、不得在合作過程中有意刁難甲方，利用職權(quán)謀取私利；TheyshallnotmakethingsdifficultforPartyAonpurposeforprivatebenefitsduringtheprocessofcooperation.2.9、不得泄露甲方的商業(yè)機密。TheyshallnotdisclosebusinesssecretesofParty3、品質(zhì)廉潔保證金

Qualityandwhitehandsdeposit3.1“品質(zhì)＆廉潔保證金的定義質(zhì)＆廉潔保證金是指乙方產(chǎn)品可能存在質(zhì)量問題并給甲方造成經(jīng)濟損失或可能未經(jīng)甲方許可而擅自更改生產(chǎn)工藝品質(zhì)標(biāo)準或者產(chǎn)品品牌等而給甲方產(chǎn)品品質(zhì)帶來隱患或可能乙方違《廉潔保證協(xié)議的規(guī)定使用非正當(dāng)手段或可能有其他給甲方造成不良影響或損失事件的違約風(fēng)險押金。Definition“qualityandwhitedeposit”:“QualityandwhitehandsdepositmeansthedepositPartyBpaystoPartyfortheriskofcausingharmfulinfluenceorlossestoPartyA,includingbutnotlimitedto:economiclossduetopotentialqualityproblemsinproductsfromPartyB;hiddenqualitydangerofproductsPartyAduetounauthorizedchangeproductiontechnology,qualitystandardproductwithoutconsentfromPartyA;harmandlossesincurredillegalmeasurestakenby

PartyagainstWhiteHandsGuaranteeAgreement.3.2雙方合作后，乙方同意交___幣（種___（金額大寫）作為乙方“品質(zhì)＆廉潔保證金納方式可以通過電匯、從貨款中扣除等方式執(zhí)行。甲方收取“品質(zhì)＆廉潔保證金”后，開具《品質(zhì)＆廉潔保證金收款收據(jù)》作為收款憑證。Atsigningtheagreement,PartyBagreesPay__(Currency)___(amountinword)as“qualityandwhitehandsdepositbywayofwiringordeductionfromproductpayment.Afterreceivingthe“QualityandwhitehandsdepositPartyshallissueaReceiptQualityandWhiteHandsDepositasaproof.3.3雙方業(yè)務(wù)完結(jié)后乙方申請退還保證金時，乙方需出具經(jīng)過甲方相關(guān)部門簽審的《業(yè)務(wù)完結(jié)證明》和《品質(zhì)＆廉潔保證金收款收據(jù)》原件。甲方財務(wù)收到乙方遞交的上述請款資料后3個月內(nèi)連本帶息返還乙方的品質(zhì)＆廉潔保證金息從甲方開品質(zhì)＆廉潔保證金收款收據(jù)日起行同期活期存款利率計算。Atterminationofbusinessbetweenthetwoparties,whenPartyBappliesforrefundingthedeposit,PartyBisrequiredtoshoworiginalBusinessTerminationCertificateandReceiptofQualityandWhiteHandsDepositsignedbyrelateddepartmentsofPartyA.FinancialpersonnelofPartyAshallrefundthequalityandwhitehandsdepositofPartyBwithinterestswithin3monthsafterreceivingthepaymentrequestdocumentsfromPartyTheinterestshallbecalculatedcountingfromdateofissuingReceiptofQualityandWhiteHandsDepositbyPartyAandbasedonbankingdemanddepositinterestrateofthesameperiod.4、違規(guī)處理Treatmentbreakrules4.1乙方若檢舉甲方人員在雙方合作過程中違背上述原則反甲潔守則》的，甲方將按甲方《廉潔守則》的相關(guān)規(guī)定給予乙方檢舉人員1-50萬元的高額獎勵，同時對甲方違規(guī)人員按《廉潔守則》相關(guān)規(guī)定執(zhí)行處罰。IfPartyBimpeachesthatpersonnelPartyhavebrokenabovementionedrulesandRulesofWhiteHandsofPartyAduringthecooperation,PartyAshallputapremiumofRMB10,000-500,000theimpeachingpersonnelofpartyBundertheprovisionsofRulesofWhiteHandsPartyMoreover,thepersonnelofPartywhobreaksrulesshallbepunishedaccordingRulesofWhiteHands.

4.2經(jīng)查實乙方從業(yè)人員在合作過程中違背上述原則，采取了非正當(dāng)手段的，甲方有權(quán)利取消訂單、收回差價、退還品質(zhì)廉潔保證金、不予支付乙方的所有未付貨款，同時取消乙方供應(yīng)商資格。ProvidedisverifiedthatpersonnelPartyhasviolatedtheabovementionedrulesandtakenillegalmeasuresduringtheprocesscooperation,PartyAhastherightcancelpurchaseorder,takebackpricedifference,refundqualityandwhitehandsdeposit,refusetopayalltheunpaidbalance,andcancelqualificationofPartyasasupplier.4.3甲乙雙方承諾如在雙方合作過程中發(fā)現(xiàn)某方有不正當(dāng)行為，對方有向該方法人投訴、直至訴之法律的權(quán)利。PartyandPartyBhereofpromisethatifillegalactionisfoundtakenonepartyduringthecooperation,thecounterpartyhastherighttocomplainlegalpersonofthepartyevenresorttothecourt.4.4若乙方采取走私、開假票等違法行為與甲方進行業(yè)務(wù)來往，一經(jīng)查實，甲方有權(quán)不予退還乙方的品質(zhì)＆廉潔保證金不予支付乙方的未付貨款乙方還應(yīng)承擔(dān)由此給甲方造成的一切經(jīng)濟損失。ProvidedisverifiedthatPartyBhasirregularactionsuchassmugglingissuingfalsevoucherduringtransactionwithPartyA,PartyAhastherighttorefusetorefundthequalityandwhitehandsdepositofPartyB,makenopaymenttheunpaidbalance,andPartyshallalsobeheldresponsiblealltheeconomiclossescausedPartyA.5、一般條款GeneralProvisions5.1本協(xié)議若有版本升級，則新版本協(xié)議雙方簽訂后舊版本
