英文合同中的不可抗力條款不可抗力FORCEMAJEURE如果遭遇無(wú)法控制的時(shí)間或情況應(yīng)視為不可抗力，但不限于火災(zāi)、風(fēng)災(zāi)、水災(zāi)、地震、爆炸、叛亂、傳染、檢疫、隔離。如不可抗力一方不能履行合同規(guī)定下義務(wù)，另一方應(yīng)將履行合同的時(shí)間延長(zhǎng)，所延長(zhǎng)的時(shí)間應(yīng)與不可抗力事件的時(shí)間相等。AnyeventorcircumstancebeyondcontrolshallberegardedasForceMajeurebutnotrestrictedtofire,wind,flood,earthquake,explosion,rebellion,epidemic,quarantineandsegregation.IncaseeitherpartythatencountersForceMajeurefailstofulfilltheobligationunderthecontract,theotherpartyshouldextendtheperformancetimebyperiodequaltothetimethatForceMajeurewilllast.凡在制造或裝船運(yùn)輸過(guò)程中，因不可抗力致使賣方不能或推遲交貨時(shí)，賣方不負(fù)責(zé)任。TheSellershallnotberesponsibleforthedelayofshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit。如果不可抗力持續(xù)6個(gè)月以上，合同雙方應(yīng)盡快通過(guò)友好協(xié)商的方式調(diào)整繼續(xù)履行合同事宜。如果雙方不能達(dá)成協(xié)議，則根據(jù)合同中第12條款通過(guò)仲裁決定。IftheForceMajeurelastover6months,thetwopartiesofthecontractshouldsettlethecaseofcontinuingthecontractbyfriendlynegotiationassoonaspossible.ShouldthetwopartiesfailtoreachanagreementwillbesettledbyarbitrationaccordingtoClause12ofthecontractthereof.買賣雙方除履行付款義務(wù)外,因以下事由造成買賣任一方無(wú)法履行合同規(guī)定的義務(wù)或履行延誤的,買賣任一方均不對(duì)此承擔(dān)任何責(zé)任,事由具體內(nèi)容如下:因不可抗力所致超出買賣任一方力合理控制范圍內(nèi)的不可抗力事件,不可抗力發(fā)生,及出現(xiàn)的不可抗力情況,包括不影響前述事由的一般情況;天災(zāi),罷工,火災(zāi),洪水,材料損毀;事故,惡劣天氣所致無(wú)法履行義務(wù)或造成義務(wù)履行延誤;海難,禁運(yùn),事故,政府當(dāng)局公布的限制規(guī)定(包括配給,優(yōu)先事項(xiàng),征用,報(bào)價(jià)和價(jià)格控制等等)造成義務(wù)無(wú)法履行或義務(wù)履行延誤.Neithersellernorbuyershallbeliableindamagesorotherwiseforanyfailureordelayinperformanceofanyobligationhereunderotherthanobligationtomakepayment,wheresuchfailureordelaysiscausedbyforcemajeure,beinganyevent,occurrenceofcircumstancereasonablybeyondthecontrolofthatparty,includingwithoutprejudicetothegeneralityoftheforegoing,failureordelaycausedbyorresultingfromactsofgod,strikes,fires,floodsdestructionofthematerial,delaysofcarriersduetobreakdownoradverseweather,perilsofthesea,embargoes,accidents,restrictionsimposedbyanygovernmentalauthority(includingallocations,priorities,requisitions,quotasandpricecontrols).因前述條款說(shuō)明的事由所致,造成發(fā)貨期貨物交貨延遲或無(wú)法交貨,合同規(guī)定的賣方發(fā)貨和買方接收貨物的時(shí)間在此交貨期則應(yīng)順延,順延期:30(叁拾)日.Thetimeofsellertomake,orbuyertoreceive,deliveryhereundershallbeextandedduringanyperiodinwhichdeliveryshallbedelayedorpreventedbyreasonofanyoftheforegoingclauses.Uptoatotalofthirty(30)days.合同規(guī)定的交貨若交貨延遲或無(wú)法交貨達(dá)30(叁拾)日以上,買賣任一方就此情況向合同另一方出具書面通知書之后,有權(quán)終止本合同.Ifanydeliveryhereundershallbesodelayedorpreventedformorethanthirty(30)days,eithersellerorbuyermayterminatethiscontractwithrespecttosuchdeliveryuponwrittennoticetotheotherparty.如果不可抗力持續(xù)6個(gè)月以上，合同雙方應(yīng)盡快通過(guò)友好協(xié)商的方式調(diào)整繼續(xù)履行合同事宜。如果雙方不能達(dá)成協(xié)議，則根據(jù)合同中第12條款通過(guò)仲裁決定。IftheForceMajeurelastover6months,thetwopartiesofthecontractshouldsettlethecaseofcontinuingthecontractbyfriendlynegotiationassoonaspossible.ShouldthetwopartiesfailtoreachanagreementwillbesettledbyarbitrationaccordingtoClause12ofthecontractthereof.因人力不可抗拒事故使賣方不能在本售貨合約規(guī)定期限內(nèi)交貨或不能交貨，賣方不負(fù)責(zé)任，但是賣方必須立即以電報(bào)通知買方。如果買方提出要求，賣方應(yīng)以掛號(hào)函向買方提供由中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)或有關(guān)機(jī)構(gòu)出具的證明，證明事故的存在。買方不能領(lǐng)到進(jìn)口許可證，不能被認(rèn)為系屬人力不可抗拒范圍。TheSellersshallnotbeheldresponsibleiftheyfail,owingtoForceMajeurecauseorcauses,tomakedeliverywithinthetimestipulatedinthisSalesContractorcannotdeliverthegoods.However,theSellersshallinformimmediatelytheBuyersbycable.TheSellersshalldelivertotheBuyersbyregisteredletter,ifitisrequestedbytheBuyers,acertificateissuedbytheChinaCouncilforthePromotionofInternationalTradeorbyanycompetentauthorities,attestingtheexistenceofthesaidcauseorcauses.TheBuyers?failuretoobtaintherelativeImportLicenceisnottobetreatedasForceMajeure.如果任何一方由于自然災(zāi)害、戰(zhàn)爭(zhēng)、類似于戰(zhàn)爭(zhēng)的情況、禁令、騷亂、罷工、封鎖和其他不可預(yù)見(jiàn)和不受控制的、若沒(méi)有額外的成本和時(shí)間是不能得到解決的意外事故，而不能履行或遲延履行本合同的義務(wù)，則該方不應(yīng)對(duì)另一方承擔(dān)任何責(zé)任。anyPartydoesnotordelaystofulfiltheobligationsinthisContractdirectlyorindirectlyduetonaturaldisaster,wars,situationssimilartowar,embargo,disturbance,strike,blockadeandotherunpredictableanduncontrollableaccidentswhichmaynotbesolvedwithoutadditionalcostandtime,thisPartyshallnotbearanyresponsibilityfortheotherParty.如果發(fā)生了不可抗力，受影響方應(yīng)在不可抗力發(fā)生后的7天內(nèi)及時(shí)通知另一方，并在不可抗力發(fā)生后的15天內(nèi)提交由當(dāng)?shù)叵嚓P(guān)部門印發(fā)的用于證明不可抗力發(fā)生的文件材料。雙方當(dāng)事人應(yīng)當(dāng)協(xié)商并形成最佳解決方案，用于解決因不可抗力而導(dǎo)致的對(duì)本合同的遲延和中斷履行。如果不可抗力持續(xù)嚴(yán)重影響本合同項(xiàng)下重要義務(wù)的履行達(dá)3個(gè)月之久，則任何一方均有權(quán)以書面形式提前30天通知終止本合同。Incaseofforcemajeure,theaffectedPartyshallinformtheotherPartywithinsevendaysafteroccurringofsuchcaseandsubmitdocumentsissuedbylocalrelevantdepartmentusedtoprovetheoccurrenceofforcemajeurewithin15daysafteroccurringofsuchcase.BothpartiesshallnegotiateandreachanoptimalsolutionusedtosolvethedelayandinterruptionproblemofthisContractduetoforcemajeure.IftheforcemajeurecontinuestoseriouslyimpactimplementationofcrucialobligationunderthisContractforthreemonths,eitherofthePartyshallhavetherighttoterminatethisContractbywrittennotice30daysinadvance.如果合同一方由于不可抗力因素而不能履行合同，比如地震、臺(tái)風(fēng)、洪水、火災(zāi)、戰(zhàn)爭(zhēng)及其他無(wú)法預(yù)見(jiàn)的事件，其發(fā)生和后果也無(wú)法阻止、無(wú)法避免的，該方應(yīng)立刻以電報(bào)通知對(duì)方，并在其后十五天內(nèi)提交公證機(jī)關(guān)出具的詳細(xì)的事件描述及有效文件，用以解釋其無(wú)法履行合同全部或部分條款的原因。雙方應(yīng)通過(guò)協(xié)商，根據(jù)事件對(duì)履行合同的影響程度，確定是終止合同或是免除履行合同的責(zé)任，或延長(zhǎng)合同的履行。Shouldeitherofthepartiestothecontractbepreventedfromexecutingthecontractbyforcemajeure,suchasearthquake,typhoon,flood,fireandwarandotherunforeseeneventsandtheirhappeningandconsequencesareunpreventableandunavoidable,thepreventedpartyshall,bycable,notifytheotherpartywithoutanydelay,andshall,within15daysthereafter,providethedetailedinformationoftheeventsandavaliddocumentforevidenceissuedbytherelevantpublicnotaryorganizationforexplainingthereasonofitsinabilitytoexecuteordelaytheexecutionofallorpartofthecontract.Thepartiestothecontractshall,throughconsultations,inaccordancewiththeeffectsoftheeventsontheperformanceofthecontract,decidewhethertoterminatethecontractortoexemptthepartofobligationsforimplementationofthecontractorwhethertodelaytheexecutionofthecontract.由于發(fā)生地震、臺(tái)風(fēng)、水災(zāi)、火災(zāi)、戰(zhàn)爭(zhēng)及其他無(wú)法預(yù)見(jiàn)并且對(duì)其發(fā)生和后果均不能防止或避免的不可抗力事件，致使直接影響合同的履行或者不能按約定的條件履行時(shí)，遇有上述不可抗力事件的一方，應(yīng)立即將事件情況書面通知對(duì)方，并在其后15天內(nèi)，提供事件詳情及全部或部分合同不能或需要延期履行的理由的有效證明文件，此項(xiàng)證明文件應(yīng)由事件發(fā)生地區(qū)的公證機(jī)構(gòu)出具。按照事件對(duì)履行合同影響的程度，由雙方協(xié)商決定是否解除合同，或者部分免除履行合同的責(zé)任，或者延期履行合同。ShouldeitherofthepartiesoftheContractbepreventedfromexecutingtheContractbyForceMajeure，suchasearthquake，typhoon，flood，fireandwarandotherunforeseenevents，andtheirhappeningsandconsequencesareunpreventableandunavoidable，thepresentedpartyshallnotifytheotherpartybyawrittennoticewithoutanydelay，andwithin15daysthereafterprovidethedetailedinformationoftheeventsandavaliddocumentforevidenceissuedbytherelevantpublicnotaryorganizationforexplainingthereasonofitsinabilitytoexecuteordelaytheexecutionofallorpartoftheContract.Bothpartiesshal1，throughconsultations，decidewhethertoterminatetheContractortoexemptthepartofobligationsforimplementationoftheContractorwhethertodelaytheexecutionoftheContractaccordingtotheeffectsoftheeventsontheperformanceoftheContract.如因不可抗力致使乙方不能按期完成項(xiàng)目，乙方不負(fù)違約責(zé)任。但乙方應(yīng)在合理的時(shí)間內(nèi)向甲方報(bào)告所發(fā)生的不可抗力并提供有關(guān)政府部門的證明文件。PartyBisnotliableforfailuretoperformtheparty'sobligationsifsuchfailureisasaresultofForceMajeure.However,PartyBassumesliabilityforbreach.However,PartyBshalltimelynotifyPartyAoftheoccurrenceofForceMajeureandprovidethesupportingdocumentsofrelevantgovernmentauthorities.不可抗力應(yīng)指阻礙一方完全或部分履行本合同的任何事件，而且該等事件是本合同雙方不能控制，無(wú)法預(yù)料，或如能預(yù)料，也不能避免的。該等事件應(yīng)包括但不限于任何傳染?。òǖ幌抻诜堑涞脑俅伟l(fā)生）、罷工、停工、爆炸、船舶失事、天災(zāi)或公敵、火災(zāi)、水災(zāi)、破壞、意外事故、戰(zhàn)爭(zhēng)、動(dòng)亂、軍事部門干預(yù)、起義、頒布使雙方履行本合同受到不利影響或阻礙雙方履行本合同的法律和法規(guī)、以及任何其他類似或不同的意外事件?！癋orceMajeure”shallmeananyeventwhichisbeyondthecontrolofthePartiestothisContract,andwhichisunforeseen,orifforeseen,unavoidable,andwhichpreventstotalorpartialperformancebyaParty.Sucheventsshallincludebutarenotlimitedtoanyepidemic(includingwithoutlimitationtherecurrenceofSevereAcuteRespiratorySyndrome),strikes,lockouts,explosions,shipwrecks,actsofnatureorthepublicenemy,fires,flood,sabotage,accidents,wars,riots,interferencebymilitaryauthorities,insurrections,promulgationoflawsandregulationswhichadverselyeffectorpreventaPartiesperformanceofthisContract,andanyothersimilarordifferentcontingency.“不可抗力”指本合同日期之后發(fā)生的、本合同雙方無(wú)法控制的、不可預(yù)測(cè)、不可避免或不可克服并妨礙任何一方全部或部分履約的所有事件。上述事件應(yīng)包括地震、臺(tái)風(fēng)、水災(zāi)、戰(zhàn)爭(zhēng)、流行病、民事騷亂及無(wú)法預(yù)計(jì)且無(wú)法阻止或控制的任何其它事件，包括一般國(guó)際商業(yè)慣例視為不可抗力的事件。為免存疑，法律或政策變化或政府行為不應(yīng)被視為不可抗力事件?！癋orceMajeure”shallmeanalleventswhicharebeyondthecontrolofthePartiestothisContract,andwhichareunforeseen,unavoidableorinsurmountable,andwhichariseafterthedateofthisContractandwhichpreventtotalorpartialperformanceb?yanyParty.Sucheventsshallincludeearthquakes,typhoons,flood,war,epidemics,civildisturbances,andanyothereventwhichcannotbeforeseen,preventedorcontrolled,includingeventswhicharerecognizedasForceMajeureingeneralinternationalcommercialpractice.Fortheavoidanceofdoubt,changesinlawsorpoliciesandgovernment'sactionsshallnotbedeemedaseventsofForceMajeure.“不可抗力事件”對(duì)一方而言，指任何不能預(yù)見(jiàn)、不能避免、無(wú)法克服或因其他原因而在該一方控制能力之外，并致使該一方不能履行其在本合同下的全部或部分義務(wù)的客觀情況，包括雷電、臺(tái)風(fēng)、暴風(fēng)雨、水災(zāi)、火災(zāi)、地震、或其他自然災(zāi)害、傳染病、戰(zhàn)爭(zhēng)和內(nèi)亂［以及政府部門的任何作為或不作為］?！癋orceMajeureEvent”means,inrespectofaParty,anyobjectivecircumstanceswhichareunforeseen,unavoidable,insurmountableorotherwisebeyondthecontrolofthePartyandrendersperformancebythePartyofallorpartofitsobligationsunderthisContractimpossible,includinglightning,typhoon,storm,flood,fire,earthquakeorotheractsofnature,epidemic,warandcivildisobedience[andanyactoromissionofaGovernmentAuthority].如果因不可抗力事件如戰(zhàn)爭(zhēng)、政府干預(yù)、嚴(yán)重火災(zāi)、水災(zāi)、臺(tái)風(fēng)或地震或雙方可能同意的任何事件（不得不合理地不給予同意）而妨礙本合同任何一方履行其于本合同項(xiàng)下的義務(wù)，則履行這些義務(wù)的時(shí)間應(yīng)予延長(zhǎng)，延長(zhǎng)時(shí)間相等于受這些事件影響的時(shí)間；但是在本合同項(xiàng)下對(duì)于在不可抗力事件發(fā)生前已履行的服務(wù)的任何付款義務(wù)在任何期間內(nèi)均不應(yīng)終止。Ifeitherofthepartiesheretoispreventedfromperformingitsobligationshereunderbyeventsofforcemajeure,suchaswar,governmentalintervention,seriousfire,flood,typhoonorearthquake,oranycasewhichmaybeagreeduponbytheparties,whichagreementshallnotbeunreasonablywithheld,thetimeforperformanceoftheseobligationsshallbeextendedbyaperiodequaltotheeffectofthoseevents;provided,however,thatanypaymentobligationshereunderforservicesalreadyperformedpriortoaneventofforcemajeureshallnotbesuspendedforanyperiodoftime.一方因遭受不可抗力而不能全部或部分履行其在本合同項(xiàng)下的任何義務(wù)，可以通知另一方不可抗力的存在，條件是遭受方應(yīng)在不可抗力發(fā)生和終止后十五（15）日內(nèi)，分別用掛號(hào)信向另一方發(fā)出該不可抗力的起始和終止的通知，并附上有關(guān)當(dāng)局的證明或公開(kāi)發(fā)布的消息，證明事實(shí)真相和所提供的材料的準(zhǔn)確性。ForcemajeurepreventingapartyfromperforminganyofitsobligationsunderthisContract,inwholeorinpart,maybeassertedagainsttheotherpartyonlyifthepreventedpartygivesnoticebyregisteredmailoftheinceptionandcessationoftheforcemajeurewithinfifteen(15)daysineachcaseenclosingaconfirmationbytheproperauthoritiesorpublishedinformationattestingtherealityofthefactsandtheaccuracyofthedatasupplied.如果不可抗力事件持續(xù)時(shí)間超過(guò)六（6）個(gè)月，雙方應(yīng)通過(guò)協(xié)商決定變更協(xié)議以反映不可抗力事件對(duì)履行本合同的影響，抑或終止本協(xié)議。ThePartiesshall,throughconsultations,decidewhethertoaltertheAgreementtoreflecttheeffectsoftheeventofforcemajeureontheperformanceofthisAgreementortoterminatetheAgreementintheeventthatsuchforcemajeurepersistsforaperiodofsix(6)monthsormore.對(duì)于因超出其合理控制范圍的因素，如天災(zāi)、火災(zāi)、盜竊、戰(zhàn)爭(zhēng)、暴亂、禁運(yùn)或者政府或軍事當(dāng)局的行為等，而造成無(wú)法履行本訂單的，該方無(wú)需負(fù)責(zé)。如果由于這些意外事件而使交付推遲，任何一方應(yīng)書面通知另一方：延長(zhǎng)履行期限；或終止訂單未履行部分。NeitherpartyshallberesponsibleforitsfailuretoperformduetocausesbeyonditsreasonablecontrolsuchasactsofGod,fire,theft,war,riot,embargoesoractsofcivilormilitaryauthorities.IfDeliveryistobedelayedbysuchcontingencies,eitherpartyshallimmediatelynotifytheotherpartyinwriting:extendtimeofperformance,orterminatetheuncompletedportionoftheIO.FORCEMAJEURE:不可抗力TheSellersshallnotbeheldresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,theSellersshallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.不可抗力：對(duì)于制造或裝船運(yùn)輸過(guò)程中可能產(chǎn)生的不可抗力而造成的遲交貨或不能交貨，賣方可以不承擔(dān)責(zé)任。賣方應(yīng)立即在不可抗力產(chǎn)生的十四日內(nèi)將有關(guān)情況通知買方，并且賣方應(yīng)用航空郵件將有關(guān)政府當(dāng)局部門出具的證明不可抗力產(chǎn)生的文件寄送給買方。在此情況下，賣方仍應(yīng)盡最大努力采取各種措施促使貨物的發(fā)運(yùn)。任何一方由于戰(zhàn)爭(zhēng)及嚴(yán)重的火災(zāi)、臺(tái)風(fēng)、地震、水災(zāi)和其它不能預(yù)見(jiàn)、不可避免和不能克服的事件而影響其履行合同所規(guī)定的義務(wù)的，受事故影響的一方將發(fā)生的不可抗力事故的情況以傳真通知另一方，并在事故發(fā)生后十四天內(nèi)以航空掛號(hào)信件將有權(quán)證明的機(jī)構(gòu)出具的證明文件提交另一方證實(shí)。ShouldeitherpartybepreventedfromperforminganyofitsobligationsunderContractduetoeventofForceMajeure,suchaswar,seriousfire,typhoon,earthquake,floodandanyothereventswhichcouldnotbeexpected,avoidedandovercome,theaffectedpartyshallnotifytheotherpartyofitsoccurrencebyfaxandsendbyregisteredairmailacertificateissuedbythecompetentauthor
