國(guó)際展銷(xiāo)會(huì)參展合同（中英文對(duì)照）國(guó)際展銷(xiāo)會(huì)參展合同CONTRACTOFINTERNATIONALTRADEFAIRTABLEOFCONTENTS1．TermsofReference定義2.ApplicationforParticipation參展申請(qǐng)3.AllocationofExhibitionSpace展位的分配4.ExhibitionSpace展位條件5.UseofExhibitionSpace展位的使用6.TermsofPayment付款條件7.BreachofContractandWithdrawalbyExhibitor參展商違約及退展8.Changes變更9.ConstructionandDecorationofStand攤位的搭建和裝修10.MovementofExhibits展品的運(yùn)輸11.FailureofServices展會(huì)取消12.Security安全13.FireRegulations防火規(guī)則14.Insurance,liabilityandRisks保險(xiǎn)、責(zé)任和風(fēng)險(xiǎn)15.SupplementaryClauses補(bǔ)充條款Exhibitor參展商Address地址Contact聯(lián)系人Organizer：主辦機(jī)構(gòu)：Address地址Contact聯(lián)系人1．TermsofReference定義Undertheserulesandregulationstheterm‘Exhibitor’shallincludeallemployees,Servantsandagentsofanycompanypartnership,firmofindividualtowhomspacehasbeenallocatedforthepurposesofexhibiting.本合同中的“參展商”是指在展覽中分配有展位的，以展示為目的公司及其雇員、服務(wù)人員和任何公司或個(gè)人委派的代理商。Theterm‘Exhibition’hallmeantheexhibitionreferredtoontheapplicationandcontractform.本合同中的“展覽”是指在參展申請(qǐng)及參展合同中涉及的展覽。Theterm’Organizers’shallmeanChinaBearingIndustryAssociation.本合同中的“主辦單位”是指中國(guó)軸承工業(yè)協(xié)會(huì)。Theterm‘Contract’meansthecontractforexhibitionspaceattheExhibitionenteredintobetweentheOrganizersandtheExhibitorwhichincorporatestherulesandregulations.本合同中的“合同”是指主辦單位與參展商簽定的展位租用合同，合同包括參展商應(yīng)履行的各項(xiàng)規(guī)定和條款。2.ApplicationforParticipation參展申請(qǐng)Allapplicationforparticipationshallbemadeontheprescribedapplicationfrom.TheapplicationformshallbesubmittedtotheOrganizersortheirauthorizedrepresentatives.ThesubmissionoftheformshalldeemtobeconfirmationofparticipationandacceptancebytheExhibitoroftheTermsofContract.TheOrganizersshallreservetherighttoacceptorrefuseanyapplicationwithoutdisclosingtotheExhibitoranyreasonsthereof.所有參展申請(qǐng)均應(yīng)按照指定的申請(qǐng)表格填寫(xiě)。申請(qǐng)表格應(yīng)提交給主辦單位或其授權(quán)代表。提交申請(qǐng)表格視為確認(rèn)參展和接受本合同中規(guī)定的各項(xiàng)條款。主辦單位保留接受或拒絕申請(qǐng)的權(quán)利并無(wú)需向參展商說(shuō)明原因。3.AllocationofExhibitionSpace展位的分配Theorganizersshallallocatethespaceinaccordancewiththenatureofexhibitsorinanymannertheymaydeemfit.TheOrganizersshallreservetherighttochangethespaceallocatedtotheExhibitoratanytimepriortothecommencementoftheerectionoftheboothoftheExhibitorshouldexceptionalcircumstancesdemandand,toalterthespacetotransferorcloseentrancesasexitstotheExhibitionfacilitiesandtoundertakeotherstructuralalterationsastheymaydeemfit.SuchchangesshallbeatthediscretionoftheOrganizersandtheExhibitorshallhavenoclaimforcompensationasaresultofsuchchanges.主辦單位將根據(jù)參展展品的特性或其他認(rèn)為適宜的方式分配展位。在攤位搭建以前，如遇特殊情況，主辦單位有權(quán)隨時(shí)改變分配給參展商的展位，移動(dòng)展覽設(shè)施，或?qū)⒄桂^入口改為出口，以及進(jìn)行其他結(jié)構(gòu)調(diào)整。主辦單位有權(quán)做出此種調(diào)整，參展商無(wú)權(quán)提出索賠。4.ExhibitionSpace展位條件ShellSchemeincludingspace,carpeting,wallsonthreesides,fasciaboardsinChineseandEnglish,1receptiontable,1discussiontable,4chairs,4spotlights,1singlephase(5A/220V)socket,1wastepaperbasket.Rawspaceisonlyspacewithoutanydecoration.標(biāo)準(zhǔn)展位包括場(chǎng)地、地毯、三面圍板、中英文楣板、一個(gè)咨詢(xún)臺(tái)、一張洽談桌、四把椅子、四盞射燈、一個(gè)單相（5A/220V）電源插座、一個(gè)紙簍。凈地展位只有場(chǎng)地，無(wú)其它設(shè)施。5.UseofExhibitionSpace展位的使用ExhibitorsareentitledtoexhibitonlytheannouncedproductsandtomantheexhibitsonlywithcompetentpersonnelduringtheopeninghoursoftheExhibition.TheOrganizersreservetherightstorefuseadmittancetoanyvisitortotheExhibitionortohaveaccesstoanystand.Exhibitorsarenotallowedtosub-letorassignthestand/sallottedtothemtootherpartieseitherwhollyorinpartwithoutthewrittenconsentoftheOrganizers.ExhibitorswillbeliableforanydamagetothewallsortoanypartoftheExhibitionhallinwhichtheirexhibitsareplacedandshallnotpaintorotherwisealterthefloors,ceilings,pillarsorwallswithoutthepriorconsentoftheOrganizers.參展商只能展示申報(bào)的展品。在展會(huì)期間，參展商應(yīng)委派有能力的人員管理展品。主辦單位保留拒絕任何參觀者進(jìn)入展會(huì)或展場(chǎng)的權(quán)利。未經(jīng)主辦單位的書(shū)面同意，參展商不得以任何形式將其展位全部或部分指派、分配或轉(zhuǎn)租給第三方。參展商對(duì)展廳墻面或其他部位的損壞要負(fù)責(zé)任。未經(jīng)主辦單位同意，參展商不得更改地面、天花板、展館柱面或墻面。6.TermsofPayment付款條件a.50%ofthechargespayablebytheExhibitorsundertheContractForm(UnitCost)tobepaiduponsigningofthecontractform.參展商在簽定參展合同后，支付合同費(fèi)用的50%。b.Thebalanceshallbepaidnotlaterthan90dayspriortotheopeningdateoftheexhibition.剩余款項(xiàng)在開(kāi)展前90天內(nèi)付清。c.IncaseofdefaultofpaymentoftheExhibitorisentitledtoclaiminterestatarateofannually20%forthefullbalance.如果參展商拖欠支付費(fèi)用，欠款部分將按20%的年利率收取利息。7.BreachofContractandWithdrawalbyExhibitor參展商違約及退展WithoutprejudicetotherightsandremediesoftheOrganizersinrespectofanybreachoftheContractonthepartoftheExhibitor,theorganizersmayattheirdiscretionallowtheExhibitortowithdrawfromtheExhibitionsubjecttothefollowingconditions:由于參展商違約，為了保證不會(huì)對(duì)主辦單位的利益造成任何損害，主辦單位可依據(jù)下列條件允許參展商退展：a.theExhibitormustgivewrittennoticetotheOrganizersthathedesirestowithdrawandiftheorganizersallowsuchwithdrawaltheywillnotifytheExhibitoroftheirdecisioninwriting.參展商必須書(shū)面告知主辦單位其退展的申請(qǐng)，若主辦單位同意參展商退展，要將決定書(shū)面通知參展商；Anypaymenttotheorganizerswillnotberefunded.參展商已支付給主辦單位的任何費(fèi)用將不予退還；c.ShouldtheExhibitorfailtoobserveorcomplywithanyofthetermsandconditionscontainedhereinoriftheExhibitorshallfailtopayanyoftheunitcostsatthetimeandinthemanneraforesaid,thentheorganizersmaythereuponbywrittennoticegiventotheExhibitorrescindthecontract.由于參展商未遵守本合同條款的規(guī)定，或未在上述規(guī)定的期限內(nèi)支付場(chǎng)租費(fèi)，主辦單位將以書(shū)面形式通知參展商解除本合同；d.UpontheOrganizers’exercisingtheirrighttorescindthecontractundersub-clause(c)ofthisclause,theymaybutarenotobligedtoreletorotherwisedealwiththeExhibitionspacecontractedbytheExhibitorindefaultonsuchconditionsastheOrganizersshalldeemfit.IntheeventtheOrganizershavingelectedtobutnotabletoreletthesaidExhibitionspace,theExhibitorindefaultshallbeliabletopaytheentireunitcoststotheOrganizersasliquidateddamagesforthelossofrental.依據(jù)本條款的子條款c.的規(guī)定，主辦單位可行使其權(quán)力與參展商解除本合同。主辦單位可以轉(zhuǎn)租違約的參展商的展位，但不是必須轉(zhuǎn)租這些展位，或者主辦單位以它認(rèn)為合適的方式來(lái)處理這些展位。如果這種情況發(fā)生時(shí)，主辦單位決定轉(zhuǎn)租這些展位，但又沒(méi)能轉(zhuǎn)租出去，違約的參展商將承擔(dān)所有展位租金的損失。8.Changes變更TheOrganizersreservetherighttochangethevenueanddurationoftheExhibitionifexceptionalcircumstancessodemand.Intheeventofchangeofvenueand/orduration,theagreementtoparticipateshallremaininforcesolongastheExhibitorisinformedatleastamonthbeforesuchchangeswilltakeplace.Intheeventofachangeofvenueand/ordurationorcancellationoftheExhibition,theExhibitorsshallnotbeentitledtoanyclaimforcompensationinconnectionwiththeirreservationforparticipation.?如遇意外情況，主辦單位保留變更展會(huì)地點(diǎn)和展會(huì)時(shí)間的權(quán)力。如果展會(huì)地點(diǎn)和/或展會(huì)時(shí)間發(fā)生變更，只要在變更前一個(gè)月通知參展商則原參展協(xié)議仍然有效。如果展會(huì)地點(diǎn)和/或展會(huì)時(shí)間發(fā)生變更或展會(huì)取消，參展商無(wú)權(quán)就所預(yù)訂的展位進(jìn)行索賠。9.ConstructionandDecorationofStand攤位的搭建和裝修ExhibitorswillbeallowedtodecoratetheirunitasperscheduleinExhibitor’smanual.Anydamagescausedbytheexhibitororhis/itscontractorstootherExhibitorsorcommonpropertyshallbetheresponsibilityoftheExhibitor.AllExhibitorsmustcompletetheirconstructionanddecorationbythedateandtimestipulatedbytheOrganizers.根據(jù)參展商手冊(cè)，參展商可以對(duì)其展位進(jìn)行裝飾。任何由參展商或其搭建商造成的對(duì)其他參展商或公共財(cái)?shù)膿p害，參展商須承擔(dān)全部責(zé)任。所有參展商必須在主辦單位規(guī)定的日期和時(shí)間之前完成搭建和裝修。10.MovementofExhibits展品的運(yùn)輸a.ExhibitorsshallbeartheresponsibilityandexpensesforthetransportofexhibitstotheExhibitionvenue.參展商負(fù)責(zé)將展品運(yùn)至展會(huì)地點(diǎn)并承擔(dān)運(yùn)費(fèi)。b.Exhibitorsshallmaketheirownarrangementforstorageandwarehousingoftheirexhibits.參展商負(fù)責(zé)安排排展品的堆放和存儲(chǔ)。c.ExhibitorsshallremoveallexhibitsfromtheExhibitionhallwithintheperiodstipulatedbytheOrganizersandshallindemnifytheOrganizersagainstanylossbyreasonofthedelayofdamagetotheExhibitionhall.參展商應(yīng)在主辦單位規(guī)定的期限內(nèi)將展品從展覽館全部運(yùn)走，否則由于延誤造成的損失需向主辦單位做出賠償。11.FailureofServices展會(huì)取消TheorganizersshallnotbeliableforanylosssustainedbytheExhibitordirectlyorindirectlyattributabletothecancellation,suspensionorreductionofdurationofthescheduledExhibitionfromtheperiodadvertisedorspecifieddueto:由于下列直接或間接的原因，致使展會(huì)被取消、暫停或縮短展期，從而給參展商帶來(lái)?yè)p失，主辦單位將不對(duì)參展商承擔(dān)責(zé)任：a.Forcemajeure.不可抗力；b.Actsofwar,militaryactivity,andmunicipalstatutoryorcivilauthorityrequisition.戰(zhàn)爭(zhēng)行為、軍事活動(dòng)、地方性法規(guī)或民政部門(mén)的要求；c.Fire,flood,typhoon,excessivelyinclementofweather,earthquakeoracombinationofthesame.火災(zāi)、水災(zāi)、臺(tái)風(fēng)、極端的惡劣天氣、地震或這些自然災(zāi)害同時(shí)發(fā)生時(shí)；d.Damagecausedbyanaerialobjectoraircraft.由于飛行物體或飛機(jī)造成的損失；e.Strikesorlockoutsbyworkmen.工人的罷工或停工；IftheExhibitioniscancelled,reduced,orpostponed,thentheunitcostsoranypartthereofpaidtotheOrganizersmayberefundedatthesolediscretionoftheorganizers,butwithoutprejudicetotheorganizers’righttoappropriatetheentiresumoranypartthereofforexpensestheyhavealreadyincurredfortheExhibition.如果展會(huì)被取消、縮短展期或推遲舉辦，在不損害主辦單位利益或不影響已發(fā)生的費(fèi)用的前提下，主辦單位有權(quán)決定向參展商退還已支付的全部或部分費(fèi)用。12.Security安全TheOrganizersshalltakeallsecurityprecautionsintheinterestoftheExhibitorsandvisitors.However,theOrganizersshallnotbeheldresponsibleforanylossortheftofexhibitsattheExhibitionhallduringthebuild-up,exhibitionanddismantlingperiod.TheOrganizersshallalsonotbeheldresponsibleforanylossordamagetoexhibitsoranyarticlesbelongingtotheExhibitors.主辦單位將對(duì)參展商和參觀者采取安全預(yù)防措施，但是對(duì)于展會(huì)之前、展會(huì)期間和之后展品的丟失或被竊不承擔(dān)任何責(zé)任。主辦單位對(duì)參展商的展品或其他物品的損失或損壞也不承擔(dān)任何責(zé)任。13.FireRegulations防火規(guī)則AllMaterialsusedinstandsandexhibitionconstructionsmustbeproperlyfireproofedinaccordancewithlocalregulations.FiremarshalswillpatroltheExhibitionfacilitiesandwillbeauthorizedtostopanydemonstrationsthatarepotentialfirehazards.所有用于搭建展臺(tái)和展位的材料必須符合當(dāng)?shù)胤ㄒ?guī)的要求采用耐火材料。消防隊(duì)長(zhǎng)將巡視所有展覽設(shè)施，并有權(quán)制止任何潛在的可引起火災(zāi)的行為。14.Insurance,liabilityandRisks保險(xiǎn)、責(zé)任和風(fēng)險(xiǎn)Allexhibitorsshallinsure,indemnifyandholdtheOrganizersandthevenueownersharmlessinrespectofallcosts,claims,demandsandexpensestowhichtheymaybesubjectasaresultoflossoforinjuryarisingtoanypersonshowsoevercausedwhilethesaidpersonsare
