InternationalImportandExportTradeContract(EnglishVersion)

Preamble

ThisInternationalImportandExportTradeContract(“Contract”)ismadeandenteredintoon[DATE],byandbetween[PARTYA],a[COMPANYTYPE]dulyorganizedandexistingunderthelawsof[COUNTRY/STATE/PROVINCE],withitsprincipalplaceofbusinessat[ADDRESS],and[PARTYB],a[COMPANYTYPE]dulyorganizedandexistingunderthelawsof[COUNTRY/STATE/PROVINCE],withitsprincipalplaceofbusinessat[ADDRESS].

Thepartiesagreeasfollows:

Article1:Definitions

ForthepurposesofthisContract,thefollowingtermsshallhavethemeaningssetforthbelow:

1.1“Goods”meanstheproductstobeimportedandexportedpursuanttothisContract.

1.2“DeliveryDate”meansthedateonwhichtheGoodsaretobedeliveredpursuanttothisContract.

1.3“Price”meansthepricetobepaidbythepartyimportingtheGoodspursuanttothisContract.

1.4“WarrantyPeriod”meanstheperiodduringwhichthepartyexportingtheGoodsguaranteesthattheGoodsshallbefreefromdefects.

1.5“ForceMajeure”meansanyeventbeyondthecontroloftheparties,suchaswar,riot,earthquake,floodorfire,thatpreventsapartyfromfulfillingitsobligationsunderthisContract.

Article2:Goods

2.1[PARTYA/PARTYB]shallimport/exporttheGoodsasdescribedintheattachedpurchaseorder.

2.2TheGoodsshallbedeliveredby[PARTYA/PARTYB]totheagreeduponplaceofdeliveryontheDeliveryDate.

2.3[PARTYB/PARTYA]shallberesponsibleforobtaininganynecessaryexport/importlicensesrequiredforthelawfulexport/importoftheGoods.

Article3:PriceandPayment

3.1ThePriceshallbe[AMOUNT]perunitoftheGoods.

3.2Paymentshallbemadein[CURRENCY]nolaterthan[NUMBEROFDAYS]daysaftertheDeliveryDate.

3.3Allpaymentsshallbemadetotheaccountdesignatedbytherecipientparty.

Article4:Warranty

4.1[PARTYB/PARTYA]warrantsthattheGoodsshallbefreefromdefectsforaperiodof[NUMBEROFMONTHS]monthsfromtheDeliveryDate.

4.2IftheGoodsarefoundtobedefectivewithintheWarrantyPeriod,[PARTYA/PARTYB]shallnotify[PARTYB/PARTYA]inwritingwithin[NUMBEROFDAYS]daysofdiscoveryofthedefect.

4.3[PARTYB/PARTYA]shallreplaceorrepairthedefectiveGoodsatitsownexpense.

Article5:ForceMajeure

5.1IfapartyisunabletoperformitsobligationsunderthisContractduetoForceMajeure,theaffectedpartyshallnotifytheotherpartyinwritingoftheoccurrenceoftheForceMajeureandtheestimateddurationoftheevent.

5.2TheaffectedpartyshallnotbeheldliableforanydelayorfailuretoperformitsobligationsunderthisContractduringtheForceMajeureevent.

5.3ThepartiesshallusetheirbesteffortstominimizeanyeffectsoftheForceMajeureontheperformanceofthisContract.

Article6:DisputeResolution

6.1AnydisputesarisingfromorinconnectionwiththisContractshallbesettledthroughamicablenegotiationbetweentheparties.

6.2Ifthepartiesareunabletoresolvethedisputethroughnegotiation,thedisputeshallbereferredtoarbitrationinaccordancewiththerulesofthe[ARBITRATIONASSOCIATION].

6.3Thearbitrationshallbeheldin[CITY],[COUNTRY]andthearbitrationawardshallbefinalandbindingupontheparties.

Article7:GoverningLawandJurisdiction

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[COUNTRY/STATE/PROVINCE].

7.2AnydisputesarisingfromorinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[CITY],[COUNTRY].

Article8:EntireAgreement

8.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallpriornegotiations,understandings,andagreementsbetweenthepartiesconcerningthesubjectmatterofthisContract.

8.2ThisContractmayonlybeamendedinwritingandsignedbybothparties.

INWITNESSWHEREOF,thepartieshaveexecutedthisContractonthedatefirstwrittenabove.
