外貿(mào)合作協(xié)議英文

Introduction

Thisagreementisenteredintobyandbetween[CompanyA],acompanyincorporatedin[CountryA],havingitsprincipalplaceofbusinessat[AddressA],representedby[NameA],and[CompanyB],acompanyincorporatedin[CountryB],havingitsprincipalplaceofbusinessat[AddressB],representedby[NameB].Thisagreementsetsforththetermsandconditionsonwhichthepartiesshallconducttheirbusinessrelationship.

Purpose

Thepartiestothisagreementaredesirousofengaginginamutuallybeneficialbusinessrelationshipforthesaleanddistributionofgoodsandservicesbetween[CountryA]and[CountryB].

Term

Thisagreementshallbecomeeffectiveon[DateA]andshallcontinueinforceforaperiodof[TermA],unlessterminatedearlierinaccordancewiththetermsofthisagreement.

Products

QualityControl

[NameA]shallensurethatallproductsand/orservicessoldto[NameB]meetallapplicablelaws,regulations,andindustrystandards.[NameB]shallhavetherighttoinspecttheproductsand/orservicespriortodeliverytoensurecompliancewiththeserequirements.

Pricing

Thepartiesshallagreeonpricingforeachproductand/orservicesold.Suchpricingshalltakeintoconsiderationprevlingmarketprices,aswellasanyotherfactorsthatthepartiesagreearerelevant.

PaymentTerms

Paymenttermsforeachproductand/orservicesoldshallbeagreeduponbytheparties.Suchtermsmayinclude,butarenotlimitedto,paymentupondelivery,paymentininstallments,orpaymentuponcompletionofservices.

Confidentiality

Thepartiesrecognizethatinthecourseofconductingtheirbusinessrelationship,eachpartymayreceiveconfidentialinformationfromtheotherparty.Suchconfidentialinformationshallbekeptconfidentialandshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.

Termination

Thisagreementmaybeterminatedbyeitherpartyupon[NoticePeriodA]days’writtennoticetotheotherparty.Additionally,thisagreementmaybeterminatedbyeitherpartyintheeventthattheotherpartybreachesanyofthetermsandconditionsofthisagreement.

GoverningLaw

Thisagreementshallbegovernedby,andconstruedinaccordancewith,thelawsof[CountryA]withoutgivingeffecttoitsconflictoflawprinciples.

DisputeResolution

Anydisputearisingoutoforinconnectionwiththisagreementshallberesolvedthroughgoodfthnegotiationsbetweentheparties.Ifsuchnegotiationsdonotresultinaresolution,thedisputeshallberesolvedbyarbitrationinaccordancewiththerulesoftheInternationalChamberofCommerce.

EntireAgreement

Thisagreementconstitutestheentireagreementbetweenthepartiesandsupersedesallpriornegotiations,understandings,andagreementsbetweentheparties.

Signatures

Thisagreementmaybeexecutedincounterpartsandmaybetransmittedbyfacsimileorotherelectronicmeans.Theundersignedherebycertifythattheyhavetheauthoritytoenterintothisagreementonbehalf
