FINANCIALADVISORYAGREEMENT

ThisFinancialAdvisoryAgreement(the“Agreement”)issignedinHongkongon15July,2013.TheAgreementiseffectiveasof15July,2013(the“EffectiveDate”).

WHEREASthePartiesdesiretoenterintodiscussionsforthepurposeofevaluatingthepossibilityofcooperationandforsuchotherpurposesasthePartiesmayagreeinwriting.

Engagement.TheCompanyherebyengagesandretainsB****asanon-exclusivefinancialadvisorforandonbehalfoftheCompanytoperformtheServicesasdefinedinSection2.B****herebyacceptsthisengagementonthetermsandconditionssetforthinthisAgreement.

Services.InconnectionwithitsengagementpursuanttothisAgreement,B****agreestoperformthefollowingfinancialconsultingservicesintheprocessoftheCompany’scapitalraising.

ProfessionalFees.B****willsendinvoicesforfeesaccordingtotheactualamountoffundsraisedandtheworkload.Paymentisdueuponreceipt.Afterreceivingtheinvoices,theCompanyshallcheckitintime

andcompletethepaymentwithin20workingdays.Theprofessionalfees

areincludingtaxesorsimilarcharges.

ConfidentialityandNon-Disclosure. Eachpartyshallkeepthecontentsofthisagreementconfidential,andshallnotdisclosethemtoanythirdpartywithouttheconsentoftheotherparty,exceptasrequiredbythelaworthegovernmentalauthority.

Governing Law. ThisAgreementshallbegovernedbyand

construedinaccordancewiththelawsofHongKong.

TermandTermination.ThisAgreementshallbeeffectiveuponitsexecutionandshallremainineffectfor2monthsfromthedateofacceptancebytheCompany.Inaddition,Section5,“GoverningLaw”shallsurviveanyterminationofthisAgreement.

EntireAgreement.ThisAgreementcontainstheentireAgreement

andunderstandingbetweenthepartieswithrespecttoitssubjectmatterandsupersedesallpriordiscussion,agreementsandunderstandingsbetweenthemwithrespectthereto.ThisAgreementmaynotbemodifiedexceptin

awritingsignedbytheparties.

Assignment.NeitherthisAgreementnortherightsofeitherpartyhereundershallbeassignedbyeitherpartywithoutthepriorwrittenconsentoftheotherparty.

Counterparts.ThisAgreementmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

Miscellaneous.ThisAgreementismadeintriplicateoriginals.

Eachpartyholdsoneoriginalandthewitnessholdsone.
