CHAPTER1

GENERALPROVISIONS

Article1.1

Preamble

CCCCommunicationCo.,Ltd.isalargeTelcopermittedbytheChineseGovernmenttooperatetheTelecommunicationbusinessnation-wide._________BranchoftheCCCCommunicationCo.,Ltd.isresponsibleforthebusinessdevelopmentandthenetworkconstructionin_________area.BBBsLtd.isa_________(STATE)companyheadquarteredin_________anditsmainbusinessistoprovidehigh-speedbroadbandInternettechnologyservices.Basedonthespiritoffriendlycooperationandmutualdevelopment,afterdiscussionsandnegotiations,bothPartiesagreedtodeployInternetandvalue-addedbusinessinthe_________areajointly.InaccordancewiththeContractLawofthePeople'sRepublicChina,theGeneralPrincipleofCivilLawofthe_________(COUNTRY),andotherrelatedlawsandregulations,thePartiesconcludedtheContracton_________(M,D,Y)

Article1.1

Definitions

InthisContract,thefollowingwordsandexpressionsshallhavethemeaningherebyassignedtothem,exceptwherethecontextotherwiserequires:

"Contract"meanstheJointProjectContractbetweentheAAACo.,Ltd.andBBBsLtd.

"JointProject"meanstheProjectofInternetandValue-addedBusinessbetweentheAAACo.,Ltd.andBBBsLtd.

"WorkingProcedure"meansthemanagementandWorkingProcedureoftheJointProject

"AccountingProcedure"meanstheaccountingprocedureofthejointproject.

"ManagementCommittee"meanstheCommitteethatisformedbytherepresentativesappointedbytheParties,inaccordancewiththeirrespectiveproportionoftheincomedistributionatthedifferentphasesoftheProject.

"WorkingGroup"meanstheWorkingGroupthatisformedundertheManagementCommitteeoftheJointProjectandisresponsibleforcarryingouttheProject.TheWorkingGroupreportstotheManagementCommittee.

"Parties"meanstheAAACo.,Ltd.,(the"PartyA")andBBBsLtd.(the"PartyB").

"Appendix"meansalladdendumtotheContract,includingbutnotlimitedtoadditionaldocuments,supplementalarticlesandanydetailedprocedures.AllAppendicesisaninseparablepartoftheContract,exceptwheretheContractrequiresanAppendixnottobeapartoftheContract.

"RevenueofOperation"meanstheOperationalRevenueoftheProject,includingbutnotlimitedtothechargeforIPphone,equipmentlease,installation,monthlynetworkusage,monthlyinformationandthechargesfortechnicalservices.

"TotalRevenue"meanstherevenuefromallsources,includingtheRevenueofOperationandallotherrevenue.

"Costs"meansthecoststomaintaintheoperationoftheProject,includingthebusinesstax,relevantadvertisementcost,staffsalariesandagentfees.TheadvertisementcostandtheamountofstaffsalariesshallbedecidedbythePartiesjointlyandberecordedintheWorkingProcedureoftheProject.

"ProjectInvestment"meansthetotalinvestmentmadebyPartyB,includingcashandequipment.EquipmentinvestmentrequirespriorapprovaloftheManagementCommitteeoftheJointProject.

"ProjectAssets"meanstheassetsgeneratedfromallcashandequipmentinvestmentmadebyPartyBandthetermsandconditionsprovidedbyPartyAfortheJointProject.

"DistributableCashFlow"meansaformulatobeappliedbyPartyAtocalculatetheinvestmentreturnofPartyB.TheDistributableCashFlowequalstheRevenueminustheCosts.

CHAPTER3

DECLERATIONSANDWARRANTIES

Article3.1

PartyA

PartyAherebydeclaresandwarrantiesasfollows:

PartyAisbranchofaProjectthatisdulyorganizedandvalidlyexistingwiththestatusofalegalpersonunderthelawsofthe_________(COUNTRY).PartyAisdulyauthorizedbyitsparentProjecttocarryoutthisContract.

TheexecutionandperformancebyPartyAofthisContractanditsappendices:arewithinitscorporatepowerandbusinessscope,havebeendulyauthorizedbynecessarycorporateresolution,donotcontraveneitsArticlesofAssociationanddonotcontraveneanylaworcontractualrestrictionbindingonoraffectingPartyA.

PartyAownsandcontrolsthebandwidthofitsMetrofibernetworks,hardwareplatformtoconnecttheCustomerPremisesNetworks,andtherightstousethebandwidthandtheplatformfortheJointProject.

PartyAunderstandsandguaranteestoactingoodfaithandshallnotrelinquish,transferorpermitthetransfertherightstousethebandwidthandtheplatformtoathirdpartyduringthetermofthisContract.AnyPartyofthisContractshallnottoallowathirdpartytousetheCustomerPremisesNetworksforthepurposeofofferingtheabove-mentionedserviceswithoutthepriorwrittenconsentoftheotherParty.

PartyAhasobtainedthepermitandallrelevantapprovaltoofferInternetandtelephoneservicesin_________area.

Toinvestcash,equipmentormaterialundertheContracttoensurethesmoothoperationoftheProject.

PartyAguaranteestotransferthePartyB'sentireproportionoftheDistributableCashFlowundertheContracttoPartyB.

UponsigningofthisContractanditsappendicesbytheParties,thisContractislegal,valid,bindingandenforceableagainstPartyAinaccordancewiththetermsoftheContract.

Article3.2

PartyB

PartyBherebydeclaresandwarrantiesasfollows:

PartyBisacorporationdulyincorporatedunderthelawsofthe_________(COUNTRY)andexistingvalidlywiththestatusofalegalpersontocarryoutthisContract.

TheexecutionandperformancebyPartyBofthisContractanditsappendices:arewithinitscorporatepowerandbusinessscope,havebeendulyauthorizedbynecessarycorporateresolution,donotcontraveneitsArticlesofAssociationanddonotcontraveneanylaworcontractualrestrictionbindingonoraffectingPartyB.

Toinvestcash,equipmentormaterialundertheContracttoensurethesmoothoperationoftheProject.

UponsigningofthisContractanditsappendicesbytheParties,thisContractislegal,valid,bindingandenforceableagainstPartyBinaccordancewiththetermsoftheContract.

PartyBconsenttocooperatewithPartyA'sbusinessactivitiesandanycostincurredfromsuchbusinessactivitiesshallbeconsultedanddecidedbythePartiesjointly.

Article3.3

SpecialTerms

DuringthetermofthisContract,iftherelevantlaws,regulationsandpolicesarechangedandthePartyBisallowedtooperateasatelecommunicationproviderlegallyortojointinthemanagementandoperationofatelecommunicationproviderlegally,PartyAconsenttoallowPartyBtogaintherighttojointinthemanagementandoperationofthisProject.

DuringthetermofthisContract,anyrelevantlaws,regulationsandpolicesarechangedtoaffecttheProjectnegatively,thePartiesofthisContractshallconsulteachotherimmediatelyandtomodifytheContractaccordingly.

CHAPTER4

THEOBJECTIVE,BUSINESSSCOPEAND

BUSINESSPLANOFTHEPROJECT

Article4.1

TheObjective

TheobjectiveoftheProjectistoprovideInternettechnologyservicesfordatatransmissionandInternetrelatedbusinessin_________area.Thiswillbeaccomplishedbyeconomiccooperationandtechnicalexchangesaswellasthroughadoptingadvancedtechnologyandscientificmanagementexpertise,inordertoachievereasonableeconomicresultsandensureamaximumrateofreturnforbothParties.

Article4.2

ThePrincipleofCooperation

ThePartiesfullyagreethefollowingastheprincipleofcooperationbetweentheParties:

ThePartiesshallinvestintheProjectjointly;touseeachother'sequipmentandfacilitieswithcompensation;JitongtooperatetheProject;toenjoytheeconomicbenefitsoftheProjecttogether;andtotaketherisksoftheProjectjointly.

ThePartiesshalldeploytheProjectwithintheframeworkofthisContract.

PartyAshallberesponsibleforthemanagementandoperationofthisProject.DuringthetermoftheContract,PartyBshallberesponsiblefortheequipmentupgradingoftheProject.

PartyBshallmonitorthefinancingandaccountingoftheProjectandprovidenecessaryfinancialconsultation.ThedetailswillbelistedintheAccountingProcedure.

ThePartiesshallcomplywiththelawsandregulationsofthe_________(COUNTRY).

Article4.3

TheScopeofBusiness

ThescopeofbusinessoftheProjectistodeveloporbuildbroadbandInternetCustomerPremisesNetworksin_________area,todevelopVoiceOverIPbasedontheCustomerPremisesNetworks;toprovidebroadbandInternettechnologyserviceswhichincludestheequipmentpurchasing,designing,installation,operation,maintenanceandmanagementofthebroadbandnetworkplatformforbroadbanddatatransmission,networkbaseddatatransmissionandvalue-addedbusiness;todeveloptheapplicationsoftware;andtoprovidetechnical,consulting,managementandtrainingservices.

Article4.3

TheBusinessPlan

ThefollowingsetsoutadescriptionoftheProject'sbusinessplan:

TheProjectshallbedeployedintwostages.ThefirstphaseofthefirststageoftheProjectistostarttheProjectinthecorecityareaandtoconnect_________to_________householdsbeforetheendof_________(M,Y).Thepenetrationrateshouldnotbelowerthan15%andattempttoreach20%.Thesecondphaseofthefirststageistoconnect_________householdsbeforetheendof_________(M,Y)andthepenetrationrateshouldnotbelowerthanthefirstphase.

ThesecondstageoftheProjectistoconnectallotherareasoftheMetropolitan_________.

PartyAagreestousethefibernetworks,bandwidthandfacilitiesthatareownedandcontrolledbyPartyAtoconnecttheCustomerPremisesNetworks;toprovideInternetservicestocustomersandothervalue-addedbusiness.TherightstousethebandwidthandtheplatformfortheJointProject.

PartyAshallberesponsibletoprovideInternetconnectivitytotheCustomerPremisesNetworks.

PartyAshallberesponsibletocollectthemonthlyconnectionfeeandchargesforusingothervalue-addedservicesoftheProject.

TheDistributableCashFlowshallbedistributedtothePartiesmonthlyinaccordancewithArticle8.1ofthisContract.

UponsigningoftheContract,theManagementCommitteeoftheJointProjectandtheWorkingGroupshallbeestablishedatthesametime.TheWorkingGroupshallstarttodeveloptheWorkingProcedureoftheProject.TheWorkingProcedureoftheProjectshallincludethefollowingelements:

ThemodeoftheProjectoperation;

ThestructureoftheManagementCommitteeoftheJointProject;

ThestructureoftheWorkingGroup;

ThemarketingplanoftheProject;

Thetimetableforequipmentselectionandpurchase,equipmentinstallationandtimetabletoprovideservicestocustomers;

ThepricingpolicyoftheProject;

TheServiceAgreementofnetworkequipmentinstallationandmaintenances;

TheCustomerServiceAgreement;

Theprocessofcollectingservicecharges;and

TheAccountingProcedureoftheProject.

CHAPTER5

INVESTMENTANDCOOPERATIVECONDITIONS

FORTHEJOINTPROJECT

Article5.1

Investment

TheestimatedinvestmentforthefirststageoftheProjectis60millionRMB.Theestimatedinvestmentforthefirstphaseofthefirststageis16millionRMBandtoconnect_________to_________households.Theestimatedinvestmentforthesecondphaseofthefirststageis44millionRMBandtoconnect_________to_________households.TheinvestmentforthesecondstageshallbediscussedanddecidedbethePartiesinthefuture.

TheunitofcurrencyfortheinvestmentshallbeRMB.

AllcashinvestmentshallbedepositedintoabankaccountdesignatedbytheManagementCommitteeoftheJointProject.

AllinvestmentandthecooperativeconditionscontributedbythePartiesfortheProject,whetherincashorinotherform,shallbeusedexclusivelyfortheProject.

PartyBshallinvestaftertheManagementCommitteeoftheJointProjecthasapprovedtheInvestmentPlanthatpreparedbytheWorkingGroupinaccordancewiththeWorkingProcedureoftheProject.

Article5.2

CooperativeConditions

ThecooperativeconditionsofthePartiesareasfollows:

PartyA:

PartyAcontributesitsbandwidthof_________MetrofibernetworkswhichisownedandcontrolledbyPartyAtoconnectcustomerstotheInternetforInternetservicesandothervalue-addedbusinessthroughtheCustomerPremisesNetworksoftheProject.PartyAguaranteethattheconnectionsbetweenitsMetroFiberNetworkandtheCustomerPremisesNetworksoftheProject.

PartyAhasobtainedthepermitandallrelevantapprovaltoofferInternetandtelephoneservicesin_________area.

PartyB:

PartyBshallmakecashinvestmenttopurchasetheCustomerPremisesNetworksthathasbeencompletedortoconstructtheCustomerPremisesNetworks.ThepurchasepriceshallbeapprovedbytheManagementCommittee.

PartyBshallmakecashinvestmenttopurchasetheequipmentfortheCustomersPremisesNetworks,includingserver,router,campusswitchesandbuildingswitches.

DuringthetermofthisContract,anyPartyofthisContractshallnotchangeormodifythecooperativeconditionscontributedtotheProjectordisposetheassetsoftheProjectwithoutpriorwrittenconsentoftheotherParty.

Article5.3

AssignmentofInterest,RightsandObligations

IfaParty(theTransferringParty)totheContractintendstosell,assign,transfer,whollyorinpart,itsinterest,rightsandobligationstoathirdparty,apriorwrittenconsentmustbeobtainedfromtheotherParty(theNon-TransferringParty).

IftheTransferringPartydesirestosell,assignortransfer,whollyorinpart,itsinterest,rightsandobligationstoathirdpartyotherthanasubsidiaryoftheTransferringParty,theTransferringPartyshallsecureabindingwrittenoffer(the"ThirdPartyOffer")fromsuchthirdparty.TheNon-TransferringPartyshallhavetheright(the"FirstRightofRefusal")exercisablewithinfifteen(15)daysafterreceivingacopyoftheThirdPartyOffertopurchasetheTransferringParty'sinterest,rightsandobligationsintheProjectonthesametermsandconditionsassetoutintheThirdPartyOffer.TheNon-TransferringPartyshallnotifytheTransferringPartyinwritingpriortoexerciseitsFirstRightofRefusal.

IftheNon-TransferringPartyexercisesitsFirstRightofRefusalwithinfifteen(15)daysafterreceivingacopyoftheThirdPartyOffertopurchasetheTransferringParty'sinterest,rightsandobligationsintheProject,theTransferringParty'srespectiveinterest,rightsandobligationsshallbetransferredtotheNon-TransferringPartyonthesametermsandconditionssetoutintheThirdPartyOffer.

IftheNon-TransferringPartyfailstoexerciseitsFirstRightofRefusalwithinfifteen(15)daysafterreceivingthenotificationoftheThirdPartyOffer,theTransferringPartymay,providedthattheTransferringPartyhasobtainedthepriorwrittenconsentfromtheNon-TransferringParty(suchconsentshallnotbewithheldunreasonably),sell,assignortransfer,whollyorinpart,itsrespectiveinterest,rightsandobligationsintheProjecttotheThirdPartypursuanttoArticle5.3(1)ofthisContract.

Notwithstandingtheforegoing,aParty,afternotifyingtheotherParty,maysell,assignortransfer,whollyorinpart,itsrespectiveinterest,rightsandobligationsintheProjecttoitsSubsidiary.ThePartiesagreethatsuchassignmentshallnotrequirepriorconsentoftheotherPartyandshallnotattachanyconditionstosuchassignment.ThePartiesalsoagreethattheFirstRightofRefusal,shallnotbeappliedtosuchassignment.

Anysale,assignmentortransferofaParty'sinterest,rightsandobligationsintheProject,whollyorinpart,underthisArticleshallnotbeeffectiveuntilallnecessaryApprovalshavebeenobtained.

Anysale,assignmentortransferofaParty'sinterest,rightsandobligationsintheProject,whollyorinpart,underthisArticleshallbewithintheframeworkofthelawsandregulationsofthe_________(COUNTRY).

CHAPTER6

OBLIGATIONSOFEACHPARTYOFTHECONTRACT

Article6.1

ObligationsofPartyA:

ToassistPartyBtohandlenecessaryapplicationsforprojectapproval,businessregistration,businesspermit,filingandothermattersfortheProject.

ToassisttheProjectinmattersinvolvingdepartmentsoragenciesofthegovernment.

ToassisttheProjectinobtainingnecessaryaccesstothetelecommunicationNetworkof_________fortheProject.

ToconstructandmanagethedailyoperationoftheProject.

ToassistthePartyBinapplyingforandobtainingofthemaximumtaxbenefit,underthetaxpoliciesandregulationsofthe_________(COUNTRY),ofallpermittedreductionsin,orexemptionsfrom,theincometax,withholdingtax,importduties,value-addedtax,businessandconsumptiontax,localtax,realestatetax,vehicletaxoranyothertaxreductions,rebatesorexemptionstowhichtheProjectiscurrentlyentitledormaybecomeentitledinthefuture;

ToassisttheProjecttorentworksiteandofficespace;

ToassisttheProjectinpurchasingorleasinganynecessaryequipment,material,officesupplies,toolsoftransportationandTelecommunicationfacilities,etc;

ToassisttheProjectingettingtheutilitiesforbusinessoperation,suchaswater,electricity,transportation,etc.

Toprovidethemanagement,technicalandotherpersonnelrequiredfromtheProject.

TofacilitatedPartyBtoimplementtheContractandsuperviseitsinvestment.

ToProvidePartyBwithalistofnetworksandequipmenttobeusedbytheProjectwithinfifteen(15)daysaftersigningofthisContract.

ToassisttheProject,withthebesteffort,topromoteitsbusiness.

ToassistwithothermattersthatentrustedbytheProject.

Article6.2

ObligationsofPartyB:

ToassistPartyAtohandleapplicationsforbusinessregistrationandothermattersfortheProject

ToapplyadvancedscientificmanagementsystemandassisttheProjecttodevelopitsfinancialplanningandreportingsystems,;

ToassistPartyAtohandlemattersinvolvingdepartmentsoragenciesofthegovernment.

AsentrustedbytheManagementCommitteeoftheProjectorPartyAtoselectnecessaryequipment,technology,parts,softwareandotherrelatedmaterialsfromtheinternationalmarket.ThecostsincurredinperformingtheaforementioneddutiesshallbepaidbytheProject.

TotrainthetechnicalpersonnelandemployeesoftheProjectattheProject'scost.

ToassisttheProject,withthebesteffort,topromoteitsbusiness.

ToassistwithothermattersthatentrustedbytheProject.

Article6.3

ObligationsofBothParties

ThemutualObligationsoftheParties:

MakingtheirrespectivecontributionstotheProjectpursuanttoArticle5.2;

Tousetheirbesteffortsandingoodfaith:

ToreachthepenetrationratesetupbytheManagementCommitteeoftheProjectandachievetheeconomicviabilityandprofitabilityoftheProject;

ToexpandthemarketoftheProjectbyincreasingthenumberofsubscribersinordertomaximizetherevenueoftheProject;

Toprotectthegoodwill,thetrademarks,patentedandnon-patentedtechnologyandintellectualpropertyoftheProjectfrominfringement.

Nopartyshallmortgage,pledgeorpermitanyliensonanypropertyoftheProjectwithoutpriorapprovalofthePartiesandthewrittenapprovaloftheManagementCommitteeoftheProject;

NopartyshallborrowfromorlendmoneytoorprovideguaranteeinthenameoftheProjectwithoutpriorapprovalofthePartiesandthewrittenapprovaloftheManagementCommitteeoftheProject.

CHAPTER7

INCOMEDISTRIBUTION

Article7.1

IncomeDistribution

AftertheProjectpaysalltaxesasrequiredbyapplicablelawsandregulationsofthe_________(COUNTRY),theDistributableCashFlowshallbedistributedasfollows:

Article7.2

TheaccountingsystemoftheProjectshallbeindependentfromPartyA'saccountingsystemandkeepaseparatesetofbooksfortheProject.

CHAPTER8

MANAGEMENTCOMMITTEEOFTHEPROJECT

Article8.1

EstablishmentofTheManagementCommittee

TheManagementCommitteeoftheProjectisthehighestauthorityoftheProject.TheManagementCommitteeoftheProjectshallbeestablishedonthedateofsigningofthisContract.

TheManagementCommitteeshallhaveallthepowerstomakemajordecisionsconcerningthemanagementandotherimpotentmattersoftheProject.TheManagementCommitteeisalsoresponsibletomakestrategicbusinessdecisionsoftheProject.

TheManagementCommitteeshallbeconsistedoffive(5)membersthatappointedbytheParties.Thetermofthemembershipisthree(3)years.ThetermofmembershipmayberenewediftheirrespectivePartiescontinuouslyappointthemember.Thedistributionofthemembersshallbeasfollows:

Thepowers,procedures,requirementsandothermattersrelatingtotheManagementCommitteearesetoutintheWorkingProcedureoftheProject.Ifthereisaconflict,theWorkingProcedureoftheProjectshallprevail.

Article8.2

MeetingoftheManagementCommitteeanditsQuorum

TheManagementCommitteeshallconveneatleastonemeetingeverysixmonths.Atanymeeting,aquorumshallconsistofatleastfour(3)members,ofwhichnotlessthanone(1)memberisappointedbyPartyAandone(1)memberisappointedbyPartyB,attendingthemeetinginperson,byproxyorbytelephone.TheChairpersonoftheBoardmustcallameetingupontherequestofanythreemembers.FormatterswhichwouldotherwiserequiretobeapprovedbyameetingoftheManagementCommittee,awrittenresolution,InlieuofameetingoftheManagementCommittee,maybeadoptedbytheManagementCommitteeifsuchresolutionissenttoallmembersoftheManagementCommitteeandtobesignedandadoptedbythenumberofmembersrequiredtomakesuchdecisionasstipulatedintheWorkingProcedureoftheProject.AnoticeshallbedeemedtobewaivedbyattendingtheBoardmeetinginperson,byproxyorparticipatingthemeetingbytelephoneorvideoconference.

Article8.3

PowersoftheManagementCommittee

TheManagementCommitteemayexerciseallofthepowersbelongingtotheProject.ExceptspecificallystipulatedintheContracthereof.AllactionstakenbytheManagementCommitteeshallrequireapprovalbysimplemajorityofthemembersatthemeetingatwhichaquorumispresent.

Article8.4

MinutesoftheManagementCommittee

TheminutesoftheManagementCommitteemeetingshallbeconfirmedandsignedbythemembersattendingthemeetingandshallbefiledwiththeProject.

CHAPTER9

MANAGEMENTANDOPERATIONOFTHEPROJECT

Article9.1

TheOperationandManagementand

TheProjectshallestablishtheWorkingGroupwhichshallberesponsiblefortheday-to-dayoperationandmanagementoftheProject.

CHAPTER10

CONFIDENTIALITY

Article10.1

Confidentiality

1.DuringthetermofthisContractandthree(3)yearsfollowingtheterminationofthisContract,NoPartytothisContractshall,norshallitpermitanyofitsemployees,todivulgetoanypersonanyconfidentialinformation,includingtheconfidentialinformationbeforeandaftersigningofthisContractandtheconfidentialinformationdevelopedoracquiredbyeitherPartyduringthetermoftheProject.Theconfidentialinformationincluding,butnotlimitedtobusinessplan,financialplanorinformation,customerinformation,technicalsecrets,intellectualproperty,sellsplanandactivities,andproductmarketinginformation.

2.NotwithstandinganythinginthisAgreementtothecontrary,Confidentialinformationshallnotincludeanyinformationwhich:

atthetimeofdisclosuretotheReceivingPartyisknownbytheReceivingParty.becomespubliclyavailableinthefuture.However,itisnotaresultofadisclosuremadedirectlyorindirectlybytheReceivingParty.asavailabletotheReceivingPartyonanon-confidentialbasisfromathirdparty.hasbeenindependentlyacquiredordevelopedbytheReceivingPartywithoutviolatinganyofitsobligationunderthisContract.hasbeenagreedtobedisclosedtoathirdpartybyawrittenconsentofthedisclosingparty.

3.Theconfidentialinformationcanonlybedisclosedunderthefollowingcircumstances:

IntheeventthataPartytotheContractbecomeslegallycompelledtodiscloseanyoftheconfidentialinformationoftheotherParty;

Toseekorderoftheproduct,tocompleteaserviceagreement,toobtainabankloanorfinancing;

TheconfidentialinformationisavailabletothepublicthroughmeansthatnotviolatinganyobligationunderthisContractbytheParties.

APartytothisContractdisclosetoitstechnicalconsultantwhohassignedaconfidentialityagreement.

CHAPTER11

TAXES,FINANCE,AUDIT,STATISTICS

Article11.1

Taxation

TheProjectshallpaytaxesinaccordancewiththelawsandregulationsofthe_________(COUNTRY).

Article11.2

Accounting

TheaccountingsystemoftheProjectshallbeindependentfromPartyA'saccountingsystemandkeepaseparatesetofbooksfortheProject.

Article11.3

Reports

PartyAshallsubmitthenecessaryfinancialreportstotherelevantauthoritiesinaccordancewiththeregulationsofthe_________(COUNTRY).

CHAPTER12

TERMOFTHECONTRACT

Article12.1

TermoftheContract

ThetermoftheContractistwelve(12)years.TheestablishmentoftheProjectshallstartfromOctober2001andtobeterminatedattheendofOctober2013.APartymayfilearequesttoextendtheContractonehundredandeighty(180)dayspriortotheterminationofthisContract.

THEDISPOSALOFASSETSAFTER

EXPIRATIONOFTHECONTRACT

CommitteeofLiquidation

UponexpirationofthisContract,theProjectshallliquidatetheassets,creditanddebt.TheliquidationshallbecarriedoutbyaCommitteeofLiquidationinaccordancewiththetermsoftheContractandtherelevantlawsandlegalprocedures.ACommitteeof
