thetermsandconditionsofthisbillofladingandexpresslyconfirmshisunconditionalandirrevocableconsenttothepossiblecarriageofthegoodsonthedeckofanyvessel.274.TheMerchresponsibleforreturninganyemptycontainer,withinteriorcleanatthedesignatedce,andwithin60daysfollowingtothedateofrelease,failingwhichthecontainershallbeconstruedaslost.TheMerchantshallbeliabletoindemnifytheCarrierforanylossorexpensewhatsoeverarisingoutoftheforegoing,ludingbutnotlimitedtoliquidateddamagesequivalenttothesoundmarket-orthedepreciatedvalueduebytheCarriertoacontainerlessor.TheCarrierisentitledtocollectadepositfromtheMerchantatthetimeofreleaseofthecontainerwhichshallberemittedassecurityforpaymentofanysumsduetotheCarrier,inparticularforpaymentofalldetentionanddemurrageand/orcontainerindemnityasreferredabove.315.Followingtotheslowdown/lockoutaffectingtheUSwestcoastports,cargomaybedischargedinternativeportwithoutnotice-subjecttoavailability-orbeonforwardedtotheintendedportofRECEIVEDbytheCarrierfromtheShipperinapparentgoodorderandcondition(unlessotherwisenotedherein)thetotalnumberortyofcontainersorotherpackagesorunitsindicatedabovebytheMerchantforcarriage,subjecttoallthetermshereof(ludingthetermsonpageone)andtarifffortherelevanttrade,fromtheceofreceiptortheportofloading,whicheverapplicable,totheportofdischargeorceofdelivery,whicheverapplicable.ThisWaybillisdeemedtobeacontractofcarriageasdefinedinArticleI(b)oftheHagueRulesandHagueVisbyRulesalthoughthisisnotaoftitletotheGoods.DELIVERYwillonlybemadeonPaymentofallFreightandChargesandtothenamedConsigneeoranythirdpartynominatedbytheConsigneebywritteninstructiontotheCarrierorhisAgent,unlesstheShipperinstructsotherwisepriortodelivery.Therightsandliabilitiesarisingaccordingtothetermshereofshall(withoutprejudicetoanyruleofcommonlawandstatus) ebindingbetweentheCarrierandConsigneeasifthisagreementhasbeenmadweenthemandtheShipperguaranteesonreceptionofthisWaybillthathehasaccepteditonhisownbehalf,onbehalfoftheConsigneeandtheOwneroftheGoods,andwarrantsthathehasauthoritytodoso.AllclaimsandactionsarisingbetweentheCarrierandtheMerchrelationwiththecontractofCarriageevidencedbythisWaybillshallexclusivelybebroughtbeforetheTribunaldeCommercedeMarseilleandnootherCourtshallhavejurisdictionwithregardstoanysuchclaimoraction.Notwithstandingtheabove,theCarrierisalsoentitledtobringtheclaimoractionbeforetheCourtofthecewherethedefendanthashisregisteredThisWaybillisissuedsubjecttotheC.M.IUniformRulesforSeaPLACEANDDATEOF 01MAR SIGNEDFORTHECARRIERCMACGMBYCMACGMSIGNEDFORTHE*APPLICABLEONLYWHENTHISDOCUMENTISUSEDASACOMBINEDTRANSPORTBILLOFLADING
