轉(zhuǎn)運被允許，和分批裝運被禁止。19.檢驗（Inspection）：發(fā)貨前，制造廠應(yīng)對貨物的質(zhì)量、規(guī)格、性能和數(shù)量/重量作精密全面的檢驗，出具檢驗證明書，并說明檢驗的技術(shù)數(shù)據(jù)和結(jié)論。貨到目的港后，買方將申請中國商品檢驗局(以下簡稱商檢局)對貨物的規(guī)格和數(shù)量/重量進行檢驗，如發(fā)現(xiàn)貨物殘損或規(guī)格、數(shù)量與合同規(guī)定不符，除保險公司或輪船公司的責(zé)任外，買方得在貨物到達(dá)目的港后的10日內(nèi)憑商檢局出具的檢驗證書向賣方索賠或拒收該貨。在保證期內(nèi)，如貨物由于設(shè)計或制造上的缺陷而發(fā)生損壞或品質(zhì)和性能與合同規(guī)定不符時，買方將委托中國商檢局進行檢驗。Themanufacturersshall,beforedelivery,makeapreciseandcomprehensiveinspectionofthegoodswithregardtoitsquality,specifications,performanceandquantity/weight,andissueinspectioncertificatescertifyingthetechnicaldataandconclusionoftheinspection.Afterarrivalofthegoodsattheportofdestination,theBuyershallapplytoChinaCommodityInspectionBureau(hereinafterreferredtoasCCIB)forafurtherinspectionastothespecificationsandquantity/weightofthegoods.Ifdamagesofthegoodsarefound,orthespecificationsand/orquantityarenotinconformitywiththestipulationsinthisContract,exceptwhentheresponsibilitieslieswithInsuranceCompanyorShippingCompany,theBuyershall,within10daysafterarrivalofthegoodsattheportofdestination,claimagainsttheSeller,orrejectthegoodsaccordingtotheinspectioncertificateissuedbyCCIB.Incaseofdamageofthegoodsincurredduetothedesignormanufacturedefectsand/orincasethequalityandperformancearenotinconformitywiththeContract,theBuyershall,duringtheguaranteeperiod,requestCCIBtomakeasurvey.20.索賠（Claim）：買方憑其委托的檢驗機構(gòu)出具的檢驗證明書向賣方提出索賠（包括換貨），由此引起的全部費用應(yīng)由賣方負(fù)擔(dān)。若賣方收到上述索賠后30天未予答復(fù)，則認(rèn)為賣方已接受買方索賠。ThebuyershallmakeaclaimagainsttheSeller(includingreplacementofthegoods)bythefurtherinspectioncertificateandalltheexpensesincurredtherefromshallbebornebytheSeller.TheclaimsmentionedaboveshallberegardedasbeingacceptediftheSellerfailtoreplywithin30daysaftertheSellerreceivedtheBuyer'sclaim.21.遲交貨與罰款（LatedeliveryandPenalty）:除合同第21條不可抗力原因外，如賣方不能按合同規(guī)定的時間交貨，買方應(yīng)同意在賣方支付罰款的條件下延期交貨。罰款可由議付銀行在議付貨款時扣除，罰款率按每一天收0.02%，不足一天時以一天計算。但罰款不得超過遲交貨物總價的3%。如賣方延期交貨超過合同規(guī)定15天時，買方有權(quán)撤銷合同，此時，賣方仍應(yīng)不遲延地按上述規(guī)定向買方支付罰款。買方有權(quán)對因此遭受的其它損失向賣方提出索賠。ShouldtheSellerfailtomakedeliveryontimeasstipulatedintheContract,withtheexceptionofForceMajeurecausesspecifiedinClause21ofthisContract,theBuyershallagreetopostponethedeliveryontheconditionthattheSelleragreetopayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation.Therateofpenaltyischargedat0.02%foreveryday,odddayslessthanonedaysshouldbecountedasonedays.Butthepenalty,however,shallnotexceed3%ofthetotalvalueofthegoodsinvolvedinthedelayeddelivery.IncasetheSellerfailtomakedelivery15dayslaterthanthetimeofshipmentstipulatedintheContract,theBuyershallhavetherighttocanceltheContractandtheSeller,inspiteofthecancellation,shallneverthelesspaytheaforesaidpenaltytotheBuyerwithoutdelay.ThebuyershallhavetherighttolodgeaclaimagainsttheSellerforthelossessustainedifany.22.不可抗力（ForceMajeure）：凡在制造或裝船運輸過程中，因不可抗力致使賣方不能或推遲交貨時，賣方不負(fù)責(zé)任。在發(fā)生上述情況時，賣方應(yīng)立即通知買方，并在14天內(nèi)，給買方特快專遞一份由當(dāng)?shù)孛耖g商會簽發(fā)的事故證明書。在此情況下，賣方仍有責(zé)任采取一切必要措施加快交貨。如事故延續(xù)4星期以上，買方有權(quán)撤銷合同。TheSellershallnotberesponsibleforthedelayofshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellershalladvisetheBuyerimmediatelyoftheoccurrencementionedaboveandwithin14daysthereaftertheSellershallsendanoticebycouriertotheBuyerfortheiracceptanceofacertificateoftheaccidentissuedbythelocalchamberofcommerceunderwhosejurisdictiontheaccidentoccursasevidencethereof.UndersuchcircumstancestheSeller,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethan4weekstheBuyershallhavetherighttocanceltheContract.23.爭議的解決(Arbitration):凡因本合同引起的或與本合同有關(guān)的任何爭議應(yīng)協(xié)商解決。若協(xié)商不成，應(yīng)提交中國國際經(jīng)濟貿(mào)易仲裁委員會深圳分會，按照申請仲裁時該會現(xiàn)行有效的仲裁規(guī)則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。AnydisputearisingfromorinconnectionwiththeContractshallbesettledthroughfriendlynegotiation.Incasenosettlementisreached,thedisputeshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommission(CIETAC),ShenzhenCommissionforarbitrationinaccordancewithitsrulesineffectatthetimeofapplyingforarbitration.Thearbitralawardisfinalandbindinguponbothparties.24.通知（Notices):所有通知通過/電子郵件/快件送達(dá)給各方。如果地址有變更，一方應(yīng)在變更后3日內(nèi)書面通知另一方。Allnoticeshallservedtobothpartiesbyfax/e-mail/courier.Ifanychangesoftheaddressesoccur,onepartyshallinformtheotherpartyofthechangeofaddresswithin3daysafterthechange.25.本合同使用的FOB術(shù)語系根據(jù)國際商會《2021年國際貿(mào)易術(shù)語解釋通則》。ThetermsFOBintheContractarebasedonINCOTERMS2021oftheInternationalChamberofCommerce.26.附加條款(Additionalclause)：本合同上述條款與本附加條款抵觸時，以本附加條款為準(zhǔn)。ConflictsbetweenContractclausehereaboveandthisadditionalclause,ifany,itissubjecttothisadditionalclause.27.本合同用中英文兩種文字寫成，兩種文字具有同等效力。本合同一式兩份，買賣雙方各執(zhí)一份為證。自雙方代表簽字（蓋章）之日起生效。ThisContractisexecutedintwocounterpartseachinChineseandEnglish,eachofwhichshalldeemedequallyauthentic.ThisContractismadeoutintwooriginalcopies,onecopytobeheldbyeachpartyinwitnessthereof.effectivesincebeingsigned/sealedbybothparties.買方代表（簽字）：RepresentativeoftheBuyer(Authorizedsignature):賣方代表（簽字）：RepresentativeoftheSeller雇傭合同【中英文】Employment?Contract姓名Name：簽訂日期Date：甲方（用人單位）PartyA：地址Address：法定代表人Legalrepresentative：乙方（勞動者）PartyB：身份證號碼IDNo：住址Address：聯(lián)系方式Contact:緊急聯(lián)系人方式Contact?person?in?case?of?emergency：依照《雇傭法令》有關(guān)規(guī)定,結(jié)合本公司實際,甲乙雙方本著平等、自愿、協(xié)商一致的原則達(dá)成如下協(xié)議AccordingtoEmploymentAct，PartyAandPartyBagreeasfollows：一、合同期限ContractPeriod本合同期______年__月__日起至______年___月___日或本合同約定終止條件出現(xiàn)時止。Thisagreementisvalidfrom(YMD)until（YMD)orterminatedbyeitherparty二、工作內(nèi)容和工作時間Responsibility&workinghours1。甲方聘請乙方擔(dān)任職務(wù)，詳見職務(wù)說明書.PartyB’sposition：Pleaserefertothejobdescriptionfordetails.2。乙方須完成甲方安排的生產(chǎn)（工作)任務(wù)PartyBmustaccomplishhis/herregularworkandadditionalassignmentsontime3.每天工作8小時，每周工作共48小時。Thereare8workinghoursaday，48workinghoursaweek.4.甲方如因業(yè)務(wù)拓展變化需要對乙方的工作崗位及工作區(qū)域進行調(diào)整，乙方應(yīng)當(dāng)接受。如因甲方公司業(yè)務(wù)擴展需要或公司合并分立等變更，乙方同意按照法律規(guī)定延續(xù)此合同，并接受甲方安排。IfPartyAneedstomakeadjustmentstoPartyB’sworkpositionandworkingareaduetobusinessdevelopment，PartyBshallacceptit。IfPartyA'sbusinessexpansionneedsorthecompany’smergerissplit，etc.,PartyBagreestocontinuethiscontractinaccordancewiththelawandacceptsPartyA'sarrangements.三、工資Salary乙方每月的基本工資：(該金額尚未扣除稅金、住房費用以及社會保險中個人應(yīng)繳的部份），試用期滿，經(jīng)考核后，根據(jù)考核結(jié)果確定是否正式錄用，正式錄用后薪金保持不變。公司保證該員工的月工資將不低于當(dāng)?shù)卣?guī)定的最低工資.PartyB’smonthlytotalrevenue(beforethedeductionoftax,housingfund，socialinsurancepaidbyindividual）eachmonthwouldbe_____，Afterprobationtotalrevenuewouldbeunchanged。The?COMPANY?shall?ensure?that?the?monthly?salary?of?the?EMPLOYEEis?not?lessthan?the?minimum?pay?standard?setby?the?local?government。四、工資的發(fā)放Payment甲方于每月20日前以貨幣的形式發(fā)放上月工資。PartyAwillpaytheemployee'slastmonth’ssalaryincurrencybeforethe20thdayofeachmonth.五、超時工作OverTime乙方應(yīng)致力于提高工作效率,按時完成生產(chǎn)、工作任務(wù),如因特殊情況需要加班詳見《員工手冊》.PartyBshallbecommittedtoimprovingworkefficiencyandcompletingworktasksontime.Fordetailsonovertimerequirementsforspecialcases,seetheEmployeeHandbook。六、假期與福利Holiday&Benefits1.有薪國家法定假日StatutoryHolidayofPRCChinawithpay2.有薪婚假/產(chǎn)假/喪假LeaveforMarriage，MaternityandMourningwithpay.3。有薪年假Annualleavewithpay4。社會保險SocialInsurance5。年度獎金Annualbonus(basedonthemonthsworkedwithpartyAattherateofonemonth‘swageforeachfullyearworked。)詳情請參照《員工手冊》PleaserefertoPartyA’semployeemanualfordetailinfo.七、勞動紀(jì)律Discipline乙方應(yīng)嚴(yán)格遵守甲方制定的各項規(guī)章制度和勞動紀(jì)律（詳請請參照《員工手冊》執(zhí)行）PartyBshallstrictlyobeyPartyA‘regulationsanddiscipline.PleaserefertoPartyA’semployeemanual.八、保密協(xié)議Confidentiality乙方需嚴(yán)格保守工作過程中接觸和了解到的公司商業(yè)秘密（包括生產(chǎn)技巧、工藝流程、技術(shù)秘密、管理方法、產(chǎn)銷策略、貨源情報、設(shè)計圖紙、成本價格和客戶資料)，否則將受到行政處罰（如無條件解雇、賠償?shù)龋?；觸犯刑法的，甲方將有權(quán)移交司法機關(guān)處理。乙方調(diào)離甲方，應(yīng)得到甲方同意，并將所有商業(yè)秘密資料移交甲方，同時承擔(dān)不向外泄露的義務(wù)，并保證半年內(nèi)不得利用甲方商業(yè)秘密在生產(chǎn)同類且與甲方有競爭關(guān)系的產(chǎn)品的其他企業(yè)內(nèi)任職。否則,甲方有權(quán)要求乙方賠償因此而帶來的一切經(jīng)濟損失。Therecipientshallundertaketheobligationtokeepconfidential,inaccordancewiththescopeanddurationagreeduponbybothparties，thetechnicalsecretscontainedinthetechnologyprovidedbythesupplier，whichhavenotbeenmadepublic。九、合同終止Termination1.終止本合同條件TerminationconditionsA。試用期間,雙方皆可即時通知對方解除本合同；Duringtheprobationperiod，eithersidecanterminatethecontractbyimmediateeffect.B。試用期滿后,任何一方欲解除合同,須提前三十日以書面形式通知對方。否則，違約方須向守約方支付違約金（違約金為乙方一個月的工資），若造成守約方經(jīng)濟損失的，應(yīng)依法承擔(dān)賠償責(zé)任。Afterathree—monthtrialperiod,anypartywishingtorescindthecontractmustinformtheotherpartyinwritten30daysinadvance.Otherwise，thedefaultingpartyshouldpaybreachofcontractdamagestotheobservingparty（thebreachofcontractisPartyB’sone—monthsalary）。Ifthebreachingpartycauseseconomiclosses，itshallbeliableforcompensationaccordingtolaw.甲方在下列情況下可隨時直接地通知乙方解除本合同，無須履行任何法定義務(wù)和手續(xù)，無須向乙方補償Ifanycaseofthefollowingcircumstances，PartyAhastherighttoinformPartyBrescissionofthecontract:乙方在試用期間達(dá)不到甲方的要求；PartyB‘sperformancecan’tmeetPartyA‘srequirement.B.乙方嚴(yán)重失職，給甲方利益造成重大損失的；Theotherpartyhasbreachedthecontract,totheextentthatsuchbreachhasseriouslyaffectedtheeconomicbenefitsexpectedwhenconcludingthecontract違反甲方有關(guān)規(guī)定，應(yīng)予開除的,詳情請參照《員工手冊》執(zhí)行。TheconditionagreedoninthePartyA'semployeemanualforrescissionofthecontracthasarisen3。乙方在下列情況下終止本合同不需向甲方補償Ifanyoneofthefollowingcircumstances,PartyBhastherightofinformPartyArescissionofthecontractwithoutanycompensation：A。被非法限制人身自由的手段強迫勞動的；PartyBisforcedtoworkbyillegalmeans。B。未按本合同約定支付勞動報酬或勞動條件的；PartyBcannotgetthesalaryorworkingconditionswhichagreedinthecontract。十、甲、乙雙方須共同遵守國家有關(guān)法規(guī)以及甲方《員工手冊》的有關(guān)規(guī)定。BothPartyAandPartyBshallobeytherelatedregulationofPRCChinaandPartyA’semployeemanual。十一、本合同自甲方蓋章、乙方簽署之日起生效。Thiscontractshallcomeintoeffectsincebothsidessigntheirnames。十二、本合同以中文版本為準(zhǔn)，合同一式二份，甲、乙雙方各執(zhí)一份。N.B。Incaseofdivergence,theChinesetextsshallberegardedasauthentic。Twooriginals，oneforPartyA，theotheroneforPartyB。甲、乙雙方簽署同意以上條款Theabovetermsisagreedby：甲方(PartyA）乙方（PartyB）簽署日期(Date）簽署日期（Date)網(wǎng)站廣告投放合同WebsiteA 合作內(nèi)容Article1CooperationContent3第二條合同的生效和履行Article2Contract'sValidityandImplementation3第三條乙方的責(zé)任與義務(wù)Article3PartyB'sDutiesandResponsibilities3第四條違約責(zé)任Article4BreachofContract4第五條合同解除Article5ContractTermination4第六條保密條款A(yù)rticle6ConfidentialityClause4第七條爭議條款A(yù)rticle7DisputeClause5第八條其他約定Article8OtherAgreement5附件一Attachment16合作內(nèi)容I。CooperationContent1.1、甲乙雙方本著互惠互利的原則達(dá)成以下協(xié)議：甲方在乙方__(簡稱“該網(wǎng)站”)__網(wǎng)站的位置（詳見附件一，附件一作為本合同不可分割的一部分)上放置乙方廣告條。甲方在乙方的該網(wǎng)站投放以下兩種廣告位:1。1PartyAandBundertheprincipalofmutualbenefitreachedthefollowingagreement:PartyAatPartyB’s__kissanime。ru__website'splacement(fordetailpleaseseeAttachment1,Attachment1isanintegralpartofthisContract)positionPartyB’sads.PartyAplacethefollowingtwotypesofadsinPartyB’swebsite:1。1.1、在________下，Banner的規(guī)格_160___pixed×___600__pixed.每個月的展示量不低于4。5億，甲方即支付35,000。00（叁萬伍千)美金，以上所有的展示量需要有55％來自于Desktop.若乙方的展示量達(dá)不到4.5億，則甲方的支付金額進行相應(yīng)的遞減.1.1。1Atkissanime。ru,theBanner’sdimensionis160pixel×600pixel。Eachmonth'simpressionsarenotlowerthan0。45billiontimes，PartyAwillpayUSD＄35，000.00(thirty-fivethousanddollars)，andoutofthetotalimpressions,55％mustcomefromDesktop。IfPartyB’simpressionsdonotreach0。45billiontimes,thenPartyA'spaymentamountwillcorrespondinglydecrease.1。1。2、乙方上述Banner的展示量低于甲方要求的20％（即3。6億展示量）,或者展示量來自于Desktop低于55％，則甲方有權(quán)要求解除本協(xié)議。1.1。2IftheaboveBanner’simpressioninPartyB’swebsiteislowerthanPartyA’srequestby20％(0。36billionimpressions),orlessthan55%oftheimpressionsarefromDesktop,thenPartyAhastherighttoterminatethiscontract。1。1。3、Skin每個月的展示量不低于2億,甲方即支付15,000.00（壹萬伍千）美金，以上所有的展示量需要有55％來自于Desktop。若乙方的展示量達(dá)不到2億,則甲方的支付金額進行相應(yīng)的遞減。1.1。3Skin’smonthlyimpressionsshallnotbelowerthan0.2billion,PartAwillpayUSD$15,000.00（fifteen—thousanddollars)，andoutofthetotalimpressions，55％mustcomefromDesktop.IfPartyB’simpressionsdonotreach0。2billiontimes,thenPartyA’spaymentamountwillcorrespondinglydecrease。1。1.4、乙方上述Skin的展示量低于甲方要求的20％（即1.2億展示量），或者展示量來自于Desktop低于55%，則甲方有權(quán)要求解除協(xié)議.1。1.4IftheaboveSkin’simpressioninPartyB'swebsiteislowerthanPartyA’srequestby20%（0.12billionimpressions），orlessthan55%oftheimpressionsarefromDesktop，thenPartyAhastherighttoterminatethiscontract.1。2、甲方后續(xù)需要對廣告的功能做調(diào)整,乙方應(yīng)予配合1.2PartyAwillneedtomakeadjustmenttotheads’function，PartyBshallcooperate。1.2、投放期限為___12_____個月，廣告鏈接到甲方的指定鏈接或代碼，廣告投放時間從__2021__年__3__月__10__日至___2021____年__3___月____9___日.雙方從2021年4月份開始，于每個自然月的10號之前進行核對展示量的數(shù)據(jù),雙方確認(rèn)數(shù)據(jù)后，乙方在10個工作日內(nèi)開具invoice，甲方收到invoice后,10個工作日內(nèi)支付款項。1。3Theadvertisingperiodis12months,advertisinglinktoPartyAsdesignatedlinkorcode，advertisingperiodstartsonMarch10,2021untilMarch9，2021。BothsideswillstartinAprilof2021,beforethe10thofeverynaturalmonthtoverifyimpressions’data.Afterconfirmingdata,PartyBwillsentoutinvoicewithin10workingdays。AfterPartyAreceivestheinvoice，willpaythepaymentwithin10workingdays.1。4、本合同所指的廣告內(nèi)容是指甲方擬在乙方公司網(wǎng)站所有廣告載體上發(fā)布的有關(guān)甲方業(yè)務(wù)的信息，廣告形式為靜/動態(tài)GIF圖、視頻，視頻最長時間不超過20秒.1。4TheadscontentinthisContractmeanstheadsrelatingtoPartyA’sbusinessthatPartyAplanstoadvertiseonPartyB’swebsitewithinallads.Theadsmodeisstatic/animatedGIForvideo，videocannotbelongerthan20seconds.二、合同的生效和履行II.Contract’sValidityandImplementation2.1、本協(xié)議自簽定之日開始生效，一方可在收到對方蓋章簽字的掃描件后進行蓋章簽字，再將有雙方簽字蓋章的掃描件發(fā)至另一方。此種簽訂方式即為生效.2。1ThisContractbecomesvalidstartingfromthesignaturedate。Onepartyafterreceivingthescancopyofotherparty'ssignatureandstampcansignandstamp，thensendthescancopyofbothparty'ssignaturesandstampstotheotherparty。Thissignaturemethodisvalid。2.2、甲方指定負(fù)責(zé)人需盡快提供廣告條的磁盤文件或者將該廣告條作為附件的郵件以及廣告所對應(yīng)到的鏈接或代碼，并在發(fā)出5個工作日內(nèi)通知乙方指定負(fù)責(zé)人；乙方指定負(fù)責(zé)人必須在收到該文件后的3個工作日內(nèi)返回收到的確認(rèn)信息給甲方的指定負(fù)責(zé)人；2.2PartyA’sdesignatedpersoninchargeshallprovidethediskfileoftheadvertisementassoonaspossibleorthemailthelinkorthecorrespondingcodeoftheadvertisementastheattachmentandnotifyPartyB'sdesignatedpersoninchargewithin5workingdays;PartyB’sdesignatedpersoninchargemustwithin3workingdaysafterthereceiptofthedocumentfeedbackconfirmationofinformationreceivedtoPartyA’sdesignatedpersonincharge。2。3、如果甲方指定負(fù)責(zé)人在通知乙方指定負(fù)責(zé)人后5個工作日內(nèi)沒有獲得反饋消息，應(yīng)該立即與乙方指定負(fù)責(zé)人取得聯(lián)系,如果乙方不能解釋逾期反饋的理由,視為乙方違約；如果雙方指定負(fù)責(zé)人在10個工作日內(nèi)仍舊無法完成廣告條交換，造成甲方損失，視為乙方違約,需賠償甲方違約金； 2.3IfafterPartyA'sdesignatedpersonincharge,afternoticingPartyB’sdesignatedpersonincharge，within5workingdaysdidnotreceivefeedbackinformation，shallimmediatelycontactPartyB’sdesignatedpersonincharge.IfPartyBcannotexplaindelayinsendingbackfeedback，thenPartyBviolatesthecontract;ifbothparty’sdesignatedpersoninchargewithin10workingdaysstillcannotcompleteexchangeofadvertisements，leadingtoPartyA’sloss,thenPartyBviolatesthecontractandneedtocompensatePartyAwithlatefee。2.4、乙方在接到甲方的廣告條后的5個工作日，必須將接到的廣告條放在本合同中要求的位置。 2.4Within5workingdaysafterPartyBreceivesPartyA’sadvertisements,PartyBmustplacetheadvertisementwithinthepositionrequiredbythisContract。乙方的責(zé)任和義務(wù)III.PartyB’sDutiesandResponsibilities3。1、乙方在甲方廣告投放期間不能訪問超過1個小時,則產(chǎn)生的中斷時間，乙方應(yīng)該允許甲方的廣告期間進行相應(yīng)的順延.3.1PartyB’swebsite,duringPartyA’sadvertisingcampaign，cannotbevisitedformorethan1hour,theresultinginterruptiontime，PartyBshouldallowPartyA’sadvertisingperiodbeextendedforthecorrespondingamountoftime。3.2、乙方不得擅自改變約定發(fā)布廣告的內(nèi)容、時間和發(fā)布位置。乙方因不可抗力等原因需將甲方廣告調(diào)整至其他欄目或時段發(fā)布的,需在發(fā)布日的7個自然日前，書面通甲方，得到甲方書面同意才能更改，否則視為乙方違約。3.2PartyBshallnotarbitrarilychangetheagreedads’content，timeandplacementofpublication。IfPartyBduetoforcemajeureandotherreasonsneedtoadjustthePartyadvertisingtoothercolumnsorperiodoftime,needtowithin7naturaldaysbeforethepublishdate，writtennoticetoPartyA，andcanbechangedafterreceivingPartyA'swrittenconsent,orPartyBbreachthecontract。3.3、乙方承諾不在甲方的廣告位置上投放其他公司的廣告條或者遮擋甲方的廣告條。3。3PartyBpromisestonotplaceothercompaniesadvertisementsorblockPartyA'sadvertisementatPartyA’sadvertisingplacement.3。4、乙方必須提供廣告的有效展示量，方便甲方查看。3。4PartyBmustprovidetheadvertisement’svalidimpressions，soPartyAcancheck.3。5、乙方應(yīng)根據(jù)甲方的要求及時對甲方的廣告進行更新和維護。3.5PartyBshalltimelychangeandmaintainPartyA’sadvertisementinaccordancetoPartyA’srequirement.3。6

乙方不得隨意在甲方所簽訂廣告位的頁面上增加其他廣告位,需要在征得甲方同意后才能進行相關(guān)的廣告位新增操作.PartyBshallnotarbitrarilyaddadvertisingplacementonthepageofPartyA’sadvertisingplacement,andshallobtaintheconsentofPartyAtocarryouttherelevantoperationofaddingnewadvertisingplacement。

乙方不得對甲方的廣告代碼或鏈接進行任何修改。3.7PartyBshallnotmakeanychangestoPartyA’sadvertisementcodeorlink.四、違約責(zé)任IV.BreachofContract4。1、甲乙雙方違反上述條款，則違約方需要守約方支付本合同總金額的30％作為違約金。4。1Eitherpartyviolatestheaboveclause,thentheviolatingpartyneedstopaytheotherparty30%ofthetotalContractamountaspenaltyfee.4。2、一方違反上述義務(wù)，在另一方通知后10個自然日內(nèi)不進行改正，視為違約，另一方有權(quán)解除合同,違約方需向守約方支付違約金。4。2Onepartyviolatestheaboveresponsibilities，andwithin10naturaldaysaftertheotherpartynotifiesandstilldidnotmakeamends,considerasbreachofcontract,theotherpartyhastherighttoterminatetheContract,andtheviolatingpartyneedstopaytheotherpartypenaltyfee.五、合同解除V。ContractTermination5.1、合同在下述情形下終止，雙方互不負(fù)責(zé),但終止方應(yīng)書面通知另一方：5。2、一方嚴(yán)重違反本合同，另一方根據(jù)本合同的約定解除本合同。5。3、因不可抗力而解除本合同或者雙方當(dāng)事人協(xié)商一致解除本合同的。5。4、依法律、法規(guī)規(guī)定的情形而終止。5.5、在合同有效期間，如果一方提出終止要求，應(yīng)提前一個月通知對方；否則應(yīng)賠付本合同總金額的30%作為賠償金。5.6、截止到合同到期前15個工作日,如果甲方?jīng)]有按時支付續(xù)約款項，也沒有與甲方簽定其他合作，則雙方認(rèn)同合同到期后執(zhí)行終止。5。7、由于一方不履行協(xié)議約定的義務(wù)，或嚴(yán)重違反本合同約定的義務(wù)，造成本合同無法履行或履行不必要時，視作違約方片面終止本合同，守約方除有權(quán)向違約方索賠外，并有權(quán)終止本合同.5。1TheContractshallterminateduetothefollowingreasons,neitherpartyshallbearresponsibilities，buttheterminatingpartyshallsentwrittennoticetotheotherparty：5。2OnepartyseriouslyviolatesthisContract,andtheotherpartyterminatestheContractaccordingtothisContract'sagreement。5。3DuetoforcemajeureleadtoterminatingofthisContractorthepartiesthroughnegotiationtoterminatethisContractbyconsensus.5.4Terminateinaccordancetolawsorregulations。5.5IntheperiodofvalidityoftheContract，ifapartyrequesttoterminate,shallnotifytheotherpartyonemonthinadvance；otherwiseitshouldpay30％ofthetotalamountofthisContractascompensation。5。6Asof15workingdaysbeforetheexpirationoftheContract，ifPartyAfailstopaytherenewalfeeontime，andsign
