復(fù)印件一份。Copyoffaxfromsellertothebuyeradvisingtheparticularsofshipmentwithin24hoursaftershipmentismade.保險(xiǎn)單或保險(xiǎn)證明一正一副，按照合同金額110%投保一切險(xiǎn)及戰(zhàn)爭(zhēng)險(xiǎn)。InsurancePolicyorCertificatefor110%contractvalue,coveringAllRisksandffarRiskin1originaland1copy.賣方聲明外包裝外表標(biāo)有IPPC標(biāo)識(shí)證書正本一份，或賣方出具的非木質(zhì)包裝證明正本Seller?sCertificatein1originalcertifyingIPPChasbeenmarkedonsurfaceofthewoodencases裝運(yùn)通知：SHIPPINGADVICE：TheSellersshallfaxtotheBuyertheReadinessNotificationoneweekbeforethegoodstobeshipped.賣方在發(fā)貨前一周物向買方 貨物備妥通知。TheSellersshall,immediatelyuponthepletionoftheloadingofthegoodsin24hours,sendtheBuyersAirffaybill,InvoiceandPackinglistbyfax.裝運(yùn)通知：賣方應(yīng)在貨物裝運(yùn)完畢后24小時(shí)內(nèi)用 將空運(yùn)單、發(fā)票和裝箱單發(fā)給買方。如賣方未按時(shí)向買方通知上述裝運(yùn)情況所導(dǎo)致?lián)p失由賣方承當(dāng)。LossesshallbebornebytheSellersincasetheSellersdon'tinformtheBuyersoftheaboveshippingstatusontime.質(zhì)量保證：GUARANTEEOFQUALITY：賣方保證訂貨系用最上等的材料和頭等工藝制成，全新的，未曾使用過的，并完全符合本合同規(guī)定的質(zhì)量、規(guī)格和性能。賣方并保證本合同訂貨在正確安裝、正常使用和修理的情況下，自安裝之日起十二個(gè)月或貨物裝運(yùn)之日起十五個(gè)月內(nèi)運(yùn)轉(zhuǎn)良好，以先到期者為準(zhǔn)。由于人為造成的、易損易磨件除外。TheSellersshallguaranteethatforaperiodof12monthscalculatedfromthedateofinstallationor15monthsstartingfromthedateofshipment,whicheveristheearlier.Faultsduetomal-operationaswellaswearandtearpartsareexcluded.遲交貨及罰款：LATEDELIVERYANDPENALTY除合同第16條人力不可抗拒事故外，如賣方不能按合同規(guī)定的時(shí)間交貨，買方應(yīng)同意賣方支付罰款的條件下延期交貨。罰款可由議付銀行在議付貨款時(shí)扣除，罰款率按每7天收0.5%,缺乏7天時(shí)以7天計(jì)算。但罰款不得超過遲交貨物總價(jià)的5%。如賣方延期交貨超過合同規(guī)定10周時(shí)，買方有權(quán)撤消合同，此時(shí)，賣方仍應(yīng)不遲延地按上述規(guī)定向買方支付罰款。買方有權(quán)對(duì)因此遭受的其它損失向賣方提出索賠。ShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract,withtheexceptionofForceMajorcausesspecifiedinClause16ofthisContract,theBuyersshallagreetopostponethedeliveryonconditionthattheSellersagreetopayapenaltywhichshallbedctedbythepayingbankfromthepaymentundernegotiation.Thepenalty,however,shallnotexceed5%ofthetotalvalueofthegoodsinvolvedinthelatedelivery,therateofpenaltyischargedat0.5%foieverysevendays,odddayslessthansevendaysshouldbecountedassevendays.IncasetheSellersfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedintheContract,theBuyersshallhavetherighttocancelthecontractandtheSellers,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.Thebuyershallhavetherighttolodgeaclaimagainstthesellerforthelossessustainedifany.檢驗(yàn)和索賠：INSPECTIONANDCLAIMS：如發(fā)現(xiàn)貨物的品質(zhì)、數(shù)量ffiththeexception,however,ofthoseclaimsforwhichthecarrierand人力不可抗拒事故：FORCEMAJEURE:由于人力不可抗拒事故，而賣方交貨延遲或不能交貨時(shí)，責(zé)任不在賣方，但賣方應(yīng)馬上將事故通知買方，并于事故發(fā)生后十四天內(nèi)將事故發(fā)生地政府主管機(jī)關(guān)出給的事故證明書用空郵寄交買方為證，并取得買方認(rèn)可。在上述情況下，賣方仍負(fù)有采取一切必要措施從速交貨的責(zé)任。如果事故持續(xù)超過十個(gè)星期買方有權(quán)撤銷本合同。TheSellersshallnotbeheldresponsibleforanydelayindeliveryornon-deliveryofthegoodsduotoForceMajeure.However,theSellersshalladvisetheBuyersimmediatelyofsuchoccurrenceandwithinfourteendaysthereafter,shallsendbyairmailtothebuyersfortheiracceptanceacertificateissuedbythepetentgovernmentauthoritiesoftheplacewhereaccidentoccursasevidencethereof.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethantenweeks,theBuyersshallhavetherighttocancelthisContract.仲裁：ARBITRATION：凡因執(zhí)行本合同所發(fā)生的或與本合同有關(guān)的一切爭(zhēng)議，應(yīng)由雙方通過友好協(xié)商予以解決，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)
