GeneralAgencyAgreement總代理協(xié)議書Article1/第1章GeneralPrinciples/總那么THISAGREEMENTdatedthe_____dayof_____ismadeBETWEEN:RAINBOWCO.,LTD.,acompanyincorporatedunderthelawsof_____,andhavingitsregisteredaddressat_____(hereinaftercalledthe"Principal');andFLORISTCOMPANYLIMITED,acompanyincorporatedunderthelawsof_____,andhavingitsregisteredofficeat_____(hereinaftercalledthe"GeneralAgent').此協(xié)議是在_____年_____月_____日在"彩虹有限公司'，一個在_____法律下注冊的公司，注冊地址在_____（此后稱為"囑托人'）；和FLORIST有限公司，一個在____法律下注冊的公司，注冊地址為_____（此后稱為"總代理'），之間簽署的。

WHEREAS:ThePincipalisdesirousofacquiringfromCAN-ADVANCECO.,LTD.,(hereinaftercalledthe"Seller')theIFTtechnology(hereinaftercalledthe"IFTTechnology').ThePrincipalandtheGeneralAgenthaveagreedthattheGeneralAgentshallbeappointedasthePrincipalssoleexclusiveAgenttonegotiate,onbehalfofthePrincipal,withtheSellerthepriceandothertermsandconditionsfor,andallothermattersconnectedwith,theacquisitionofthetechnologybythePrincipal,subjecttothetermsandupontheconditionshereinaftersetforth.NOWITISHEREBYAGREEDasfollows:而囑托人想要從CAN-ADVANCE有限公司（此后稱為"賣方'）那里獲得IFT技術（此后稱為"IFT技術'）。囑托人和總代理已經(jīng)同意總代理將被任命為囑托人的獨家代理，代表囑托人，來和賣方協(xié)商價格和其它條款，及其它囑托人在獲得技術方面的事宜，以以下所商定的條款為準。

現(xiàn)在雙方商定如下：

Article2/第2章Definitions/定義2.1InthisAgreement,thefollowingwordsorexpressionsshallhavethemeaningsgiventothemrespectivelybelow:

在此協(xié)議中，以下詞匯或短語應分別有以下的意義：

"Commission'meansthecommissionpayablebythePrincipaltotheGeneralAgentpursuanttoArticle6.1subjecttothetermsandconditionsofthisAgreeemnt."傭金'意思是根據(jù)此協(xié)議的第6.1章，囑托人給總代理所支付的傭金。

"LicenceAgreement'meanstheTechnologyTransferorLicenceAgreementtobeenteredintobetweenthePrincipalandtheSeller,togetherwithalladdenda,amendmentsandsupplementsmadetheretofromtimetotimeandatanytime,settingoutthePriceandothertermsandconditionsforthesaleandtransferbytheSelleroftheTechnologyto,andtheacquisitionofthesameby,thePrincipal."許可協(xié)議'意思是在囑托人和賣方之間所達成的技術轉(zhuǎn)讓或許可協(xié)議，包括為了設定銷售價格和其它條款，和賣方的技術轉(zhuǎn)讓，和由囑托人獲得同樣的技術所舉行的不時的、在任何時候全體的補遺，補充和增加。

"Piece'meanstheaggregateamountofthepurchasepricepayablebythePrincipaltotheSellerfortheacquisitionoftheTechnology,whichamountshallalsoincludealllicencefeesandroyaltiesandotherpaymentsofwhatsoevernaturepayabletotheSellerbythePrincipalinconsiderationoforinconnectionwiththetransferoftheTechnologytothePrincipal."價格'意味著囑托人為獲得技術所付給賣方的總的添置價格，此價格還應包括全體囑托方考慮到或和轉(zhuǎn)讓給囑托方的技術有關的的全體許可費用和版稅以及其它性質(zhì)的付給賣方的費用。

2.2ClauseheadingsareinsertedforconvenienceofreferenceonlyandshallbeignoredintheinterpretationofthisAgreement.

條款的標題的插入只是為了參考需要，在解釋此協(xié)議時應被疏忽。

Article3/第3章GeneralAgency/總代理3.1ThePrincipalherebyappointstheGeneralAgent,andtheGeneralAgentherebyacceptsappointment,asthePrincipalssoleexclusiveGeneralAgenttonegotiate,onbehalfofthePrincipal,withtheSeller,thePriceandallothertermsandconditionsoftheLicenceAgreementandotherwisetoactgeneralllyonbehalfofthePrincipalinallrespectsrelatingto,andtoattendtoallmaterswhatsoeverconnectedwith,theacquistiionoftheTechnologybythePrincipal.

囑托方在此任命總代理，并且總代理在此采納任命，作為囑托方的獨家總代理，代表囑托方和賣方舉行許可協(xié)議的價格和全體其它條款的談判，并且也總體作為囑托方在全體囑托方所要獲得的技術方面處理和關注全體的有關事宜。

10：53/11:093.2ThePrincipalshallnot,duringtheperiodofthisagreement,appointanyotherpersonorpersonsasAgentofthePrincipaltonegotiatethePriceorthetermsandconditionsoftheLicenceAgreementorotherwisetoactinanyrespectonbehalfofthePrincipalrelatingto,ortoattendtoanymatterwhatsoeverconnectedwith,theacquisitionoftheTechnologybythePrincipal.

囑托方在此協(xié)議期間，不得任命任何其它人或人們作為囑托方的代理來代表囑托方協(xié)商有關許可協(xié)議的條款或以任何方式來關注和囑托方獲得技術的任何事宜有關的事情。

3.3TheappointmentoftheGeneralAgenthereunderasthesoleexclusiveAgentofthePrincipalforthenegotiationoftheLicenceAgreeementandtheacquisitionbythePrincipaloftheTechnologyshallbedeemed,forallpurposes,tohavebecomeeffectiveasfromthedateofthisAgreement,andshallremaineffectiveuntilthedatewhenthePriceandallotherterms

and

conditionsfortheacquisitionoftheTechnologybythePrincipalfromtheSellerhavebeenagreedandsatisfactorilyconcluded,andLicenceAgreementexecutedanddeliveryconcluded,andLicenceAgreementexecutedanddeliveredbyallrelevantPartiesthereto,andtheCommissionpaidtoandreceivedbytheGeneralAgent.

此下任命總代理作為囑托方為獲得技術的獨家代理來協(xié)商許可協(xié)議，應被認為此后協(xié)議今日起生效，并應一向生效到囑托方所獲技術的價格和全體其它條款得到賣方同意并合意地完成，許可協(xié)議執(zhí)行并完成裝運，并且許可協(xié)議由全體相關方面執(zhí)行和裝運，傭金付給并由總代理采納為止。

3.4TheappointmentbythePrincipaloftheGeneralAgentasthePrincipalssoleexclusiveAgentforthenegotiationoftheLicenceAgreeementandacquisitionbythePrincipaloftheTechnologyshallinnowayconstitute,orbedeemedtoconstitute,apartnershipbetweenthePartiesheretooraGeneralAgencyotherthanforthepurposesstatedherein.

囑托方對總代理作為囑托方獨家代理來協(xié)商許可協(xié)議和囑托方獲得技術的任命并不意味著構(gòu)成，或被認為構(gòu)成，在此各方之間或除了在此所表達的目的的總代理之間形成了伙伴關系。

Article4/第4章DutiesoftheGeneralAgent/總代理的職責4.1DuringthecontinuanceofthisAgreementoftheGeneralAgentshall:

在此協(xié)議持續(xù)時期，總代理應做到：

(1)useitsbestendeavorstonegotiateforandobtainfromtheSellerthebestavailablePriceandthemostfavorabletermsandconditionsforthetrasnfertoandacquisitionbythePrincipaloftheTechnology,andtoconcludethetermsandconditionsoftheLicenceAgreementassoonaspracticable;

盡其最大努力來協(xié)商并從賣方那里為囑托方獲得此技術轉(zhuǎn)讓得到最有利的條款，并且盡快地完成許可協(xié)議的條款。

(2)intheeventofanydisagreement,differenceordeadlockarisingbetweentheGeneralAgentandtheSellerinthecourseofnegotiationsforthetransferandacquisitionoftheTechnology,promptlysupplytothePrincipaldetailsofsuchdisagreement,differenceordeadlock,andconsultwiththePrincipalregardingthesame;

假使在總代理和賣方之間在協(xié)商技術的轉(zhuǎn)讓和獲得產(chǎn)生了任何異議，識別或僵局，應盡快向囑托方通報此異議，識別或僵局的細節(jié)，并就此和囑托方協(xié)商；

(3)generallydoallsuchotheractsasmaybeinthebestinterestsofthePrincipalandconductivetotheconclusionoftheLicenceAgreementandtheacquisitionbythePrincipaloftheTechnology.

總體來說做其它類似的事宜來最大得志囑托方的利益并有助于許可協(xié)議的達成和囑托方對技術轉(zhuǎn)讓的獲得。

4.2DuringthecontinuanceofthisAgreement,theGeneralAgentshallnotwithouttheexpresspriorwrittenconsentofthePrincipal:

在此協(xié)議執(zhí)行期間，在沒有提前得到囑托方的明確的書面同意之前，總代理不得：

(1)describeitselforholditselfoutasGeneralAgentforthePrincipalexceptinrespectoforinconnectionwiththepurposesandmattersforwhichtheAgentisappointedthesoleexclusiveAgentofthePrincipalhereunder;or

除了和囑托方所代理的目的和事宜有關的獨家代理的事宜之外，不得把自己描述成或作為囑托方的總代理；或者

(2)makeanyadmissionorsettleanyclaimbyoragainstthePrincipal,orpledgethecreditofthePrincipal,orgiveanywarrantyormakeanyrepresentationonbehalfofthePrincipal,orcommitthePrincipaltoanyobligationorliabilityofanykind;or

為了或反對囑托方作出任何承諾或解決任何爭議，或承諾囑托方的信用，或代表囑托方賦予任何保證或作任何介紹，或使囑托方肩負任何責任或職責；或者

(3)agreewiththeSellerthePriceandanyofthetermsandconditionsforthetransferandacquisitionoftheTechnology;or

同意賣方對于技術轉(zhuǎn)讓和獲得的價格和任何條款；或者

(4)useforitsownpurposesordivulgeorcommunicatetoanypersonanyconfidentialorotherinformationwhichtheAgentmayhowsoeverobtaininrelationtothebusinessorotheraffairsofthePrincipal.

為了自身目的或泄露或向其它任何人傳遞任何和代理可能從業(yè)務中或囑托方那里所獲得的任何機要或其它信息；

09:25-090814(FRI)Article5/第5章DuitiesofthePrincipal/囑托方責任5.1ThePrincipalshall,ifandwheneverrequestedbytheGeneralAgent,promptlygiveinstructionstotheGeneralAgentregardingthePriceandothertermsandconditionstobeagreedbetweentheGeneralAgent,onbehalfofthePrincipal,withtheSeller,ortobeincludedintheLicenceAgreement,orotherwiseregardinganyothermatterconcerningthetransferoftheTechnologytothePrincipal.

囑托方假設和無論何時應總代理要求，快速給總代理以指示，關于總代理代表囑托方和賣方達成的關于價格和其它條款，或者在許可協(xié)議中包括的，或者關于任何其它牽涉到給囑托方的技術轉(zhuǎn)讓的事宜。

5.2ThePrincipalshallfurnishtheGeneralAgentwithallinformationconcerningthe

businessandotheraffairsofthePrincipal,whichmayreasonablyberequiredbytheGeneralAgentfromtimetotime,forthepurposeofnegotiatingandconcludingwiththeSellerthetermsandconditionsforthetransferandacquisitionoftheTechnology.

囑托方應給總代理供給關于囑托方的商務和其它事宜的全體信息。此信息可能總代理不時地合理需要，為了和賣方談判和達成交易的轉(zhuǎn)讓和獲得信息的有關條款。

Article6/第6章

Commission/傭金6.1ThePrincipalherebyagreestopaytotheGeneralAgentaCommissionequalto_____percent(_____%)ofthePrice,whichCommissionistobepaidtotheGeneralAgentinUnitedStatesDolloarsonthedateofexecutionoftheLicenceAgreement.

囑托方在此同意付給總代理相當于價格的_____百分比（_____%）的傭金，傭金將在執(zhí)行此許可協(xié)議的日期以美金支付。

6.2ThePartiesheretoherebyagreethat,notwithstandinganythingtothecontraryhereincontained,theobligationonthePartofthePrincipaltopaytheCommissioninaccordancewiththisArticle6.1shallarise,andtherightoftheGeneralAgenttoreceivetheCommissioninaccordancewiththisArticle6.1shallaccrue,assoonastheLicenceAgreeementisexecutedbytherelevantPartiesthereto,orassoonasthepriceandallothertermsandconditionsforthetransferoftheTechnologybytheSellertothePrincipalhavebeenagreedbetweentheSellerandthePrincipal.

在此雙方同意，一旦許可協(xié)議由相應方執(zhí)行，或者一旦賣方和囑托方之間已經(jīng)達成了賣方向囑托方的技術轉(zhuǎn)讓的價格和全體其它條款，根據(jù)6.1章，囑托方的傭金支付責任業(yè)已形成，而根據(jù)6.1章，總代理采納傭金的權(quán)利也已形成。

Article7/第7章Termination/終止7.1ThePrincipalshallbeentitledtoterminateforthwiththeappointmentoftheGeneralAgentunderthisAgreement,bygivingnoticeinwiritingtotheGeneralAgent,ifanyofthefollowingeventorcircumstancesoccurs:

假設有以下事情或處境發(fā)生的話，囑托方將以書面形式通知總代理，有權(quán)終止在此協(xié)議下與總代理的商定：

TheGeneralAgentfailstoperformorobserveanyofitsdutiesorobligationsunderthisAgreementandsuchnon-performanceornon-fulfillmentisnotrectifiedwithinaperiodofthirty(30)daysafterreceiptbytheGenerallAgentofthenoticefromthePrincipal,notifyingtheGeneralAgentofsuchnon-performanceornon-fulfillment.

總代理沒有能夠執(zhí)行或遵守在此協(xié)議下的任何其它職責或責任，并且此不執(zhí)行或不作為在收到囑托方給總代理的通知后30天內(nèi)照舊沒有得到校正，來通知總代理此不執(zhí)行或不作為。

7.2TheexpirationorterminationoftheGeneralAgentsappointmentunderthisAgreementforwhateverreasonshallbewithoutprejedicetoanypre-existingrightsandobligationsofeitherPartyhereunder.

無論什么理由，此協(xié)議下總代理的商定的到期或終止應對以下的任何一方的以前存在的權(quán)利和責任都沒有偏見。

7.3UponexpirationorterminationoftheAgentsappointmenthereunder

forwhatevercause:

無論什么理由，在代理的商定到期或終止時：

(1)theGeneralAgentshallimmediatelyreturntothePrincipalallnotes,memoranda,recordsorotherdocumentsheldinthepossessionoftheGeneralAgentrelatingtothebusinessofthePrincipal.

總代理應馬上歸還給囑托方全體總代理持有的，和囑托方業(yè)務有關的筆記，備忘錄，記錄或其它文件。

(2)thePrincipalshallpaytheCommissiontotheGeneralAgent(ifCommissionhasalreadyaccruedbutnotyetpaidinaccordancewithandundertheprovisionsofArticle6.1)withinfive(5)daysaftertheterminationoftheGeneralAgentsappointmentunderthisAgreement.

囑托方應此協(xié)議下總代理的商定終止后的五（5）天之內(nèi)，支付給總代理傭金（根據(jù)6.1章條款，假設傭金已經(jīng)確認但未支付的處境下）。

7.4NotwithstandingtheexpirationorterminationoftheGeneralAgentsappointmentunderthisAgreementforwhatevercause,anytermsorprovisionofthisAgreementwhichiscapableofbeingperformedorobservedafterthedateofsuchexpirationorterminationoftheGeneralAgentsappointmentunderthisAgreementshallsurvivethesameandshallcontinuetobebindingonthePartiesheretoandremaininfullforceandeffect.

無論什么理由，盡管在此協(xié)議下對總代理的任命已到期或終止，在此協(xié)議下總代理的任命到期或終止之后，任何協(xié)議下的能夠執(zhí)行或遵守的條款或條件，應照舊存在，并將對雙方均有約束力且完全有效。

Article8/第8章Sub-AgencyorAssignment/分代理或任務8.1TheGeneralAgentshallnot,withouttheexpresspriorwrittenconsentofthePrincipal,assignortransferanyofitsobligationsorduiteshereunderandshallnotappointsub-agents.However,iftheprincipalapprovestheappointmentofsub-agentsbytheGeneralAgent,anysuchappointmentofasub-agentshallnotrelievetheGeneralAgentofanyofitsobligationsanddutieshereunder.

在沒有囑托方的明確書面同意之前，總代理不應把調(diào)配或轉(zhuǎn)讓在此項下的責任或職責并不應任命分代理。然而，假設囑托方批準總代理對分代理的任命，任何對分代理的任命不應解除總代理的以下的任何責任和職責。

8.2ThePrincipalshallnotassignortransferanyofitsrights,obligationsorliabilitieshereunderwithouttheexpresspriorwirttenconsentoftheGeneralAgent.

在沒有總代理的明確書面通知下，囑托方不應布置或轉(zhuǎn)讓其以下的任何權(quán)利，責任或法律責任。

8.3ThisAgreementshallbebindingupon,andensuretothebenefitof,thePrincipalandtheGeneralAgent,andtheirrepsectivesuccessors.

此協(xié)議應對囑托方和總代理，和它們的相應繼任者均有約束力并保證其利益。

Aritcle9/第9章Amendments/修改ThisAgreementcontianstheentireagreementandunderstandingbetweenthePrincipalandtheGeneralAgentrelatingtotheacquisitionofthe

TechnologybythePrincipal,andsupersedesallpreviousagreementsorarrangementsbetweenthePrincipalandtheGeneralAgentrelatingtotheacquisitionoftheTechnologybytheP:rincipalwhichshallhenceforthceaseandterminatewitheffectfromthedatehereof.ThisAgreeementmaynotbeamendedormodifiedexceptbywritteninstrumentsignedbyeachofthePartieshereto.此協(xié)議包含關于囑托方對技術的獲取在囑托方和總代理之間的整個協(xié)議和理解，并取代全體從前的在囑托方和總代理之間的關于囑托方對技術的獲取的應在此簽署日中斷和終止的協(xié)議或安置。除非有任何一方所簽署的書面文件，此協(xié)議不得補充或修改。

Article10/第10章GoverningLaw/適用法律Itisunderstoodthatalltheprovisionshereofareinaccordancewithrelevantlaws,decreesandregualtionsof__________existingatthetimeofthesigning.However,ifamaterialchangeoccurstoeitherPrincipalorGeneralAgentseconomicbenefitsaftertheeffectivedatehereofduetothepromulgationofnewlaws,rulesandregulationsoranyamendmenttotheapplicablelaws,rulesandregulationsmadebythe__________,thePrincipalandGeneralAgnetshallconsultpromptlyandmakenecessaryamendmentsoradjustmentstothearticlesconcernedhereininordertomaintainthePartiesnormaleconomicbenefitshereunder.雙方理解，在簽署之日，在此全體條款都基于__________的相關法律，法令和法那么。然而，在有效之日后，由于公布了新的法律，規(guī)矩和規(guī)定或由___________對適用法律，規(guī)矩和規(guī)定舉行了修補，而造成對囑托方或總代理的經(jīng)濟利益有了實際變化，囑托方和總代理應快速協(xié)商，為了保持雙方的正常經(jīng)濟利益對所牽涉的條款舉行必要的修補或調(diào)整。

Article11/第11章DisputeResolution/爭議解決11.1AlldisputesarisingfromtheimplementationforrelatedheretopreferablyshallbesettledthroughfriendlyconsultationbetweenthePrincipalandGeneralAgent.

全體由于執(zhí)行此協(xié)議所造成的爭議應最好通過友好協(xié)商在囑托方和總代理之間解決。

11.2Ifconsultationfailstosettlethedisputes,mediationmaybeheldat_____.Alldisputesshallbefinallysettledbyarbitrationat________inaccrodancewithitsrulesofInternationalArbitration.

假設解決爭議的協(xié)商失敗，可以在_____舉行調(diào)解。全體的爭議應在_____根據(jù)其國際仲裁規(guī)矩由仲裁最終解決。

11.3Whenanydisputeoccursandwhensuchdipsuteisunderarbitration,exceptforthepartunderdisputethatissubjecttoarbitration,thePrincipalandGneneralAgentmustcontinuetoexercisetheirrespectiverightsandperformtheirrespectiveobligationsinaccordancewiththeprovisionhereof.

當任何爭議展現(xiàn)，并且此爭議在仲裁之下，除了爭議的片面需要仲裁，囑托方和總代理理應持續(xù)享有其在此項下的各自權(quán)利并履行各自的職責。
