Streetswithinthebuildingarea(excludingurbanpublicstreets);

IfeitherofthepartiescausesafailuretoenterintoarealestatemortgageloancontractandresultisthattheRealEstatePurchaseandSaleContractmaynotcontinuetobeexecuted,thentheotherPartymayrequestrescissionoftheRealEstatePurchaseandSaleContract.IfPurchasercausesthefailuretoexecutetheRealEstatePurchaseandSaleContract,thenPurchasershallhavenorighttorequestreturnoftheDeposit;ifSellercausesthefailuretoexecutetheRealEstatePurchaseandSaleContract,thenSellershallpaytoPurchasertwicetheamountoftheDeposit.

Ifaforcemajeurecausesafailuretoenterintoarealestatemortgageloancontract,whichresultsinafailuretocontinuetoexecutetheRealEstatePurchaseandSaleContract,thenPurchaserandSellerbothhavearighttoaskacourtorarbitrationagencytochangeorrescindtheRealEstatePurchaseandSaleContract.IfthesaidContractisrescinded,thenSellershallreturntoPurchasereitherthedownpaymentoftheTotalPurchasePriceplusinterestortheDepositplusinterest.InterestshallbecalculatedattheloaninterestratesannouncedbythePeople’sBankofChinaduringtherelevantperiod.

Article7[Purchaser’sLiabilityforItsOverduePayment]

InthisArticle,“OverduePayables〞meansthebalancebetweentheamountsdueduringaperiodunderthisContractandthepaymentalreadypaidinsuchperiod;“AccumulatedPayables〞referstothetotalamountdueunderthisContract.

IntheeventthatPurchaserfails,withoutgoodcause,tomakeapaymentwithinthetimelimitprescribedinArticle6herein,oneofthefollowingmeasuresshallbetaken(thetwopartiesmayselectonemethodbymakingatick(√)inthe□):

Paymentshallbehandled,respectively,accordingtotheoverduetimeandtheportionofthepaymentthatisdue:

□Ifapaymentisoverdueby90daysorless,orifapaymentisoverduebymorethan90daysandtheamountthatisoverdueislessthan1/5oftheTotalPurchasePrice:PurchasershallpaySellerliquidateddamagesof0.03%oftheaccumulatedpayablesforeverydaythatpaymentisinarrears,fromtheexpirationoftheagreedpaymentdateofthepayablestothedateonwhichthepayableshavebeenfullypaid,andtheRealEstatePurchaseandSaleContractshallcontinuetobeexecuted;

□Ifapaymentisoverdueformorethan90daysandetheamountthatisoverdueis1/5oftheTotalPurchasePriceormore,thenSellershallhavetherighttorequireeitherthatthePurchasertopaytheTotalPurchasePriceorthattheRealEstatePurchaseandSaleContractberescindedwithinsixmonthsofthedatebywhichpaymentwasdue.IfSellerrescindsthecontract,thenPurchasershallpaytoSellerliquidateddamagesof10%oftheaccumulatedpayables,andSellershallreturntoPurchaserthepurchasepricealreadypaidbyPurchaser;intheeventthatPurchaseriswillingtocontinueperformanceoftheContractandSellerapproves,thentheContractshallcontinuetobeexecutedandPurchasershallpaySellerliquidateddamagesof0.04%oftheoverduepayablesforeverydaythatpaymentisinarrears,fromtheexpirationoftheagreedpaymentdateofthepayablestothedateonwhichthepayableshavebeenfullypaid.

IfPurchaserpaysbymortgageloanandisunabletorepayprinciplewithinterestregularlypursuanttotheRealEstate(Guarantee)LoanContract,causingthemortgagebanktorequireSellertobearliabilityastheguarantor,thenSellershallhavetherighttoclaimagainstPurchaserforacompensationequivalentto%oftheOverduePayablesforwhichSellerisliable.

Article8[PaymentCertificate]

AfterPurchaserpaysthepurchaseprice,Sellershallissueaninvoice.Inaddition,Sellershallissueapaid-upcertificateafterPurchaserhaspaidtheTotalPurchasePrice.

Article9[DeliveryTimeandMethod]

SellershalldelivertherealestatetoPurchaserbefore[**date/month/year],andshallobtaintheRecord-KeepingfortheAcceptanceCheckof_________[thenameofthecitywheretherealestateislocated]CompletedConstructionProject(Receipt)priortodelivery.

BeforedeliverytoPurchaser,SellershallissueaLetterofJoiningtoPurchaser.TheLetterofJoiningshallindicatethebuildingareaoftherealestatethatwillactuallybedelivered,thedeliverytimelimit,theplaceforgoingthroughthedeliveryformalities,etc.

IfPurchaserhasnoobjectiontotherealestatedeliveredbySeller,orPurchaserhadanobjection,butsuchobjectionhasbeenhandledthroughmutualconsultationsothatPurchaseragreestoaccepttherealestate,thenPurchasershallissueareceiptforthekeysoftherealestatedeliveredbySeller,andsuchreceiptisdeemedthecertificatefordeliveryoftherealestate.

IfSellerentrustsapropertymanagementcompanytohandlethedeliveryformalities,thenitshallissuetothiscompanyaLetterofAuthorization,andensurethatthecompanypoststheoriginalLetterofAuthorizationinaprominentplaceonthesitewherethedeliveryformalitiesarehandled.

IfSellerinformsPurchaserofdeliveryinwritingandPurchaserconductsanacceptancecheckandthenagreestoaccepttheRealEstate,thenthedeliverytimeofthisRealEstateshallbethedateonwhichSellerdeliversthekeystotheRealEstatetoPurchaser.IfSellerinformsPurchaserofdeliveryinwriting,andPurchaser,withoutgoodreason,refusestocheckandaccepttheRealEstateordelaystheacceptancecheckoftheRealEstate,thendeliverytimeshallbetheexpirydateofthedeliverytimelimitprescribedintheLetterofJoiningissuedbySeller.

Article10[DeliveredDocuments]

Sellershall,concurrentlywithdeliveryoftheRealEstate,delivertoPurchaserthefollowingdocumentsrelatedtothisRealEstate:

SurveyReportonPresaleAreaandSurveyReportonCompletedBuildingArea,bothissuedby________________________________;

Record-KeepingfortheAcceptanceCheckof__________CompletedConstructionProject(Receipt);

RealEstate(Residence)QualityWarranty;

RealEstate(Residence)InstructionManual;

RealEstateAcceptanceReport;

ProprietorsTemporaryAgreement;

CheckListregardingtheJointlyOwnedPartsoftheBuildingPropertyandPublicFacilitiesandEquipmentsWhichAreTakenOver,issuedbythepreviouspropertymanagemententerprise;

Foritems(c)and(d)above,SellershallprovidePurchaserwiththeoriginaldocumentsaffixedwithSeller’sofficialseal;foritems(a),(b)and(g),SellershallshowtheoriginaldocumentstoPurchaserandprovidePurchaserwithcopiesaffixedwithSeller’soriginalofficialseal;andforitems(e)and(f),thedocumentsshallbefilledinorsignedbyPurchaserasappropriate.

Ifsaiddocumentsinitems(a)-(d)and(f)-(h)arenotcomplete,Sellershallbedeemednottohavedmetthedeliverycriterion.Inthatcase,PurchasershallhavetherighttorefusetoaccepttheRealEstateandSellershallbearliabilityfordelayeddelivery.

Article11[AcceptanceCheckupontheDelivery]

Within______daysofreceiptoftheLetterofJoining,PurchasershallconducttheRealEstateacceptancecheckpursuingtotheRealEstateAcceptanceReport.AnyobjectionsshallberecordedintheRealEstateAcceptanceReportanddeliveredtoSellerwithindaysoftheexpirationoftheacceptancechecktimelimit.IfPurchaserfailstorecorditsobjectionsanddelivertheRealEstateAcceptanceReporttoSellerwithintheforegoingprescribedtimelimit,thenPurchasershallbedeemedtohaveagreedtoaccepttheRealEstate.

Within_____daysofreceiptofPurchaser’sobjections,Sellershallprovideawrittenreplyandproposedresolutionoftheproblems.IfSellerfailstoreplyandproposearesolutionwithintheprescribedtimelimit,Purchaser’snon-acceptanceshallbedeemedestablishedandtheRealEstatewillbedeemednottohavebeendelivered.

IfPurchaseragreeswithSeller’swrittenreplyandproposedresolution,thenPurchasershallconductanotheracceptancecheckwithindaysofSellerinformingPurchaserinwritingthattheproblemshavebeenresolved.AnyobjectionsafterthesecondacceptancecheckshallbedealtwithpursuanttoArticle29hereof;iftherearenoobjectionsafterthenewacceptancecheck,thentheRealEstateshallbedeemtobedeliveredontime..

Article12[Seller’sLiabilityfortheOverdueDelivery]

Unlessotherwiseprovidedherein,ifSellerfailstodelivertheRealEstatetoPurchaserwithinthedeliverytimelimitprescribedinArticle9hereof,thentheoverduedeliveryshallbehandledasfollows:

Penaltyaccordingtolengthoftimethatdeliveryisoverdue:

IfSellerdeliverstheRealEstatewithin90days(includingthe90thdayoverdue)ofexpirationofthedeliverytimelimit,thenSellershallpayPurchaserliquidateddamagesintheamountof0.03%oftheTotalPurchasePriceforeverydaythatdeliveryisoverdue,startingfromthedatefollowingtheexpirationoftheagreeddeliverytimelimit,andtheContractshallcontinuetobeexecuted;

Ifdeliveryisdelayedbymorethan90days,thenPurchaserhastherighttorescindtheContractwithin6monthsoftheexpirationoftheagreeddeliverytimelimit.Inthisevent,within10daysofreceiptbySellerofawrittenNoticeofRescissionoftheContractfromPurchaser,SellershallreturnallmoneypaidbyPurchaser,payPurchaserrelatedinterestcalculatedattheloanrateofthattimepublishedbythePeople’sBankofChina,liquidateddamagesof10%oftheTotalPurchasePrice.IfliquidateddamagesarenotsufficienttocompensatePurchaser’sactualloss,thenSellershallalsopayPurchaserthedifferencebetweentheactuallossandtheliquidateddamages.

Intheeventthatdeliveryisdelayedbymorethan90daysandPurchaserrequireperformanceoftheContractratherthanrescission,theContractshallcontinuetobeexecutedandSellershallpayPurchasertheliquidateddamagesintheamountof0.04%oftheTotalPurchasePriceforeverydaythatdeliverywasoverdue,startingfromtheexpirationoftheagreeddeliverytimelimittotheactualdeliverydate.

Article13[PublicFacilitiesandSupportFacilities]

UponSeller’sdeliveryoftheRealEstatetoPurchaser,publicfacilitiesandsupportfacilities,whichareprescribedintheContractontheGrantof__________Land-UseRightanditssupplementalagreementsinconnectionwiththisrealestateproject,shallhavebeeninstalledandshallmeetrequirementsoftheacceptancecheck;thepublicfacilitiesandsupportfacilities,whichhavebeenapprovedtobeconstructedinphases,shallbeconstructedandshallmeetrequirementsoftheacceptancecheckintermsoftheapprovedphases(PleaseseeAnnex2).

IfSellerfailstocompletetheconstructionofpublicfacilitiesandsupportfacilities,orsuchfacilitiesdonotmeettherequirementsoftheacceptancecheck,thefailureshallbehandledbyoneofthefollowingmethods(thetwopartiesmayselectonemethodbymakingatick(√)inthe□)

□DeliveryshallbeconsideredtobeoverdueandtheprovisionsinArticle12hereinshallapply;

□SellershallpayPurchaserliquidateddamagesof%oftheTotalPurchasePrice,andtheContractshallremaininforce.Sellershalldeliversuchpublicfacilitiesandsupportfacilitieswithindays.

Article14[ForceMajeure]

Forcemajeurehereinreferstoanyobjectivecircumstancewhichisunforeseeable,unavoidableandinsurmountable.IntheeventthatSellerfailstodelivertheRealEstatepursuanttoArticle9hereinduetoforcemajeure,SellershallgivenoticetoPurchaseringoodtime,furnishrelatedevidencewithinareasonableperiod,andnotifyPurchaser,inwriting,ofthenewdeliverytime.

Article15[Warranty]

Thewarrantyperiodforthisrealestateprojectshallnotbelessthanthefollowingterms:

Foraprojectinvolvingfoundationandmainstructure,thewarrantyperiodshallbethereasonableuselifeoftheprojectprescribedinthedocumentcontainingthedesignfortheproject;

Forroofwaterproofing,thewarrantyperiodshallbeyear(s)(Nationalstandard:);

Forwalls,kitchenandbathroomfloors,andplumbing,thewarrantyperiodshallbeyear(s)(Nationalstandard:);

Forplasteringlayersofthewallsandceilings,thewarrantyperiodshallbeyear(s)(Nationalstandard:);

Forbathroomfixtures,excludinglightingfixtures,thewarrantyperiodshallbeyear(s)(Nationalstandard:);

Forlightsandelectricswitches,thewarrantyperiodshallbeyear(s)(Nationalstandard:);

Fordecorativefixtures,thewarrantyperiodshallbeyear(s)(Nationalstandard:);

WarrantyperiodsforotheritemsshallbebasedontheagreementmadeintheRealEstateQualityWarranty,whichsetsforthallwarrantyterms.

Allwarrantyperiodsshallbeginonthedeliverydate.

Sellershallbearallexpensesrelatedtofixingorreplacingitemsorfixingstructuralproblemscoveredbywarrantywithintheperiodandlimitationsoftherelevantwarranty,unlessproblemsarecausedbyPurchaser’sinappropriateuse,byforcemajeure,orbyotherreasonsnotattributabletoSeller.

Sellershallperformitswarrantyrelatedobligationswithin5daysafterreceiptofPurchaser’swrittennoticeofproblemscoveredbywarranty;ifSellerdisagreesaboutitsliabilitypursuanttoitswarranties,itshallnotifyPurchaserwithin5daysafterthereceiptofPurchaser’snotice.PurchaserandSellermayagreetoappointaqualifiedsupervisoryagencytosettlethisdispute,ortheymayagreetoappointaqualifiedconstructionprojectqualityinspectionagencytoarrangeaninspectionortest.ThePartythatisdeterminedtobetheloserofthedisputebythesettlementortheresultsofaninspectionortestshallbearallexpensesassociatedwiththesettlement,inspection,ortest.

Duringthewarrantyperiod,Purchasermayrepairbrokenitemsorstructuresbyitselforengageotherstomaketherequiredrepairsif,within5daysafterwrittennoticetoSeller,SellerneitherperformsitsobligationsofwarrantynornotifiesPurchaserofdisagreementaboutitsliabilityforwarrantybywriting.Sellershallbearreasonablemaintenancefeesincurredfromit.

Article16[Quality]

IfPurchaserincurslossesduetothepoorqualityoftheRealEstate,thenSellershallcompensatePurchaserforitslosses.

IfPurchaserfindsqualityproblemsduringthewarrantyperiod,itshallnotifySellertoperformitsobligationsunderthewarranty,andSellershallperformitsobligationsinaccordancewithprovisionsinArticle15ofthisContract.

Ifthequalityproblemisnotresolvedandnormaluserequirementscannotbemetafterrepair,thenPurchasermayappointaconstructionprojectqualityinspectionagencyauthorizedbythegovernmenttoarrangeaninspectionortest.Iftheaforesaidagencyconfirmsthatthereisstillaqualityproblem,andtheinspectionortestresultisrecheckedandconfirmedbytheoriginaldesignagencyorotherdesignagencywithcorrespondingqualificationlevel,thenPurchaserhastherighttorescindtheContractandSellershallbeliablefordamagesinaccordancewithArticle12ofthisContract.IntheeventthatPurchaserdoesnotrescindtheContract,itmayrequireSellertoreducethepriceaccordingly.

Purchasermayadvancefeesfortheaforementionedagency’sinspectionortestanddoublecheck,onbehalfofSeller.Iftheresultofsuchinspectionortestandofsuchdoublecheck,showsthattheRealEstatehasaqualityproblem,thenSellershallbearsuchfees.

Article17[HandlingofDifferenceofArea]

AreaDifferencePercentage=(Actualbuildingarea–BuildingareaagreedinthisContract)/BuildingareaagreedinthisContract*100%

ActualbuildingareainthisContractreferstothebuildingareaconfirmedintheSurveyReportonCompletedBuildingAreaissuedby________________________________________.

IntheeventthatthepriceofthisRealEstateiscalculatedaccordingtobuildingarea,andthereisdifferencebetweentheactualbuildingareaoftherealestatedeliveredbySellerandthebuildingareaagreedinArticle3hereof,itshallbehandledinthefollowingway:

Iftheagreedbuildingareaiswithin300m2(including300m2),

andifthedifferenceiswithin±0.6%(including±0.6%),PurchaserandSellerwillmakenorefundorrepaymenttoeachother;or

andifthedifferenceisfrom±0.6%(excluding±0.6%)to±3%(including±3%):incaseofexcess,theexceedingareashallbedeemedagiftgivenatnocostbySeller;incasetheactualareadoesnotreachtheagreedarea,SellershallreturntoPurchasertwicetheamountofpriceoftheinsufficientarea,fromwhichareathedifferenceof0.6%isdeducted;or

andifthedifferenceexceeds±3%(excluding±3%),PurchaserhastherighttorescindtheContract.IfPurchaserrescindstheContract,Sellershall,within10days,returntoPurchaserthepurchasepriceanddepositsalreadypaidbyPurchaser,andpayPurchasertheliquidateddamagesof%oftheTotalPurchasePrice.IfPurchaserdoesnotrescindtheContract,itshallbehandledintheforegoing(b)way.

Iftheagreedbuildingareaexceeds300m2(excluding300m2),itshallbehandledinthewayprescribedinAnnexV.

IntheeventthattheTotalPurchasePriceiscalculatedbyunit,andthatbothPartieshavemadeagreementontheareaoftheunitofrealestate,thesituationofdifferenceinareashallbehandledinaccordancetothisArticle.

Article18[Fittings,DevicesandDecoration]

IfSellerprovidesshowflatforPurchaser’sreference,Sellershalldetail,inwrittenform,thematerialsandtheirprices,specifications,laborcosts,etc.ofthefittingsanddecorationoftheshowflat,andspecifyineachitemwhethertherealestateisinaccordancewiththeforegoingdetails.Thisinformationshallbeplacedinaprominentplacesuchastheentranceoftheshowhouse.IfSellerfailstoprovidethedescriptionoftheshowhouse,theshowhouseshallbethedescriptionandpromiseofthespecifiedpropertyandrelevantfacilities;ifthereareitemsnotspecifiedinthedescriptionoftheshowhouse,thecontentoftheshowhouseshallbethedescriptionandpromiseofthespecifiedshowhouseandrelevantfacilities.
