arrangeterms,bankingcoordinatestobepaid,timingandverbiagewithlessee)countersignsandreturned.MakingitaBindingContract.BothpartiesshalllodgetheContractwiththeirhandlingbanksforrecord.發(fā)布租賃協(xié)議〔其中說明安排期限，銀行付款坐標(biāo)，〕并簽訂返還。該協(xié)議應(yīng)有約束力。WithinThree(3)internationalbankingdayafterLesseereceiveLessor’ssignedandsealedagreement/contract,Lessoer’sissuingBankCoordinatecuttinghousecutinstrumentfromLessor’sportfolio,assignSBLCinBeneficiary’snameandprogramaCreditLineReservation(CashBacked)tosendswiftMT799/MT760.在收到出租方簽字蓋章的協(xié)議/合同、出租方銀行坐標(biāo)3個(gè)國(guó)際工作日后。〔后面的看不懂〕WithinThree(3)internationalbankingdaysLessor’sBankwilltransmitSWIFTMT799pre-advice.LesseeshallissueaPaymentUndertakingafterverificationofMT799pre-advice,Lessor’sissuingbankwillsendswiftMT760totheBeneficiary’sreceivingbankaccordingtotheLessee’sbankapprovedverbiage.3個(gè)國(guó)際銀行工作日內(nèi)，開證方將發(fā)出SWIFTMT799預(yù)通知書。承租方確認(rèn)SWIFTMT799預(yù)通知書后付款。開證方銀行將開出swiftMT760給受益人受理銀行。WithinFive(5)internationalbankingdaysuponsuccessfulverificationandauthenticationofSwiftMT760,Beneficiary’sBankwillwiretransferleasingprice(17+2%)totheLessor’sreceivingbank.SimlutaneouslyLesseedistributesconsultantfee(total:2%)totheallintermediariesasperFPA(2%).在成功驗(yàn)證、核實(shí)MT760后的5個(gè)國(guó)際銀行工作日內(nèi)，承租方銀行將電匯17+2%的費(fèi)用至出租方的接收銀行，并同時(shí)按照傭金保護(hù)協(xié)議支付所有中間人傭金〔一共2%〕。HardcopyoftheinstrumentwillbedeliveredtoLesseebankbytheBondedCourierwithin7bankingdaysafterreceiptoffullpaymentincludingcommission.在收到包括傭金在內(nèi)的所有款項(xiàng)的7個(gè)銀行工作日內(nèi)，將正本用銀行快遞送到接證方銀行。Allsubsequenttrancheswillbebasedonthesameproceduresuntilcollateralorfundsbecomeexhausted.隨后個(gè)批，交易將按相同的程序進(jìn)行，直至完成合同金額為止。[REMARK]備注IfLesseefailsinpaymentontime,Providerwillsendlessee’sbankanotherSwiftmessagetocancelBG/SBLC,Lesseeshouldpaypenalty(2%)toprovider.IfproviderfailstoissueBG(Leasing),providermustpaypenalty(2%)toLessee.假設(shè)承租方未能及時(shí)付款，出租方將另開一個(gè)銀行水單來取消BG/SBLC同時(shí)承租方將支付2%的罰金給出租方。假設(shè)出租方未能及時(shí)開出保函，出租方必須支付2%的罰金給承租方。Anyunauthorizedcallsbyanypartyoritsrepresentativelawyerstoprobesorcommunicationinanimproperwaytootherbank(s)inthistransactionshallbeprohibitedandcontractterminated.無授權(quán)，任何一方包括其律師，均不得打或以任何不當(dāng)方式打探或聯(lián)系本交易的對(duì)方銀行。如有違反，交易和合同立即終止。ExceptasspecificallysetforthinafuturewritingsignedbyLessor,theSBLCisandatalltimesshallremainpersonalpropertyownedbyLessorandnotbyLesseeoranyotherpersonorentity.除非將來出租方簽訂相關(guān)文書，否那么SBLC始終是出租方的個(gè)人財(cái)產(chǎn)，并不為承租方或任何其他個(gè)人或?qū)嶓w所有。NeithertheSBLCnoranyitemoftheSBLCisorshallbecomeencumbered,mortgagedorpledgedorputatanykindoffinancialriskwithouttheauthorizationoftheLESSOR.未經(jīng)出租方授權(quán)，局部抵押，按揭或質(zhì)押SBLC或SBLC中的任何條目或讓其面臨任何金融風(fēng)險(xiǎn)。NeitheranyBanknoranypersonorentityclaimingonbehalfof,orthroughBankshallhave,orclaim,anyright,titleorinterestinanyoftheBankInstrument.代表銀行或通過銀行索賠的任何銀行、個(gè)人或?qū)嶓w不得對(duì)銀行票據(jù)擁有或要求任何權(quán)利、所有權(quán)或權(quán)益。LESSEE′SOBLIGATIONS:承租方的義務(wù)TheLessee,withfullcorporateandlegalresponsibilities,andunderpenaltyofperjury,confirmsthatheisfullyawarethecourierofhisfinancialabilityandfacilitieswithhisbankwhensigningthisLOIand/orotheragreementsanddocumentswiththeLESSOR.承租方以充分法人和法律責(zé)任，在出偽證受罰下確認(rèn)，在他和出租方簽這意向書和其他協(xié)議和文件時(shí)，他完全知道他的財(cái)務(wù)能力和他的銀行信貸額度。TheLESSEEfurtherconfirmsthattheLESSEEisauthorizedtoverifythefundsofeachtrancheoftheContractwithhisbank,ifnecessary.Intheeventofunsatisfactoryverification,thetransactionwillbesuspendedimmediatelyandtheLesseeisinbreachoftheContractandliableforlegalconsequences.承租方還確認(rèn)，如有必要，承租方已授權(quán)和他的銀行驗(yàn)證合同的每一批資金。萬一驗(yàn)證欠佳的情況下，該交易將被立即暫停。出租方違反本合同，將承當(dāng)法律后果。LESSOR′SOBLIGATIONS:出租的的義務(wù)TheLESSORwithfullcorporateandlegalresponsibilities,andunderpenaltyofperjury,confirmsthatLESSORisfullyawareofthecommitmentoftheInstrumentswhencountersigningthisLOI.承租方以充分法人和法律責(zé)任，在出偽證受罰下確認(rèn)，在他加簽這意向書，他完全知道他對(duì)這些銀行票據(jù)的承諾。TheLESSORfurtherconfirmstodelivertheinstruments,tonegotiateandmakeproperarrangementwiththeprovidertocontinuouslysupplytheinstrumentsuntilthewholecontractedvolumeisexhausted.Withoutexpressedwrittenpermission,neitherpartyshallcontactthebankoftheotherparty.Bothpartiesmaychangebankingcoordinateswithwrittennoticetotheotherparty.出租方進(jìn)一步確認(rèn)，他要交付這些票據(jù)，他要和開證方進(jìn)行談判和作出適當(dāng)?shù)陌才?，不斷提供這些票據(jù)，直到完成整個(gè)合同數(shù)量。沒有明確的書面允許，任何一方都不得聯(lián)系對(duì)方的銀行。雙方都可改變銀他的銀行坐標(biāo)，但要以書面通知對(duì)方。PENALTYCLAUSEFORNON-PERFORMANCE不履約罰金條款ShouldanyofthesignatoryPartieshereinfailtoperformaccordingtothetermsandasrequiredbythiscontract,oncesigned,then,thefailingPartyshallindemnifytheaggrievedPartyforanamountof2%ofthesaidtrancheintransaction.Thedistributionofthe2%penaltyshallbe1%totheaggrievedsignatoryPartyofthecontractand1%toalloftheConsultantsdesignatedintheIrrevocableMasterFeeProtectionAgreement.Said1%willbedividedaccordingtothepercentagedelineateddistributionsintheIrrevocableMasterFeeProtectionAgreement.如果本文任何簽約方不能按照條款履約，正如本合同所要求的，一旦簽署，那么，違約方應(yīng)賠償該批交易金額的2％給受損害方。2%的罰金應(yīng)把1.0％付給合同的受害方。1%應(yīng)按照傭金保護(hù)協(xié)議所規(guī)定的分配比例，分給所有中介方。NON-SOLICITATION非懇求TheLESSEEherebyconfirmsanddeclaresthattheLessor,itsassociatesorrepresentativesoranypersonorpersonsonitsbehalfhas/havenevereversolicitedthelessee,itsshareholdersorassociatesorrepresentativesinanywaywhatsoeverthatcanbeconstruedasasolicitationforthistransactionorforfuturetransactions.
