投標方提交的文件ThefactthatanyofthedocumentscomprisingthisContractshallspecifyworkoractstobedoneinmoreparticularity,orshallrequiremoreworkoractstobedoneinconnectionwithanyparticularoperation,thanisrequiredbyanotherofthedocumentscomprisingthisContract,isnotandshallnotbeconsideredaconflict.某一合同文件內容與另一合同文件內容相比，對需要完成的工作或行動規(guī)定得更具體、或對某一具體操作提出更多工作或行動要求時，并不是、也不應認作為抵觸情況。Inthecaseofanyconflict,ambiguityordiscrepancybetweenorwithinthedocumentscomprisingthisContract,PMCContractorshalladviseOwnerimmediatelyofsuchconflict,ambiguityordiscrepancyandOwnershallprovideclarificationastothemeaningofthisContract.如文件之間或文件內存在任何抵觸、模糊或差異，項目管理承包商應立即就此向業(yè)主做出說明，且業(yè)主應按合同中的含義給予澄清。OwnershalldecideastothemeaningandintentofanyportionofthespecificationsanddrawingscontainedinthisContractwherethesamemaybeobscureorindisputeandOwnershallhavetherighttocorrectanyerrororomissionsthereinwhencorrectionsarenecessarytoachievetheproperfulfillmentoftheintentofthespecificationsanddrawings.Owner'sdecisionthereonshallbefinalandbinding.合同中所包含的規(guī)范及圖紙的任何部分如果被認為模糊或存在爭議時，業(yè)主應就其含義及意圖做出決定，必要時，業(yè)主應有權對規(guī)范及圖紙中的任何錯誤以及疏漏做出修改，以確保規(guī)范及圖紙意圖的正確實施。業(yè)主就此所作的決定應是最終的、并應具有約束力的。Set-OffandRecoveryofSumsDue抵銷及到期款項的收回WhereinconnectionwiththisContractthePMCContractorisrequiredtopayorreimburseanylosses,costs,expensesorothermonieswhatsoevertoOwnerorwhereanylosses,costs,expensesorothermonieswhatsoeveraresaidtoberecoverablefromortheliabilityofthePMCContractororotherwiseduetotheOwner,allsuchamountsshallbedebtsduetotheOwnerpayablebythePMCContractortotheOwnerondemandfromtimetotime.如項目管理承包商應就與本合同有關的損失、費用、花費或任何其他性質的款項向業(yè)主作出支付或償付、或就上述損失費、費用、花費或款項而言，據(jù)稱項目管理承包商對業(yè)主負有賠償責任、或被認作為對業(yè)主的欠款、或業(yè)主可將該類費用自項目管理承包商處收回的話，則上述損失費、費用、花費或款項應作為項目管理承包商對業(yè)主的應付債務看待，并項目管理承包商應按業(yè)主隨時提出的要求向業(yè)主作出支付。InadditiontoandwithoutprejudicetoanyotherrightsorremediesoftheOwner,alllosses,damages,costs,charges,expenses,debtsorsumsforwhichthePMCContractorisliabletotheOwnerinaccordancewithanyprovisionofthisContract,orasaresultofabreachofanysuchprovisionmaybedeductedbytheOwnerfrommonies(includingretentionmoney)dueortobecomeduetothePMCContractorinaccordancewiththisContractandtheOwnershallhavethepowertorecoveranybalancebydeductingitfrommoniesduetothePMCContractorinaccordancewithanyothercontractbetweentheOwnerandthePMCContractor.另外，在不致對業(yè)主的任何其他權利或補救行為構成損害的前提下，對于按照合同規(guī)定、或因項目管理承包商違約造成的、應由項目管理承包商向業(yè)主支付的所有損失費、賠償金、費用、收費、花費、債務或款項，業(yè)主均可按照合同規(guī)定將其自向項目管理承包商支付的應付或到期應付款項（包括保留金）中扣除，而且，業(yè)主也應有權按照其與項目管理承包商簽訂的其他合同，將上述款項的余額自該合同下的應付款項中扣除。InadditiontoandwithoutprejudicetoanyotherrightsorremediesoftheOwner,alllosses,damages,costs,charges,expenses,debtsorsumsforwhichthePMCContractorisliabletotheOwnerpursuanttoanyprovisionofanyothercontractbetweenthePMCContractorandtheOwner,orasaresultofabreachofanysuchprovisionmaybedeductedbytheOwnerfrommoniesdueortobecomeduetothePMCContractorinaccordancewiththisContract.另外，在不致對業(yè)主的任何其他權利或補救行為構成損害的前提下，對于按照業(yè)主與項目管理承包商簽訂的任何其他合同規(guī)定、或因項目管理承包商違反該合同規(guī)定造成的、應由項目管理承包商向業(yè)主支付的所有損失費、賠償金、費用、收費、花費、債務或款項，業(yè)主也可按照該合同規(guī)定將其自向項目管理承包商支付的應付或到期應付款項中扣除。Publicity對外公開PMCContractorshallnotmakeanypublicstatementregardingtheWorkandshallnotpublicizeanyfactrelatingtotheProjectwithouttheexpresswrittenconsentofOwner.Allfilms,photonegatives,printsandvideo-tapesshowingdetailsofanypartofthePlants,theSiteortheProjectshallbethepropertyofOwnerandshallbedeliveredtoOwneruponrequest.項目管理承包商不得就工程情況作任何公開聲明，也不得在未事先取得業(yè)主書面明確許可的條件下公布與此項目相關的任何事實。用于說明裝置任一部分及現(xiàn)場或項目詳細情況的所有膠片、照片底片、照片、錄像帶等應為業(yè)主的財產，并應按要求提交給業(yè)主。ThirdPartyRights三方權利NoprovisionofthisContractshallbeenforceable(whetherpursuanttotheContracts(RightsofThirdParties)Act1999orotherwise)byanypersonotherthanthePartiesandtheirsuccessorsandpermittedassigns.除雙方及其權利繼承人和允許受讓人以外，任何當事人均無權執(zhí)行本合同的任何條款（不管是否按照合同法1999年版（第三方權利）或以其他方式）。__________________________________INWITNESSWHEREOF,thisContracthasbeenexecutedasadeedonthedatefirstsetforthabove:為昭信守，合同各方于本協(xié)議首載日期開始執(zhí)行本合同。Owner:業(yè)主ChinaNationalOffshoreOilCorporationBPSIGNED,SEALEDandDELIVEREDasadeedbyandinthenameof[INSERTNAMEOFOWNER]byitsattorney[INSERTNAMEOFATTORNEY]inexerciseofapowerofattorneydated[INSERTDATEOFPOWEROFATTORNEY]inthepresenceof:由【在此填寫業(yè)主名稱】代理人按照于年月日簽發(fā)的授權委托書、并以【在此填寫業(yè)主名稱】的名義簽字、蓋章、交付。Name:姓名：___________________Occupation:職務：_______________Address:地址：__________________))))))))
