CONTRACTOFSUBPROJECTEXECUTION簽署日期：DateofSignature:總包商：GeneralContractor分包商：Subcontractor電氣機(jī)械承包公司〔以下簡稱總包商〕，和工程施工公司〔以下簡稱分包商〕，于＿＿訂立本分包合同?！惨韵潞喎Q業(yè)主的設(shè)計(jì)，運(yùn)輸和施工簽訂了合同；鑒于分包商愿按該合同實(shí)施土建和安裝工程而報(bào)了價；鑒于總包商已承受分包商的報(bào)價，并依據(jù)分包商所附的報(bào)價表，現(xiàn)雙方達(dá)成協(xié)議如下：Thiscontractismadeandenteredintoon ,betweenElectricalMachineContractingCompany(hereinafterreferredtoasgeneralcontractor)andEngineeringCompany(hereinafterreferredtoassubcontractor).WHEREASgeneralcontractorhasconcludedcontract,withLibyanNationalAuthorityofLargeElectricalProject(hereinafterreferredtoasemployer),ofthedesign,transportationandexecutionofthecontractedprojectofelectricalmachineinstallation;WHEREASsubcontractoriswillingtoexecutetheprojectofcivilengineeringandinstallationandmadequotationthereon;WHEREASgeneralcontractorhasacceptedsubcontractor’squotation;NOWTHEREFOREpartieshereto,aspersubcontractor’squotation,herebycovenantandagreeasfollows:〔一〕以下文件應(yīng)是本分包協(xié)議的組成局部：Followingdocumentsistheintegralpartsofthissubcontractingcontract.１．電氣、機(jī)械及技術(shù)操作的合同通用條款〔1980年第一版〕；GeneralProvisionsonElectrical/MachineandTechnicalOperation(Firstversion1980);ParticularProvisionsofContract;３．電氣機(jī)械工程工程的技術(shù)標(biāo)準(zhǔn)；TechnicalNormsofProjectofElectrical/Machine;４．工作范圍和技術(shù)要求；ContentsandTechnicalRequirementsforProject;５．土建和安裝工程分包合同的報(bào)價表。QuotationforSubcontractofCivilEngineeringandInstallation.〔二〕工作范圍ProjectContents范圍包括如下內(nèi)容：TheprojectofElectricalMachinewhichtechnicalrequirementsasshownindrawings,islocatedintheterritoryofRepublicofLibya.TheWorkingcontentsofsubcontractorincludethefollowing:１．供給全部工程的監(jiān)視人員，嫻熟和非嫻熟工人，供給運(yùn)輸、測繪工具及設(shè)備，挖掘及鉆孔機(jī)械，吊車，以擔(dān)當(dāng)塔架安裝和導(dǎo)線掛垂和拉直等工作。Dispatchingthepersonnel,forallprojects,ofsupervision,skilledandunskilledworkers,providingtransportation,mappingtools/equipment, machinesofdigging&drillingandcrane,whichforthepurposeoftheexecutionsoftowerinstallation,electricalline’shanging/straightening,andsoon.２．供給混凝土材料、水泥、砂、石子、灰漿材料、鋼筋，并運(yùn)送到工地。Provisionofandtransportationofconcretematerials,cement,sand,gravel,mortarmaterialsandsteelbar.３．為全部工人及治理人員供給住宿、膳食、供水、衛(wèi)生設(shè)備、交通費(fèi)用和社會保險(xiǎn)。Provisionof,forallworkersandadministrators,accommodation,meals,water,sanitation,transportcostsandsocialinsurance.４．運(yùn)送由總包商供給的庫房中的塔架、導(dǎo)線、絕緣材料、五金構(gòu)件、接地材料，包括從總包商庫房到施工現(xiàn)場的運(yùn)輸，并負(fù)責(zé)卸車和保管。Transportation,fromwarehouse,providedbygeneralcontractor,oftower,electricalline,hardwarecomponents,groundingmaterials,whichincludingtheresponsibilitiesoftransportationfromgeneralcontractor’swarehousetoWorksiteinadditiontounloadingandstoragethereof.的塔架位置，分包商應(yīng)測量檢驗(yàn)，以保證塔架的位置和線位方向符合合同技術(shù)標(biāo)準(zhǔn)的要求，并在取得總包商批準(zhǔn)后，應(yīng)對測繪圖作相應(yīng)的更改或修正。Subcontractorshould,aspertheprofileviewandmappingdiagram,providedbygeneralcontractor,determinethelocationoftoweronwhich,generalcontractorhasterminated,subcontractorshouldmakemeasureandinspectionsoastoensuretower’slocationandorientationconformthetechnicalrequirementshereof,andshould,besubjecttoapprovalofgeneralcontractor,processcorrespondingalterationoramendmentthereof.〔三〕符合技術(shù)標(biāo)準(zhǔn)要求ConformityWithRequirementsofTechnicalNorms商有關(guān)的全部責(zé)任。Subcontractorshould,befamiliarwiththetechnicalnormsandasperemployer’srequirementsandcontract’sstipulation,assumeallresponsibilitieswhichwithinsubcontract’sworksandrelevanttosubcontractor.〔四〕勞工Labor分包商應(yīng)：Subcontractorshould１．供給足夠數(shù)量的工人，以滿足總包商工程師在工程進(jìn)度方面的要求。Sendasufficientofnumberofworkerstomeetthenecessityofprojectprogressschedulebyengineerofgeneralcontractor.２．支付雇員工資并自費(fèi)為其雇員供給保險(xiǎn)，為其雇員供給住宿及膳食。Makepayment,atitsownexpenses,ofwages/salaryandinsuranceforitsemployers,andprovideemployerswithaccommodationandmeals.〔五〕ComplywithLaws分包商應(yīng)對以下事項(xiàng)擔(dān)當(dāng)法律責(zé)任：Subcontractorshouldassumelegalliabilityforfollowingitems稅，分包商也應(yīng)對此負(fù)責(zé)。ComplywiththeprovisionsofincometaxinLibyalaws,ifanyemployerfailtopaysuchtaxagainstthepaymentofremunerationwhichpaidbyemployer,subcontractorshallbearresponsibilitytherewith.２．分包商應(yīng)聽從全部適用于本分包工程范圍內(nèi)的利比亞國的法律、地方法及規(guī)定。Subcontractorshouldobeyalllaws,localregulationsandrules,whichapplytothissub-project,ofLibya.〔六〕與業(yè)主的關(guān)系RelationshipwithEmployer除總包商的工程師授權(quán)外，分包商任何時候均不能與業(yè)主接觸或談判。Subcontractorshouldnot,atanytime,takecontacttoandnegotiationwithemployerexceptwiththeauthorizationofgeneralcontractor’sengineer.〔七〕WarrantyPeriod分包商將從頒發(fā)驗(yàn)收證書之日起１２個月內(nèi)所分包施工的工程的質(zhì)量保修責(zé)任。Subcontractorshall,within12monthsonandfromthedateofAcceptancecertificateissued,taketheliabilityofqualitywarrantyforitssubcontractingproject.〔八〕Insurance備進(jìn)展保險(xiǎn)，這應(yīng)包括分包工程在內(nèi)。ProjectInsurance:Generalcontractorshould,asperthestipulationsofgeneralprovisionshereof,atitsownexpense,effecttheinsurance,whichincludesub-contract,coveringthepermanentandtemporaryworks,constructionmachinery/equipment.２．第三方保險(xiǎn)：包括分包商在內(nèi)的第三方保險(xiǎn)，將由總包商擔(dān)當(dāng)，而分包商不付任何費(fèi)用。分包商應(yīng)自費(fèi)負(fù)責(zé)其工人的保險(xiǎn)，包括與分包工程有關(guān)的各種性質(zhì)的索賠。Insuranceforthethirdparty:Thethirdpartyinsurancewhichincludesubcontractorshallbeeffectedbygeneralcontractor,forwhichnoexpenseonsubcontractor.Providedthatsubcontractorshouldatitsownexpenseeffecttheinsuranceforitsworkers,includetheclaimsofvariouskindswhichrelevanttosubcontractedproject.〔九〕ToolandEquipment該分包工程施工和修理所需的全部工具，包括拉力設(shè)備、撥具、張緊裝置、操作線、傳動滑車等、分包商應(yīng)自費(fèi)供給。工具撤出利比亞國。Subcontractorshould,atitsownexpense,provideanyandalltoolswhichnecessaryforexecutionandmaintenanceofprojectincludingpullingdevice,dialtool,tensioningdevice,operatingline,drivingpulley,andothertools.SubcontractorshouldcomplywithalllawsandcustomsregulationsinLibyaonavarietyoftools,equipments,machineryandtransportvehicleandpayallexpensewhicharisingthererom.Subcontractorshould,uponthecompletionofsubcontractedworks,withdrawallequipmentsandtoolsreferredaboveoutofLibyancountry.〔十〕DeliveryofGeneralContractor’sMaterials總包商應(yīng)負(fù)責(zé)交付工程施工所需材料，包括塔架、塔架附件、導(dǎo)線、絕緣裝置、絕緣體及導(dǎo)現(xiàn)場并卸車，費(fèi)用自行擔(dān)當(dāng)。按工程進(jìn)度打算，對分包商各項(xiàng)工作所需要的材料少要在該項(xiàng)工作開頭前一周為分包商備妥。假設(shè)總包商未能按上述要求把材料交付給分包商，總包商應(yīng)準(zhǔn)許分包商相應(yīng)的延長期。Generalcontractorshouldberesponsibleforthedeliveryofconstructionmaterialsneededforexecution,whichincludetoweranditsaccessories,electricalline,insulatingdevice,insulators,wireaccessories,groundingrodsandgroundinglines,andsoon.Subcontractorshouldonitsownexpense,obtainfromgeneralcontractoswarehouse,andloadandtransportthematerialstoworksiteandunloading.Withrespecttothematerialswhichnecessarytothevariousworksofsubcontractor,generalcontractorshould,asperprojectschedule,completematerialpreparationforsubcontractorwithinoneweekpriortothecommencementofwork,providedthatifgeneralcontractorfailtodoso,correspondingextensionofworkperiodshallbeallowedtosubcontractor.〔十一〕SubcontractedQuantityandTotalCost在該分包工程價格表中所列的工程量僅是估算數(shù)量，假設(shè)增減范圍在±＿％之內(nèi)，則單價不作任何變化。假設(shè)增減范圍超過±＿％，應(yīng)按總包合同一般條款中第＿條規(guī)定辦理。ThequantityspecifiedinSubprojectPriceListisonlyestimate,if,increaseordecreaserangewithin±_%,noadjustmentshallbemadetounitprice.Providethatifincreaseordecreaserangebeyond±_%,shallprocessasperArticle incommercialconditionofGeneralContract.本工程工程的分包總價是在分包商給總包商的報(bào)價中予以確定的件已被總包商承受，且是本分包合同的組成局部。Subjecttotalcosthasbeenaffirmedinsubcontractor’squotationtogeneralcontractor,andthequotationandconditionsthereofhavebeenacceptedbygeneralcontractorandconstitutetheparthereof.〔十二〕SupervisionofGeneralContractor.總包商將指定一位或幾位工程師監(jiān)視該項(xiàng)分包工程的施工幫助義務(wù)。Oneormorethanoneengineerswhoareappointedbygeneralcontractorshallmakesupervisionandinspectionontheexecutionofsubprojectandthestaffofsubprojectshouldassumetheassistanceliabilityforsitesupervision.〔十三〕PermissionandLicense開支均應(yīng)由分包商擔(dān)當(dāng)。Generalcontractorshouldassistsubcontractoravailableforentryvisas,Permissionsofresidenceandwork,whicharenecessaryforsubcontractor’semployees,inadditiontotheimportpermissionofmaterials/equipmentsneededbysubject,aswellaslivinghouse.Allcostandexpensearisingtherefromshallbeforsubcontractor’saccount.〔十四〕CompletionandDelayduetoBreach日期完成各分項(xiàng)工程的施工?！哺鞣猪?xiàng)工程的竣工日期略〕＿％約罰款金最高限額不得超過分包合同總價的＿％。Subcontractorshould,subjecttoExecutionSchedulewhichagreedbypartieshereto,atthecircumstancesunderwhichsubcontractorisavailabletotheprovisionofmaterialsintime,makecompletionoftheexecutionsofeachsub-projectasthefollowingstipulateddate.〔十五〕ProgressReport分包商應(yīng)按總包商同意的格式，呈送每周和每月的進(jìn)度報(bào)表。Subcontractorshould,aspertheformatwhichagreedbygeneralcontractorpresentweeklyandmonthlyprogressreport.〔十六〕Manufacturer’sCertificateandTestReport全部試驗(yàn)及試驗(yàn)報(bào)告書應(yīng)符合有關(guān)標(biāo)準(zhǔn)標(biāo)準(zhǔn)的要求。Subcontractorshouldprovidegeneralcontractorwithmanufacturer’scertificateandtestreportofcement,reinforcingsteelbar,sand,gravelandanyothermaterialswhichshallbeusedinsubprojectandwiththepermissionofgeneralcontractor.ReportofconcreteblockshouldbesenttogetherwithApplicationofpaymentforfoundationproject.Alltestandreportthereofshouldconformtotherequirementofrelevantstandardornorm.〔十七〕支付條款Payment總包商應(yīng)按如下規(guī)定向分包商付款:Generalcontractorshouldasperfollowingprovisionmakepaymenttosubcontractor:＿％，自分包商提交由銀行開具的等值銀行預(yù)付款保函之日起１５天內(nèi)，付給分包商；保函有效期為＿個月。Advancepayment,whichequalto＿％ofsubcontract’stotalvalueshallbepaidtosubcontractorwithin15daysonandfromissueofBankGuarantee,bysubcontractor,forAdvancePaymentwhichhasequalvalvewiththesamevalueofadvancepayment.ThevalidityperiodofGuaranteeshallbe months.２．每月完成的并經(jīng)業(yè)主驗(yàn)收的工程的占分包合同價的＿％。Inaccordancewithmonthlycompletionwhichhavebeenacceptedbyemployer,thepaymentshallbe＿％ofsubcontracttotalcost.３．分段工程占分包合同價的＿％；憑臨時驗(yàn)收證書。Paymentofsubsectionshallaccount＿％ofsubcontractcostagainsttemporaryacceptancecertificate.４．分包價的＿％后，自收到分包商發(fā)票之日起五周內(nèi)，才能付給分包商。＿％oftotalsubcontractcostshall,againstCertificateofFinalAcceptance,bemadepayment.Inaccordancewiththeprovisionsofgeneralcontractthepaymentcannotbemadeunlessanduntilwithinfiveweeksinwhichemployermakeacceptanceandwithinfourweeksinwhichreceiptofsubcontractor’sinvoices.〔十八〕Acceptance3驗(yàn)收日期。Upon completion of project, Subcontractor should inform General contractor to processcompletionacceptance;Generalcontractorshallarrangeinspectionandacceptancewithin3workingdaysafterreceivingthenotification,andshallhandletheinspectionandhand-overprocesses.IntheeventofGeneralcontractorcouldNOTarrangetheinspectionandacceptancewithintherequiredperiod,GeneralcontractorshouldinformSubcontractorandreschedulethedateforacceptanceonatimelymanner.分包商在向總包商提交竣工驗(yàn)收申請的同時，應(yīng)提交相關(guān)的竣工資料和竣工圖。Subcontractorshallsubmitrelevantas-builtsubmittalsandas-builtdrawingwhensubmittingtherequestforcompletionacceptancetoGeneralcontractor.7文件、設(shè)備和工具等。Afterthecompletionacceptance,Subcontractormustfinishthevacationoftheprojectsitewithin7daysandcompleteallhand-overprocessesincludingdocuments,equipment,andutensils〔十九〕GuaranteeforPerformance在分包合同簽訂后１５天內(nèi)分包商應(yīng)依據(jù)所附的保函格式提交一份銀行開具的無條件履約保函，額度相當(dāng)于分包合同價的＿％，有效期為＿個月，自本分包合同簽訂之日起。Subcontractorshould,within15daysonandaftersignatureofsubprojectaspertheguaranteeformat,submitanUnconditionalPerformGuaranteebyabank,ofwhichtheamountshallbeequalto＿％ofsubjectcontracttotalcostandvalidityis monthsonandafterthedateofsignatureofthiscontract.〔二十〕DocumentsandDrawings分包商亦不能泄露由總包商或業(yè)主所供給的文件中的任何資料。但是涉及本協(xié)議目的的除外。Subcontractorshould,uponreceiptoffinalpayment,returnalldocuments,drawingsandtechnicalnorms,whichprovidedbygeneralcontractor.Anydocumentfromgeneralcontractorcannotbeusedbysubcontractortoanyotherpurposebeyondtheexecutionhereof,andsubcontractorshallinnocasediscloseanyinformationinthedocumentsprovidedbygeneralcontractororemployer,exceptforthepurposehereof.〔二十一〕DeferredDeliveryofGeneral
