COMMERCIALOFFICELEASEAGREEMENT

ThisCommercialOfficeLeaseAgreement(“Agreement”)ismadeandenteredintoonthe_____dayof___________,20___,byandbetween_____________(“Landlord”)and___________(“Tenant”)(collectivelyreferredtohereinasthe"Parties").

WHEREAS,theLandlordistheownerofacommercialofficebuildinglocatedat________________(the“Building");and

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thePartiesagreeasfollows:

1.Premises:TheLandlordleasestotheTenantandtheTenantleasesfromtheLandlordapproximately_____________squarefeetofofficespace(the"Premises")locatedintheBuilding.

2.Term:ThetermofthisAgreementshallcommenceon____________,20___andshallendon_____________,20___(the"Term").TheTenantshall,upontheexpirationoftheTerm,promptlysurrenderthePremisestotheLandlordinthesameconditionaswhenreceivedbytheTenant,subjecttoreasonablewearandtear.

7.Alterations:TheTenantshallnotmakeanyalterations,additions,orimprovementstothePremiseswithoutthewrittenconsentoftheLandlord.Anyalterations,additions,orimprovementsmadebytheTenantshallbecomethepropertyoftheLandlord.

8.Insurance:TheTenantshallmaintainliabilityinsuranceintheamountof___________namingtheLandlordasanadditionalinsured.TheTenantshallprovidetheLandlordwithacertificateofinsurancepriortotakingpossessionofthePremises.

9.Default:IftheTenantbreachesanyterm,covenant,orconditionofthisAgreement,includingtheobligationtopayrentormaintaininsurance,theLandlordmayterminatethisAgreementandevicttheTenantfromthePremises.Inaddition,theTenantshallbeliableforallcosts,expenses,anddamagesincurredbytheLandlordasaresultofthebreach.

10.GoverningLaw:ThisAgreementshallbeconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.

11.EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesanyandallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

12.Amendments:AnyamendmenttothisAgreementshallbeinwritingandsignedbybothParties.

13.BindingEffect:ThisAgreementshallbebindinguponandinuretothebenefitofthePartiesandtheirrespectivesuccessorsandassigns.

14.Notices:Allnotices,requests,demands,orothercommunicationsrequiredorpermittedbythisAgreementshallbeinwritingandshallbedeemedgivenwhendeliveredpersonally,whensentbyregisteredmail,orwhensentbyemailtothePartiesattheirrespectiveaddressesasshownbelow:
