貨物進口合同中英文版中英文貨物進口合同ContractofGoodsImportinEnglishandChinese本合同由以下兩方獨立簽署Thiscontractissignedbythefollowingtwopartiesindependently:甲方：（進口方的名稱，地址）PartyA:(Nameandaddressoftheimporter)乙方：（出口方的名稱，地址）PartyB:(Nameandaddressoftheexporter)經(jīng)過雙方友好協(xié)商后，達成以下協(xié)議：Afterfriendlynegotiationsbetweenthetwoparties,thefollowingagreementisreached:第一條合同目的及名稱Article1PurposeandNameoftheContract（一）合同的目的是甲方向乙方進口下列貨物（以下稱“貨物”）。1.ThepurposeofthiscontractisforPartyAtoimportthefollowinggoods(hereinafterreferredtoas"goods")fromPartyB.（二）本合同的名稱是：貨物進口合同。2.ThenameofthiscontractisContractofGoodsImport.第二條貨物描述Article2DescriptionofGoods（一）貨物名稱、品種、規(guī)格、質(zhì)量、數(shù)量、單價、總價、金額單位等詳見附件《貨物清單》。1.Thename,variety,specifications,quality,quantity,unitprice,totalprice,andcurrencyofthegoodsarelistedintheAttachment"ListofGoods".（二）貨物應(yīng)符合中國法律法規(guī)的規(guī)定和產(chǎn)品標準，并符合國際貿(mào)易慣例。如貨物不符合上述規(guī)定，甲方有權(quán)解除合同，并有權(quán)向乙方追究違約責任。2.ThegoodsshallcomplywiththeprovisionsofChineselawsandregulationsandproductstandards,andshallconformtotheinternationaltradepractices.Ifthegoodsdonotcomplywiththeaboveprovisions,PartyAhastherighttoterminatethecontractandholdPartyBresponsibleforbreachofcontract.第三條貨物交付、驗收及付款A(yù)rticle3Delivery,InspectionandPaymentofGoods（一）貨物應(yīng)在本合同規(guī)定的日期內(nèi)按照甲方的指定地點（以下稱“目的地”）交付，并由甲方在目的地進行驗收。如貨物的數(shù)量、質(zhì)量、規(guī)格與合同項下要求不符，甲方有權(quán)拒絕貨物，并要求乙方重新發(fā)貨或按照甲方要求予以更換或調(diào)整。1.Thegoodsshallbedeliveredtothedesignatedlocation(hereinafterreferredtoasthe"destination")byPartyBonthedatespecifiedinthiscontractandshallbeinspectedbyPartyAuponarrivalatthedestination.Ifthequantity,quality,andspecificationsofthegoodsdonotmeettherequirementsofthecontract,PartyAhastherighttorefusethegoodsanddemandthatPartyBreshipormakereplacementsoradjustmentsasrequestedbyPartyA.（二）貨物交付后，甲方應(yīng)按照本合同在規(guī)定期限內(nèi)結(jié)算貨款。2.Afterthegoodsaredelivered,PartyAshallsettlethepaymentaccordingtothiscontractwithinthestipulatedperiod.（三）貨款以人民幣或其他雙方協(xié)商并確定的貨幣單位支付。3.ThepaymentshallbemadeinRenminbiorothercurrencyagreeduponanddeterminedbybothparties.第四條合同履行Article4PerformanceofContract（一）雙方應(yīng)按照本合同的約定履行各自的權(quán)利和義務(wù)，并提供必要的協(xié)助。1.Bothpartiesshallperformtheirrespectiverightsandobligationsaccordingtotheprovisionsofthiscontractandprovidenecessaryassistance.（二）如因不可抗力等造成本合同全部或部分不能履行，雙方應(yīng)及時相互協(xié)商，盡力減輕損失，或者提出修改本合同的辦法，并根據(jù)實際情況協(xié)商解決。如雙方達成協(xié)議，應(yīng)及時簽訂書面協(xié)議并報有關(guān)行政部門備案；未達成協(xié)議，則可以解除合同。2.Iftheentireorpartialperformanceofthiscontractisimpossibleduetoforcemajeure,bothpartiesshallpromptlyconsultwitheachother,dotheirbesttoreducelosses,orproposemeanstomodifythiscontract,andnegotiatesolutionsbasedontheactualsituation.Ifbothpartiesreachanagreement,awrittenagreementshallbesignedandreportedtotherelevantgovernmentdepartmentforrecord;ifnoagreementisreached,thecontractmaybeterminated.第五條違約責任Article5LiabilityforBreach（一）如有一方違反本合同的任何條款，造成損失的，應(yīng)依法承擔相應(yīng)的損害賠償責任。1.Ifonepartybreachesanytermsofthiscontractandcauseslosses,itshallbeliablefordamagesaccordingtolaw.（二）如乙方違反合同規(guī)定，或弄虛作假，或欺騙，或提供不實信息或隱瞞真實情況，或不履行本合同的義務(wù)，則甲方有權(quán)要求乙方交納違約金，并有權(quán)解除本合同。2.IfPartyBviolatesthecontract,orcommitsfraud,orprovidesfalseinformationorconcealstherealsituation,orfailstoperformitsobligationsunderthiscontract,PartyAhastherighttodemandpaymentofapenaltyforbreachofcontractandtoterminatethiscontract.第六條法律效力Article6LegalEffectiveness（一）本合同的書面形式、簽署、生效、履行、修改及處理爭議等均應(yīng)依照中華人民共和國的相關(guān)法律、法規(guī)和政策規(guī)定。1.Thewrittenform,signing,effectiveness,performance,modification,andhandlingofdisputesofthiscontractshallbegovernedbytherelevantlaws,regulations,andpoliciesofthePeople'sRepublicofChina.（二）如因本合同發(fā)生爭議，雙方應(yīng)首先通過友好協(xié)商解決；如協(xié)商不成，應(yīng)向甲方所在地人民法院提起訴訟。2.Ifadisputearisesfromthiscontract,bothpartiesshallfirstresolveitthroughfriendlyconsultations.Ifnoagreementisreached,alawsuitshallbefiledwiththepeople'scourtwherePartyAislocated.第七條合同的生效與變更Article7EffectivenessandModificationofContract（一）本合同自雙方簽字或蓋章之日起生效，并代替雙方以往的一切商務(wù)和口頭約定，具有同等的法律效力。1.Thiscontractshallbecomeeffectivefromthedatewhenbothpartiessignoraffixtheirseals,andshallreplaceallpreviousbusinessandverbalagreementsbetweenthetwopartieswiththesamelegaleffect.（二）如本合同有變更，應(yīng)由雙方在書面上予以確認，并由雙方簽署具備同等效力的補充協(xié)議。2.Ifthiscontractismodified,themodificationshall
