出口合同出口商品買賣合同中英文對(duì)照ExportSalesContract–PurchaseandSaleofGoods出口商品買賣合同PARTIES:雙方：Seller:出售方：[NameandAddress][名稱和地址]Buyer:購買方：[NameandAddress][名稱和地址]1.SUBJECTMATTEROFTHEAGREEMENT本協(xié)議的目的是就銷售和購買以下商品達(dá)成一致。ThisAgreementsetsforththetermsandconditionsforthesaleandpurchaseofthefollowinggoods:2.TERMSANDCONDITIONS2.1TheSelleragreestosellandtheBuyeragreestopurchasethegoodssetforthinthisAgreement,inaccordancewiththetermsandconditionssetforthherein.出售方同意按照本協(xié)議所列明的條件出售商品，購買方同意按照此協(xié)議的條件購買商品。2.2TheSellerwarrantsthatthegoodsarefreefromdefectsinmaterialsandworkmanship,conformwithallapplicablelawsandregulations,andarefitandsufficientforthepurposesforwhichtheyareintended.出售方保證商品不含有材料和工藝上的瑕疵，符合所有適用的法律法規(guī)，且適用于其預(yù)定的用途。2.3TheBuyershallpaytheSellerthefullpurchasepriceforthegoodswithin[numberof]daysfromreceiptoftheinvoice.購買方將在收到發(fā)票后[numberof]天內(nèi)全額支付商品購買價(jià)款。2.4TheSellershalldeliverthegoodstotheBuyerwithin[numberof]daysofthedateofthisAgreement.出售方將在本協(xié)議簽訂日起[numberof]天內(nèi)向購買方交貨。2.5Thegoodsshallbeshipped[transportationmode]anddeliveredto[destination].AllshippingcostsshallbebornebytheBuyer.商品將以[運(yùn)輸模式]方式運(yùn)輸，并交付至[目的地]。所有運(yùn)輸費(fèi)用由購買方承擔(dān)。2.6IftheBuyerfailstotakedeliveryofthegoodswithin[numberof]daysofnotificationbytheSeller,theSellershallbeentitledtostorethegoodsattheBuyer'sexpense,ortosellthegoodswithoutfurthernoticetotheBuyer.如果購買方在出售方通知后[numberof]天內(nèi)無法接收商品，則出售方有權(quán)將商品存儲(chǔ)，存儲(chǔ)費(fèi)用由購買方承擔(dān)。或出售方可以不再通知購買方，直接出售商品。2.7TheSellershallbenotresponsibleforanydelayorfailuretodeliverthegoodsduetoanyeventbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,strikes,labordisputes,wars,fire,flood,orgovernmentregulations.出售方將不承擔(dān)任何因配送商品而發(fā)生的延誤或不能交付的責(zé)任，包括但不限于外界不可抗力因素，如神靈的干預(yù)、罷工、勞動(dòng)糾紛、戰(zhàn)爭、火災(zāi)、洪水或政府規(guī)定等。2.8TheBuyeragreestocomplywithallapplicablelawsandregulationsinconnectionwiththetransactionscontemplatedbythisAgreement,includingbutnotlimitedtothelawsandregulationsofChina.購買方同意遵守與本協(xié)議涉及的交易相關(guān)的所有適用法律法規(guī)，包括但不限于中國的法律法規(guī)。3.WARRANTYANDINDEMNIFICATION3.1TheSellerwarrantsthatthegoodsarefreefromanydefects,liens,orencumbrances,andthatthegoodsconformtoanysamples,specifications,ordescriptionsprovidedtotheBuyer.出售方保證商品沒有任何瑕疵、留置權(quán)或負(fù)擔(dān)，并符合已提供給購買方的任何樣品、規(guī)格或描述。3.2TheSellershallindemnifyandholdharmlesstheBuyeragainstanyloss,damage,orexpensearisingfromanybreachofthisAgreementbytheSelleroranydefect,lien,encumbrance,orotherproblemwiththegoods.出售方將向購買方承擔(dān)任何因出售方違反本協(xié)議或商品出現(xiàn)任何瑕疵、留置權(quán)、負(fù)擔(dān)或其他問題而導(dǎo)致的任何損失、損害或費(fèi)用。3.3TheBuyershallindemnifyandholdharmlesstheSelleragainstanyloss,damage,orexpensearisingfromanybreachofthisAgreementbytheBuyeroritsagents,orfromanyuseormisuseofthegoodsbytheBuyeroritsagents.購買方將向出售方承擔(dān)任何因購買方或其代理違反本協(xié)議或購買方或其代理使用或?yàn)E用商品而導(dǎo)致的任何損失、損害或費(fèi)用。4.GOVERNINGLAWANDDISPUTERESOLUTION4.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofChina.本協(xié)議適用于中國法律。4.2AnydisputearisingfromorrelatingtothisAgreementshallberesolvedthroughnegotiationormediation.Ifthedisputecannotberesolvedthroughnegotiationormediation,thepartiesagreetosubmitthedisputetothecourtsofChinaforresolution.因本協(xié)議引起的任何爭議應(yīng)通過談判或調(diào)解解決。如果爭議無法通過談判或調(diào)解解決，各方同意將爭議提交中國法院處理。5.MISCELLANEOUS5.1ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesanyprioragreementsorunderstandings,whetherwrittenororal.本協(xié)議構(gòu)成各方之間的全部協(xié)議，取代任何之前的書面或口頭協(xié)議或理解。5.2ThisAgreementmayonlybeamendedinwritingsignedbybothparties.本協(xié)議只能由雙方簽署的書面協(xié)議進(jìn)行修改。5.3ThisAgreementshallbebindinguponandinuretothebenefitofthepartiesheretoandtheirrespectivesuccessorsandassigns.本協(xié)議應(yīng)對(duì)當(dāng)事人及其各自的繼承人和受讓人具有約束力。5.4AnynoticerequiredorpermittedtobegivenunderthisAgreem
