OFFICEBUILDINGLEASEAGREEMENT

ThisOfficeBuildingLeaseAgreement(the"Agreement")ismadeandenteredintoasof[Date],byandbetween[Landlord'sName],a[Landlord'slegalentitytype]incorporatedunderthelawsof[Jurisdiction]("Landlord"),and[Tenant'sName],a[Tenant'slegalentitytype]incorporatedunderthelawsof[Jurisdiction]("Tenant").

1.LEASEDPREMISES

LandlordherebyleasestoTenantandTenantherebyleasesfromLandlord,thefollowingdescribedpremises(the"LeasedPremises"):[DescriptionofLeasedPremises,includingaddress,suitenumber,andsquarefootage].

2.TERM

ThetermofthisAgreementshallcommenceon[CommencementDate]andshallcontinueforaperiodof[TermLength],unlessearlierterminatedinaccordancewiththetermsofthisAgreement.

3.RENT

TenantshallpaytoLandlordrentfortheLeasedPremisesattherateof[RentAmount]permonth(the"BaseRent").RentshallbedueandpayableinadvanceonthefirstdayofeachmonthduringthetermofthisAgreement.

4.USE

TheLeasedPremisesshallbeusedandoccupiedbyTenantsolelyforthepurposeof[PermittedUse],andfornootherpurposewithoutthepriorwrittenconsentofLandlord.

5.MAINTENANCEANDREPAIRS

Tenantshall,atitssoleexpense,keepandmaintaintheLeasedPremisesandappurtenancesingoodconditionandrepairduringthetermofthisAgreement,exceptforrepairsthataretheresponsibilityofLandlordassetforthinthisAgreement.

6.INSURANCE

TenantshallobtainandmaintainthroughoutthetermofthisAgreement,atitsownexpense,insurancecoveragefortheLeasedPremisesanditscontentsagainstlossordamagebyfire,theft,andotherriskscommonlyinsuredagainst.TenantshallprovideLandlordwithproofofsuchinsuranceuponrequest.

7.INDEMNIFICATION

Tenantshallindemnify,defend,andholdharmlessLandlordanditsagents,employees,andinviteesagainstanyandallclaims,actions,suits,proceedings,costs,expenses,damages,andliabilities(includingreasonableattorney'sfees)arisingoutoforinconnectionwithTenant'suseoroccupancyoftheLeasedPremises.

8.DEFAULT

IfTenantfailstoperformanyofitsobligationsunderthisAgreementandsuchfailurecontinuesforaperiodof[DefaultNoticePeriod]afterwrittennoticefromLandlord,LandlordmayterminatethisAgreementandrecoveralldamagesresultingfromTenant'sbreach.

9.ASSIGNMENTANDSUBLETTING

TenantshallnotassignthisAgreementorsublettheLeasedPremisesoranypartthereofwithoutthepriorwrittenconsentofLandlord.Anyattemptedassignmentorsublettingwithoutsuchconsentshallbevoidandofnoeffect.

10.HOLDINGOVER

IfTenantholdsoveraftertheexpirationofthetermofthisAgreementwithoutthewrittenconsentofLandlord,suchholdovershallbeconstruedasamonth-to-monthtenancysubjecttothetermsandconditionsofthisAgreement.

11.ENTIREAGREEMENT

ThisAgreementconstitutestheentireagreementbetweenLandlordandTenantandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

12.GOVERNINGLAW

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

INWITNESSWHEREOF,thepartieshaveexecutedthisOfficeBuildingLeaseAgreementasofthedatefirstabovewritten.

1.LEASEDPREMISES

LandlordherebyleasestoTenantandTenantherebyleasesfromLandlord,thefollowingdescribedpremises(the"LeasedPremises"):[DescriptionofLeasedPremises,includingaddress,suitenumber,andsquarefootage].

2.TERM

ThetermofthisAgreementshallcommenceonJanuary1,2024,andshallcontinueforaperiodof[TermLength],unlessearlierterminatedinaccordancewiththetermsofthisAgreement.

Tenantshall,atitssoleexpense,keepandmaintaintheLeasedPremisesandappurtenancesingoodconditionandrepairduringthetermofthisAgreement,exceptforrepairsthataretheresponsibilityofLandlordassetforthinthisAgreement.

6.INSURANCE

TenantshallobtainandmaintainthroughoutthetermofthisAgreement,atitsownexpense,insurancecoveragefortheLeasedPremisesanditscontentsagainstlossordamagebyfire,theft,andotherriskscommonlyinsuredagainst.TenantshallprovideLandlordwithproofofsuchinsuranceuponrequest.

IfTenantholdsoveraftertheexpirationofthetermofthisAgreementwithoutthewrittenconsentofLandlord,suchholdovershallbeconstruedasamonth-to-monthtenancysubjecttothetermsandconditionsofthisAgreement.
