ThepurposeofthisletteragreementistoconfirmthetermsandconditionsoftheOilTransactionenteredintobetweenusontheTradeDatespecifiedbelow(the“Transaction”).Thisletteragreementconstitutesa“Confirmation”asreferredtointheISDAMasterAgreementspecifiedbelow.

Thedefinitionsandprovisionscontainedinthe2005ISDACommodityDefinitions(the"CommodityDefinitions")(aspublishedbytheInternationalSwapsandDerivativesAssociation,Inc.)andtheISDANorthAmericanU.S.CrudeOilandRefinedPetroleumProductsAnnex(the

“OilAnnex”)areincorporatedintothisConfirmation.IntheeventofanyinconsistencybetweentheCommodityDefinitionsortheOilAnnexandthisConfirmation,thisConfirmationwillgovernforpurposesofthisTransaction.Notwithstandingtheforegoing,anyamendmentstotheCommodityDefinitionsintheScheduletotheAgreementareherebyincorporatedintothisConfirmationandanysuchamendmentsshallsupersedetheCommodityDefinitions,unlessotherwisespecifiedbelow.
