茲就機器買賣事宜，達成如下協(xié)議：

第一條甲乙雙方約定有關(guān)后記機器的買賣事宜甲方賣出，乙方買進。

第二條買賣總金額為_________元整。乙方依照下列方式支付款項予甲方。

（1）本日（訂約日）先交付定金_________元整。

（2）甲方必須在________年_____月_____日前將后記的機器安裝于乙方總公司所在地的工廠。乙方未支付的余款，俟交貨時一次付清。

第三條甲方于第二條第（2）項乙方支付余款同時，應將后記機器的所有權(quán)移轉(zhuǎn)予乙方。

第七條若發(fā)生第六條的情形，雖經(jīng)甲方修復，而機器仍然無法操縱，或其性能降低長達一個月時，乙方可依據(jù)下列方式選擇其一，向甲方提出要求。

（1）換取同種類機器。其條件為乙方須就已使用該機器的時間長短支付貨款，每一年乙方應支付甲方相當于第二條總金額五分之一款項。

（2）退還機器。但甲方得扣除乙方使用機器所應付如前（1）之款項，其余定金退還予乙方。有關(guān)使用機器的時間，其計算方法則無論乙方是否使用，規(guī)定從第三條甲方交付機器日始至乙方提出退還機器要求之日止，為使用時間。

第八條乙方若未能在第二條日期前支付余額以交換機器，則甲方毋需催告，本合同視同作廢，甲方得將該機器搬回。

有關(guān)前述甲方的機器搬運費、安裝費以及搬回時所需的一切費用，應由乙方負擔。甲方除上述**外，尚可將定金沒收，作為損害賠償。

6.SHIPPINGSCHEDULE裝運時間表

TheCoalshallbeloadedduringMayorJune2012inSeller’soptionandsubjecttosuitablevesselavailability.

煤炭由賣方選擇于年五月或六月裝運，視乎船只供應情況。

IfaworkableletterofcreditisnotreceivedbySeller’sbankinaccordancewiththeclause8.PAYMENT,Sellershallhavetherightbutnottheobligationtodelayorsuspendperformanceofanyofitsobligationsunderthiscontractand/orterminatethiscontract.AnylossesarisingoutofBuyer’sfailuretoopenaworkableletterofcreditintimeshallbeforBuyer’saccount.

假如賣方未能按照第八條?付款所示如期收到可操作的信用證，賣方有權(quán)推延或擱置其供貨責任以及/或終止本合同。

因買方未能開出可操作的信用證而招致的任何損失均由買方負責。

7.DELIVERY運送

CIF(Incoterms2010)1safeport,1safeberthinFangchengport,Guangxiprovince,China,basis5,800kcal/kg(NAR)withnodraftrestrictionsatdischargeport.

CIF(貿(mào)易術(shù)語2010)一個安全港口，一個于港的安全、無吃水限制的安全泊位，基礎5,800大卡/公斤(收到時凈值)。

Buyershallprovideatdischargeportasafeberthreachableonarrivalwherethevesselshallalwaysbeabletoenter,discharge,lieandleaveafloat.

買方須于卸貨港提供一安全泊位，讓船只到達時可以隨時進入、卸貨、停靠和離開。

VesselNomination船只通報

SellershallnotifytheBuyerofthefollowingdetailsinwriting:

賣方將以書面形式通知買方以下資料：

a.Thename(orIMOnumber)ofthevesselthattheSellernominatesincludingtheage,flag,class,deadweighttonnage,beam,lengthoverallanddraftofthevessel;

船只的名稱(或IMO編號)包括船齡、載重噸位、船寬、整體長度以及吃水量。

b.Theestimateddateofarrivalofthevesselattheportofdischarge.

Buyershallconfirmacceptanceofvesselnominationwithin1(one)BusinessDayofSeller’snomination.

賣方通報后買方須於一個營業(yè)日內(nèi)確認。

TheSellershallgivewrittennoticetotheBuyeroftheprogressofthevesselfive(5)days,three(3)days,two(2)daysandtwentyfour(24)hoursbeforetheETAofthevesselattheportofdischarge.TheSellershallinformtheBuyerofanydeviationinexcessoftwenty-four(24)hourstotheaforementionedETA.

賣方將于預計船只抵達卸貨港前五天、三天、兩天和二十四小時以書面通知買方船只的進度。

如有偏差，賣方將于前述的預計抵達日二十四小時前通知買方。

TheSellermaysubstituteanyvesselnominatedunderthiscontractbyanothervesselbygivinganoticeofsubstitutiontotheBuyeratanytimepriortoETAoftheoriginalvessel.

賣方或于預計抵達日前任何時候發(fā)出更換通知書通知買方更換原來通報的船只。

Dischargerate卸載速度

Buyershallguaranteeaminimumdischargerateof25,000metrictonsperweatherworkingday,Sundaysandholidaysincluded(PWWDSHINC).

買家須保證每一可卸載工作天最少卸載25,000公噸，包括星期天和公眾假期。

Turntime:12(twelve)hours.等泊時間：十二小時

Agency,portcharges,duesandtaxes

Atthedischargeport,theSellerisonlyaccountableforportchargesassociatedwithbringingthevesselalongsidethedischargeberth.Anytaxes,duesorotherchargesleviedagainstthecargoshallbefortheBuyer’saccount.AllsuchchargesshallbepaidpromptlybytheBuyersuchthattheBuyerisinapositiontotakedeliveryofthecargowithoutdelay.

在卸貨港賣方只負責牽涉引領船只?？坎次坏拇a頭費用，買方須負責其他所有費用。

買家須及時支付該等費用以免導致延誤。

Stevedores裝卸工

ThestevedoresshallbeappointedbytheBuyer.ThestevedoresandanyoneemployedbythestevedoresshallbeunderthesupervisionoftheMaster.Lossand/ordamagecausedbyStevedoreactoromission,ifany,tobesettleddirectlybetweenstevedores/BuyerandMaster/owners.

買方負責委派裝卸工。

裝卸工與任何受雇于裝卸工人仕均由船長監(jiān)督。

如裝卸工的行為或疏忽引致?lián)p失及/或損失，由裝卸工/買方與船長/船東直接解決。

ProductdischargedbyBuyer買方卸載貨物

Productistobedischargedandtakenfreefromthevessel'sholdsattheBuyer'sriskandexpense.

貨物由船只卸載轉(zhuǎn)移的風險和費用由買方負責。

NoticeofReadinessandLaytime準備就緒通知與卸貨時間

Afterarrivalattheportofdischarge,NoticeofReadinessmaybetenderedbythevesselduringoroutsideofofficehoursatanytimeofdayornight,Saturdays,Sundaysandholidaysincluded,whetherinportornot,whetherinberthornot,whetherinfreepratiqueornot,whethercustomsclearedornot.

船只抵達卸貨港后，將隨時發(fā)出準備就緒通知，無論是辦公或非辦公時間，日與夜，包括星期六，星期天與公眾假期，無論在港口與否，在泊位與否，入港與否以及清關(guān)與否。

Laytimeshallcommenceattheearlierof:卸貨時間將隨下開情況開始，以先發(fā)生著為準：

a.Twelve(12)hoursafterNoticeofReadinesshasbeentendered;or

發(fā)出準備就緒通知后十二小時，或

b.Theactualcommencementofdischarge.實際卸貨開始時。

Laytimeshallceaseoncompletionofdischarge(holdstobeleftbystevedoressweptcleaned,toMaster’ssatisfaction).AnyextratimeusedsolelyfortheBuyer’sdraftsurveyshallcountasLaytime.Timeusedforfinaldraftsurvey,shallalwayscountasLaytimeandtimeused.

卸貨完成后卸貨時間即終結(jié)(剩余的裝卸工須清掃干凈直至船長滿意)。

任何額外用于買方進行吃水測量的時間均算作卸貨時間。

用于最終吃水調(diào)查的時間通常算作卸貨時間及耗用時間

TimeandcostsofshiftingdirectlybetweenberthsattheBuyer’sorPortAuthority’srequestshallcountasLaytimeandallindoingsoshallbefortheBuyer’saccount.

買方或港口當局要求在泊位間直接轉(zhuǎn)移花費的時間和成本算作卸貨時間并由買方負責。

Anytimelostduringdischargingduetothevessel'sinabilitytodischargeorduetoanyotherdefectand/ordefaultinthevessel,deficiencyand/ordefaultofthevessel'spersonnelshallnotcountasLaytime.

卸貨時由于船只不能卸貨或由于任何的船只缺陷及/或缺失、不足及/或由于船員的缺失導致的時間損失不算作卸貨時間。

Intheeventofweatherconditionswhich,intheopinionofeitherthePortAuthorityortheMastermakedischargingperilous,andalldischargingoperationsaresuspendedthenallsuchtimelostshallnotcountasLaytime,unlessvesselisalreadyondemurrage,andtheMastermayclosehatchesincaseofheavyrain,heavysnow,orhail.Incaseofrain,allholdswhichhavenotbeenfullydischargedshouldbeclosedinordertoavoidwettingtheCoal.

天氣方面，如果港口當局或船長認為會引致卸貨危險而暫停卸貨操作則所有時間損失將不計算入卸貨時間內(nèi)，除非船只已然滯期，而船長或會于大雨、大雪或下冰雹時關(guān)閉艙門。

大雨時，所有未卸載的剩余貨物應該關(guān)閉以防弄濕煤炭。

Laytimepermittedatthedischargeportshallbecalculatedonbillofladingquantity.

提單上數(shù)量將會計算可允許的卸貨時間。

DemurrageandDespatch滯期費與速遣費

ThedemurragerateshallbeasperthegoverningCharterParty.

滯期費依據(jù)租船合約中的規(guī)定計算。

IftotalLaytimeusedexceedstotalLaytimeallowed,BuyershallpaySellerdemurrageperdayorproratafortheexcesstime.IfthetotalLaytimeusedislessthanthetotalLaytimeallowed,theSellershallpaydespatchtotheBuyerforthetimesavedattherateequaltofiftypercent(50%)ofthedemurragerateperdayorproratapartthereof.

如果所用卸貨時間超出可允許的卸貨時間，買方將付與賣方按日計算的滯期費或按比例計算的超時費。

如果所用卸貨時間少于可允許的卸貨時間，則賣方將付與買方按節(jié)省了的時間計算的速遣費，費率是滯期費或超時費的50%。

LaytimecalculationsshallbepresentedbytheBuyerwithin30(thirty)calendardaysofthecompletionofdischarge.Demurrage/despatchshallbepaidbythepartysoowingwithin3(three)BusinessDaysofagreementofLaytimecalculationsagainstpresentationoftheowedparty’sinvoice.

卸貨時間總計將于卸貨完畢后三十個日歷日內(nèi)由買方出具。

按裝貨時間總計議定付款方將于收款方開出發(fā)票后三個營業(yè)日內(nèi)支付滯期費/速遣費。

8.PAYMENT付款

LetterofCredit信用證

PaymentshallbemadebyBuyerinUS$withoutanydeduction,withholding,offsetorcounterclaimwhatsoeverbymeansofafullyworkableirrevocabledocumentaryletterofcredit,tobeopenedbyabankandinaformfullyacceptabletoSellercovering100%(onehundredpercent)ofthecargovaluebasedonSeller’sproformainvoicevalueofquantityof165,000mtandallowingatoleranceof+/-10%inquantity.

付款以美元結(jié)算，不得扣減，留存，抵消或反訴，付款工具使用由銀行開出的按賣方備考發(fā)票貨物總值的100%不可撤銷、賣方接受的信用證，貨物數(shù)量165,000公噸，容許正負10%數(shù)量差異。

1.Theletterofcreditmustbeopenedwithin3(three)BusinessDaysafterthiscontractsigned.

信用證必須于簽署本合同后三個營業(yè)天內(nèi)開出。

2.Timeisoftheessencefortheopeningoftheletterofcredit.TheopeningoftheletterofcreditshallbeaconditionprecedenttotheSeller’sobligationtodelivertheCoal.

開出信用證的時間極為重要。

開出信用證是賣方履行供煤責任的先決條件。

3.Theletterofcreditshallbeavailableandnegotiableatthecountersofanybankandshallprovidethat:

信用證可于任何銀行議付而且：

a)Thirdpartydocumentsareacceptable;第三方文件可接受;

b)Underdrawingsandmultipledrawingsareallowed;可以不足額兌付及多次兌付。

c)Documentstobepresentedwithin42daysofthebillofladingdate;

文件可以于提單日期后42天內(nèi)提交。

d)Thevalueoftheletterofcreditmayescalate/de-escalateinaccordancewiththepriceformulawithoutanyfurtheramendment;

信用證的金額可以按計價方程式上浮/下浮，無需改證。

e)Spellingmistakesandothertypographicalerrorsnotaffectingunitprice,quantityand/oramountareacceptable;and

不影響單價、數(shù)量及/或總額的拼寫錯誤可以接受。

f)Interestpayablemaybedrawnseparately;應付利息可以另行兌付。

g)Thequalityspecificationsstatedaretypicalvalues.Ifsuchvaluesdifferfromtheactualvaluesshownonthecertificateofanalysisissuedattheportofloading,theycannotbedeemedasadiscrepancyundertheletterofcreditexceptforqualityspecificationsthatexceedorarebelowanystatedrejectionlimit.

質(zhì)量規(guī)格只是典型數(shù)值。

如果該數(shù)值不符裝貨港的檢驗報告，于議付信用證時不能被視為誤差，除非數(shù)值超過或低于拒收標準。

4.Ifthecertificateofsamplingandanalysisreflectsspecificationswhichareoutsideofthetypicalspecificationsbutwithintherejectionlimitsasstatedinclause4.QUALITY,thebeneficiaryoftheletterofcreditmaynegotiatewithoutdiscrepancy.

如果取樣與檢驗報告的結(jié)果不符典型規(guī)格但仍然在拒收標準內(nèi)(第四條。

品質(zhì))，則信用證不存在誤差，受益人可以進行議付。

5.TheletterofcreditshallbegovernedbyUCP600(ICCUniformCustomsandPracticeforDocumentaryCredits).

信用證受UCP600管轄。

6.Theletterofcreditshallnotbearanysanctionclauses.

信用證不得存在任何制裁條款。

7.AllchargesrelatingtotheopeningoftheletterofcreditshallbefortheBuyer’saccount.Anychargesfromtheadvising/negotiatingbankshallbefortheSeller’saccount.

開證費用由買方負責，議付費用由賣方負責。

Payment付款

5.Certificateoforiginin1originaland1copy.產(chǎn)地來源證，一正本，一副本。

9.TITLEANDRISK貨物權(quán)與風險

TitleshallpassfromSellertoBuyerwhentheletterofcreditissuingbankhasacceptedthedocumentarypresentationbySeller’sbankundertheletterofcreditand,inthecaseofsightpayment,paymenthasbeenreceivedbytheSeller,orinthecaseofdeferredpayment,theissuingbankhasacceptedthedeferredpaymentobligationtotheSeller.

當發(fā)證銀行接受了賣方銀行提交的議付文件，貨物權(quán)即由賣方移至買方，如果是即期付款，即賣方以收取貨款，如果是延期付款，那么發(fā)證銀行已對賣方承擔延期付款的責任。

RiskshallpassfromSellertoBuyerwhentheCoalisdeliveredonboardtheperformingvesselattheportofloading.

當煤炭在裝貨港裝船后，風險即由賣方移至買方。

10.WEIGHING,SAMPLINGANDANALYSIS稱重、取樣及分析

Weighing稱重

Theweightshallbedeterminedattheportofloadingbydraftsurveyperformedbyaninternationallyrecognizedlicensedmarineinspector.TheSellershallappointtheinspectorandshallbearthecostoftheseoperations.TheinspectorshallissueaweightcertificatefortheCoalasdeterminedbythedraftsurveyandthisweightshallbeshownonthebilloflading.Theweightthusdeterminedshallbefinalandbindingforsettlementpurposes,saveforfraudormanifesterror.

重量將由國際認可的持牌海事稽查于裝貨港執(zhí)行的吃水調(diào)查決定。

賣方負責委派稽查并承擔有關(guān)費用。

稽查調(diào)查吃水后將發(fā)出煤炭重量證明并顯示于提單上。

該重量經(jīng)決定后是最終的并作為議付依據(jù)，除非有作弊或明顯錯誤。

SamplingandAnalysis取樣和分析

Samplingshallbeconductedattheportofloadingbyaninternationallyrecognisedlicensedmarineinspector.TheSellershallappointtheinspectorandshallbearthecostoftheseoperations.Samplingshallbeconductedusingamechanicalormanualsamplerwhereavailable.Acompositesampleshallbesplitinto3(three)sub-samples,oneforanalysisbytheinspector,oneforBuyer,andonetoberetainedbytheinspectorforumpirepurposes.TheBuyershallhavetherighttoberepresentedduringsamplingoperationsattheportofloadingatitsownexpense.

取樣將由國際認可的持牌海事稽查于裝貨港執(zhí)行。

賣方負責委派稽查并承擔有關(guān)費用。

取樣將采用機械或人工采樣。

一份綜合樣本將會分成三個子樣本，一個由稽查化驗，一個給買方，第三份則由稽查保留作仲裁之用。

買方有權(quán)自費派遣代表到裝貨港觀看取樣過程。

DeterminationofthequalityoftheCoalshallbedonebyanalysisofthelaboratorysample.ThelaboratoryshallissueacertificateofanalysisinaccordancewithISOtestingandanalysisprocedures.Theseresultsshallbefinalandbinding,savefor(a)fraudormanifesterror;or(b)unlesschallengedasprovidedforbelow:

煤炭品質(zhì)將由化驗室經(jīng)分析后決定。

化驗室將依據(jù)ISO測試機分析標準發(fā)出品質(zhì)證明。

分析結(jié)果將是最終的，除非(a)存在作弊或明顯錯誤，或(b)以下情況出現(xiàn)：

Ifthedifferencebetweenthecalorificvalue(onaNARbasis)determinedattheportofloadingbyaninternationallyrecognisedlicensedmarineinspectorandtheportofdischargebyCIQisgreaterthan200(twohundred)kcal/kg,thenwithin3(three)BusinessDaysafterthecalorificvaluehasbeendeterminedattheportofdischargebyCIQ,eitherpartyshallhavetherighttocallfortheloadportumpiresampletobeanalysed.TheanalysisofsuchumpiresampleshallbeperformedbySGSNewcastle.Thecalorificvaluedeterminedbytheumpireshallbefinalandbindingonbothparties,saveforfraudormanifesterror.

如果熱值差異(收到時凈值)-于裝貨港由國際認可的持牌海事稽查檢驗的以及于卸貨港由CIQ檢驗的結(jié)果-大于200大卡/公斤，那么當?shù)玫叫敦浉鄣腃IQ的檢驗結(jié)果后三個營業(yè)日內(nèi)，雙方皆有權(quán)要求化驗存于裝貨港的仲裁用樣本。

該樣本將由紐卡斯的SGS執(zhí)行化驗。

仲裁用樣本的化驗結(jié)果將是最終的，對雙方均有約束力，除非出現(xiàn)作弊或明顯錯誤。

TheSellershallhavetherighttoberepresentedduringsamplingoperationsattheportofdischargeatitsownexpenses.

賣方有權(quán)自費派遣代表到卸貨港觀看取樣過程。

Sellershallhavetherighttoappointanindependentinspectortoconductsamplingand/oranalysisoperationsattheportofdischarge(the“Seller’sInspector”).Seller’sInspectorshallbepermittedtowitnessoperationsperformedbyCIQattheportofdischargeandtosealsamples.SamplesealsshallonlybebrokeninthepresenceoftheSeller’sInspector.UponcompletionofsamplepreparationtheSeller’sInspectorshallbeprovidedwithanaturalstatesampleforeachsub-lot.ThecostsofSeller’sInspectorshallbeforSeller’saccount.

賣方有權(quán)指派獨立的稽查在卸貨港進行取樣和/或化驗(賣方稽查)。

賣方稽查可于卸貨港見證CIQ的工作以及封存樣本。

樣本必須于賣方稽查在場時才可解封。

取樣完成后賣方稽查可以獲給貨物每一部分的自然狀態(tài)樣本。

派遣賣方稽查的費用由賣方負責。

AcompositesampletakenattheportofdischargesplitandsealedbyCIQshallbereservedasSeller’ssample.Seller’ssampleshallbedeliveredtotheSeller’sofficeinChina.

一份在卸貨港由CIQ分組和封存的綜合樣本將會保留給賣方。

該賣方樣本將送至賣方設于中國的辦事處。

Ifanumpireanalysisisperformedandasaresultapaymentadjustmentistobemade,suchpaymentshallbemadebythepartysoowingbytelegraphictransferwithin3(three)BusinessDaysofthedatetheumpire’scertificateisissuedagainstpresentationofacopyoftheumpirecertificateandtheowedparty’sinvoiceforthesumclaimed.

如果仲裁化驗的結(jié)果顯示貨款需要調(diào)整，那么當仲裁證明發(fā)出后的三個營業(yè)日內(nèi)，付款方當依據(jù)收款方發(fā)出的發(fā)票隨同仲裁證明以T/T支付調(diào)整金額。

11.FORCEMAJEURE

Ifeitherpartyisprevented,hinderedordelayedfromperforminginwholeorinpartanyobligationorconditionofthiscontractbyreasonofforcemajeure(the“AffectedParty”),theAffectedPartyshallgivewrittennoticetotheotherpartypromptlyandinanyeventwithin3(three)BusinessDaysafterreceivingnoticeoftheoccurrenceofaforcemajeureeventgiving,totheextentreasonablypracticable,thedetailsandexpecteddurationoftheforcemajeureeventandthequantityofCoalaffected(the“ForceMajeureNotice”).

任何一方如果遭遇不可抗力(遭遇方)的妨礙、阻礙或延遲而未能全部或部分履行本合同中任何責任或條件，那么無論什么情況下，遭遇方須于收到不可抗力事故報告后三個營業(yè)日內(nèi)以書面通報對方并盡可能實際說明事故詳情，估計事故持續(xù)時間和受影響的煤炭數(shù)量(不可抗力報告)。

ProvidedthataForceMajeureNoticehasbeengiven,forsolongastheeventofforcemajeureexistsandtotheextentthatperformanceisprevented,hinderedordelayedbytheeventofforcemajeure,neitherpartyshallbeliabletotheotherandtheAffectedPartymaysuspendperformanceofitsobligationsunderthiscontract(a“ForceMajeureSuspension”).DuringtheperiodofaForceMajeureSuspension,theotherpartymaysuspendtheperformanceofallorapartofitsobligationstotheextentthatsuchsuspensioniscommerciallyreasonable.

發(fā)出不可抗力報告后，在不可抗力事故持續(xù)期間，受不可抗力妨礙、阻礙或延遲的工作，雙方均無需向?qū)Ψ截撠煟庥龇交诒竞贤?guī)定可以暫停執(zhí)行工作(不可抗力暫停)。

在不可抗力暫停期間，另一方可以基于合理商業(yè)考量暫緩執(zhí)行其全部或部分工作。

TheAffectedPartyshallusecommerciallyreasonableeffortstoavoidorremovetheeventofforcemajeureandshallpromptlynotifytheotherpartywhentheeventofforcemajeureisterminated.

遭遇方應合理的使用商業(yè)手段防止或清除不可抗力事故，當不可抗力事故終止時馬上通知對方。

IfaForceMajeureSuspensionoccurs,thetimeforperformanceoftheaffectedobligationsand,ifapplicable,thetermofthiscontractshallbeextendedforaperiodequaltotheperiodofsuspension.

如發(fā)生不可抗力暫停，受影響的責任完成時限甚或本合同的有效期將延展至與暫停期同等時間。

IftheperiodoftheForceMajeureSuspensionisequaltoorexceeds3monthsfromthedateoftheForceMajeureNotice,andsolongastheforcemajeureeventiscontinuing,eitherpartymay,initssolediscretionandbywrittennotice,terminatethiscontractor,inthecaseofmultipledeliveriesunderthiscontract,terminatetheaffecteddeliveries.Uponterminationinaccordancewiththisclause,neitherpartyshallhaveanyfurtherliabilitytotheotherinrespectofthiscontractor,asthecasemaybe,theterminateddeliveriesexceptforanyrightsandremediespreviouslyaccruedundertheContract,includinganypaymentobligations.

如果不可抗力暫停自不可抗力通知日期起計達到或超過三個月而不可抗力事故仍然持續(xù)，則雙方皆有權(quán)決定以書面通知對方終止本合同或，終止受影響的貨物運送航次。

合同根據(jù)本條款終止時，除了較早前據(jù)本合同累計的權(quán)利和補救措施外，雙方就終止的航次對于對方皆無后續(xù)責任包括付款責任。

“ForceMajeure”meansanycauseoreventreasonablybeyondthecontrolofaparty,including,butnotlimitedtofires,earthquakes,lightning,floods,explosions,storms,adverseweather,landslidesandotheractsofnaturalcalamityoractsofgod;navigationalaccidentsormaritimeperil;vesseldamageorloss;strikes,grievances,actionsbyoramongworkersorlock-outs(whetherornotsuchlabourdifficultycouldbesettledbyaccedingtoanydemandsofanysuchlabourgroupofindividuals);accidentsat,closingof,orrestrictionsupontheuseofmooringfacilities,docks,ports,harbours,railroadsorothernavigationalortransportationmechanisms;disruptionorbreakdownof,storageplants,terminals,machineryorotherfacilities;actsofwar,hostilities(whetherdeclaredorundeclared),civilcommotion,arrestand/ordetentionoftheCoaland/orvessel,embargoes,blockades,terrorism,sabotageoractsofthepublicenemy;anyactoromissionofanygovernmentalauthority;goodfaithcompliancewithanyorder,requestordirectiveofanygovernmentalauthority;curtailment,interference,failureorcessationofsuppliesreasonablybeyondthecontrolofaparty;oranyothercausereasonablybeyondthecontrolofaparty,whethersimilarordissimilartothoseaboveandwhetherforeseeableorunforeseeable,which,bytheexerciseofduediligence,suchpartycouldnothavebeenabletoavoidorovercome.Aparty’sinabilityeconomicallytoperformitsobligationsundertheContractshallnotconstituteaneventofforcemajeure.

不可抗力意思是不受一方控制的任何事故或事件，包括但不僅限于火災、地震、閃電、水災、爆炸、雷暴、惡劣天氣、山泥坍塌及其他自然災害或天災;航行事故或海上災害;船只損壞或損失;示威、怨氣、罷工或鎖閉(不管這些勞工問題能否以向訴求讓步解決);于停泊設施、碼頭、港口、鐵路或其他航行或運輸機制的意外、關(guān)閉或限制;倉儲、機器或其他設施中斷、毀壞;戰(zhàn)爭、敵對(公告或未公告)，動亂、逮撲及/或扣留煤炭及/或船只，禁運、封鎖、恐襲、破壞或亂民行為、政府機關(guān)任何舉措或疏漏;遵守政府機關(guān)的命令、要求或指令;遇事方不能控制的供應削減、干擾、事故或斷絕，或任何一方不能控制的，不管與上述的事件相似或不相似，能預見或不能預見，是遇事方盡職亦不能避免或解決的事故。

Thisclauseshallnotapplytoanyobligationstopay,indemnifyorprovidesecurityortoanyCoalforwhichvesselspacehasbeenbooked,pricinghasbeenestablishedorpaymenthasbeenmadeunlesstheSellerhasexpresslyconsentedinwriting.

對于已經(jīng)定好艙位、價格已經(jīng)確立或貨款已經(jīng)支付的煤炭，此條款不能豁免其付款、賠償或提供保護措施的責任，除非賣方以書面同意。

12.DISPUTERESOLUTION解決爭端

Anydisputearisingoutoforinconnectionwiththiscontract,includinganyquestionregardingitsexistence,validityortermination,shallbereferredtoandfinallyresolvedbyarbitrationundertheRulesoftheHongKongInternationalArbitrationCentre(HKIAC),whichRulesaredeemedtobeincorporatedbyreferenceintothisclause.Thetribunalshallconsistofthreearbitrators,onetobenominatedbyBuyer,onebySellerandthethirdtobemutuallyagreedbyBuyerandSeller,failingsuchagreement,theappointingauthorityofHKIACshallappointthethirdarbitrator.However,itisunderstoodthatbothpartiesshallbeentitledtotakeanyreasonablemeasuresfortheprotectionofrightsaccruedtothembythiscontractwithoutprejudicetotheprovisionsofthisclause.ThelanguageofthearbitrationshallbeEnglish.ThearbitrationshallbeheldinHongKongSpecialAdministrativeRegion.TheArbitrationTribunalshallstateinitsawardindetailthefactsofthecaseandreasonsforitsdecision.Theawardshallbefinalandbinding.

任何與本合同有關(guān)的爭議，包括任何關(guān)于本合同的存在、合法性或終止的問題都受香港國際仲裁中心(HKIAC)的法律管束并最終仲裁，是本條款認可作為參照的法律。

法庭將由三名仲裁人組成，買方提名一名，賣方提名一名，第三名是買賣雙方都同意的人，如不能一致同意人選，則由HKIAC指派第三名仲裁人。

雙方都明白各自有責任采取合理措施保護其于本合同中的權(quán)益但會不偏不倚地遵守本條款的規(guī)定。

仲裁使用的語言是英文。

仲裁將于香港特別行政區(qū)進行。

仲裁庭在其判令中將會說明詳細事實和判令的理據(jù)。

該判令將是最終而且具有約束力的。

13.CHOICEOFLAW適用法律

TheContractshallbegovernedbyandconstruedinaccordancewiththelawsofHongKong,withoutregardtoprinciplesofchoiceoflaw.

本合同服膺并按香港法律解釋，不考慮選擇適用法律的原則。

TheUnitedNationsConventiononContractsfortheInternationalSaleofGoods(1980)shallnotapplytothiscontract.

聯(lián)合國國際貨物銷售合同公約(1980)并不適用于本合同。

14.TAXESANDTARIFFS稅項與關(guān)稅

Anytaxes,tariffsanddutieswhetherexistingornewontheCoaloroncommercialdocumentsrelatingtheretooronthecargoitself,imposedinthecountryoforiginshallbebornebytheSeller.

所有在原產(chǎn)國收取的賣炭稅項與關(guān)稅，無論是原來存在的或新實行的，或者與貨運有關(guān)的商業(yè)文件征稅，都由賣方負責。

Anytaxes,tariffsanddutieswhetherexistingornewontheCoaloroncommercialdocumentsrelatingtheretooronthecargoitself,imposedinthecountryofdischargeand/ortheimportingcountryshallbebornebyBuyer.
