BETWEEN協(xié)議訂立雙方為：

(1)VOLKSWAGENGROUPIMPORTCO.,LTD.(companynameinChinese:(formerlyknownasVolkswagenImportCo.,Ltd),awhollyforeignownedlimitedliabilitycompanyincorporatedunderthelawsofPRCwhoseregisteredaddressisatRoom519-3TengdaBuilding,No.18,InternationalTradeRoad,TianjinPortFreeTradeZone(the“VGIC”);and

大眾汽車（中國）銷售有限公司（以前叫做“大眾汽車銷售有限公司”），該公司為外商獨(dú)資有限公司，依據(jù)_的法律組建而成，注冊地址為：

A.ThepartiesenteredintoaContractwithAuthorizedPurchaser(Dealer)ofLamborghiniImport“DealerContract”).

協(xié)議雙方于日簽署了一份蘭博基尼授權(quán)買家（經(jīng)銷商）合同（下文中稱為“經(jīng)銷商合同”）。

B.ThepartiesagreetoterminatetheDealerContractinaccordancewith,andsubjectto,thetermsandconditionsofthisAgreement.

協(xié)議雙方同意根據(jù)本協(xié)議的條款和條件終止所述經(jīng)銷商合同。

THEREFOREthepartiesherebyagreeasfollows:故此，本協(xié)議雙方現(xiàn)此約定如下：

1.Termination第一條協(xié)議的終止“EffectiveDate”).本協(xié)議雙方約定從日起終止所述經(jīng)銷商合同（生效日期）。

Eachparty’srightsandobligationsundertheDealerContractshallceaseimmediatelyontermination,exceptfortheclauseswhichareexpressedtosurvivetermination.TheDealerherebyrenouncesandsurrendersanyandallrightsgrantedpursuanttoorinrelationtoDealerContract.

所述經(jīng)銷商合同終止時，本協(xié)議各方在該合同項下的權(quán)利和義務(wù)立即終止，除非該合同中明確規(guī)定某權(quán)利和/或義務(wù)應(yīng)當(dāng)在合同終止后繼續(xù)生效。經(jīng)銷商現(xiàn)此放棄并讓出自己和所述經(jīng)銷商合同相關(guān)的所有權(quán)利。

所述經(jīng)銷商合同的終止不會產(chǎn)生大眾公司向經(jīng)銷商給予任何補(bǔ)償?shù)牧x務(wù)，包括但不限于利潤和商譽(yù)的損失。

TheDealerherebywaives,releasesandforeverdischargesVGIC,VGIC’semployeesandaffiliates,andanyreplacingdealershipappointedbyVGICagainstanyactions,proceedings,claims,demands,costsandexpenseswhichtheDealermaynowhaveorwouldhavehadfortheterminationoftheDealerContract,includingbutnotlimitedtoanyapplicablerightsuponterminationofagreementsithasmayhavehadundertheDealerContractoranyapplicablelaw.經(jīng)銷商現(xiàn)此放棄、免除并永遠(yuǎn)解除大眾公司、大眾公司的雇員和附屬公司、大眾公司指定的任何替代經(jīng)銷商就經(jīng)銷商針對所述經(jīng)銷商合同的終止可能享有的、將會享有的任何起訴、訴訟程序、索賠、權(quán)利主張、花費(fèi)和開支而應(yīng)當(dāng)承擔(dān)的責(zé)任，包括但不限于所述經(jīng)銷商合同終止時經(jīng)銷商依據(jù)任何適用的法律而享有的、可能享有的任何適用權(quán)利。

TheDealerbyexecutingthisAgreement,forandonbehalfofDealerandallpersonsandentitieswhoatpresent,inthepastorinthefuturemayhave,havehadormayhereafterhavealegalorbeneficialownershiporotherinterestinDealer,andtheirrespectiveheirs,executors,administrators,successorsandassigns(collectivelythe“Releasors”),herebyagreestoanddoesherebyunconditionally,irrevocablyandforevervoluntarilyterminateandsurrendertoVGIC,asoftheEffectiveDate,theDealerContractandanyotheragreementsrelatingtothesaleoftheLamborghinibrandproductsandwaives,terminatesandsurrenderstoVGICanyandrightsarisingoutorrelatingtotheDealerContractorinconnectionwiththeDealerContract,including,withoutlimitation,anyandallrights,ifany,toacontinuation,extensionorrenewaloftheDealerContractoranyrelatedbusinessrelationshipsbetweenVGICandtheDealeroranyoftheotherReleasorsaftertheEffectiveDate,whichthey,oranyofthem,maynoworhereafterhaveoracquire.

通過本協(xié)議的簽署，經(jīng)銷商代表經(jīng)銷商、以及過去、現(xiàn)在和將來和經(jīng)銷商可能有、已經(jīng)有、之后可能有法律關(guān)系、受益所有權(quán)或者其它利益關(guān)系的任何人員和實(shí)體、其各自的繼承人、執(zhí)行人、管理人、繼任人和受讓人（總體稱為“放棄權(quán)利人”），現(xiàn)此同意為了大眾公司并無條件地、不可撤銷地且永遠(yuǎn)自愿地從生效日期起終止并讓出所述經(jīng)銷商合同以及和所述蘭博基尼品牌產(chǎn)品的'銷售相關(guān)的其它任何協(xié)議，為了大眾公司放棄、終止和讓出因?yàn)樗鼋?jīng)銷商合同引起的或者與之相關(guān)的任何權(quán)利，包括但不限于延續(xù)、續(xù)展、續(xù)訂所述經(jīng)銷商合同或者大眾公司和經(jīng)銷商或者其它任何放棄權(quán)利人之間在生效日期后的任何相關(guān)業(yè)務(wù)關(guān)系的任何權(quán)利（如果有的話），因?yàn)榇蟊姽竞徒?jīng)銷商或者其它任何放棄權(quán)利人（或者其中的部分人員）在當(dāng)前或者今后可能具有或者取得該種業(yè)務(wù)關(guān)系。

ThepartiesheretointendthatthisAgreementconstituteageneralreleaseofallclaims,demands,actions,causesofaction,whetherknownorunknown,suspectedorunsuspected,thattheDealerand/oranyoftheotherReleasorshad,mayhaveormayclaimtohavetotheEffectiveDate.

本協(xié)議雙方約定：本協(xié)議構(gòu)成了全面免除，免除了生效日期之前經(jīng)銷商和/或其它任何權(quán)利放棄人享有的、可能享有的或者可能會聲稱享有的任何索賠、權(quán)利主張、起訴和訴因，無論是明確的還是不明確的，無論是疑似的還是非疑似的。

2.ObligationsFollowingSigningofThisAgreement第二條簽署本協(xié)議產(chǎn)生的義務(wù)

FollowingthesigningofthisAgreement,bothpartiesshallmakebesteffortstocooperatewitheachother,includingprovidingandexecutingallnecessarydocumentsandmaterialsand

takingallnecessaryactions,toensureanuninterruptedsupplyofpartsandaftersalesservicesasrequiredbycustomersafterthedateofterminationoftheDealerContract.

本協(xié)議簽署后，協(xié)議雙方應(yīng)當(dāng)盡最大努力展開合作，包括但不限于提供并簽署所有必要的文件和材料并采取必要的措施，確保所述經(jīng)銷商合同終止后，能夠按照客戶的要求不間斷地提供零部件和售后服務(wù)。

FollowingthesigningofthisAgreement,theDealerundertakestoVGICthatitshall:本協(xié)議一經(jīng)簽署，經(jīng)銷商即向大眾公司保證：經(jīng)銷商應(yīng)當(dāng)

(a)Immediatelyinformitscustomers(especiallyownersofvehiclessoldbytheDealer)oftheDealer’sclosureusingthemutuallyagreedtemplateattachedtothisAgreement,andobtainthecustomers’consenttothetransferofthecustomer’sinformationtoVGICandVGIC’suseofsuchinformationsubjecttotheapplicablelawsandregulationsofPRC;

使用本協(xié)議隨附的且雙方一致同意的方式，把經(jīng)銷商和大眾公司之間簽訂的所述經(jīng)銷商合同的終止情況立即告知經(jīng)銷商自己的客戶（特別是從經(jīng)銷商處購買了汽車的車主），取得客戶同意后，把客戶信息移交給大眾公司，大眾公司應(yīng)當(dāng)按照適用的_的法律和法規(guī)來使用該種信息。

(b)Immediatelyexecutethenecessarycontractsforthetransferofitsrepair,returnandreplacementobligationspursuanttotheapplicablelawsandregulationsandtheDealer’ssalescontractsforvehiclessoldbytheDealertoamutuallyagreedaffiliate;

立即根據(jù)適用的法律和法規(guī)以及經(jīng)銷商就銷售給雙方一致同意的附屬公司的車輛而簽訂的銷售合同，為維修義務(wù)、產(chǎn)品退回義務(wù)和替換義務(wù)的讓與而簽署必要的合同。

(c)immediatelytransfer,andensureitsaffiliatedcompaniestransfer,toVGICorotherVolkswagenGroupcompaniesrespectively,withoutanyconsideration,thetrademarksregisteredinthePRCand/ortrademarkregistrationappliedinthePRC,whichbelongtoVGICorotherVolkswagenGroupcompanies,andanydomainnamesregisteredinthePRC,whichcontaintheLamborghinitrademarksornameofVGICorotherVolkswagenGroupcompanies;

立即向大眾公司或者大眾集團(tuán)的其它公司讓與全部歸大眾公司所有的或者大眾集團(tuán)其它公司所有的、在_注冊的商標(biāo)和/或在_申請的商標(biāo)注冊，以及包含蘭博基尼商標(biāo)或者大眾公司名稱或者其它大眾集團(tuán)公司名稱的任何域名，不得收取任何對價，并確保經(jīng)銷商自己的附屬公司也這樣做。

(d)immediatelyceaseusing,andensureitssubsidiariesandbranches(ifany)toceaseusing,theLamborghinitrademarksand“Lamborghini”oritsChinesetranslationsinitscorporatename;立即停止使用并確保其子公司和分公司（如果有的話）停止在其公司名稱中使用蘭博基尼商標(biāo)、“Lamborghini”和Lamborghini的漢語譯文“蘭博基尼”;

(e)notapply,andensureitsaffiliatedcompaniesnotapply,directlyorindirectly,forregistrationofanytrademarksornames(includinganyChinesetranslations)belongingtoVGICorotherVolkswagenGroupcompanies.Otherwise,VGICorotherVolkswagenGroupcompaniesareentitledtorequestsuchtrademarksand/ornamestransferredtoVGICorotherVolkswagenGroupcompanies,freeofcharge,atanytime;

不得直接或者間接地申請注冊屬于大眾公司或者大眾集團(tuán)其它公司的任何商標(biāo)或名稱（包括漢語譯名），并確保其附屬公司也這樣做。否則，大眾公司或者大眾集團(tuán)其它公司有權(quán)在任何時間要求把該等商標(biāo)和/或名稱讓與給大眾公司或者大眾集團(tuán)的其它公司。

(f)immediatelyremoveandreturntoVGIC(orotherwisedisposeofasVGICmayinstruct)allsignboardandsymbolscontainingtheLamborghinitrademarks;and

立即移除包含蘭博基尼商標(biāo)的任何招牌和標(biāo)識并歸還給大眾公司（或者按照大眾公司的指示處理這些招牌和標(biāo)識）；以及

(g)immediatelyreturntoVGICorotherwisedisposeofasVGICmayinstructallequipmentandtools,samples,instructionbooks,technicalpamphlets,catalogues,advertisingmaterials,specificationsandothermaterials,documentsorpaperswhatsoeverprovidedbyVGICtotheDealerandrelatingtoVGIC’sbusiness(otherthancorrespondencewhichhaspassedbetweentheparties)whichtheDealermayhaveinitspossessionorunderitscontrol.

立即把經(jīng)銷商可能會擁有的或者控制的、大眾公司提供給經(jīng)銷商的且和大眾公司的業(yè)務(wù)有關(guān)的任何設(shè)備、工具、樣品、說明書、技術(shù)手冊、目錄、廣告材料、技術(shù)規(guī)范和其它材料、文件和文據(jù)返還給大眾公司，或者按照大眾公司的指示加以處理。

大眾公司同意把元人民幣歸還給經(jīng)銷商，這個金額包括：

’sdealershipaccount;and元人民幣的經(jīng)銷商經(jīng)銷賬戶余額；以及

banktransferwithin30workingdaysfromtheexecutionofthisAgreementbytheparties.元人民幣的依據(jù)本協(xié)議規(guī)定歸還招牌和標(biāo)識的費(fèi)用，本協(xié)議簽署后三十天內(nèi)，通過銀行電子轉(zhuǎn)賬支付經(jīng)銷商。

Within30daysfollowingthesigningofthisAgreement,theDealershouldapplytoderegisteritselfwiththerelevantgovernmentauthoritiesasanauthorizeddealerofLamborghinibrandproducts,includingrevisingitsbusinessscopeshownonthebusinesslicenseaccordingly.

本協(xié)議簽署后的三十天內(nèi)，經(jīng)銷商應(yīng)當(dāng)向相關(guān)的政府機(jī)關(guān)申請撤銷自己作為蘭博基尼品牌產(chǎn)品授權(quán)經(jīng)銷商的登記，包括相應(yīng)地修改經(jīng)銷商營業(yè)執(zhí)照中業(yè)務(wù)范圍。

TheDealeragreestomaintainstrictconfidentialityregardingallVGIC’sconfidentialinformation,includinganydata,information,plans,drawings,specifications,documents,know-how,physicalobjects(suchasmodels,partsordevices)ormaterialsoforrelatingtotheproduction,engineering,technology,financing,marketingofVolkswagenandLamborghiniproducts,personnelofVGIC,theirparentcorporationortheirsubsidiariesoraffiliates,ifsuchconfidentialinformationisnotknownoravailabletothepublic(“ConfidentialInformation”).TheDealerundertakesthatitwillnot,atanytime,reveal,communicate,divulgeormakeavailableanyConfidentialInformationtoanyone,otherthantosuchextentandtosuchpersonsasmayspecificallybedesignatedbyVGICinwriting.

A.試用期間，雙方皆可即時通知對方解除本合同;

B.試用期滿后，任何一方欲解除合同，須提前三十日以書面形式通知對方。否則，違約方須向守約方支付違約金(違約金為乙方一個月的工資)，若造成守約方經(jīng)濟(jì)損失的，應(yīng)依法承擔(dān)賠償責(zé)任。

2.甲方在下列情況下可隨時直接地通知乙方解除本合同，無須履行任何法定義務(wù)和手續(xù)，無須向乙方補(bǔ)償Ifanycaseofthefollowingcircumstances,PartyAhastherighttoinformPartyBrescissionofthecontract：

A.乙方在試用期間達(dá)不到甲方的要求;PartyB’sperformancecan’tmeetPartyA’srequirement.

B.乙方嚴(yán)重失職，給甲方利益造成重大損失的;

3.乙方在下列情況下終止本合同不需向甲方補(bǔ)償

Ifanyoneofthefollowingcircumstances,PartyBhastherightofinformPartyArescissionofthecontractwithoutanycompensation：

A.被非法限制人身自由的手段強(qiáng)迫勞動的;

PartyBisforcedtoworkbyillegalmeans.

B.未按本合同約定支付勞動報酬或勞動條件的;

PartyBcannotgetthesalaryorworkingconditionswhichagreedinthecontract.

十一、甲、乙雙方須共同遵守國家有關(guān)法規(guī)以及甲方《員工手冊》的有關(guān)規(guī)定。

9GeneralTerms

10仲裁：凡因本合同引起的或與本合同有關(guān)的任何爭議，雙方同意提交：（中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會[CIETAC]；國際棉花協(xié)會[ICA];其它仲裁機(jī)構(gòu)），按照申請仲裁時該仲裁機(jī)構(gòu)現(xiàn)行有效的仲裁規(guī)則進(jìn)行仲裁。

10Arbitration:AnydisputearisingfromorinconnectionwiththeContractshallbereferredto(CIETAC，ICA,OTHERS)forarbitrationinaccordancewithitsarbitrationruleseffectiveatthetimeofapplication.

11本合同采用書面形式，由買賣雙方授權(quán)代表簽字。雙方在合同簽訂日之前以其它書面通訊方式,如信函、電報、傳真或電子郵件形式達(dá)成的成交內(nèi)容，須由本合同確認(rèn)。

1定義

1Definitions

在本合同中,下列詞語的含義如下:

ThefollowingtermsshallhavethefollowingmeaningsintheContract:

·CIQ：中國出入境檢驗(yàn)檢疫機(jī)構(gòu)。

CIQ：ChinaEntry-ExitInspectionandQuarantine

·NCL：不允許超出控制界限。

NCL：Nocontrollimitisallowed.

·USDA：美國農(nóng)業(yè)部。

USDA:UnitedStatesDepartmentofAgriculture

·通知：采用電報、信函、傳真、電子郵件等方式告知對方。

Notification:tonotifytheotherpartybytelegraph,mail,fax,e-mail,orothermethods.

·皮重：棉花包裝材料的重量。

Tare:theweightofcotton’spackagingmaterials.

·凈重：總重扣除皮重后的重量。

NetWeight:thegrossweightlesstare.

·非棉物質(zhì)：混入棉花中對使用有嚴(yán)重影響的硬軟雜物，如化纖絲、麻絲、破布、木屑、金屬物品等。

Non-CottonSubstance:softorhardsundriesmixedinthecottonthathaveseriousimpactontheuseofthesame,includingchemicalfiber,flax,cloth,woodenchipsmetalarticles,etc.

·無紡用價值棉花：霉變棉、水漬棉、油污棉、火燒棉、棉花廢料、棉短絨等。

NoSpinningValueCotton:mouldycotton,waterdamagedcotton,oilstainedcotton,burnedcotton,cottonwasteandlinters,etc.

·棉花廢料:加工或使用棉花過程中產(chǎn)生的下腳回收廢料等。

CottonWaste:leftoverand/orrecyclingwasteleftduringtheprocessingoruseofthecotton.

·欺詐棉包：單個棉包中：含有與棉花完全無關(guān)的非棉物質(zhì)；里面含有污染棉花，但從棉包外部或可看出或看不出來；好棉花在外面，次棉花包在里面，以免在常規(guī)檢查中被發(fā)現(xiàn)；有一定數(shù)量的無紡用價值棉花。

FalsePackedBale:cottoninasinglebale:containingsubstancesentirelyforeigntocotton;containingdamagedcottonintheinteriorwithorwithoutanyindicationofsuchdamageupontheexterior;composedofgoodcottonupontheexterioranddecidedlyinferiorcottonintheinterior,insuchamannerasnottobedetectedbycustomaryexamination;orcontainingacertainamountofnospinningvaluecotton.

·混雜棉包：單個棉包中含有一定數(shù)量不同品級、不同長度或不同顏色類型的棉花。

MixedPackedBale:abalecontainingacertainamountofdifferentgrades,staplesorcolorsofcotton.

·溢短裝率：到岸重量超出或少于合同規(guī)定重量的部分占合同總重量的百分率。

WeightToleranceRatio:thepercentageofthepartoftheCIQlandedweightexceedingorshorterthantheweightprovidedbytheContractagainstthetotalcontractweight.

·棉包密度：采用通用棉包密度，是指根據(jù)國際標(biāo)準(zhǔn)化組織——ISO第8115-1986（E）的規(guī)定，一個貨包長度在1060-1400毫米，寬度540毫米，高度700-950毫米。

BaleDensity:UniversalBaleDensityasdeterminedbytheInternationalStandardsOrganization–ISOReferenceNo.8115-1986(E)isabalewiththenominaldimensionsof1060to1400mminlengthby540mminwidthand700-950mminheight.

2包裝

2Packing

適合于海運(yùn)的緊縮機(jī)出口包裝，外裹棉布或其他不能產(chǎn)生異性纖維的包裝，捆扎牢固，包裝完整。如果使用容易產(chǎn)生異性纖維的包裝材料包裝棉花，則賣方須承擔(dān)全部清理異性纖維的費(fèi)用。棉花須以通用密度壓縮貨包的形式供貨。

Compressedexportpackingsuitableforvoyage,outsidewrappedbycottonclothorotherpackingmaterialsthatdonotcontainforeignmatters,tightlyandcompletelypacked.Ifanypackingmaterialsthatmayeasilyproduceforeignmattersareusedtopackthecotton,theSellershallbearalltheexpensesforthecleaningofforeignmatters.Thecottonshallbesuppliedinformsofuniversaldensitycompressedpackage.

除非另有約定，在棉包上掛有永久性棉包標(biāo)識卡或在棉包的兩側(cè)用不褪色的顏料按下列項目逐包刷嘜，其內(nèi)容為：

4裝船通知

4ShipmentNotice

如為FOB成交:賣方應(yīng)在收到船公司的裝運(yùn)通知后48小時內(nèi)，通知買方合同號、品級、長度級或小樣型號、包裝、凈重、金額；裝船日期、裝船口岸、目的港和預(yù)計到港日期，并航寄、傳真或電子郵件的形式將裝船單據(jù)副本一式三份給買方。

UnderFOBterms:theSellershallnotifytheBuyerbytelegraph,faxore-mailofthecontractnumber,grade,stapleortype,packing,netweight,andprice;aswellasshipmentdate,shipmentport,destinationportandestimatedarrivaldatewithin48hoursafternotificationfromtheshippinglineandmail,faxore-mailthreecopiesoftheduplicationsoftheloadingdocumentstotheBuyer.

如為CFR/CIF成交:賣方應(yīng)在收到船公司的裝運(yùn)通知后48小時內(nèi)，通知買方船名、船齡(老船賣方要付超齡加保費(fèi))、船旗、裝船日期、裝船口岸、目的港、合同號、提單號、總金額、毛重、凈重。

UnderCFR/CIFterms:theSellershallnotifytheBuyeroftheshipname,shipage(foragedshiptheSellershallpaytheover-ageextrapremium),shipflag,shipmentdate,shipmentport,destinationport,contractnumber,numberofthebilloflading,totalprice,grossweightandnetweightwithin48hoursaftertheshipmentnotificationfromtheshippingline.

如賣方未按上述、款規(guī)定通知買方，以致買方未能及時購買保險，由此而產(chǎn)生的損失由賣方負(fù)擔(dān)。
