蔬菜種苗選購協(xié)議合同編號：__________vegetableseedlingpurchaseagreement甲方（采購方）：__________Address:__________contactinformation:__________乙方（供應(yīng)商）：__________Address:__________contactinformation:__________鑒于甲方需要購買蔬菜種苗，乙方愿意提供優(yōu)質(zhì)的蔬菜種苗，雙方本著平等互利的原則，經(jīng)友好協(xié)商，達(dá)成如下協(xié)議：article1:subjectmatteroftheagreement1.1thisagreementismadeforthepurchaseofhighqualityvegetableseedlingspartyafrompartyb.1.2thespecifictypes,quantities,specifications,qualitystandardsandotherrequirementsofthevegetableseedlingstobepurchasedshallbedeterminedbothpartiesinaccordancewithmarketconditionsandmutualconsultation.article2:priceandpaymentterms2.1thepurchasepriceofthevegetableseedlingsshallbedeterminedbothpartiesbasedonthemarketpriceatthetimeoftheconclusionofthisagreement.2.2thepaymenttermsforthepurchaseofthevegetableseedlingsshallbeasfollows:(1)a30%advancepaymentshallbemadepartyawithin3daysafterthesigningofthisagreement;(2)thebalanceshallbepaidpartyawithin7daysafterthedeliveryofthevegetableseedlingspartyb.article3:deliveryandtransportation3.1theplaceofdeliveryofthevegetableseedlingsshallbetheplacedesignatedpartya.3.2thetimeofdeliveryofthevegetableseedlingsshallbewithin15daysafterthesigningofthisagreement.3.3thetransportationofthevegetableseedlingsshallbearrangedpartyb,andtherelatedexpensesshallbebornepartya.article4:qualityandguarantee4.1thevegetableseedlingsprovidedpartybshallmeetthefollowingqualityrequirements:(1)conformtotherelevantnationalstandardsandspecificationsforvegetableseedlings;(2)freefromdiseases,pestsandothercontaminants;(3)havegoodgrowth,strongvitalityandhighsurvivalrate.4.2partybshallprovideaqualityguaranteeforthevegetableseedlings,andifthevegetableseedlingsdonotmeetthequalityrequirements,partybshallreplacethemorrefundthepurchasepricetopartya.article5:confidentiality5.1bothpartiesagreetokeepconfidentialallthetechnicalandbusinessinformationexchangedbetweenthemduringtheperformanceofthisagreement,unlesssuchinformationisalreadyinthepublicdomainorisrequiredtobedisclosedlawsorregulations.5.2theconfidentialityobligationshallsurvivetheexpirationorterminationofthisagreement.article6:disputeresolution6.1anydisputesarisingoutoforinconnectionwiththisagreementshallbefirstlysettledthroughfriendlynegotiation.6.2ifthenegotiationfailstosettlethedisputes,eitherpartymaysubmitthedisputestothepeople'scourtwithjurisdictionovertheplaceofperformanceofthisagreement.article7:supplementaryprovisions7.1thisagreementmaybeamendedorsupplementedbothpartiesthroughwrittenagreement.7.3thisagreementshallbegovernedthelawsofthepeople'srepublicofchina.INWITNESSWHEREOF,thepartiesheretohavecausedthisagreementtobeexecutedasofthedatefirstabovewrittentheirrespectiveauthorizedrepresentatives.partya:________________________representative:____________________date:____________________________partyb:________________________representative:____________________date:____________________________一、附件列表：1.蔬菜種苗詳細(xì)目錄2.蔬菜種苗質(zhì)量標(biāo)準(zhǔn)3.蔬菜種苗種植技術(shù)指南4.蔬菜種苗種植地點(diǎn)示意圖5.蔬菜種苗運(yùn)輸方式及費(fèi)用明細(xì)6.蔬菜種苗付款憑證7.蔬菜種苗質(zhì)量保證書二、違約行為及認(rèn)定：1.乙方未按約定時間交付蔬菜種苗2.乙方交付的蔬菜種苗不符合約定的質(zhì)量標(biāo)準(zhǔn)3.乙方未提供質(zhì)量保證書4.甲方未按約定時間支付款項(xiàng)5.甲方未按約定地點(diǎn)接收蔬菜種苗三、法律名詞及解釋：1.蔬菜種苗：指用于種植的蔬菜幼苗。2.質(zhì)量標(biāo)準(zhǔn)：指符合國家相關(guān)法規(guī)、行業(yè)標(biāo)準(zhǔn)以及雙方約定的蔬菜種苗質(zhì)量要求。3.交付：指乙方按照約定將蔬菜種苗運(yùn)送到甲方指定的地點(diǎn)并交付給甲方。4.付款憑證：指甲方支付款項(xiàng)的憑證，包括銀行轉(zhuǎn)賬記錄、現(xiàn)金支付記錄等。5.質(zhì)量保證書：指乙方對交付的蔬菜種苗質(zhì)量進(jìn)行保證的書面文件。四、執(zhí)行中遇到的問題及解決辦法：1.問題：乙方未按約定時間交付蔬菜種苗解決辦法：雙方協(xié)商延期交付，并根據(jù)實(shí)際情況協(xié)商賠償損失。2.問題：乙方交付的蔬菜種苗不符合約定的質(zhì)量標(biāo)準(zhǔn)解決辦法：乙方應(yīng)在規(guī)定時間內(nèi)更換符合質(zhì)量標(biāo)準(zhǔn)的蔬菜種苗，或按照約定進(jìn)行賠償。3.問題：乙方未提供質(zhì)量保證書解決辦法：乙方應(yīng)在規(guī)定時間內(nèi)提供質(zhì)量保證書，否則甲方有權(quán)拒絕接收蔬菜種苗。4.問題：甲方未按約定時間支付款項(xiàng)解決辦法：甲方應(yīng)在規(guī)定時間內(nèi)支付款項(xiàng)，否則乙方有權(quán)拒絕交付蔬菜種苗
