英文咨詢服務(wù)合同范本(2024版)EnglishConsultingServicesAgreementTemplate(2024Edition)ThisConsultingServicesAgreement("Agreement")isenteredintoasof________("EffectiveDate")byandbetween________("Client"),withitsprincipalplaceofbusinessat________,and________("Consultant"),withitsprincipalplaceofbusinessat________.1.PurposeofAgreement:TheClientherebyengagestheConsultanttoprovideconsultingservicesasdescribedinthisAgreement,andtheConsultantagreestoprovidesuchservices.2.ScopeofServices:2.1TheConsultantshallprovidethefollowingconsultingservicestotheClient:-Detaileddescriptionofservicestobeprovided.2.2TheConsultantshallperformtheservicesinaprofessionalandworkmanlikemanner,inaccordancewithgenerallyacceptedconsultingstandards.3.TermofAgreement:ThetermofthisAgreementshallcommenceontheEffectiveDateandshallcontinueuntilthecompletionoftheservicesoruntilterminatedbyeitherPartyinaccordancewiththetermsofthisAgreement.4.Compensation:4.1TheClientshallpaytheConsultantatotalfeeof$_______fortheservicesprovidedunderthisAgreement.4.2TheConsultantshallinvoicetheClientonamonthlybasis,andtheClientshallmakepaymentswithin________daysofthereceiptofeachinvoice.5.Expenses:TheConsultantshallberesponsibleforitsownexpensesincurredintheperformanceoftheservicesunlessotherwiseagreeduponinwritingbytheClient.6.Confidentiality:6.1TheConsultantagreestokeepconfidentialallinformationobtainedfromtheClientduringthetermofthisAgreement.6.2ConfidentialinformationshallnotbedisclosedtoanythirdpartywithouttheClient'spriorwrittenconsent.7.IntellectualPropertyRights:7.1TheConsultantretainsallrights,title,andinterestinanyintellectualpropertycreatedbytheConsultantintheperformanceoftheservices.7.2TheClientshallhaveanon-exclusive,royalty-freelicensetousesuchintellectualpropertyforitsinternalbusinesspurposes.8.WarrantiesandRepresentations:8.1TheConsultantrepresentsandwarrantsthatithastheright,power,andauthoritytoenterintothisAgreementandtoperformtheservices.8.2TheConsultantrepresentsandwarrantsthattheserviceswillbeperformedinamannerconsistentwithindustrystandards.9.LimitationofLiability:9.1TheConsultant'sliabilityforanyclaim,loss,ordamagearisingoutoforrelatedtothisAgreementshallbelimitedtotheamountoffeespaidbytheClienttotheConsultantunderthisAgreement.9.2InnoeventshalltheConsultantbeliableforanyconsequential,incidental,orspecialdamages.10.Indemnification:10.1TheConsultantshallindemnifyandholdtheClientharmlessfromanyclaims,losses,damages,orexpensesarisingoutoftheConsultant'sperformanceoftheservices.10.2TheClientshallindemnifyandholdtheConsultantharmlessfromanyclaims,losses,damages,orexpensesarisingfromtheClient'suseoftheservices.11.Termination:11.1EitherPartymayterminatethisAgreementupon________days'writtennoticetotheotherParty.11.2ThisAgreementmayalsobeterminatedimmediatelybyeitherPartyiftheotherPartybreachesanymaterialtermofthisAgreementandfailstocuresuchbreachwithin________daysafterwrittennotice.12.Assignment:TheClientshallnotassignthisAgreementoranyrightsorobligationshereunderwithoutthepriorwrittenconsentoftheConsultant.13.ForceMajeure:NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementtotheextentthatsuchfailureordelayiscausedbycircumstancesbeyondthereasonablecontrolofthatParty("ForceMajeure"),includingbutnotlimitedto,actsofGod,war,terrorism,labordisputes,orgovernmentaction.14.Notices:Allnotices,requests,demands,andothercommunicationsrequiredorpermittedhereundershallbeinwritingandshallbedeemedgivenwhendeliveredpersonally,byovernightcourier,orthreedaysafterbeingsentbycertifiedmail,postageprepaid,tothePartiesattheirrespectiveaddressessetforthabove.15.EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthePartiesconcerningthesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreements,whetheroralorwritten.16.Amendments:NoamendmentormodificationofthisAgreementshallbevalidorbindingonthePartiesunlessitismadeinwritingandsignedbybothParties.17.GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthestateof________withoutgivingeffecttoanychoiceoflaworconflictoflawprovisions.18.Counterparts:ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.19.Signatures:ThePartiesacknowledgethattheyhaveread,understood,andagreetobeboundbythetermsofthisAgreement.Client:_________________________AuthorizedSignature:_____________Date:___________________________Consultant:_______________________AuthorizedSignature:_____________Date:___________________________[Note:Thisisthefirsthalfoftheconsultingservicesagreement.Thesecondhalfwillbeprovideduponrequest.][Note:Thetextendshere.]20.IndependentContractor:20.1TheConsultantisanindependentcontractorandisnotanemployeeoftheClient.20.2TheConsultantshallnotbeentitledtoanybenefitsprovidedbytheClienttoitsemployees,includingbutnotlimitedtohealthinsurance,retirementbenefits,orworkers'compensation.21.Non-Solicitation:21.1DuringthetermofthisAgreementandforaperiodof________yearsthereafter,theConsultantshallnotsolicitanyemployee,contractor,orclientoftheClientforthepurposeofofferingsimilarservices.22.Non-Disparagement:22.1BothPartiesagreenottomakeanynegativeorderogatorystatementsabouttheotherPartyoritsbusiness.23.RighttoAudit:23.1TheClientshallhavetherighttoaudittheConsultant'srecordsrelatedtotheperformanceoftheservicesuponreasonablenoticeandduringnormalbusinesshours.24.FeedbackandImprovement:24.1TheConsultantshallseekfeedbackfromtheClientregardingtheservicesprovidedandshallusesuchfeedbackforthepurposeofimprovement.25.DisputeResolution:25.1AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughgoodfaithnegotiationsbetweentheParties.25.2Ifnegotiationsfail,thePartiesagreetosubmittomediationorarbitrationasanalternativetolitigation.26.Publicity:26.1TheConsultantshallnotpublicizetheexistenceortermsofthisAgreementwithouttheClient'spriorwrittenconsent.27.FurtherAssurances:27.1EachPartyagreestoexecuteanddeliversuchfurtherinstrumentsandtodosuchotheractsasmaybereasonablynecessarytocarryouttheprovisionsandintentionsofthisAgreement.28.RelationshipofParties:28.1TherelationshipbetweenthePartiesisthatofindependentcontractors,andnothinginthisAgreementshallbedeemedtocreateapartnership,jointventure,oragencyrelationship.29.Waiver:29.1ThewaiverbyeitherPartyofabreachordefaultofanyprovisionofthisAgreementbytheotherPartyshallnotbeconstruedasawaiverofanysucceedingbreachofthesameoranyotherprovision.30.Notices:Allnotices,requests,demands,andothercommunicationsunderthisAgreementshallbeinwritingandshallbedeemedgivenwhendeliveredpersonally,sentbycertifiedmail(returnreceiptrequested),orbyarecognizedexpresscourierservice,orbyemailwithreadreceiptconfirmed.Attachments:DetailedScopeofWorkDocument;Consultant'sQualificationandCredentials;ProjectTimelineandMilestones;FeeScheduleandPaymentTerms;Non-DisclosureAgreement(ifapplicable);AnyotherrelevantannexesoraddendaagreeduponbytheParties.III.BreachofContractandDetermination:Failuretoperformservicesaspertheagreedscopeandqualitystandards;Non-paymentoffeesbytheClientbeyondtheagreedterms;UnauthorizeddisclosureofconfidentialinformationbyeitherParty;SolicitationoftheClient'semployeesorclientsinviolationofthenon-solicitationclause.IV.LegalTermsandDefinitions:IndependentContractor:Apersonorentitythatprovidesservicestoaclientbutisnotanemployeeanddoesnothavetherightsandbenefitsofanemployee.ConfidentialInformation:AnyinformationdisclosedbyonePartytotheotherthatthedisclosingPartyidentifiesasconfide
