ān)保人提供其財(cái)務(wù)狀況和履約能力的相關(guān)信息。Theguaranteedpartyshallpromptlyprovidetheguarantorwithrelevantinformationonitsfinancialstatusandperformancecapability.4.2.3被擔(dān)保人不得擅自變更或解除本合同。Theguaranteedpartyshallnotunilaterallychangeorterminatethisagreement.4.3被擔(dān)保人的陳述和保證/RepresentationsandWarrantiesoftheGuaranteedParty4.3.1被擔(dān)保人保證其具有完全的民事行為能力和簽訂本合同的合法權(quán)利。Theguaranteedpartywarrantsthatithasfullcivilcapacityandthelegalrighttosignthisagreement.4.3.2被擔(dān)保人保證其提供的信息和資料真實(shí)、準(zhǔn)確、完整。Theguaranteedpartywarrantsthattheinformationandmaterialsprovidedbyitaretrue,accurate,andcomplete.第五章：違約責(zé)任/LiabilityforBreachofContract5.1違約定義/DefinitionofBreach5.1.1違約是指合同一方未履行合同義務(wù)或履行合同義務(wù)不符合約定。Breachofcontractreferstothefailureofonepartytoperformitscontractualobligationsortheperformanceofitscontractualobligationsnotinaccordancewiththeagreement.5.1.2違約行為包括但不限于未按時(shí)支付款項(xiàng)、未按時(shí)履行義務(wù)等。Breachofcontractincludesbutisnotlimitedtofailuretopayontime,failuretoperformobligationsontime,etc.5.2違約處理/HandlingofBreach5.2.1違約方應(yīng)在收到對(duì)方書面通知后______天內(nèi)糾正違約行為。Thebreachingpartyshallcorrectthebreachwithin______daysafterreceivingwrittennoticefromtheotherparty.5.2.2如違約方未能在規(guī)定時(shí)間內(nèi)糾正違約行為，另一方有權(quán)解除合同并要求違約方賠償損失。Ifthebreachingpartyfailstocorrectthebreachwithinthespecifiedtime,theotherpartyhastherighttoterminatetheagreementandrequirethebreachingpartytocompensatefortheloss.5.3違約賠償/CompensationforBreach5.3.1違約方應(yīng)賠償因違約行為給對(duì)方造成的直接經(jīng)濟(jì)損失。Thebreachingpartyshallcompensatetheotherpartyforthedirecteconomiclossescausedbythebreach.5.3.2違約賠償金額應(yīng)根據(jù)實(shí)際損失確定，但不得超過(guò)合同總金額的______%。Theamountofcompensationforbreachshallbedeterminedbasedontheactualloss,butshallnotexceed______%ofthetotalamountoftheagreement.第六章：爭(zhēng)議解決/DisputeResolution6.1爭(zhēng)議處理/HandlingofDisputes6.1.1合同雙方應(yīng)本著友好協(xié)商的原則解決爭(zhēng)議。Bothpartiesshallresolvedisputesthroughfriendlynegotiation.6.1.2如協(xié)商不成，雙方可通過(guò)調(diào)解解決爭(zhēng)議。Ifnegotiationfails,bothpartiesmayresolvedisputesthroughmediation.6.2爭(zhēng)議仲裁/ArbitrationofDisputes6.2.1如調(diào)解不成，雙方同意將爭(zhēng)議提交______仲裁委員會(huì)仲裁。Ifmediationfails,bothpartiesagreetosubmitthedisputeto______ArbitrationCommissionforarbitration.6.2.2仲裁裁決對(duì)雙方具有約束力，雙方應(yīng)自覺履行。Thearbitrationawardisbindingonbothparties,andbothpartiesshallcomplywithit.6.3爭(zhēng)議訴訟/LitigationofDisputes6.3.1如一方對(duì)仲裁裁決不服，可在收到裁決書之日起______天內(nèi)向______人民法院提起訴訟。Ifeitherpartyisdissatisfiedwiththearbitrationaward,itmayfilealawsuitwiththe______People'sCourtwithin______daysafterreceivingtheaward.6.3.2訴訟期間，雙方應(yīng)繼續(xù)履行合同中未涉及爭(zhēng)議的部分。Duringthelitigationperiod,bothpartiesshallcontinuetoperformthepartsoftheagreementnotinvolvedinthedispute.第七章：附則/SupplementaryProvisions7.1合同解釋/InterpretationoftheAgreement7.1.1本合同條款的解釋權(quán)歸用人單位所有。Therighttointerpretthetermsofthisagreementbelongstotheemployer.7.1.2如合同條款與國(guó)家法律法規(guī)相抵觸，以國(guó)家法律法規(guī)為準(zhǔn)。Ifthetermsoftheagreementconflictwithnationallawsandregulations,thenationallawsandregulationsshallprevail.7.2合同生效/EffectivenessoftheAgreement7.2.1本合同自雙方簽字蓋章之日起生效。Thisagreementshallcomeintoeffectuponthesigningandsealingbybothparties.7.2.2合同一式______份，雙方各執(zhí)______份，具有同等法律效力。Thisagreementismadein______copies,witheachpartyholding______copies,allofwhichhavethesamelegaleffect.
