2024服務(wù)合同服務(wù)協(xié)議2024ServiceContractServiceAgreementPartyA(ServiceProvider):_______________________PartyB(ServiceReceiver):_______________________ContractSigningDate:_______Year_______Month_______DaySigningLocation:________________________________鑒于PartyAisaprofessionalserviceproviderandPartyBrequirescertainservicesforitsoperations,bothparties,inaccordancewiththeprinciplesofequality,mutualbenefit,andgoodfaith,havereachedaconsensusthroughnegotiationandherebyenterintothisServiceContract(hereinafterreferredtoas"theContract").Article1:ServiceContent1.1PartyAagreestoprovidethefollowingservicestoPartyBaccordingtothetermsofthisContract:_______.1.2Thespecificcontent,standards,andrequirementsoftheservicearedetailedinAnnex1"ServiceContentandStandards".1.3PartyAshallensurethequalityandefficiencyoftheservicesprovided,meetingthereasonableneedsofPartyB.Article2:ServicePeriod2.1TheserviceperiodofthisContractshallcommencefrom_______Year_______Month_______Dayto_______Year_______Month_______Day.2.2Ifanextensionoftheserviceperiodisrequired,bothpartiesshallnegotiateinwritingatleast_______daysinadvance.Article3:ServiceFees3.1PartyBagreestopaytheservicefeestoPartyAaccordingtothetermsofthisContract,withthetotalamountbeing:_______.3.2Themethodofpaymentfortheservicefeesshallbe:_______.3.3Thepaymentschedulefortheservicefeesshallbe:_______.Article4:RightsandObligationsofPartyA4.1PartyAhastherighttocollectservicefeesasstipulatedintheContract.4.2PartyAshallprovideservicesinthetimeandmanneragreeduponandensurethecontinuityandstabilityoftheservices.4.3PartyAshallkeepconfidentialallmaterialsandinformationusedintheserviceprocessthatbelongtoPartyB.Article5:RightsandObligationsofPartyB5.1PartyBhastherighttosupervisetheprovisionofservicesbyPartyAandmakereasonablesuggestionsandrequirements.5.2PartyBshallmaketimelypaymentsofservicefeesasagreed.5.3PartyBshallprovidenecessaryassistanceandinformationtoPartyAtofacilitatetheprovisionofservices.Article6:ServiceModificationandTermination6.1EitherpartyrequiringamodificationoftheservicecontentorearlyterminationoftheContractshallgivewrittennoticetotheotherpartyatleast_______daysinadvance.6.2Ifforcemajeuremakesitimpossibletocontinueprovidingorreceivingservices,bothpartiesmayterminatetheContractwithoutbearinganyliabilityforbreachofcontract.6.3AftertheterminationoftheContract,bothpartiesshallsettlethefeesaccordingtotheactualservicesituation.Article7:LiabilityforBreachofContract7.1IfPartyAfailstoprovideservicesontimeortheservicequalitydoesnotmeettheagreedstandards,PartyAshallbeartheliabilityforbreachofcontractandcompensateforthelossessufferedbyPartyB.7.2IfPartyBfailstopaytheservicefeesontime,PartyBshallpayliquidateddamagestoPartyAattherateof_______%perdayontheunpaidamount.Article8:DisputeResolution8.1AnydisputesarisingduringtheperformanceofthisContractshallfirstberesolvedthroughfriendlynegotiation.8.2Ifnegotiationfails,eitherpartymaysubmitthedisputetothe_______ArbitrationCommissionforarbitrationorfilealawsuitwiththe_______People'sCourt.Article9:OtherAgreements9.1AnymodificationsorsupplementstothisContractshallbemadeinwritingandshalltakeeffectafterbeingsignedandsealedbytheauthorizedrepresentativesofbothparties.9.2MattersnotcoveredbythisContractmaybenegotiatedanddeterminedseparatelybybothparties,andthewrittenformshallserveasasupplementtothisContract.9.3ThisContractismadeintwocopies,eachpartyholdingonecopy,withthesamelegaleffect.PartyA(Seal):_______________________PartyB(Seal):_______________________RepresentativeofPartyA(Signature):___________RepresentativeofPartyB(Signature):___________Pleaseprovidethesecondhalfofthecontractinthenextquestion.Article10:IntellectualPropertyRights10.1Allintellectualpropertyrightsoftheservices,includingbutnotlimitedtopatents,copyrights,andtrademarks,shallbeownedbyPartyA.10.2PartyBshallrespectandnotinfringeupontheintellectualpropertyrightsofPartyA.Article11:ServiceWarrantiesandLiabilities11.1PartyAwarrantsthattheservicesprovidedshallbeinaccordancewiththeprofessionalstandardsandpractices.11.2PartyAshallbeliableforanydamagesorlossescausedbyitsfailuretoprovideservicesinaccordancewithprofessionalstandards.Article12:Confidentiality12.1BothpartiesshalltreatallconfidentialinformationdisclosedduringtheperformanceofthisContractwithstrictconfidentiality.12.2Confidentialinformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.Article13:AmendmentsandSupplements13.1ThisContractmaybeamendedorsupplementedonlyinwriting,andanyamendmentsorsupplementsshallbeeffectiveuponbeingsignedbybothparties.13.2AnyamendmentsorsupplementstothisContractshallbeanintegralpartoftheContractandshallhavethesamelegaleffectastheoriginal.Article14:ForceMajeure14.1NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractduetoforcemajeure.14.2Thepartyaffectedbyforcemajeureshallpromptlynotifytheotherpartyandprovideacertificateoftheevent.Article15:GoverningLawandJurisdiction15.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof_______.1
