文件編號TT-00-PPS-GGB-USP-UYY-0089文件編號TT-00-PPS-GGB-USP-UYY-0089國際貿易合同協(xié)議書中英文版本PAGESALESCONTRACT銷售合同ContractNo.:合同號：Date:日期Seller:賣方Tel:Fax:Buyer:買方ThisSalesContractismadeoutasperthefollowingterms/conditionsmutuallyconfirmed:Descriptionofcargo貨品CIFWuhanCIF武漢DescriptionVintagePackage瓶/箱Quantity數量UnitPriceEUR單價（歐元）AmountEUR合計BottlespercartonCartons箱Bottles瓶VCEwines——TOTALNOTE:Thermalblanketisnecessaryfordrycontaineratanytimeduringayear.OtherwisetheBuyerhastherighttoreturnthecargoorrefusethepaymentforcargosinfluencedbyhottemperature.干柜在一年中的任何時候都需隔熱層，否則買方有權退回貨物或拒絕為因高溫造成影響的貨物付款。Insurance:Tobeeffectedbythesellerfor110%offullinvoicevaluecoveringmarineinstitutecargoclausesAllRisks.保險：由賣方按發(fā)票全額的110%購買涉及海洋協(xié)會貨物保險條款“一切險”TimeofShipment:before15thJuly,Partialshipmentisnotallowed.發(fā)貨時間：7月15日之前，不允許分批裝運。PortofShipment:Livorno裝運港：利沃諾PortofDestination:Wuhan,China.目的港：中國武漢Timeofarrivalatthedestinationport:before1stSeptember.到達時間：9月1日前抵達目的港。TermsofPayment:T/T90daysafterB/Ldate付款時間：提單日期后90天電匯8.Documents:TheSellershallpresentthefollowingdocumentstotheBuyerasrequired:賣方需提供買方所需的以下文件:FullsetofnegotiablecleanonboardoceanMaster’sBillofLadingindicatingshippingmark,blankendorsed,andnotifyingtheBuyerwithfullnameandaddressattheportofdestination.全套清潔提單SignedCommercialInvoiceinTHREEoriginalsshowingthisContractnumber,andtheShippingMark.IftheSellerisnotthedirectproducerforanyoftheoils,theactualoilproducer’snameandtheinvoicenumberbetweentheSellerandtheproducershouldbeindicatedintherequiredinvoice.商業(yè)發(fā)票PackingListinTHREEoriginals,showingthisContractnumber,grossandnetweights,andquantityofcartons&bottlesforeachcontainer.裝箱單CertificateofOriginissuedbyChamberofCommerce,inONEoriginalandONEcopy,showingeachoil’sappellation.原產地證CertificateofSanitaryandPurity,issuedbygovernmentdepartment,tostatetheinspectionresults,inconformitywithFrenchrules,inONEoriginalandTWOcopies.衛(wèi)生證書AnalysisreportforeachoilinONEoriginalandTWOcopies.分析報告Declarationofno-woodPackingMaterialtoChinaEntry&ExitInspectionandQuarantineifthereisnowoodenpackingmaterial.Ifwoodenpalletsorcasesareused,theremustbefumigationMarklike“IPPC”or“NIMP15”onthewoodenpalletsorcases,andbetteraccompanywitharelevantfumigationcertificate.無木質包裝聲明Declarationofbottlingdateforeachoilwiththeformof"YEAR-MONTH-DATE"灌裝日期10%ofthetotalbottlequantityoforiginalcopiesofFrontLabelsandBackLabelsforeachoil,Min20sets.前后標TwooriginalofthisContract.合同Onecertificateissuedbylocalchamberofcommercetoprovetherealityofthecargovalue,indicatingthecontractNo.廠商聲明OnecopyoftheInsurancePolicy保單Onecopyofthetransportationinvoicefromtheforwarder運輸發(fā)票O(jiān)necopyofexportdeclarationwhichcanshowtheexportvalueoftheoils顯示貨物出口值的出口報關單9.Cargopre-check:Aftertheproductionbutbeforetheloadingofthecargo,thesellershouldtakepicturesofeachtypeofoilwhichcanclearlyseethecontentoffrontandbacklabelsforpre-check.Anycostorlossshouldbeburdenbythesellerifthesellerdoesn’tsendthepicturesforpre-check.貨物預檢查：生產后，裝運前的貨物，賣方應為每個產品品項拍照，照片可以清楚地看到正面和背面標簽作為預檢查的內容。如果賣方不發(fā)送圖片預檢查，造成任何損失應該由賣方承擔10.Documentspre-check:Thesellershouldsendthebuyeralltheabovementioneddocumentsandclearcolorscanfrontandbacklabelsforpre-checkwithin7workingdaysafterB/Ldate.Thebuyershouldfinishcheckingin2workingdaystheninformthesellerforcorrectionifany.Anycostorlossshouldbeburdenbythesellerifthesellerdoesn’tsendthedocumentsforpre-check.文件預檢查：賣家應買家要求發(fā)送上述所有文件，B/L日期后7個工作日內發(fā)送清晰的標簽的彩色正面和背面掃描件。買方應在2個工作日內完成檢查，如有更正，通知賣家。如果賣方不發(fā)送文件預檢查，造成任何損失應該由賣方承擔。11.Documentsdelivery:Thesellershouldsendtheoriginaldocumentstothebuyeratleast10daysbeforethearrivalofthecargo.Thesellershouldburdenallthecostorlossduetolatedeliveryofdocuments.Thebuyerhastherighttoreturnthecargoorrefusepaymentifthecargoundergoesdeteriorationbyinsolationduetoincorrectorlatedocuments.文件發(fā)送：賣方應在到貨前至少10天前發(fā)送文件正本。賣方應承擔由于延遲交付文件的損失。若因賣方交付的文件不正確或延遲交付所造成的貨物暴曬變質，買方有權返回貨物或拒絕付款。12.Chinesebacklabel:ThebuyershouldsendtheSellerPDF/AIfileofChinesebacklabel.ThesellershouldprintandstickChinesebacklabelsinFrance.ThesellershouldprintthesampleChinesebacklabelandscantothebuyerforconfirmationbeforesticktothebottle.中文背標：買方發(fā)送賣方PDF/AI格式的中文背標。賣方應在法國印制并黏貼中文背標。賣方在黏貼中文背標前應印制中文背標樣板并發(fā)送買方確認。15.Shipment:Thesellershallarrangethegoodtobeshippedoutwithintheshippingtime.Transshipmentisnotallowed.Thecarryingvesselshallnotflytheflagofcertainnationunacceptabletothebuyer.裝運：賣方應在出貨時間內安排好裝運運出。轉運是不允許的。裝運船只不得懸掛買方不接受的某些國家的國旗。16.Shippingadvice:thesellershallimmediatelyuponthecompletionoftheloadingofthegoods,advisebyFAXthebuyeroftheContractnumber,commodity,quantity,invoicevalue,grossweight,netweight,nameofvessel,portofshipmentandportofdestinationanddateofsailingordateofdispatchetc.裝運通知：賣方應在貨物裝船完成后，立即通過傳真告知買方合同號，品名，數量，發(fā)票價值，毛重，凈重，船名，裝運港口和目的港口和發(fā)船日期或日期調整等。19.Forcemajeure:Thesellershallnotbeheldresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.Thesellershalladvisethebuyerimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,thesellershallsendbyairmailtothebuyerfortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthoritiesortheChamberofCommercewheretheaccidentoccursasevidencethereof.Undersuchcircumstancestheseller,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods,incasetheaccidentlastsformorethan10weeks,thebuyershallhavetherighttocanceltheContract.不可抗力：賣方不承擔因可能發(fā)生在制造過程中或在裝載或運輸的過程中的不可抗力造成的延遲交貨或不交付的責任。賣方應在上述情況發(fā)生的十四日內立即通知買方，賣方應通過航空郵件發(fā)送由政府主管部門或商會商務部頒發(fā)的事故證書作為證據。然而，在這種情況下，賣方仍有義務，采取一切必要措施，以加速交付貨物，如果事故持續(xù)超過10周，買方有權撤銷合同。20.Latedeliveryandpenalty:ShouldthesellerfailtomakedeliveryontimeasstipulatedintheContractwithexceptionofForceMajeurecausesspecifiedinabovearticleofthisContract,thebuyershallagreetopostponethedeliveryonconditionthattheselleragreetopayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation.Thepenalty,however,shallnotexceed5%ofthetotalvalueofthegoodsinvolvedinthelatedelivery.Therateofpenaltyischargedat0.5%ofthetotalvalueofthegoodsforeveryday.Incasethesellerfailtomakedelivery15dayslaterthanthetimeofshipmentstipulatedintheContract,thebuyershallhavetherighttocanceltheContractand,thesellerinspiteofthecancellation,shallstillpaytheaforesaidpenaltytothebuyerwithoutdelay.延期交貨違約金：如果賣方無法按合同規(guī)定的按時交貨，除本合同上訴的不可抗力的原因規(guī)定買方應同意推遲交貨的情況下，賣方在協(xié)商下應支付罰款，由付款銀行在議付貨款中扣除。然而，罰款不得超過延期交付的貨物總價值的5％。罰金率，每天按貨物總價值的0.5％收取。賣方未能在合同規(guī)定的裝運時間后15天內交貨，買方應有權撤銷合同，賣方仍然應當向買方支付上述罰款，不得延遲。21.Return:TheBuyerhastherighttoreturnthegoodsifanygoodstheBuyerimportedfromtheSellerrunsafoulof,orislimitedbytherelatedlawstatuteandpolicyorlocalregulationsoftheBuyer’scountry/pre-salescountry,orinvadesthelegitimaterightsandinterestsofthirdparty,orconflictswiththiscontractandaffectsnormalsaleoftheBuyerorcausescorrelativedisputes.TheSellershallfullycompensatetheBuyerforanydirectorindirectlosscausedbyabove,ortheBuyerhastherighttodeductfromthetradeaccountspayable,andtheBuyerhastherightofrecoursetotheSellerifthetradeaccountspayableisnotenoughforthecompensation.退回：任何與買方國家/預售國家法律相抵觸的，或相關的法律法規(guī)和政策限制，或侵犯第三方合法權利和利益的，或與本合同發(fā)生沖突，影響買方正常銷售的或會導致相關糾紛的貨物，買家有權退回。賣方應全額賠償買方因上訴造成的任何直接或間接損失，買方有權從貿易中扣除應付賬款，如果應付賬款不夠賠償，買方有權向賣方追索賠償責任。22.Arbitration:AlldisputesinconnectionwiththeexecutionofthisCont
