ConsultingAgreement

ThisConsultingAgreement(the"Agreement")ismadeandenteredintoasof[Date],byandbetween[YourCompanyName]("Company"),a[jurisdiction]corporation,and[Consultant'sName]("Consultant"),anindividualwithaprimaryplaceofbusinesslocatedat[Consultant'sAddress].

1.Services.TheConsultantagreestoprovidethefollowingconsultingservicestotheCompany:[Descriptionofservices].TheConsultantwillprovidetheseservicesduringthetermofthisAgreementandwillusereasonablecommercialeffortstoachievetheobjectivessetforthinthisAgreement.

2.Term.ThetermofthisAgreementshallcommenceontheEffectiveDateandshallcontinuefor[TermDuration](the"Term").TheTermshallautomaticallyrenewforsuccessive[renewalperiod]unlesseitherpartyprovideswrittennoticeofitsintentionnottorenewatleast[numberofdays]priortotheendofthethen-currentTerm.

3.FeesandPaymentTerms.TheCompanyagreestopaytheConsultantthefollowingfeesfortheservicesprovidedunderthisAgreement:[FeeSchedule].Paymentwillbemadewithin[numberofdays]aftertheCompanyreceivesaninvoicefromtheConsultant,whichinvoiceshallitemizetheservicesperformedandthecorrespondingfees.

4.Confidentiality.TheConsultantagreestomaintaininstrictconfidenceandnotdisclosetoanythirdpartyanyconfidentialinformationreceivedfromtheCompanyunderthisAgreement,exceptasmayberequiredbylaworregulation.Theconfidentialinformationincludes,butisnotlimitedto,tradesecrets,businessstrategies,andcustomerdata.

5.Indemnification.TheConsultantagreestoindemnifyandholdtheCompanyharmlessfromanyclaims,damages,orliabilitiesarisingoutoforinconnectionwiththeperformanceoftheservicesunderthisAgreement,excepttotheextentcausedbytheCompany'sgrossnegligenceorwillfulmisconduct.

6.Termination.ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin[numberofdays]afterreceiptofwrittennoticethereof.ThisAgreementmayalsobeterminatedbyeitherpartyuponwrittennoticeiftheotherpartybecomesthesubjectofabankruptcyproceeding,receivership,orsimilarproceeding.

7.GoverningLawandDisputeResolution.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe[governingjurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[arbitrationinstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.

8.EntireAgreement.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.
