1.ConsignmentGoods:

2.ConsignmentPeriod:

3.Consignee'sResponsibilities:

TheConsigneeagreesto:

a)DisplaytheGoodsinaprominentlocationwithintheirstore;

b)TakereasonablecareoftheGoodsandmaintaintheircondition;

c)UsetheirbesteffortstoselltheGoodsatthepricemutuallyagreeduponbybothparties;and

d)TimelyremittheproceedsfromthesaleoftheGoodstotheConsignor,lessanyagreed-uponcommissionorfees.

4.CommissionandPayment:

TheConsigneeshallbeentitledtoacommissionof[Percentage]onthegrosssalespriceoftheGoods.TheConsignorshallreceivepaymentfortheGoodssoldwithin[NumberofDays]aftertheendofeachmonth,accompaniedbyadetailedsalesreport.

5.TitleandRiskofLoss:

TitletotheGoodsshallremainwiththeConsignoruntiltheGoodsaresoldtoathird-partycustomer.TheriskoflossordamagetotheGoodsshallpasstotheConsigneeupondeliveryoftheGoodstotheConsignee'spremises.

6.ReturnsandRefunds:

TheConsigneeshallhavetherighttoacceptreturnsandgrantrefundstocustomersinaccordancewiththeirstandardreturnandrefundpolicies.TheConsignorshallberesponsibleforanycostsassociatedwithreturnsandrefunds.

7.Termination:

EitherpartymayterminatethisAgreementatanytimeuponwrittennoticetotheotherparty.Upontermination,theConsignorshallretrieveanyunsoldGoodswithin[NumberofDays]fromtheConsignee'spremises.

8.GoverningLawandDisputeResolution:

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

9.EntireAgreement:
