Recitals

WHEREAS,SubcontractordesirestoprovidecertainservicesandmaterialstoMainContractorinconnectionwiththeProject,andMainContractordesirestohireSubcontractortoperformsuchservicesandprovidesuchmaterials;

NOW,THEREFORE,inconsiderationofthemutualpromisescontainedherein,thepartiesheretoagreeasfollows:

Article1:ScopeofWork

1.1Services.Subcontractoragreestoperformtheservices(the"Services")setforthinExhibitAattachedhereto,inaccordancewiththespecificationsandrequirementsoftheMainContract.

1.2Materials.Subcontractoragreestoprovidethematerials(the"Materials")setforthinExhibitBattachedhereto,inaccordancewiththespecificationsandrequirementsoftheMainContract.

Article2:Term

2.1EffectiveDate.ThisAgreementshallbecomeeffectiveasofthedatefirstabovewritten.

2.2Term.ThetermofthisAgreement(the"Term")shallcommenceontheEffectiveDateandshallcontinueuntiltheearlierof:(a)thecompletionoftheServicesanddeliveryoftheMaterials;or(b)theterminationoftheMainContract.

Article3:Payment

3.1PaymentTerms.MainContractorshallpaySubcontractorfortheServicesandMaterialsinaccordancewiththepaymenttermssetforthintheMainContract.

3.2Invoices.SubcontractorshallsubmitinvoicestoMainContractorfortheServicesandMaterialsinaccordancewiththeinvoicingproceduressetforthintheMainContract.

Article4:DefaultandTermination

4.1Default.IfeitherpartydefaultsintheperformanceofanymaterialobligationunderthisAgreement,theotherpartymayterminatethisAgreementuponwrittennotice.

4.2TerminationforConvenience.MainContractormayterminatethisAgreementatanytimeforanyreasonornoreasonuponwrittennotice.

Article5:Indemnification

5.1IndemnificationbySubcontractor.SubcontractorshallindemnifyandholdharmlessMainContractoragainstanyandallclaims,liabilities,damages,losses,andexpenses(includingreasonableattorneyfees)arisingoutoforinconnectionwiththeperformanceoftheServicesortheprovisionoftheMaterials.

5.2IndemnificationbyMainContractor.MainContractorshallindemnifyandholdharmlessSubcontractoragainstanyandallclaims,liabilities,damages,losses,andexpenses(includingreasonableattorneyfees)arisingoutoforinconnectionwiththeMainContract.

Article6:Miscellaneous

6.1GoverningLaw.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe[state/provinceofMainContractor'slocation].

6.2EntireAgreement.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.
