1.Agreement

1.1BothPartyAandPartyBhavereachedanagreementonthemanufacturingoftheproductsasspecifiedinthiscontract(hereinafterreferredtoasthe"Products").

1.2Thiscontractshallbevalidfor[durationofthecontract].

2.ManufactureandQuality

2.1PartyAagreestomanufacturetheProductsinaccordancewiththespecifications,drawings,andsamplesprovidedbyPartyB.

2.2PartyAshallensurethattheProductsmeetthequalitystandardssetbyPartyB.ThequalitystandardsshallbedeterminedbasedonthesamplesprovidedbyPartyB.

2.3PartyAshallprovidethenecessarytechnicalsupportandassistancetoPartyBduringthemanufacturingprocesstoensurethequalityoftheProducts.

3.Delivery

3.1PartyAagreestodelivertheProductstoPartyB'sdesignatedlocationwithinthetimeframespecifiedinthiscontract.

3.2ThedeliverydateshallbethedatewhenPartyAmakestheProductsavailableforPartyB'scollectionorshipment.

3.3PartyAshallberesponsibleforthetransportationcostsandinsuranceoftheProductsduringtransit.

4.PriceandPaymentTerms

4.1ThepricefortheProductsshallbeasagreedbybothPartyAandPartyB.Thepriceshallbefixedandnon-negotiable.

4.2PartyBagreestomakepaymentfortheProductswithin[numberofdays]afterreceivingtheinvoicefromPartyA.

4.3Paymentshallbemadein[currency]bybanktransfertotheaccountdetailsprovidedbyPartyA.

5.InspectionandAcceptance

5.2IftheProductsdonotmeettheagreedspecificationsandqualitystandards,PartyBshallhavetherighttorejecttheProductsandrequestareplacementorrefundfromPartyA.

6.Confidentiality

6.1BothPartyAandPartyBagreetokeepconfidentialallinformationprovidedbytheotherpartyinconnectionwiththiscontract,exceptforinformationthatispubliclyavailableoralreadyknowntothereceivingparty.

6.2Theconfidentialityobligationshallcontinueindefinitelyaftertheterminationofthiscontract.

7.DisputeResolution

7.1AnydisputesarisingoutoforinconnectionwiththiscontractshallberesolvedthroughamicablenegotiationsbetweenPartyAandPartyB.

7.2Ifthedisputescannotberesolvedthroughnegotiations,eitherPartyAorPartyBmayseeklegalactioninthecourtsof[jurisdiction].

8.Miscellaneous

8.1ThiscontractmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothPartyAandPartyB.

8.2ThiscontractconstitutestheentireagreementbetweenPartyAandPartyBwithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.
